2 PwC Sustainable Supply Chain Management Policy PwC Overview PwC seeks excellence in every aspect of our business and we are committed to improving the environmental and social impact of our business operations. We support fundamental human rights and we do not participate in business activities that abuse human rights. We act in a socially responsible manner, within the laws, customs and traditions of the countries in which we operate. We are committed to supporting international and local efforts to eliminate corruption and financial crime. We encourage the support of charitable, educational and community service activities. Procurement of Goods and Services The quality of the goods and services we procure contributes to the high quality of the services we provide our clients. We strive to ensure that our procurement practices are fair, responsible and sensitive to the needs of our stakeholders. We promote long-term, viable relationships with entities supplying PwC with goods/services ( Suppliers ). The selection and performance of our Suppliers has an impact on our sustainability and corporate reputation. Accordingly, we seek alignment with our Suppliers on sustainability related issues. By building valued relationships with our Suppliers and managing our social & environmental impacts, we believe we can make a positive impact on the communities in which we operate. SSCM Policy This Sustainable Supply Chain Management policy ( SSCM Policy ) applies in relation to PricewaterhouseCoopers (ABN ) and any entity owned or controlled by it (each a Related Entity and together PwC, we or our ) in relation to PwC s procurement operations in Australia. Defined Terms In this SSCM Policy, the terms must and shall indicate a mandatory, therefore essential requirement. The terms may and should mean desirable or preferred. Review This SSCM Policy and associated processes will be reviewed annually to ensure continual improvement in maintaining a sustainable supply chain. 4 1 Purpose This SSCM Policy: aims to promote sustainability for our Suppliers, our clients and our people; identifies minimum standards our Suppliers must maintain with respect to the critical areas of sustainable procurement; and establishes sustainable and ethical practices our Suppliers must perform, and those we prefer Suppliers to uphold, when supplying PwC with goods and/or services. 6 3 Policy Central to our social and environmental performance, all Suppliers supplying PwC with goods and/or services must comply with the standards set out in each of the following areas of the Supplier s operations. 3.1 Community Engagement Suppliers must have a philosophy that demonstrates engagement with community stakeholders and long-term, strategic involvement in community partnerships that addresses key social issues Supplier should have, or be working towards, community engagement programs (e.g. employee volunteering programs, event/program sponsorship, partnerships or collaborations, or donations). 3.2 Corporate Governance and Ethics Suppliers must: a. b. c. d. strictly comply with all applicable Australian and international laws, regulations and sanctions with regard to: i. bribery; ii. iii. corruption; and prohibited business practices, in all countries in which they operate; conduct their business operations in accordance with high ethical standards; have a policy or charter for managing environmental and social performance (where applicable); and maintain a sustainable supply chain, as demonstrated by implementing policies and procedures to ensure sustainable and ethical practices of their suppliers, service providers and contractors or otherwise be able to demonstrably prove that such policies or procedures will be implemented in a reasonable period. 3.3 Environmental Stewardship Suppliers must: a. comply with all applicable Australian and international laws, regulations and sanctions with regard to: i. land and water management; ii. iii. iv. waste and recycling; the handling and disposal of toxic substances, discharges and emissions; noise; v. transportation of products; vi. vii. wastes and materials; material selection; viii. environmental issues and management and community consultation (including environmental permit and reporting requirements), in all countries in which the supplier operates; and PwC 3

7 Policy b. have a written environment policy (where applicable) Suppliers should (where applicable) have a written environmental management plan to identify and minimise the impact of their activities on the environment. This plan should include initiatives, implementation plan, monitoring and reporting. 3.4 Labour/Workplace Management Suppliers must comply with all applicable Australian and international laws, regulations and sanctions with regard to: a. b. c. employment practices and benefits; anti-discrimination; and health and safety, in all countries in which they operate Without limiting any of the requirements set out in item 3.4.1, Suppliers must: a. b. c. d. e. strive to provide a workplace free of direct or indirect discrimination or harassment; not use child, forced, bonded or involuntary labour in any form; provide fair pay and working conditions, including adequate rest periods and parental leave, and match prevailing working conditions; not act in a discriminatory way based on gender, age, race, nationality, religious beliefs, marital status, disability, sexual orientation, union membership or, political affiliation; and not allow physical abuse or discipline, or the threat of abuse, or any other forms of intimidation Suppliers should (where applicable): a. b. have written labour/workplace management policies and standards; and be committed to the provision of training and development for employees. 3.5 Workplace Health and Safety Suppliers must: a. b. comply with all Australian and international laws, regulations and sanctions with regard to workplace health and safety (including the provision of health related benefits to employees), in all countries in which they operate; have (where applicable): i. written safety and health policies and standards clarifying its position and initiatives; and ii. a documented system to identify and reduce work-related injury and illness. 3.6 Risk Management Suppliers should have a written business continuity plan, to minimise business impacts in the event of major disruption, which is integrated across business units and regularly tested. 8 4 Process All Suppliers are required to comply with this SSCM Policy. However, PwC is dedicated to periodically monitoring and reporting the status of our high spend and/or high risk Suppliers through additional screening programmes. PwC s spend with these Suppliers (as shown below) forms a significant proportion of our total Supplier spend and is a crucial starting point to ensuring we achieve a sustainable supply chain. Remaining Suppliers Suppliers sourced via RFx PwC Supplier Spend Top 100 Suppliers 4.1 All Suppliers PwC may include provisions in our supplier contracts and purchase orders requiring our Suppliers to comply with this SSCM Policy PwC may require Suppliers to confirm compliance with this SSCM Policy upon renewing or extending their contract. 4.2 Top 100 Suppliers In addition to the criteria that all Suppliers must follow, each year, our top 100 Suppliers, at the time the questionnaire is made available by PwC are required to complete the PwC SSCM Questionnaire (contact strategic.sourcing@au.pwc.com for the current version) The SSCM Questionnaire is a tool aimed at cooperatively engaging our Suppliers in aligning and improving our respective supply chains to help address key societal, ethical, and environmental issues. 4.3 Suppliers Sourced via RFx In addition to the criteria that all Suppliers must follow, each Supplier sourced via any form of tender or other procurement process ( RFx ) may be required to complete the PwC SSCM Questionnaire as part of PwC s evaluation process and any contract renewal or extension procedures. 9 Process 4.4 Non-compliance Suppliers who are not compliant, or who anticipate they will not comply, with this SSCM Policy must immediately notify the PwC Procurement team at to ensure we can address any issue of potential non-compliance and implement appropriate action plans as soon as possible Suppliers who do not comply with this SSCM Policy are required to take immediate measures to correct any non-compliance. Such measures may include documenting and agreeing to implement remediation processes or programs that the Supplier or their supply chain must comply with PwC may terminate all engagements or agreements with any Supplier who consistently fails to comply with this SSCM Policy or does not agree to correct any non-compliance with this SSCM Policy. Any such Suppliers may also be excluded from any future RFx PwC is committed to working with all our Suppliers to ensure continued compliance with this SSCM Policy. We encourage Suppliers to provide feedback of their experience to assist us in addressing any matter of non-compliance effectively and efficiently. PwC 6
