The subject-matter of this agreement (hereafter referred to as the Agreement ) shall be the specification of the principles of the Intern s participation in Praxis the internship programme of the Foundation for Polish Science (hereafter referred to as the Internship Programme ). 2. Participation in the Internship Programme is intended to enable the Intern to expand and/or acquire new skills in terms of research management, research teams management, interdisciplinary collaboration, technology transfer, and entrepreneurship. 3. The Intern on placement at an entrepreneur s declares that during the term of the Agreement, he/she shall not carry out work related to the entrepreneur s current operations or work that would directly lead to generating economic profits for the entrepreneur. 4. The Intern declares that during the term of the Agreement, he/she shall not be a part of any other mobility programme financed with public funds.

2 5. The Intern shall be fully liable for any and all damage caused to third parties in connection with his/her participation in the Internship Programme. 6. The Internship Programme is one of the tasks of the SKILLS project co-financed with European Union funds as part of the European Social Fund, Operational Programme Human Capital, Activity 4.2 Developing the qualifications of the R&D human resources and increasing the awareness of the role of science in economic development. 2 Principles of the internship 1. The Intern shall take part in the Internship Programme from to, i.e. for months, in accordance with the Rules and Regulations of the Internship Programme of the Foundation for Polish Science, the submitted application questionnaire, and the internship framework plan approved by the Foundation, which constitutes Appendix No. 1 to the Agreement. 2. The Intern declares that the internship plan has been agreed with the host institution, which shall accept the Intern. The host institution s consent for internship constitutes Appendix No. 2 to the Agreement. 3. The Intern, if bound by an employment contract, declares that he/she has carried out his/her obligations towards the employer in connection with participating in the Internship Programme. 4. The contact person (hereafter referred to as the Internship Supervisor ) at the host institution shall be (name, surname), telephone number:, address:. The Intern shall inform the Foundation of any change of the Internship Supervisor immediately. Such a change shall not result in the necessity of producing an annex to the Agreement. 5. In the event of a necessity to introduce changes to the internship framework plan, consisting inter alia in a modification of the internship, prior consent of the Foundation, to be expressed in an electronic form, shall be required, followed by updating the plan in the Foundation s electronic system. 6. The Intern shall submit, through the Foundation s electronic system, interim reports presenting the level of completion of the internship s objectives, confirmed with a signature of the Internship Supervisor, within the following deadlines:. 7. Once the internship has been completed, the Intern shall present a final report, through the Foundation s electronic system, within 14 days from the completion of the internship. The report should demonstrate the level of completion of the internship s objectives. A confirmation of internship completion issued by the Internship Supervisor shall be an obligatory element of the report. The obligation to present the final report shall also apply if the internship was discontinued and terminated prematurely for random reasons independent of the Intern. 8. The Foundation shall evaluate the interim reports and the final report. Should the Foundation decide that the Intern fails to carry out the objectives of the internship, the Foundation may refuse to accept the report. 9. If, for reasons independent of the Intern (e.g. illness, random events), the carrying out of the internship in accordance with the plan becomes impossible, the Intern shall immediately notify the Foundation of this fact. 10. Failure to perform the obligation specified in 2.9 shall be treated as discontinuation of participation in the Internship Programme. 11. The internship may be deemed to have been completed prior to the date specified in the Agreement, provided that it lasted for at least 30 days and resulted in the achievement of the assumed objectives. 3 12. Once the Foundation has accepted the achievement of internship objectives, the Intern shall receive a certificate of completion of the Internship Programme. 3 Financing of the internship 1. The financing of the Internship Programme by the Foundation shall include exclusively: a. Monthly living allowance, in the amount equivalent to EUR (in words: EUR ), b. Monthly mobility allowance in the amount equivalent to EUR (in words: EUR ), c. Expenses to cover the bench fees, as per the application, in the amount of not more than EUR 650 per month. 2. The amounts specified in 3.1 shall be paid in PLN, once recalculated using the following conversion rate:. 3. The monthly living allowance and the monthly mobility allowance shall be paid as lump sums, in the following manner: a) 80% during the internship, with the first instalment paid once the Foundation has received the correctly filled-in and signed Agreement, not earlier, however, than 14 days prior to the commencement of the internship. Consecutive instalments shall be paid up to 14 days from the acceptance of interim reports. b) The remaining 20% shall be paid once the internship has been completed and the final report on plan implementation has been presented to and accepted by the Foundation. 4. The expenses to cover the bench fees shall be reimbursed on the basis of the actually incurred expenses documented with financial documents, i.e. an accounting document (e.g. invoice or bill) and the Intern s confirmation of the expenses having been incurred. 5. Failure to present an interim report by the date specified in 2.6 or its non-acceptance by the Foundation shall result in the suspension of the payment of the next tranche ( 3.1.a and 3.1.b) and of the reimbursement of the expenses referred to in 3.1.c. 6. Failure to present the final report by the date specified in 2.7 or its non-acceptance by the Foundation shall result in the obligation to return a part or the whole of the received funds. 7. The funds referred to in 3.1 shall be transferred by the Foundation to the Intern s bank account:. 8. In the event of internship termination, due to random events, prior to the date specified in the Agreement, the Intern shall immediately return to the Foundation, not later than within 14 days from receiving the relevant information, any and all funds that have already been transferred but have not yet been used in accordance with the intended purpose in connection with premature internship termination. The funds referred to in 3.3.b shall be paid to the Intern proportionally to the number of completed days of internship. 9. In the event of internship discontinuation, for reasons attributable to the Intern, prior to the date specified in the Agreement, the Intern shall immediately return to the Foundation, not later than within 14 days from receiving the relevant information, any and all funds that have already been transferred but have not yet been used in accordance with the intended purpose in connection with premature internship termination. 4 10. If the internship is shorter than 30 days, the Intern shall return the entire lump sum and shall not be entitled to the funds referred to in 3.3.b. 4 Other obligations of the Intern 1. The Intern shall in particular: a. Refrain from taking up any additional full-time or part-time gainful employment during the internship; b. Be fully liable for any and all damage caused to third parties in connection with participation in the Internship Programme; c. Inform the Foundation of any and all changes to contact data and the bank account number, with such changes not requiring an annex to the Agreement; d. Immediately inform the Foundation of the inability to continue the internship, both due to random events and for reasons attributable to the Intern; e. Maintain dignity of conduct and not jeopardise the Foundation s reputation; f. Take part in monitoring the results and the evaluation procedure carried out by the Foundation for the purpose of the SKILLS project reporting. 5 Agreement termination 1. In the event of a gross violation of the provisions of this Agreement, in particular failure to observe the obligations referred to in 4, the Foundation shall have the right to terminate this Agreement with immediate effect and demand the return of the funds paid as part of the Internship Programme, together with interest calculated as for tax arrears and charged from the moment of the transfer of the funds. 2. In the event of failure to observe the provisions of this Agreement, the Foundation shall have the right to terminate the Agreement with immediate effect and rescind from further internship financing. In such case, the provisions of 3.9 shall apply accordingly. 6 Personal data protection 1. The Foundation declares that it shall be the administrator of the personal data provided in the Agreement and that this data shall be processed in accordance with the Polish Act of 29 August 1997 on Personal Data Protection (consolidated text: Dz. U. of 2002, No. 101, item 926, as amended) for the purpose of Agreement performance, including but not limited to monitoring, evaluation control, and reporting, as well as archiving. The Foundation represents that the provision of personal data is voluntary, but necessary for the conclusion of the Agreement. 2. With respect to the personal data provided to the Foundation, the Intern shall have any and all rights under the Act referred to in 6.1, as specified in Article 32 of this Act, including but not limited to the right of access to the data and the right of objection.

5 7 Final provisions 1. Any and all potential disputes between the parties under this Agreement should be settled without undue delay, by means of negotiations. 2. Should the negotiations fail, the disputes shall be settled by the court of local jurisdiction competent for the registered office of the Foundation. 3. The Agreement shall come into effect on the day of signing. 4. Any and all amendments to this Agreement shall be null and void unless made in writing, except for the changes referred to in 2.4, 2.5, and 4.1.c. 5. Any and all correspondence in writing related to the performance of the Agreement shall be directed by the Foundation to: Correspondence address: address:. 6. The provisions of the Polish Civil Code and the Rules and Regulations of the Internship Programme of the Foundation for Polish Science shall apply to the matters not regulated in the Agreement. 7. The Agreement has been produced in two identical counterparts, one for each of the parties. 8. The following Appendices shall constitute integral parts of the Agreement: 1.
