1 Board Elections A Guide to Skills needed by Board Members Aim Our aim is to ensure that the Board of AIUK collectively has the skills, knowledge and experience to lead the organisation effectively. Objectives This document is designed to provide a structure for the following: 1) Enabling prospective candidates for the Board to assess their own skills, knowledge and experience against those needed by Board members. 2) Helping candidates to put together their Board nomination forms. The document is in two parts: 1) Description of skills needed by Board members. 2) Self assessment by candidates of their relevant knowledge and experience. Part 1: Skills needed by Board members The Nominations Committee s following statement identifies the skills which would, in its opinion, benefit the expertise of the Board. For the 2015 election, nominations for people with the following experience and skills are particularly welcomed to enhance, supplement or replace existing skills: Human Rights Human Resources and People Development Financial Management Equality, Diversity and Gender Mainstreaming Information Technology and Data Management Corporate Compliance, Risk Management and Auditing Regulatory environment for the charitable and voluntary sector Monitoring and evaluating performance Commercial expertise If you would like to talk to someone about standing for election, then please get in touch with the Nominations Committee by contacting Asha Verma on / asha.verma@amnesty.org.uk Amnesty International UK Section BOARD ELECTION

2 The following is an outline of the skills all Board members will need to enable them to operate effectively as a Board, in particular during Board meetings, but also when undertaking other Board duties. It builds on the principles of the Board Code of Conduct, and should be seen in the context of the Code, which outlines the ethical framework within which Board members operate. In addition, The National Occupational Standards for Trustees and Management Committee Members set out a list of competencies that it is felt all Board members should be able to demonstrate. These are: be committed to the purpose, objects and values of the organisation be constructive about other Board members' opinions in discussions, and in response to staff members contributions at meetings be able to act reasonably and responsibly when undertaking such duties and performing tasks be able to maintain confidentiality on sensitive and confidential information be supportive of the values (and ethics) of the organisation understand the importance and purpose of meetings, and be committed to preparing for them adequately and attending them regularly be able to analyse information and, when necessary, challenge constructively be able to make collective decisions and stand by them be able to respect boundaries between executive (staff or day to day) and governance functions. The basic skills are: Listening skills Understanding of the importance of the role of Board member and the responsibilities involved Ability to commit the necessary time and energy to the role Ability to express oneself clearly, particularly orally, but also in writing Ability to understand and analyse sometimes complex information Problem solving skills Ability to think strategically without becoming too involved in detail Persuading, influencing and communication skills Flexibility and adaptability Ability to work with others as part of a team Decision making skills Numeracy Amnesty International UK Section BOARD ELECTION

3 Specific Skills and Experience In addition, to make the Board effective, collectively it needs to have the skills and experience set out in Part 2. It is not expected that all members of the Board will be able to demonstrate these skills at the same level, but collectively the use of these skills will contribute to the effective operation of the Board. Part 2: Self Assessment of Knowledge and Experience You may find it helpful to use this to assess your knowledge and experience in the areas listed, which have all been identified as important for the Board. The assessment uses a 3-point scale: 1 = I have some experience or knowledge which could be developed 2 = I have knowledge and expertise which I have experience of using either in the past or currently 3 = I am using my expertise in my current activities and have up to date knowledge of current thinking and practice in this area Please enter the relevant number in the box against each area of expertise. If you have no knowledge or experience of a particular area, leave it blank. Areas of Knowledge and Experience 1. Campaigning (Instigating, organising, leading or participating in actions to achieve change) 2. Policy Development (Experience of developing policy for an organisation or group, knowledge of political and other public institutions, working with/influencing decision-makers/opinion formers) 3. Knowledge of AI's vision, mission and history (In depth knowledge of AI, in particular knowledge or experience of the International Movement, active involvement in current issues relating to AI's mission) 4. Human Rights (Knowledge and/or experience in the broader field of human rights, in particular work (paid or voluntary) with other organisations operating in this field) 5. Partnerships and Alliances (Knowledge and/or experience of delivering organisational objectives through working in partnerships and alliances with other organisations) 6. Strategic Planning (Experience of developing and implementing an organisational strategy and active engagement in strategic thinking and planning) 7. 4 (Experience of developing and implementing business and operational plans) 8. Governance (Experience as a Trustee, Board or Committee member of an organisation in the voluntary, private or public sector, other than AIUK) 9. Financial Management (Experience of financial management at a senior level, which may include relevant professional qualifications) 10. Marketing and Public Relations (Experience of developing and delivering Marketing and PR Strategies, which may include, for example, market research or brand development) 11. Equality, Diversity and Gender Mainstreaming (Experience of developing and implementing strategies for increasing diversity in organisations or groups, may include work with community groups and/or special interest groups) 12. Human Resource Management and People Development (Experience of working at a senior level in human resources, which may include consultancy work and/or possession of a professional qualification) 13. Legal (Experience or knowledge of the law: this could include company, property, Charity, health and safety law) 14. Communications and Digital (Knowledge of the modern communications environment and how this could be used to benefit AI) 15. Corporate compliance, risk management, auditing (Experience from working within a similar organisation or as professional advisor) 16. Information Technology and Data Management (Experience of issues including IT strategies, implementation of and monitoring IT projects, data security) 17.
