1 Atty. JJ Disini is one of the leading information and technology law experts in the Philippines today. His areas of expertise are litigation, intellectual property, licensing, privacy and data security, copyright, trademark registrations and technology transactions. He has represented local and foreign clients in corporate, project finance, securities, foreign investment, technology, and telecommunications, among others. After graduating (Dean s Medal) from the UP College of Law and placing 7th in the Bar Examinations, JJ has been continuously practicing law since In 2004, he obtained a Degree in Masters of Law LLM from Harvard Law School. He is the first lawyer member of the Philippine Internet Commerce Society (PICS) and was actively involved in the lobbying efforts for the passage of the ecommerce Act (ECA Republic Act No. 8792). He drafted its Implementing Rules and Regulations, under the supervision and control of an inter-agency task force committee co-chaired by the Department of Trade and Industry, Department of Budget and Management of the Bangko Sentral ng Pilipinas in A year later, he codrafted the Rules on Electronic Evidence as part of the Supreme Court s ecommerce Subcommittee. JJ is a frequent speaker in legal forums and news and current affairs programs on television, where he discusses issues involving e-commerce, cybercrime, data privacy, and intellectual property, among others. He is a Professor in the University of the Philippines College of Law where he teaches The Law on Cyberspace, Advanced Issues in Intellectual Property, Bills and Notes, Credit Transactions, Torts and Damages, and Negotiation and Mediation. He is also a Professional Lecturer at the Philippine Judicial Academy. 2 Maikli lamang ang aking talumpati para magkaroon tayo ng mas mahabang panahon para sa palitan ng pananaw, open forum. Sana maging malusog kaaya-aya at interisante ang palitan natin ng pananaw. Hayaan ninyong simulan ko ang aking talumpati sa pagbibigay ng isang maikli pero totoong kwento. May isa akong nakilala at naging kaibigan ko na tulad ko ay law student din noong panahon na iyon. Kumuha siya ng bar, bago lumabas ang resulta napagkatuwaan siya ng kanyang mga kaibigan. Sinabi sa kanya na may inside information sila na pasado na siya sa bar. Two days after, lumabas iyong resulta tinanong niya kung pasado nga ba siya o hindi? Nag-blow out na ang nanay niya, naghanda na ang nanay niya. Tuwang-tuwa ang nanay niya at pinagkalat na sa lahat ng mga kamag-anak. Two days after lumabas ang resulta, hindi pala siya pumasa. Inaway niya at naging kaaway niya ang kanyang mga kaibigan dahil masama nga namang biro at loob iyon. Nagreview ulit siya, nagpunyagi, nagsumikap at kumuha ulit ng bar. Bago lumabas ang resulta ng bar exams, pumanaw na iyong kanyang nanay. Paglabas ng resulta, pumasa siya at pasado siya. Binalikan niya ang kanyang mga kaibigan na nagbigay ng mali at masamang biro sa kanya noon, sabi niya, pwede ba tayong maging magkaibigan ulit at nagpasalamat sa kanila. Bakit? Sabi niya, salamat sa ginawa ninyo noon dahil hindi ko naman alam na papanaw na iyong nanay ko, hindi ninyo naman kayang baguhin iyong pagbagsak ko o pagpasa ko sa bar. Pero maski na papaano noong nabubuhay pa siya, sa loob man lamang ng dalawang araw, nagkaroon siya at naramdaman niya ang pagkakaroon ng isang abogadong anak. Continued on page 3

3 Sa lahat po ng piling panauhin sa BAIPHIL sa pangunguna ng pangulo at aking kaibigan, kasamahan sa UP Law na si Attorney Rommel Carlo at sa iba pang miyembro ng BAIPHIL, isa pong maganda at pinagpalang tanghali sa inyo. Ang salita ko dapat ay ay tungkol sa Fiscal Reforms for Inclusive Growth. Allow me to state two principles in this regard, on this topic. One on government, two on governance. On government, I am on firm belief, that government should only do and perform the function of the private sector, if they can't do it at an affordable cost. Naniniwala ako na ang dapat maging papel lamang ng pamahalaan, papel na ayaw o hindi ginagamapanan ng pribadong sektor sa presyo o halaga na kayang bayaran ng ordinaryong Pilipino. Ang pamahalaan dapat nasa gilid lamang, nasa isang tabi lamang at hinahayaan ang pribadong sektor gawin kung ano ang tingin nila na nararapat para sa lipunan at para sa bansa. At dapat manghimasok lamang kapag may problema, o kapag may kinakailangan o kung ayaw gumalaw ng pribadong sektor. Ika nga bilang mga magulang karamihan sa atin ay marahil ay magulang na. Trabaho nating akayin ang ating mga anak, trabaho natin na bigyan sila ng giya. Trabaho nating tulungan sila habang hindi pa sila nakakatayo sa sarili nilang paa. Subalit dapat maging layunin ng bawat pamahalaan tulad ng bawat magulang dumating ang panahon na hindi na sila kinakailangan. I dreamed of the day when government will become irrelevant, government will not be leading anymore and that government will still be standing by, awaiting for the time that it will be needed. Parang mga magulang din, hindi naman pang habambuhay akay-akay natin ang ating mga anak. Hindi naman pwedeng habambuhay umaasa sa atin ang ating mga anak. Hindi naman pwedeng habambuhay itatanong sa atin kung ano ang gagawin nila at kung tama ba iyon o mali. Hindi ba dapat bilang magulang, ginawa at ginampanan natin ang ating mga tungkulin kapag ang ating mga anak ay kaya nang tumayo sa sarili nilang mga paa. Kapag ang ating mga anak ay kaya nang magdesisyon at magpasya sa sarili nila. Alam na nila ang kaibahan nung tama at mali, ginagawa ang tama at iniiwasan kung ano ang mali. Ganyan din marapat ang maging layunin at papel ng pamahalaan sa ating pananaw. I define the governance as allocating scarce resources. So if government was able to allocate scarce resources, then the government you can say, has govern. Maikli at konti ang ating panahon at konti din ang ating salapi at pamumuhunan para gawin ang napakaraming dapat gawin ng pamahalaan sa ating gobyerno. Bilang halimbawa, hayaan ninyong bigyan ko kayo ng ilang Christmas song, ang budget po ng pamahalaan sa taong darating ay P3 trillion, T to be exact. Trillion pesos. Ang budget po palaging pataas nang pataas iyan. Kaya ang susunod na pangulo ng bansa, sa loob ng anim na taon niyang panunungkulan sa bansa, P18 trilyon ang gagastusin niya, in real terms and figures expanded for the whole six years, and other mechanisms, aabot at papatak, ayon sa NEDA, ng hanggang dalawampu at tatlong trilyon ang gagastusin at hahanapan ng pagkakagastusan sa loob ng anim na taon. Yun na lamang po ang isipin natin, napakabigat na bigla ng nakapansan sa ating balikat kaugnay sa pagpili ng magiging sunod na pangulo ng bansa dahil pwede niyang lustayin, pwede niyang ibulsa o pwede rin naman niya gamitin sa tama yung 18 hanggang 23 trilyon sa loob ng anim na taon. Paano ba ito ginagamit ng kasalukuyang pamahalaan at ano ba ang dapat gawin para matiyak na walang maiiwanan at walang iwanan pagdating sa pag-unlad ng ating bansa at ng ating ekonomiya? Unahin na natin ang may pinakamalaking budget sa pamahalaan, ang Departmemnt of Education, kulang-kulang P450 billion ang budget ng DepEd para sa darating na taon. Kulang-kulang P80 bilyon ang gagastusin nila para sa sweldo pa lamang ng mga teacher, para sa taong darating, P61 billion ang gagastusin para sa school building, sa taong kasalukuyan, P43 billion po ang gagastusin nila para sa 41,000 na classrooms, next year naman para sa 43,000 classrooms, mahalaga daw kasi ang edukasyon, pero wala naman yun sa titik at letra ng budget, bakit? Nasa pagpapatupad din iyon, bagaman may budget tayo na higit-kumulang na P43 billion sa taong ito para sa 41,000 classrooms, September 8 na po ngayon, ni-piso sa P43 billion, ni-isa sa 41,000 classrooms wala pa pong nagagastos at wala pa pong nagagawa, anumang school building ang nakikita ninyong ginagawa, sa anumang barangay kayo matatagpuan at nakatira, budget pa po ng 2014 po iyan at hindi po budget ng 2015 dahil sa bagal at kakulangan ng impormasyon at implementasyon ng DepEd at ng DPWH. Inclusive growth, gumastos tayo o gagastos tayo ng P274 billion para sa 2015, para magawa ang iba t ibang kalye sa iba t ibang parte ng bansa. Doon sa mga naninirahahan sa probinsiya, madalas ko nakikita ang road widening, ginagawang four lanes yung ating highway, P274 billion ang gastos po natin diyan. Next year P391 billion ang gagastusin natin para sa mga bagong kalye, yang dinadaanan ng bus, ng jeep at ng kotse. Samantala ang farm-to-market road sa 2016, P6 billion lang, humigit-kumulang 2% ng gagastusin natin para sa mga highway at mga kalye, ang farm-to-market road na budget para next year nasa P7 billion lamang, bumaba pa, 1.8% lamang ng budget ng DPWH para sa kalye, paano po natin makakamit ang inclusive growth kung mapakalaki ng ginagastos natin para sa mga dati nang may kotse na sumasakay sa mga sasakyan kumpara sa humigit-kumulang 30% ng pinakamahirap nating populasyon na nagsasaka at nasa sektor ng agrikultura, kung 2% lamang ang ginagastos natin para sa farm-to-market roads? Gaano kalaki ba ang epekto nun? Kapag may farm-to-market roads na pwedeng daanan umulan man o umaraw, patungo sa merkado galing sa tinataniman ng ating mga magsasaka, dadagdag at lalaki ang kita nila ng 5 hanggang 8% para maengganyo silang magtanimn at para mas lumaki ang ani nila, hindi ginagawa iyan at dapat gawin at gampanan iyon ng pamahalaan. P62 billion ang gagastusin natin para sa CCT, ito po yung binibigay na pera, P300 kada anak basta ang anak po ay pumasok sa eskwelahan, maximum ng hanggang tatlong bata lamang so maximum of P900 per month. Mayroon din po tayong CCT para sa mga nagbubuntis na ina, magpa-check-up ka lang kada buwan, s aloob ng siyam na buwan mong pagbubuntis, bibigyan ka rin ng P300 kada buwan pero hanggang sa pangatlong anak lang din. Sa pang-apat na anak wala nang ganoon. P62 billion kada taon na gagastusin natin sa susunod na anim na taon pa, kung may nagagawa man o wala ayon sa pagsasaliksik, halos wala, dahil tinatanggap na lamang iyon at kinukuha na lamang iyon ika nga nang wala namang pagsulong sa ating ekonomiya. Noong ako ay Finance chairman o chairman ng Committee on Finance sa Senado, ninais natin na maayos, linisin at ayusin ang proseso, kulang ang isang taon para gampanan ang napakalaking tungkulin na iyan at sana inaasahan ko, mapagpapatuloy ang ating sinimulan, ng mga pumalit at papalit sa akin bilang chairman ng Committee on Finance dahil naniniwala ako sa simpleng kasabihan, you should put your money where your mouth is, kung hindi kayo naglalagay ng pera para sa isang programa, kung hindi naglalagay ng pondo para sa isang proyekto, huwag kayo magyabang sa tribuna o sa speech mo na may gagawin ka at may ginagawa ka tungkol sa bagay na iyan. Governance is about updating scarce resources, and the budget is the best tool to address that. Government is doing something progress in a particular problem, marahil mamaya matatanong ang tungkol sa trapik sa kalye man o sa airport, doon ko na lamang sasagutin iyon, pero hindi po pwedeng sabihin ng pamahalaan na may ginagawa sila doon kung wala naman silang tinutustusan na gastos kaugnay sa problema o isyu na iyan. 4 Ilang halimbawa lamang ang binibigay ko kaugnay sa laki at lawak ng pondong mayroon at ginagastos ang pamahalaan at kung papaano sana matiyak na makakasama ang bawat naiiwan sa pag-unlad ng Metro Manila man o ng ating bansa, ng Luzon man gayundin ang Mindanao, upang sa gayon, s ahindi malayong hinaharap, makamit natin ang matagal ng minimithi na pag-unlad sa bawat sulok ng bansa. Ang kwento kaugnay sa kaibigan ko na niloko at pumasa sa bar na hindi pa pala, para bigyan pagpapahalaga ang isang bagay. Sa kabila ng problema na kinakaharap po natin ngayon, kung sa tingin natin ay walang dahilan at kahihinatnan ito, sa totoo lang, sa dulo marahil ito ay may makabuluhang dahilan kung bakit nangyari at naganap. Ang importante kada nadadapa o babagsak tayo, mayroon pa rin tayong lakas at tapang para tumayo upang harapin muli ang mga hamon at pagsubok na maaaring ibato sa atin ng tadhana bilang isang bansa at bilang isang lahi. Pinangako ko po na maikli lang ito, mas gusto ko po kayo mapakinggan sa open forum ang mga katanungnan. Pansamantala, magpapasalamat po muna ako. 5 Motivate and Activate is BAIPHIL Membership Committee s theme for FY The group aims to bring in new people and institutions into the BAIPHIL community and encourage current members to take on more active roles in the team. BAIPHIL believes that when members feel like they can identify with the group, have opportunities to work together with friends, and feel the desire and commitment to contribute, membership in BAIPHIL will be more engaging and meaningful than ever. Aside from onboarding new associate members in the early months of the fiscal year, the Committee also revisited the annual membership dues. After careful study, the Committee recommended an adjustment to the dues to account for the changing profile of the member banks and overall inflation. The structure will be simplified and aligned with BAIPHIL s peer industry organizations. These development will be presented during the special meeting of Voting Representatives scheduled in December this year. One of the latest initiatives of the Membership Committee is the BAIPHIL birthday card which we will start giving out in December. Here s a preview. 6 Gutter, Spares and Strikes It was a fun-filled afternoon as BAIPHIL staged its very first bowling tournament last 24 October 2015 at the Metropolitan Club in Makati. The tournament, dubbed the Bowling Fun Game, was attended by members with varying degrees of bowling experience, with some even newbies to the game. Four teams were formed with the more experienced bowlers Francis Puzon, Arnel Valles, Noel Flores and Boni Santos as captains. Members drew lots to get their assigned teams. The teams turned out to be a delightful mix of players as long-time BAIPHIL members partnered with recent joiners. After the prayer led by Bles Andres, the opening remarks of President Rhoneil Fajardo, and the Oath of Sportsmanship by Sports and Fellowship Committee Director-In-Charge Baby Banares, the teams were raring to go. To ensure that the players would avoid any injury, Tess Andres led warm up exercises to properly stretch the excited muscles. Shouts, squeals, laughter and groans punctuated the air, as ball after ball rolled on and off the lanes. Spares and strikes were greeted by highfives, while gutter balls and missed pins prompted synchronized groans. Team spirit was at maximum drive as members encouraged each other with fist bumps. After the first game, the participants took some respite and snacks to re-energize. After the hits and misses of the first game, the players got into the groove and swing of things. The 2 nd game was crucial as the total of the 1 st and 2 nd games would determine which of the teams would battle it out for the championship. After the scores of the 2 games were tallied, the teams of Francis and Arnel were up for 1 st place while the teams of Noel and Boni would vie for 3 rd honors. It was a one-game only championship round and the starting scores were back to zero. The air was tense since for the first time, the teams were directly competing against each other. The energy level was high but fatigue and nerves started to set in. As each player took his turn on the lane, both teammates and rivals eagerly awaited the outcome. Spares and strikes were joyfully celebrated while misses would cause cautious glances at the scoring board and mental calculation of the scores were tallied which team would take the lead after each bowl. After the tenth frame was completed, the team of Francis, the leading scorer of the first two games, emerged Champion, with four of its members Rhoneil, Baby, Tess and Buddy - receiving individual awards. The team of Arnel settled for first runner up, while the team of Noel outbowled the team of Boni to emerge as second runner up. 9 Supervisory Expectations on Compliance System 23 October 2015 The seminar on Supervisory Expectations on Compliance System held on 23 October 2013 was a resounding success with Ms. Annaliza G. Tan-Cimafranca, Director, Central Point of Contact III of the Bangko Sentral ng Pilipinas, as resource speaker. Attended by 78 participants, the seminar was highly interactive with Ms. Tan-Cimafranca giving straightforward and clear responses to the numerous questions raised from start to finish. Everyone picked up a lot of learning points during the whole discussion that when the seminar came to an end, the participants still could not get enough of Anna. We can surely expect another run of this seminar very soon!

10 One of the objectives that we set for this year under the Build component of our BEST strategy is to develop certification courses that will further elevate the professional standards of the local banking industry. Certification programs for banking professionals are important as they establish a benchmark for those who have decided to establish a career in banking. As entry-level jobs in the financial services industry do not require that one has a degree in banking or business, it becomes imperative to provide a venue where members can acquire the critical information and training to perform their work. As bankers handle client investments, assets and credit, they need to be equipped with the proper financial knowledge to be worthy of their customer s trust. And as they rise in their careers, industry members are expected to have gained expertise in their area of specialization. In all these cases, undergoing, and eventually passing, a certification course provides assurance, to banks and to the public, that one is committed to banking as a profession, and has gained a comprehensive understanding of the principles, concepts, and risks involved in its practice. A survey of banking institutes in Asia show that the certification program for banking is well entrenched in many countries and is widely supported, if not mandated, by the local regulators. The training programs are usually offered at 3 levels of certification patterned after the usual career path of a banking professional - associate/analyst, middle manager/team lead and, ultimately, executive/department/ division head. Specialization programs are also offered for various segments of the industry such as compliance, risk management, operations and technology, and retail and corporate banking. The development of certification courses requires time, focus and subject matter expertise. While BAIPHIL officers and members are undoubtedly among the experts in the field, it is an acknowledged fact that they cannot consistently dedicate the time and focus needed to pursue this initiative given that they are full time employees in their respective institutions. As the Board nonetheless believes in the value of this objective, we sought to mitigate the situation with the hiring of a Training Head. Already, Bernie Cual has brought much needed focus on our training program and secretariat and will, for sure, be instrumental in attaining our goal. In addition, the Board has begun to explore collaboration and potential partnerships with our colleagues in the region who are quite advanced in this area. While primarily practical, i.e., to avoid reinventing the wheel, this approach also recognizes the universality of the principles of banking and the imminent integration of the financial sector, when common standards are expected to be met by practitioners in the region. We hope to be able to offer certification courses in the very near future. While we have started the initial groundwork, we are aware that further effort needs to be done to gain market acceptance. With everyone s support, let s make this a reality and certify the future of our profession!
