Maket Aess and Routing Subsidy ("MARS") MARS System Eligibility To qualify fo MARS, a Phlx membe's outing system ("heeinafte System") would be equied to: (1) enable the eletoni outing of odes to all of the U.S. options exhanges, inluding Phlx; (2) povide uent onsolidated maket data fom the U.S. options exhanges; and (3) be apable of intefaing with Phlx's API to aess uent Phlx math engine funtionality. Futhe, the membe's System would also need to ause Phlx to be the one of the top thee default destination exhanges fo individually exeuted maketable odes if Phlx is at the national best bid o offe ("NBBO"), egadless of size o time, but allow any use to manually oveide Phlx as a default destination on an ode-by-ode basis. Notwithstanding the above, Complex Odes would not be equied to enable the eletoni outing of odes to all of the U.S. options exhanges o povide uent onsolidated maket data fom the U.S. options exhanges. Any Phlx membe would be pemitted to avail itself of this aangement, povided that its ode outing funtionality inopoates the featues desibed above and satisfies Phlx that it appeas to be obust and eliable. The membe emains solely esponsible fo implementing and opeating its system.

5 SR-Phlx Page 43 of 43 MARS Eligible Contats MARS Payment MARS Payment would be made to Phlx membes that have System Eligibility and have outed at least 3, Eligible Contats daily in a month, whih wee exeuted on Phlx. Fo the pupose of qualifying fo the MARS Payment, Eligible Contats [may ]inlude the following: Fim, Boke-Deale, Joint Bak Offie o "JBO" o Pofessional equity option odes that ae eletonially deliveed and exeuted. Eligible Contats do not inlude floo-based odes, qualified ontingent oss o "QCC" odes, pie impovement o "PIXL" odes, Mini Option odes o Singly Listed Odes. Phlx membes that have System Eligibility and have exeuted the Eligible Contats in a month may eeive the MARS Payment of $.1 pe ontat fo all Eligible Contats[. This MARS Payment will be paid only on exeuted Fim odes] outed to Phlx though a patiipating Phlx membe's System. No payment will be made with espet to odes that ae outed to Phlx, but not exeuted. A Phlx membe will not be entitled to eeive any othe evenue fo the use of its System speifially with espet to odes outed to Phlx with the exeption of Payment fo Ode Flow o "PFOF".
