3 I. PURPOSE A. STATEMENT OF INTENT The City of San Antonio, acting by and through City Public Service Board ( CPS Energy ) issues this Request for Qualifications ( RFQ ) to solicit Qualifications ( Qualification Submittals ) from companies qualified and interested in providing design-build services ( D/B Services ) for a proposed Calaveras River Pump Variable Frequency Drive ( VFD ) Upgrade project (the Project ). B. ABOUT CPS ENERGY CPS Energy is the nation s largest municipally owned energy utility providing both natural gas and electric service. Acquired by the City of San Antonio in 1942, CPS Energy serves more than 765,000 electric customers and 335,000 natural gas customers in and around San Antonio (1,515 square mile service area). CPS Energy is governed by a five-person Board of Trustees, consisting of the Mayor of the City of San Antonio and four citizens representing the four geographical quadrants of the City of San Antonio. 4 CPS Energy will evaluate the Qualification Submittals to determine which, in CPS Energy s sole judgment, Respondents are qualified to perform the D/B Services requested. CPS Energy will evaluate all Qualification Submittals based upon the evaluation criteria set forth in this RFQ. CPS Energy reserves the right to reject any and all Qualification Submittals and to waive minor formalities and irregularities. CPS Energy assumes no liability or responsibility for the costs incurred by the Respondents for any materials, efforts or expenses required in the preparation of Qualification Submittals or in connection with presentations or demonstrations. D. CONTACT INFORMATION, QUESTIONS AND ANSWERS During the solicitation period, the Procurement Analyst identified below shall be the sole contact for any inquiries from prospective Respondents. Any inquiries from Respondents shall be submitted in writing by electronic mail. Responses to all questions and requests for clarifications will be shared with all RFQ recipients. Karen T. RESTRICTIONS ON COMMUNICATIONS Respondents are prohibited from communicating with CPS Energy employees, representatives, staff, or Board Members regarding the Project or this RFQ during the period in which submittals have been solicited or are being evaluated (other than the Procurement Analyst identified in Section I(D) in the designated manner). Restricted communication includes, but is not limited to, thank you letters, phone calls, s, and any contact that results in the direct or indirect discussion of the RFQ. Violation of this provision by Respondents or their agents may lead to disqualification of Respondent s Submittal. F. DESCRIPTION OF PROJECT The CPS Energy Calaveras River pump station was originally constructed in 1969 and is used to deliver makeup water from the San Antonio River to the Calaveras and the Braunig Lakes. The Calaveras Lake is used primarily for cooling water for the CPS Energy Calaveras power plant. The Calaveras River pump station has two vertical turbine mixed-flow centrifugal pumps with a rating of 25,000 gpm at 200 ft. total dynamic head. The river pumps CL-1 & CL-2 are driven by 1500 HP General Electric motors rated at 2300V with power supplied by Benshaw reduced voltage soft starters (RVSS). Request For Qualifications 3

5 The existing electrical system 2400V switchgear and 480V Motor Control Center (MCC) are currently functioning but are beyond their normally anticipated life. The existing electrical system will be upgraded with a new 4160V switchgear and a new 480V MCC. As a result, the existing pump motors will need to be replaced with new 4160V motors. At this time, the pumps are controlled manually at the pump motor soft-starter panel and operated at full design flows. In order to provide more flexibility to the operations, the system will be upgraded with new variable frequency drives (VFDs). The Calaveras River pump station has an Allen-Bradley Programmable Logic Controller (PLC) for control and monitoring. The existing PLC system will remain in place. Any new control and status interface for switchgear, VFD, vibration monitoring, etc. will be connected to the existing PLC system. The Project will be located in southeast Bexar County, Texas and is located at the Calaveras Braunig River Pumping Station on the San Antonio River behind the Braunig Lake Dam. The Project will include complete design, procurement, construction, check-out and startup of the VFD system and its associated equipment. Respondent shall design, engineer, furnish, deliver and unload materials; store, protect, and remove materials from storage; demolish existing materials, as needed; install, support startup/commissioning, and test the VFD system and auxiliary systems required. CPS Energy has engaged Black & Veatch as CPS Energy s Engineer to develop the design concepts and technical requirements, to facilitate evaluation of the RFQ Submittals, and to assist in administering any awarded contract. II. QUALIFICATION FORMAT & SUBMITTAL A. PROPRIETARY DATA IN QUALIFICATION All materials submitted to CPS Energy are subject to the Texas Public Information Act upon receipt. If a Respondent does not want proprietary information to be disclosed, each page containing proprietary information must be identified and marked Proprietary at the time of submittal. CPS Energy will, to the extent allowed by law, endeavor to protect such information from disclosure. The final decision as to what information must be disclosed, however, shall be determined by the Attorney General of Texas. Failure to properly identify proprietary information may result in all unmarked pages being deemed non-proprietary at CPS Energy s discretion and therefore made available to the public upon request. CPS Energy endeavors to not publicly disclose the contents of any Qualification Submittals during negotiations. B. QUALIFICATION FORMAT Respondent must submit a text-searchable PDF (portable document format, non-zipped) of the Qualification Submittal together with supporting documentation and information requirements to the address specified in Section I(D) on or before the RFQ response deadline identified in Section I(C). 6 All electronic (soft) copies shall be provided in Adobe portable document format (pdf) that is text searchable, reproduced directly from the native document (i.e. Word, Excel, MicroStation, AutoCAD). Scanned images and documents will be considered irregular and may be rejected at the sole discretion of CPS Energy. The table of contents and the file naming convention shall mirror each other. Please do not submit any single containing more than 40MB of data. If the Qualification Submittal and supporting documentation contains more than 40MB of data, please contact the Procurement Analyst identified herein. CPS Energy cannot accept zipped files. C. QUALIFICATION SUBMISSION REQUIREMENTS Each Respondent 1 shall submit with its Qualification the following information, organized in the following manner, for CPS Energy s use in evaluating the Qualification Submittals and Respondent s ability to satisfactorily perform the D/B Services. Qualification Submittals not meeting these minimum qualifications are subject to rejection. 1. Table of Contents. A table of contents of all sections, figures, exhibits and tables of the Qualification Submittal, all of which must be bookmarked (or tabbed) on the PDF of the submitted Qualification Submittal. 2. Executive Summary or Cover Letter. a. A brief executive summary of the major facts or features of the Qualification Submittal, including any conclusions, assumptions, and recommendations the Respondent desires to make. b. The name of the person(s) authorized to make representations on behalf of the Respondent (including, for each person, their title, address, fax number, address and telephone numbers). 3. Experience, Qualifications & References. a. Respondent must demonstrate it has designed at least (3) medium voltage VFD, electrical, structural, mechanical and civil systems of similar size. b. Describe experience for each firm, limited to the role they will perform on this Project. Provide details for a minimum of three (3) projects each firm, including, but not limited to the following: i. Scope of work ii. Unit size iii. Year project completed iv. If the Respondent s Qualification includes multiple firms/parties (e.g., designer, construction firm, or construction manager), provide the following information relating to each proposed participating member: (i) company name, (ii) business address, (iii) telephone number, (iv) year company was established, (v) ownership of company, (vi) roles and responsibilities relating to the Project and (vii) a description of participation in the Project. Identify whether the team will be structured as a corporation, limited-liability company, general partnership, joint venture, limited partnership, or other form of organization. c. Provide an organizational chart that shows the reporting relationships between firms (design, construction, or construction manager), as well as between the functional groups (VFD design, VFD procurement field procurement). d. List prior projects where the proposed firms/parties have worked together. e. Information regarding Respondent s resources and current backlog (or committed projects) for each firm/party. 5. Key Team Members. a. Provide information regarding all key personnel to perform the D/B Services ( Key Team Members ), including: Identify and submit resumes for all primary Key Team Members; Identify current commitments; Highlight specific strengths for each Key Team Member Proposed function (role) on the Project; and Relevant experience, individually and collectively, in areas such as, but not limited to, design/construction of electric utility VFD upgrade/new projects located in the United States. b. Key Team Member personnel include the Project Manager, Project Superintendent, Design/Engineering Manager, and Lead Design Engineers. c. Information regarding any alternatives to Key Team Members. 6. Financial Strength. a. A statement of Respondent s financial strength, including whether it has been profitable for each of the prior three (3) fiscal years, and whether the current year-to-date is profitable. A copy of Respondent s last three fiscal year s financial statements (audited preferred), and the most recent quarter s financial statements. Financial statements should include the balance sheet, income statement, cash flow statement, statement of shareholder equity, comprehensive income, and all related notes. CPS Energy reserves the right to include financial information obtained from Dun & Bradstreet and similar financial information providers in its analysis of Respondent s financial strength. 9 7. Citations. A list of any citations, notices of violation, legal proceedings, or project terminations that any Federal, State, local regulatory agency or department, corporation, or individual has issued to or against the Respondent, or any employee of the Respondent while that employee was performing D/B Services for the Respondent, during the past three (3) years ( Citations ). For each Citation, state the nature of the Citation and the date of its resolution, together with the contact person for the Respondent who could address any questions about the matter. If there are no Citations, Respondent shall provide such a statement. 8. Surety Bonds, Insurance and Licenses. a. Provide evidence from a surety or an insurance company indicating that the Respondent is capable of obtaining a Performance Bond and Payment Bond in an amount of the projected contract price. The requirement to demonstrate bonding capacity is solely for the purpose of establishing pre-qualification standards for the bonding capability of the Respondent. The evidence regarding bonding capacity, should take the form of a letter from a surety or insurance company indicating that such capacity exists for the Respondent. Letters indicating unlimited bonding capability are not acceptable. If the Respondent cannot meet these limits, it must indicate the maximum amount that can be obtained. The surety or insurance company providing such letter must be licensed and qualified to operate in the State of Texas, be listed with the U.S. Department of Treasury Federal Register, and maintain a rating of at least AVIII (excellent) in the current Best s Key Rating Guide. The letter must specifically state that the surety or insurance company has evaluated the Respondent s backlog and work-in-progress in determining its bonding capacity and the letter must expressly identify the Respondent s amount of current backlog and currently utilized bonding capacity. Bonding requirements will be further addressed in the RFP. b. Provide a statement listing the names of all surety companies utilized by the Respondent and Team Members (and all financially liable entities) in the last five (5) years. State whether a surety had to complete any part of the Respondent s work during the past five (5) years. 9. Safety. c. Provide a list of Texas licenses and certificates held by the Team members, and include a statement that all other licenses and certificates required for performance of the D/B Services will be obtained prior to award. a. Provide Respondent s safety information for each Team member for the most recent three (3) years as follows: i. An annual statement of worker s compensation Experience Modification Rating (EMR) (preferably on National Council on Compensation Insurance (NCCI) letterhead). Respondents with an EMR > 1.3 may be disqualified. Request For Qualifications 8

10 Respondents with an EMR > 1.3 should explain in detail any extenuating circumstances. ii. The OSHA Recordable Injury Rates (RIR) and the U.S. Bureau of Labor Statistics (BLS) SIC Code RIR average for the industry. iii. The OSHA citation history. Respondents with willful OSHA citations may be disqualified. All willful OSHA citations must be explained in detail. iv. The OSHA 300 & 300 (A) injury / illness logs. b. Provide Respondent s strategy regarding sub-contractor safety qualifications. 10. Other. Any other information or documentation Respondent would like for CPS Energy to review and take into consideration when evaluating the Qualification. D. TAXES CPS Energy, a municipally owned electric and gas utility, is a TAX-EXEMPT ORGANIZATION. CPS Energy is exempt from certain sales and use taxes with respect to the purchase price of materials, supplies, equipment and consumables purchased under a separate contract. CPS Energy will provide a Sales Tax-Exemption Certificate upon request. III. EVALUATION AND SELECTION CRITERIA A. REVIEW OF QUALIFICATIONS CPS Energy may conduct investigations, as deemed necessary, to assist in the evaluation of any RFQ Submittal and to establish the responsibility, qualifications, and financial ability of the Respondent, proposed subcontractors, and other persons and organizations who may perform the D/B Services. The Respondent shall furnish, upon request and in a timely manner, all such data and information requested for this purpose. This RFQ does not commit CPS Energy to enter into a contract or proceed with the procurement of D/B Services. CPS Energy intends to evaluate the submitted Qualification Submittals and select no more than five (5) Respondents deemed most qualified to submit a response to a RFP. CPS Energy will then solicit RFP Proposals from the short-listed Respondents. Once a Respondent has been short-listed, no changes in the Team Members will be allowed. B. LOCAL CONDITIONS AND SUFFICIENCY OF DOCUMENTS It will not be necessary for Respondent to perform any design work in connection with the Qualification Submittals. Submittals responsive to the RFQ will entail some design work Request For Qualifications 9

11 sufficient to enable a lump-sum price, target price or other (CPS Energy-approved) alternative compensation method to be provided by the short-listed Respondents. By submitting a Qualification Submittal, Respondent understands and agrees that, by the Qualification Submittal due date, all local conditions and factors affecting Respondent s Qualification Submittal will have been properly investigated and accounted for in the Qualification Submittal. No adjustments to Respondent s Submittal shall be permitted after submittal based on the lack of prior information or its effect on the cost (fees, expenses or otherwise) relating to the D/B Services. CPS Energy makes no warranty, expressed or implied, with respect to the accuracy or sufficiency of the proposed contract and relating documents or any interpretation of any facts disclosed by any preliminary investigations that may have been made by CPS Energy. C. ACCEPTANCE AND REJECTION OF QUALIFICATIONS CPS Energy may or may not issue a RFP after analysis and evaluation of the Qualification Submittals. CPS Energy reserves the right to reject any and all Qualification Submittals, to waive minor formalities and irregularities, and to evaluate the Qualification Submittals to determine which, in CPS Energy s sole judgment, represents the best value for the D/B Services requested. D. BOARD OF TRUSTEES While preliminary selection, due diligence and even detailed negotiations and other processes could transpire to ensure critical progress is made, any action taken to award a contract by CPS Energy will be subject to approval by the CPS Energy Board of Trustees and will not be final until such approval process has been completed. No payment can be made for action taken or D/B Services started prior to the execution of a contract by both parties. Request For Qualifications 10
