1 SYMANTEC SOFTWARE LICENSE AGREEMENT SYMANTEC CORPORATION AND/OR ITS AFFILIATES ( SYMANTEC ) IS WILLING TO LICENSE THE LICENSED SOFTWARE TO YOU AS THE INDIVIDUAL, THE COMPANY, OR THE LEGAL ENTITY THAT WILL BE UTILIZING THE LICENSED SOFTWARE (REFERENCED BELOW AS YOU OR YOUR OR CLIENT ) ONLY ON THE CONDITION THAT YOU ACCEPT ALL OF THE TERMS OF THIS LICENSE AGREEMENT ( LICENSE AGREEMENT ). READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE USING THE LICENSED SOFTWARE. THIS IS A LEGAL AND ENFORCEABLE CONTRACT BETWEEN YOU AND SYMANTEC. BY OPENING THE LICENSED SOFTWARE PACKAGE, BREAKING THE LICENSED SOFTWARE SEAL, CLICKING THE I AGREE OR YES BUTTON, OR OTHERWISE INDICATING ASSENT ELECTRONICALLY, OR LOADING THE LICENSED SOFTWARE OR OTHERWISE USING THE LICENSED SOFTWARE, YOU AGREE TO THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, CLICK THE I DO NOT AGREE OR NO BUTTON OR OTHERWISE INDICATE REFUSAL AND MAKE NO FURTHER USE OF THE LICENSED SOFTWARE. UNLESS OTHERWISE DEFINED HEREIN, CAPITALIZED TERMS WILL HAVE THE MEANING GIVEN IN THE DEFINITIONS SECTION OF THIS LICENSE AGREEMENT AND SUCH CAPITALIZED TERMS MAY BE USED IN THE SINGULAR OR IN THE PLURAL, AS THE CONTEXT REQUIRES. 1. DEFINITIONS. Content Updates means content used by certain Symantec products which is updated from time to time, including but not limited to: updated anti-spyware definitions for anti-spyware products; updated antispam rules for antispam products; updated virus definitions for antivirus and crimeware products; updated URL lists for content filtering and antiphishing products; updated firewall rules for firewall products; updated intrusion detection data for intrusion detection products; updated lists of authenticated web pages for website authentication products; updated policy compliance rules for policy compliance products; and updated vulnerability signatures for vulnerability assessment products. Documentation means the user documentation Symantec provides with the Licensed Software. Hardware means the physical computer upon which the Licensed Software is installed. Products or Product refers to Software and Hardware, collectively and individually. License Instrument means one or more of the following applicable documents which further defines Your license rights to the Licensed Software: a Symantec license certificate or a similar license document issued by Symantec, a written agreement between You and Symantec, that accompanies, precedes or follows this License Agreement, or a purchase order or other ordering document accepted by Symantec. Licensed Software means the Symantec software product, in object code form, accompanying this License Agreement, including any Documentation included in, or provided for use with, such software or that accompanies this License Agreement. Licensed Software does not include any third party applications which may be pre-installed on Hardware delivered with the Licensed Software; such third party applications are licensed separately under the terms of the end user license agreements which accompany such software. Maintenance/Support Maintenance and Support,means technical support purchased for Products which is provided and performed in accordance with Symantec s then-current standard applicable Maintenance/Support terms for such products and, if applicable, an additional Support Certificate issued by Symantec. Support Certificate means the certificate sent by Symantec, if any, confirming Your purchase of the applicable Symantec maintenance/support for the Licensed Software. Upgrade means any version of the Licensed Software that has been released to the public and which replaces the prior version of the Licensed Software on Symantec s price list pursuant to Symantec s then-current upgrade policies. Use Level means the license use meter or model (which may include operating system, hardware system, application or machine tier limitations, if applicable) by which Symantec measures, prices and licenses the right to use the Licensed Software, in effect at the time an order is placed for such Licensed Software, as indicated in this License Agreement and the applicable License Instrument. 2. LICENSE GRANT. Subject to Your compliance with the terms and conditions of this License Agreement, Symantec grants to You the following rights: (i) a non-exclusive, non-transferable (except as stated otherwise in Section 17.1) license to use the Licensed Software solely in support of Your internal business operations in the quantities and at the Use Levels described in this License Agreement and the applicable License Instrument; and (ii) the right to make a single uninstalled copy of the Licensed Software for archival purposes which You may use and install for disaster-recovery purposes (i.e. where the primary installation of the Licensed Software becomes unavailable for use). 2.1 TERM. The term of the Licensed Software license granted under this License Agreement shall be perpetual (subject to Section 14) unless stated otherwise in Section 17 or unless You have obtained the Licensed Software on a non-perpetual basis, such as, under a subscription or term-based license for the period of time indicated on the applicable License Instrument. If You have obtained the Licensed Software on a non-perpetual basis, Your rights to use such Licensed Software shall end on the applicable end date as indicated on the applicable License Instrument and You shall cease use of the Licensed Software as of such applicable end date. 3. LICENSE RESTRICTIONS. You may not, without Symantec s prior written consent, conduct, cause or permit the: (i) use, copying, modification, rental, lease, sublease, sublicense, or transfer of the Licensed Software except as expressly provided in this License Agreement; (ii) creation of any derivative works based on the Licensed Software; (iii) reverse engineering, disassembly, or decompiling of the Licensed Software (except that You may decompile the Licensed Software for the purposes of interoperability only to the extent permitted by and subject to strict compliance under applicable law); (iv) use of the Licensed Software in connection with service bureau, facility management, timeshare, service provider or like activity whereby You operate or use the Licensed Software

2 for the benefit of a third party; (v) use of the Licensed Software by any party other than You; (vi) use of a later version of the Licensed Software other than the version that accompanies this License Agreement unless You have separately acquired the right to use such later version through a License Instrument or Support Certificate; nor (vii) use of the Licensed Software above the quantity and Use Level that have been licensed to You under this License Agreement or the applicable License Instrument. 4. OWNERSHIP/TITLE. The Licensed Software is the proprietary property of Symantec or its licensors and is protected by copyright law. Symantec and its licensors retain any and all rights, title and interest in and to the Licensed Software, including in all copies, improvements, enhancements, modifications and derivative works of the Licensed Software. Your rights to use the Licensed Software shall be limited to those expressly granted in this License Agreement. All rights not expressly granted to You are retained by Symantec and/or its licensors. 5. CONTENT UPDATES. If You purchase a Symantec maintenance/support offering consisting of or including Content Updates, as indicated on Your Support Certificate, You are granted the right to use, as part of the Licensed Software, such Content Updates as and when they are made generally available to Symantec s end user customers who have purchased such maintenance/support offering and for such period of time as indicated on the face of the applicable Support Certificate. This License Agreement does not otherwise permit You to obtain and use Content Updates. 6. UPGRADES/CROSS-GRADES. Symantec reserves the right to require that any upgrades (if any) of the Licensed Software may only be obtained in a quantity equal to the number indicated on the applicable License Instrument. An upgrade to an existing license shall not be deemed to increase the number of licenses which You are authorized to use. Additionally, if You upgrade a Licensed Software license, or purchase a Licensed Software license listed on the applicable License Instrument to cross-grade an existing license (i.e. to increase its functionality, and/or transfer it to a new operating system, hardware tier or licensing meter), then Symantec issues the applicable Licensed Instrument based on the understanding that You agree to cease using the original license. Any such license upgrade or cross-grade is provided under Symantec's policies in effect at the time of order. This License Agreement does not separately license You for additional licenses beyond those which You have purchased, and which have been authorized by Symantec as indicated on the applicable License Instrument. 7. LIMITED WARRANTY MEDIA WARRANTY. If Symantec provides the Licensed Software to You on tangible media, Symantec warrants that the magnetic media upon which the Licensed Software is recorded will not be defective under normal use, for a period of ninety (90) days from delivery. Symantec will replace any defective media returned to Symantec within the warranty period at no charge to You. The above warranty is inapplicable in the event the Licensed Software media becomes defective due to unauthorized use of the Licensed Software. THE FOREGOING IS YOUR SOLE AND EXCLUSIVE REMEDY FOR SYMANTEC S BREACH OF THIS WARRANTY PERFORMANCE WARRANTY. Symantec warrants that the Licensed Software, as delivered by Symantec and when used in accordance with the Documentation, will substantially conform to the Documentation for a period of ninety (90) days from delivery. If the Licensed Software does not comply with this warranty and such non-compliance is reported by You to Symantec within the ninety (90) day warranty period, Symantec will do one of the following, selected at Symantec s reasonable discretion: either (i) repair the Licensed Software, (ii) replace the Licensed Software with software of substantially the same functionality, or (iii) terminate this License Agreement and refund the relevant license fees paid for such non-compliant Licensed Software. The above warranty specifically excludes defects resulting from accident, abuse, unauthorized repair, modifications or enhancements, or misapplication. THE FOREGOING IS YOUR SOLE AND EXCLUSIVE REMEDY FOR SYMANTEC S BREACH OF THIS WARRANTY. 7.3 SUPPORT WARRANTY. The following applies only in the absence of a separate Support Certificate (with included support warranty) issued by Symantec: Symantec warrants, for a period of thirty (30) days from the date of performance of Maintenance/Support, that such Maintenance/Support will be performed with reasonable care and skill. For Maintenance/Support not performed as warranted in this provision, and provided Client has reported such nonconformance to Symantec within thirty (30) days of performance of such non-conforming Maintenance/Support, Symantec will, at its discretion, either correct any nonconforming Maintenance/Support or refund the relevant fees paid for the nonconforming Maintenance/Support. THE FOREGOING IS YOUR SOLE AND EXCLUSIVE REMEDY FOR SYMANTEC S BREACH OF THIS WARRANTY. 8. WARRANTY DISCLAIMERS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WARRANTIES SET FORTH IN SECTION 8 ARE YOUR EXCLUSIVE WARRANTIES AND ARE IN LIEU OF ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS. SYMANTEC MAKES NO WARRANTIES OR REPRESENTATIONS THAT THE LICENSED SOFTWARE, CONTENT UPDATES OR UPGRADES WILL MEET YOUR REQUIREMENTS OR THAT OPERATION OR USE OF THE LICENSED SOFTWARE, CONTENT UPDATES, AND UPGRADES WILL BE UNINTERRUPTED OR ERROR-FREE. YOU MAY HAVE OTHER WARRANTY RIGHTS, WHICH MAY VARY FROM STATE TO STATE AND COUNTRY TO COUNTRY. 9. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND REGARDLESS OF WHETHER ANY REMEDY SET FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE, IN NO EVENT WILL SYMANTEC OR ITS LICENSORS, RESELLERS, SUPPLIERS OR AGENTS BE LIABLE TO YOU FOR (i) ANY COSTS OF PROCUREMENT OF SUBSTITUTE OR REPLACEMENT GOODS AND SERVICES, LOSS OF PROFITS, LOSS OF USE, LOSS OF OR CORRUPTION TO DATA, BUSINESS INTERRUPTION, LOSS OF PRODUCTION, LOSS OF REVENUES, LOSS OF CONTRACTS, LOSS OF GOODWILL, OR ANTICIPATED SAVINGS OR WASTED MANAGEMENT AND STAFF TIME; OR (ii) ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES WHETHER ARISING DIRECTLY OR INDIRECTLY OUT OF THIS LICENSE AGREEMENT, EVEN IF SYMANTEC OR ITS LICENSORS, RESELLERS, SUPPLIERS OR AGENTS HAS BEEN ADVISED SUCH DAMAGES MIGHT OCCUR. IN NO CASE SHALL SYMANTEC S LIABILITY EXCEED THE FEES YOU PAID

3 FOR THE LICENSED SOFTWARE AND/OR MAINTENANCE/SUPPORT GIVING RISE TO THE CLAIM. NOTHING IN THIS AGREEMENT SHALL OPERATE SO AS TO EXCLUDE OR LIMIT SYMANTEC S LIABILITY TO YOU FOR DEATH OR PERSONAL INJURY ARISING OUT OF NEGLIGENCE OR FOR ANY OTHER LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED BY LAW. THE DISCLAIMERS AND LIMITATIONS SET FORTH ABOVE WILL APPLY REGARDLESS OF WHETHER OR NOT YOU ACCEPT THE LICENSED SOFTWARE, CONTENT UPDATES OR UPGRADES. 10. MAINTENANCE/SUPPORT. Maintenance and support purchased for Products is provided and performed in accordance with Symantec s then-current standard applicable Maintenance/Support terms for such products and, if applicable, an additional Support Certificate issued by Symantec. 11. SOFTWARE EVALUATION. If the Licensed Software is provided to You for evaluation purposes and You have an evaluation agreement with Symantec for the Licensed Software, Your rights to evaluate the Licensed Software will be pursuant to the terms of such evaluation agreement. If You do not have an evaluation agreement with Symantec for the Licensed Software and if You are provided the Licensed Software for evaluation purposes, the following terms and conditions shall apply. Symantec grants to You a nonexclusive, temporary, royalty-free, non-assignable license to use the Licensed Software solely for internal production evaluation. Such evaluation license shall terminate (i) on the end date of the pre-determined evaluation period, if an evaluation period is pre-determined in the Licensed Software or (ii) sixty (60) days from the date of Your initial installation of the Licensed Software, if no such evaluation period is pre-determined in the Licensed Software ( Evaluation Period ). The Licensed Software may not be transferred and is provided AS IS without warranty of any kind. You are solely responsible to take appropriate measures to back up Your system and take other measures to prevent any loss of files or data. The Licensed Software may contain an automatic disabling mechanism that prevents its use after a certain period of time. Upon expiration of the Licensed Software Evaluation Period, You will cease use of the Licensed Software and destroy all copies of the Licensed Software. All other terms and conditions of this License Agreement shall otherwise apply to Your evaluation of the Licensed Software as permitted herein. 12. U.S. GOVERNMENT RESTRICTED RIGHTS. The Licensed Software is deemed to be commercial computer software as defined in FAR and subject to restricted rights as defined in FAR Section "Commercial Computer Licensed Software -Restricted Rights" and DFARS , Rights in Commercial Computer Licensed Software or Commercial Computer Licensed Software Documentation, as applicable, and any successor regulations. Any use, modification, reproduction release, performance, display or disclosure of the Licensed Software by the U.S. Government shall be solely in accordance with the terms of this License Agreement. 13. EXPORT REGULATION. You acknowledge that the Licensed Software and related technical data and services (collectively "Controlled Technology") are subject to the import and export laws of the United States, specifically the U.S. Export Administration Regulations (EAR), and the laws of any country where Controlled Technology is imported or re-exported. You agree to comply with all relevant laws and will not export any Controlled Technology in contravention to U.S. law nor to any prohibited country, entity, or person for which an export license or other governmental approval is required. All Symantec products, including the Controlled Technology are prohibited for export or re-export to Cuba, North Korea, Iran, Syria and Sudan and to any country subject to relevant trade sanctions. You hereby agree that You will not export or sell any Controlled Technology for use in connection with chemical, biological, or nuclear weapons, or missiles, drones or space launch vehicles capable of delivering such weapons. 14. TERMINATION. This License Agreement shall terminate upon Your breach of any term contained herein. Upon termination, You shall immediately stop using and destroy all copies of the Licensed Software. 15. SURVIVAL. The following provisions of this License Agreement survive termination of this License Agreement: Definitions, License Restrictions and any other restrictions on use of intellectual property, Ownership/Title, Warranty Disclaimers, Limitation of Liability, U.S. Government Restricted Rights, Export Regulation, Survival, and General. 16. GENERAL ASSIGNMENT. You may not assign the rights granted hereunder or this License Agreement, in whole or in part and whether by operation of contract, law or otherwise, without Symantec s prior express written consent COMPLIANCE WITH APPLICABLE LAW. You are solely responsible for Your compliance with, and You agree to comply with, all applicable laws, rules, and regulations in connection with Your use of the Licensed Software AUDIT. An auditor, selected by Symantec and reasonably acceptable to You, may, upon reasonable notice and during normal business hours, but not more often than once each year, inspect Your records and deployment in order to confirm that Your use of the Licensed Software complies with this License Agreement and the applicable License Instrument. Symantec shall bear the costs of any such audit, except where the audit demonstrates that the Manufacturer s Suggested Reseller Price (MSRP) value of Your non-compliant usage exceeds five percent (5%) of the MSRP value of Your compliant deployments. In such case, in addition to purchasing appropriate licenses for any over-deployed Licensed Software, You shall reimburse Symantec for the auditor s reasonable actual fees for such audit GOVERNING LAW; SEVERABILITY; WAIVER. If You are located in North America or Latin America, this License Agreement will be governed by the laws of the State of California, United States of America. If You are located in China, this License Agreement will be governed by the laws of the Peoples Republic of China. Otherwise, this License Agreement will be governed by the laws of England. Such governing laws are exclusive of any provisions of the United Nations Convention on Contracts for Sale of Goods, including any amendments thereto, and without regard to principles of conflicts of law. If any provision of this License Agreement is found partly or wholly illegal or unenforceable, such provision shall be enforced to the maximum extent permissible, and remaining provisions of this License Agreement shall remain in full force and effect. A waiver of any breach or default under this License Agreement shall not constitute a waiver of any other subsequent breach or default THIRD PARTY PROGRAMS. This Licensed Software may contain third party software programs ( Third Party Programs ) that are available under open source or free software licenses. This License Agreement does not alter any rights or obligations You

4 may have under those open source or free software licenses. Notwithstanding anything to the contrary contained in such licenses, the disclaimer of warranties and the limitation of liability provisions in this License Agreement shall apply to such Third Party Programs CUSTOMER SERVICE. This License Agreement and any related License Instrument are the complete and exclusive agreement between You and Symantec relating to the Licensed Software and supersede any previous or contemporaneous oral or written communications, proposals, and representations with respect to its subject matter. This License Agreement prevails over any conflicting or additional terms of any purchase order, ordering document, acknowledgement or confirmation or other document issued by You, even if signed and returned. This License Agreement may only be modified by a License Instrument that accompanies or follows this License Agreement. 17. ADDITIONAL TERMS AND CONDITIONS. Your use of the Licensed Software is subject to the terms and conditions below in addition to those stated above ADDITIONAL DEFINITIONS Audio Hours means the maximum number of hours of audio content to be processed (e.g. converted into.pat files) or indexed by the Licensed Software and available for search within the Clearwell ediscovery Platform at a single point in time. If data is deleted from processing/indexing and such files are no longer available for search within the Clearwell ediscovery Platform, such removed or deleted data will not be counted in the determination of your then-current number of Audio Hours Cold Disaster Recovery Equipment means a server and/or processor or device on which the Licensed Software may be installed and configured under a Cold Disaster Recovery License, and which is not production use servicing transactions or requiring workloads during periods of Your normal internal business operations Disaster means an unforeseen occurrence causing the operation of the applicable systems on which the Licensed Software is used for Production Use, or the Licensed Software installed on such systems, to be substantially impaired or prevented, which occurrence may include but is not limited to fires, earthquakes, floods and computer viruses Failover Readiness Testing means testing of the procedures for transferring Your production operation from one server to another Gigabyte(s) means the total aggregate amount of uncompressed data storage capacity and/or computer memory that is managed by the Licensed Software. One Gigabyte is equal to 1,024 megabytes of data Production Use means any functional operation of the Licensed Software in support of Your normal business operations (such as normal productive use and pre-production testing other than Failover Readiness Testing) Server means a standalone system or an individual computer acting as a service or resource provider to client computers by sharing the resources within the network infrastructure. A Server can run server software for other computers or devices Terabyte means the total aggregate amount of uncompressed data storage capacity and/or computer memory that is managed by the software. One Terabyte is equal to 1,024 Gigabytes of data Testing Day means a period of twenty-four (24) consecutive hours, or any lesser portion of such twenty-four (24) hour period User means a named individual for whom a legal hold notice is sent or for whom data is identified, held or collected by the Licensed Software. User data sources that are collected from can include desktops and laptops, servers, file shares, and other servers that are shared across multiple Users ADDITIONAL USE RIGHTS AND LIMITATIONS Licensed Software Modules Clearwell Pre-Processing, Processing & Analysis and Review Modules: If the License Instrument indicates that You have received a license for any of the following: Clearwell Pre-Processing, Processing & Analysis and Review module ( PPAR ), the Clearwell Pre-Processing, Processing & Analysis module ( PPA ), the Clearwell Pre-Processing Module, or the Clearwell Review Module, You may use the Licensed Software for up to the number of Gigabytes or Terabytes of uncompressed data processed, analyzed and revised in active cases as indicated on Your License Instrument. In addition, unless Your License Instrument indicates You have purchased the Single Use Option, You may delete or archive existing cases in order to reuse processing and analysis capacity for new cases, as long as the total data processed, analyzed and reviewed concurrently does not exceed the number of Gigabytes or Terabytes licensed as indicated on Your License Instrument. If Your License Instrument indicates You have purchased the Single Use Option, You may not delete or archive existing cases in order to reuse processing and analysis capacity for new cases and each case, once processed, counts toward the overall number of Gigabytes or Terabytes licensed as indicated on Your License Instrument. If You license more than one Module, Your license for each Module must be for the same amount of Gigabytes or Terabytes. If Your license is a subscription based license, Your use is limited to the term specified in the License Instrument Identification & Collection Module. If the License Instrument indicates that You have received a license for the Clearwell Identification and Collection Module, You may use the Licensed Software for the number of Users as indicated on Your License Instrument. You may collect data from an unlimited number of different data sources per User, subject to the scope of Your data connector license(s). You are not limited on the amount of data that can be identified and collected across the total licensed number

5 of Users. If You are no longer actively identifying and collecting data for a User, You may replace that User with another User for the purposes of determining the number of Users for whom You are using the Clearwell Identification and Collection Module. Data connectors for desktops, laptops, Microsoft Exchange Server, IBM Lotus Domino Server, Symantec Enterprise Vault and file shares are included in the license and governed by the terms of this Agreement. You must pay additional fees for other data connectors. If Your license is a subscription based license, Your use is limited to the term specified in the License Instrument Legal Hold Module. If the License Instrument indicates that You have received a license for the Clearwell Legal Hold Module, You may use the Licensed Software for the number of Users as indicated on Your License Instrument. You may provide an unlimited number of notices to each individual User. If a User is no longer on an active legal hold, You may replace that User with another User for the purposes of determining the number of Users for whom You are using the Legal Hold Module. If Your license is a subscription based license, Your use is limited to the term specified in the License Instrument Data Connectors. If the License Instrument indicates that You have received a license for a specific data connector, not otherwise included in the Clearwell Identification and Collection Module, this Agreement shall govern the use of such data connector. You may only use the number of data connectors as specified in the License Instrument PLATFORM REQUIREMENTS. As indicated in the License Instrument, the Products may be delivered to and deployed by You as the Clearwell ediscovery Software Platform, or the Clearwell ediscovery Hardware Platform Clearwell ediscovery Software Platform: If the License Instrument indicates delivery as the Clearwell ediscovery Software Platform, You are responsible for procuring Your own hardware and Your use of the Licensed Software shall be limited to use on one Server at a time, even if You transfer from one Server to another. The Clearwell E-VMware Image is a VMware Image that provides a run-time image of the Licensed Software for VMware vsphere product. You are responsible for procuring and providing all third party hardware or software and associated support and maintenance, including without limitation for VMware s vsphere product Clearwell ediscovery Hardware Platform: If the License Instrument indicates delivery as the Clearwell ediscovery Hardware Platform, the Licensed Software is delivered pre-installed on the hardware equipment ( Hardware ). You may only use the Licensed Software as pre-installed by Clearwell on the Hardware and You may not uninstall, copy or transfer the Licensed Software to any other media or equipment. An annual Hardware support and maintenance fee is incurred with this delivery method. Notwithstanding the above, You may uninstall the Licensed Software from the Hardware and transfer the Licensed Software to another hardware system that You have purchased from Symantec, or from a third party, provided that such hardware system complies with Symantec s published requirements to support the Licensed Software, and as enabled through Symantec s then-current administrative processes and policies for license transfer USE LEVEL/LICENSE FOR HARDWARE. If You have purchased the Licensed Software pre-installed on Hardware, the Licensed Software is licensed for use by You only in support of, or in conjunction with, the Hardware at the Use Levels as described on the applicable License Instrument. For any Licensed Software embedded in the Hardware, You have the right to use such Licensed Software only to the extent of supporting the applicable Hardware unit, including the original processors included therein, that You have purchased from Symantec. You may not transfer such Licensed Software to any other hardware, or use the Licensed Software for any additional hardware or equipment, except as authorized by Symantec. For any Licensed Software included with the Hardware to be installed on separate computers or devices, You have the right to use such Licensed Software only in support of and in conjunction with the Hardware and subject to any limitations as provided in this License Agreement EVALUATION AND LOANER UNITS. The following section will replace Section 11, Evaluation, above and govern Your use of any Evaluation or Loaner Units, as defined in this section Symantec may provide Product(s) to You designated either for evaluation purpose (each, an Evaluation Unit ) or short term loan (each, a Loaner Unit ), as indicated by Symantec in writing. Your rights to use the applicable Evaluation Unit or Loaner Unit will be pursuant to the terms of Your executed evaluation or loan agreement. If You do not have such an agreement with Symantec, the following terms and conditions shall apply to the Evaluation Unit(s) and/or Loaner Unit(s): Symantec grants to You a non-exclusive, temporary, royalty-free, non-assignable license to use any Evaluation Units and Loaner Units only for the period of time ( Limited Term ), and for the use level enabled by the license key(s) provided by Symantec. Evaluation Units are provided to allow You to evaluate the features and functionality of the Licensed Software to determine whether You will purchase a longer-term license to use the Product Software in Your production environment and may not be used to process live data or be used in a production environment during the Limited Term. There is no acquisition charge for Loaner Unit(s) during the Limited Term. Loaner Units may be provided as a convenience to customers who have already purchased a license for the Licensed Software contained on the Loaner Unit, and Your use of the Loaner Unit is limited to the same capacity and/or usage restrictions as apply to Your purchased license of the Licensed Software. For example, if You purchase a license for the Clearwell Legal Hold Module for 10 Users, and You receive a Loaner Unit, Your use of the Loaner Unit is limited to 10 Users. For service providers, this includes applicable consumption-related reporting and fees which also apply. Also, during the Limited Term, You will not cause or permit Evaluation Unit(s) and/or Loaner Unit(s) to be moved from their original installation location without Symantec s prior written consent. Maintenance/Support is not included with Evaluation Unit(s) or Loaner Unit(s) under this Agreement; any assistance that Symantec may elect to provide hereunder is on an as-available, reasonable efforts basis without obligation. Maintenance/Support for Loaners for the Limited Term may be acquired by entering into a manually signed Loaner Agreement with Symantec. After expiration of the Limited Term, You must return Evaluation Unit(s) and/or Loaner Unit(s) promptly, and in their original received condition (absent reasonable wear and tear) to Symantec, at Your expense. If You do not return such items in a timely manner, then You agree Symantec may invoice You Symantec s then-standard rates for each applicable Evaluation Unit or Loaner Unit, which shall be payable on terms net-30 from date of Symantec invoice. You also agree Symantec may invoice You on the same terms, for the replacement costs of any lost or damaged components of Evaluation Unit(s) and/or Loaner Unit(s). The Licensed Software may contain an automatic disabling mechanism that prevents its use after a certain period of time. Loaner Unit(s) and/or Evaluation Unit(s) are provided AS IS and with no warranty of any kind. You are solely responsible to take appropriate measures to back up Your system and take other measures to prevent any loss of files or data.

6 17.5 AMENDED LICENSE GRANT. Section 2 of this License Agreement is hereby deleted in its entirety and replaced with the following: 2. LICENSE GRANT. Subject to Your compliance with the terms and conditions of this License Agreement, Symantec grants to You the following non-exclusive, non-transferable (except as stated otherwise in Section 17.1) license rights: a. You may use the Licensed Software solely in support of Your internal business operations in the quantities and at the Use Levels described in this License Agreement and the applicable License Instrument. b. Provided that You have a currently effective Maintenance/Support contract for the Licensed Software, You may install the Licensed Software on Your Cold Disaster Recovery Equipment and (i) You may use such Licensed Software for Failover Readiness Testing purposes for up to a cumulative total of thirty (30) Testing Days in any twelve (12) month period, which use may be concurrent with Your authorized Production Use of the Licensed Software under Section 2(a), and (ii) in the event of a Disaster, You may use such Licensed Software for Production Use at the Use Levels described in this License Agreement and the applicable License Instrument, for a period of up to ninety (90) consecutive calendar days, provided however, that such use may not be concurrent with Your regular Production Use of the Licensed Software under Section 2(a) and does not increase Your total number of licenses to the Licensed Software beyond those which You have purchased and which have been authorized by Symantec as indicated on the applicable License Instrument. The Licensed Software installed on Your Cold Disaster Recovery Equipment and used pursuant to the rights set forth in this subparagraph must be the same version of the Licensed Software You use for Your regular Production Use. In addition, the rights set forth in this subparagraph will automatically terminate in the event that You do not have a valid Maintenance/Support contract in effect for the Licensed Software. c. You may make a single uninstalled copy of the Licensed Software for archival purposes PRIVACY; DATA COLLECTION Automatically Collected and Transmitted Data. The Licensed Software collects from Your environment and automatically transmits to Symantec data, which may include, without limitation, Licensed Software version, platform, performance metrics, error identification ( Transmitted Information ), provided, however, that You may optionally configure the Licensed Software so that such data is not collected and transmitted. If submitted, the Transmitted Information will be used for the purpose of: internal research and development, including improving Symantec s products and services, for statistical analysis of product deployment, including analysis of trends and comparison in the aggregated install base. Submission of the Transmitted Information is not required and You will be able to use the Licensed Software even if You do not submit the Transmitted Information to Symantec Stored Data. The Licensed Software collects from Your environment and stores in Your environment data, which may include, without limitation, case names, IP addresses, fully qualified file names and user names, product performance information, system memory monitoring statistics, logs for the Licensed Software listing errors, warnings and information messages ( Stored Information ). The Stored Information is used to enable the functionality of the Licensed Software and will not be transmitted to Symantec, unless You manually submit it. If submitted to Symantec, the Stored Information will be used for: troubleshooting and diagnostic purposes and to enable Symantec to fulfill Your technical support request. Submission of the Stored Information is not required and You will be able to use the Licensed Software even if You do not submit the Stored Information to Symantec Technical Support. In the event that You provide information to Symantec in connection with a technical support request ( Technical Support Information ), such information will be processed and used by Symantec for the purpose of providing the requested technical support, including performing error analysis Sharing and Transfer. In order to promote awareness, detection and prevention of internet security risks, Symantec may share the information collected through the Licensed Software and/or the Technical Support Information (the Collected Information ) with research organizations and other security software vendors. Symantec may also use statistics derived from the Collected Information through the Licensed Software or submitted by You, to track and publish reports on security risk trends. The Collected Information may be transferred to Symantec Corporation, its affiliates and contractors in the United States or other countries that may have less protective data protection laws than the region in which You are situated (including the European Union) and will be stored and processed manually and electronically through global systems and tools for the purposes above. The Collected Information may be accessible by Symantec employees or contractors on a need-to-know basis, exclusively to be used in accordance with the purposes described above. For the same purposes the Collected Information may be shared with partners and vendors that process information on behalf of Symantec. Symantec has taken steps so that the Collected Information, if transferred, receives an adequate level of protection Your Obligation to Personal Information. It is Your responsibility to ensure that any disclosure by You to Symantec of personal information of Your users or third parties is in compliance with national laws governing the collection, use and protection of personal information applicable to Your country or region of operation. In particular, it is Your responsibility to inform users and third parties that You are providing their information to Symantec, to inform them of how it will be used and to gather appropriate consents required for such transfer and use Disclosures to Law Enforcement. Subject to applicable laws, Symantec reserves the right to cooperate with any legal process and any law enforcement or other government inquiry related to Your use of the Licensed Software. This means that Symantec may provide documents and information relevant to a court subpoena or to a law enforcement or other government investigation Contacting Symantec about Your Privacy. For any inquiry about in the Collected Information or about Symantec s privacy policies, please contact us at privacy@symantec.com ADDITIONAL LICENSE TERMS FOR EMBEDDED THIRD PARTY PROGRAMS. The Licensed Software may include some or all of the following components from other vendors ( Third Party Components ). These Third Party Components are licensed under the terms of this License Agreement plus the additional provisions specified below for each Component:

7 Oracle A MySQL Standard Edition ( MySQL ). Your use of MySQL is limited to running the object code version of MySQL solely as integrated with, and for running and extracting data from, the Licensed Software, which may include without limitation Your use of the Licensed Software for purposes of providing services for Your customers. You may not copy MySQL onto any public or distributed network or use MySQL as a general SQL server, a standalone application, or with applications other than the Licensed Software. In addition, Your use of MySQL is subject to the following limitations: a. You are responsible for any use of the Third Party Component by Your agents, contractors, outsourcers, customers and suppliers in compliance with this License Agreement. b. You may not publish any results of benchmark tests run on the Third Party Component. c. Oracle America, Inc. is a third party beneficiary of this License Agreement. d. The terms and conditions of the Uniform Computer Information Transactions Act (UCITA) are hereby expressly disclaimed and shall not have any applicability with respect to the interpretation of this License Agreement. e. Some programs may include source code that are provided as part of its standard shipment of such programs, including the Third Party Component, which source code shall be governed by the terms of this License Agreement. f. Any third party technology that may be appropriate or necessary for use with some Oracle programs, including this Third Party Component, is specified in the Documentation or as otherwise notified by Symantec and such third party technology is licensed to You only for use with the Licensed Software under the terms of the third party license agreement specified in the Documentation or as otherwise notified by Symantec and not under the terms of this License Agreement. g. If You are using the Licensed Software to provide a service to Your customers, Your use of MySQL shall only be in conjunction with the Licensed Software and You may not otherwise use or distribute MySQL under the license granted herein. You are financially responsible to Oracle for any losses suffered by Oracle due to the breach of this License Agreement in Your use of the Licensed Software. h. You will limit the use of the programs to the legal entity that executed the end user license agreement. i. Oracle or its licensor retains all ownership and intellectual property rights to the programs. j. You cannot assign, give, or transfer the programs and/or any services ordered or an interest in them to another individual or entity (in the event the end user grants a security interest In the programs and/or any services, the secured party has no right to use or transfer the programs and/or any services). k. You you prohibited from (a) use of the programs for rental, timesharing, subscription service, hosting, or outsourcing; (b) removing or modifying any program markings or any notice of Oracle's or its licensors' proprietary rights; (c) making the programs available in any manner to any third party for use in the third party's business operations (unless such access is expressly permitted for the specific program license); and (d) title to the programs from passing to the end user or any other party. l. You are prohibited from reverse engineering (unless required by Jaw for interoperability), disassembly or decompifation of the programs (the foregoing prohibition includes but is not limited to review of data structures or similar materials produced by programs) and prohibit duplication of the programs except for a sufficient number of copies of each program for the end user's licensed use and one copy of each program media. m. You will disclaim, to the extent permitted by applicable law, Oracle's liability for (a) any damages, whether direct, indirect, incidental, special, punitive or consequential, and (b) any loss of profits, revenue, data or data use, arising from the use of the programs. n. At the termination of the agreement, You must discontinue use and destroy or return to Symantec all copies of the programs and documentation. o. You must comply fully with aff relevant export laws and regulations of the United States and other applicable export and import laws to assure that neither the programs, nor any direct product thereof, are exported, directly or indirectly, Inviolation of applicable Jaws. p. The programs are subject to a restricted license and can only be used in conjunction with the application package. q. Symantec may audit Your use of the programs, require You to provide reasonable assistance and access to information in the course of such audit and permit Symantec to report the audit results to Oracle or to assign Symantec rights to audit Your use of the programs to Oracle. Where Symantec assigns our right to audit to Oracle then Oracle shaff not be responsible for any of Symantec or Your costs Incurred in cooperating with the audit B JRockit and Outside In. Your use of JRockit and Outside In is limited to running the object code version of JRockit and Outside In solely as integrated with, and for running the Licensed Software. You may not use JRockit and Outside In with any applications other than the Licensed Software. You are prohibited from reselling or assigning Your licenses of the application packages to Your customers and from providing access to Your customers to any Oracle programs except as embedded in the application package. Oracle Corporation is a third party beneficiary of this License Agreement with respect to provisions relating to use of the JRockit and Outside In component, and such provisions are also enforceable by Oracle Corporation as a third party beneficiary. Notwithstanding anything to the contrary in this Agreement, You may not: a. Allow the programs to be accessed by any application or process not specifically described as the application package (whether such other application is developed by you or by a third party); b. Allow the output from the programs (for example: plain text, Unicode text, HTML or XML) to be accessed by any application, whether developed by you or not, which is not specifically described as the application package;

8 c. Implement any sub-component or API of the programs as a standalone process without a specific license to do so; d. Expose or publish any program API to any third-party; or allow the programs to be accessed, distributed, or sublicensed via web services architecture except where the content to be converted is directly controlled by the application package C Use of Java Software. The Licensed Software contains Java as licensed from Oracle Corporation. Your use of the Java portion of the Licensed Software ( Java Software ) is subject to the following additional terms: a. Java Technology Restrictions. You shall not create, modify, change the behavior of, or authorize licensees of Symantec to create, modify, or change the behavior of, classes, interfaces, or subpackages that are in any way identified as "java", "javax", "sun" or similar convention as specified by Oracle in any naming convention designation. In the event that Symantec creates an additional API(s) which: (a) extends the functionality of a Java Environment; and (b) is exposed to third party software developers for the purpose of developing additional software which invokes such additional API, Symantec must promptly publish broadly an accurate specification for such API for free use by all developers. b. Trademarks and Logos. This License Agreement does not authorize You to use any Oracle America, Inc. name, trademark, service mark, logo or icon. You acknowledge that Oracle owns the Java trademark and all Java-related trademarks, logos and icons including the Coffee Cup and Duke ("Java Marks") and agree to: (a) comply with the Java Trademark Guidelines at (b) not do anything harmful to or inconsistent with Oracle's rights in the Java Marks; and (c) assist Oracle in protecting those rights, including assigning to Oracle any rights acquired by Symantec in any Java Mark. c. Source Code. The Java Software may contain source code that, unless expressly licensed for other purposes, is provided solely for reference purposes pursuant to the terms of this License Agreement. Source code may not be redistributed unless expressly provided for in the terms of the License Agreement. d. Third Party Code. Additional copyright notices and license terms applicable to portions of the Java Software are set forth in the THIRDPARTYLICENSEREADME.txt file. e. Commercial Features. Use of the Commercial Features for any commercial or production purpose requires a separate license from Oracle. Commercial Features means those features identified in the Java Software documentation accessible at Nothing in this License Agreement grants any rights to use the Commercial Features of the Java Software Nexidia. The Licensed Software contains technology licensed from Nexidia. Your use of the technology licensed by Nexidia is subject to the following additional terms. a. Authorized Uses. Y o u acknowledge and agree that the Nexidia technology may only be used (i) with the Licensed Software in the ediscovery Market and (ii) solely to perform the following: i. Search audio content stored within the Licensed Software ii. Allow phonetic search results to be displayed separately or combined with other search results driven by metadata; iii. Allow Boolean and temporal operators tor phonetic search; iv. Enable variab le thresholds to allow the end user to determine the correct balance of precision and recall. b. Unauthorized Uses. You shall not, and shall not permit any other party (including, without limitation, end uers) to perform the following: i. Disassemble, decompile, decrypt, or reverse engineer, or in any way attempt to discover or reproduce source code for any part of the Nexidia technology; ii. Alter, modify, or prepare derivative works of the Nexidia technology; iii. Use the Nexidia technology in a timesharing, outsourcing, Saas or service bureau arrangement: iv. Alter, remove or suppress any copyright or other proprietary notices or marks or any confidentiality legends embedded or otherwise appearing in or on the Nexidia technology; v. Except as specifically set forth in this Agreement, sell, sublicense, lease, assign, transfer, distribute,encumber,or otherwise transform any Nexidia technology and/or documentation. vi. Index and search media not readable by the Nexidia technology; vii. Time align a transcript (complete or partial) with the audio file. viii. Use the Nexidia technolgoy outside of the ediscovery and investigations Market. The Investigations and ediscovety Market shall mean use of the Nexidia technology for search, review and extraction of audio content to support internal and legal investigations in either civil,criminal or regulatory matters. ix. Expose any functionality of the Nexidia technology (language ID, monitoring, scanning, etc.), including features not yet available; and use the metadata to act as a standalone (or with non-symantec Program(s)) service bureau for media tagging or processing. x. Install multiple instances of the Nexidia technology for a single Nexidia license Microsoft Office. a. Your use of Microsoft Office is subject to the Microsoft License Terms for Products, set forth in Exhibit A to this License Agreement. The following terms also apply to Your use of the Microsoft Office product(s).

You hereby agree to Symantec providing information about You and Your purchase of the Licensed Software to Microsoft Corporation and its affiliates ( Microsoft ) as required to enable Symantec to fulfill its reporting and payment obligations to Microsoft for the distribution of the Microsoft Office product. c. The Microsoft Office product is not fault-tolerant and not guaranteed to be error free or to operate uninterrupted. The Microsoft Office product may not be used in any application or situation where the Microsoft Office Product failure could lead to death or serious bodily injury of any person, or to severe physical or environmental damage ( High Risk Use ). Examples of High Risk Use include, but are not limited to: aircraft or other modes of human mass transportation, nuclear or chemical facilities, life support systems, implantable medical equipment, motor vehicles or weaponry systems. High Risk Use does not include utilization of Microsoft Office products for administrative purposes, to store configuration data, engineering and/or configuration tools, or other non-control applications, the failure of which would not result in death, personal injury or severe physical or environmental damage. These non-controlling applications may communicate with the applications that perform the control, but must not be directly or indirectly responsible for the control function. You agree to indemnify and hold harmless Microsoft from any third-party claim arising out of Your use of the Microsoft Office product in connection with any High Risk Use. d. THE MICROSOFT OFFICE PRODUCT IS PROVIDED TO YOU "AS IS" AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. e. IN NO EVENT WILL MICROSOFT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING OUT OF YOUR USE OR INSTALLATION OF THE MICROSOFT OFFICE PRODUCT, EVEN IF MICROSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In the event of a conflict between the terms of this License Agreement and the Microsoft License Terms, the Microsoft License Terms will control with respect to Your use of the Microsoft Office product Informative Graphics Corporation. The Licensed Software contains technology licensed from Informative Graphics Corporation ( IGC ). Your use of the technology licensed by IGC is subject to the following additional terms. a. You may use the IGC licensed technology in the form of object materials only; b. Except as otherwise allowed by Symantec pursuant to a separate written contract between Symantec and You which allows You to provide managed services, You are prohibited from using the IGC licensed technology by any third party other than You, Your affiliates, and Your approved contractors for internal business purposes; c. You are prohibited from any transfer or conveyance of the rights and/or license(s) granted to You in violation of Symantec s standard software transfer practices; d. You are prohibited from causing or permitting the reverse engineering, disassembly or decompilation of the IGC licensed technology; e. Except as otherwise allowed by Symantec pursuant to a separate written contract between Symantec and You which allows You to provide managed services, You are prohibited from using the IGC licensed technology in any time-sharing, service bureau, or software-as-a-service arrangement, including, without limitation, any use to provide services or process data for the benefit of, or on behalf of, any third party; and f. the IGC licensed technology may only be used in combination with the Licensed Software such that You are not authorized to access the IGC licensed technology on a standalone/de-coupled basis. g. THE IGC PRODUCT IS PROVIDED TO YOU "AS IS" AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. h. IN NO EVENT WILL IGC BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING OUT OF YOUR USE OR INSTALLATION OF THE IGC PRODUCT, EVEN IF IGC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES UNAUTHORIZED DISTRIBUTION OR ACCESS. You agree to use commercially reasonable efforts, using industry standard technical protections and security practices to secure the physical or virtual computing environment upon which the Licensed Software resides, in order to prevent the unauthorized use, access or distribution of the Licensed Software by any third party. Font Components. While the software is running, you may use its fonts to display and print content. You may only embed fonts in content as permitted by the embedding restrictions in the fonts; and temporarily download them to a printer or other output device to print content. c. Media Elements and Templates. You may have access to media images, clip art, animations, sounds, music, video clips, templates and other forms of content ( media elements ) provided with the software or as part of a service associated with the software. You may copy and use the media elements in projects and documents. You may not (i) sell, license or distribute copies of the media elements by themselves or as a product if the primary value of the product is the media elements; (ii) grant your customers rights to further license or distribute the media elements; (iii) license or distribute for commercial purposes media elements that include the representation of

11 identifiable individuals, governments, logos, trademarks, or emblems or use these types of images in ways that could imply an endorsement or association with your product, entity or activity; or (iv) create obscene or scandalous works using the media elements. Instead of using the software directly on the licensed device, you may install and use the software within only one virtual (or otherwise emulated) hardware system on the licensed device. e. Remote Access. The single primary user of the licensed device may access and use the software installed on the licensed device remotely from any other device. You may allow others to access the software to provide you with support services. You do not need additional licenses for this access. No other person may use the software under the same license at the same time for any other purpose. f. Development Tools. The software may contain Microsoft Visual Studio Tools for Applications or other development tools. You may use any development tools included in the software only to design, develop, test, use and demonstrate your programs with the software. g. Language Version Selection. If you are provided with a one-time selection between language versions, without a language pack or LIP, you may use only the one language version you select. If you were not provided with a language selection, the language version will default to the language of your operating system or, if your operating system language is not available, to another available language. If you acquire a language pack or LIP, you may use the additional languages included in the language pack or LIP. A LIP is a Language Interface Pack. Language packs and LIPs offer additional language version support of the software. The language packs and LIPs are a part of the software and may not be used separately. h. Trial and Conversion. Some or all of the software may be licensed on a trial basis. Your rights to use trial software are limited to the trial period. The trial software and length of the trial period are set forth during the activation process. You may have the option to convert your trial rights to subscription or perpetual rights. Conversion options will be presented to you at the expiration of your trial period. After the expiration of any trial period without conversion, most features of the trial software will stop running. At that time you can continue to open, view and print any documents you created with the trial software. i. Subscription Software. If you licensed the software on a subscription basis, your rights to use the software are limited to the subscription period. You may have the option to extend your subscription or convert to a perpetual license. If you extend your subscription, you may continue using the software until the end of your extended subscription period. See the software activation screens or other accompanying materials for subscription details. After the expiration of your subscription, most features of the software will stop running. At that time you can continue to open, view and print any documents you created with the software. 4. MANDATORY ACTIVATION. Activation associates the use of the software with a specific device. During activation, the software will send information about the software and the device to Microsoft. This information includes the version, the license version, language and product key of the software, the Internet protocol address of the device, and information derived from the hardware configuration of the device. If properly licensed, you have the right to use the version of the software installed during the installation process up to the time permitted for activation. The software will from time to time request download of the validation feature of the software. Validation verifies that the software has been activated and is properly licensed. A validation check confirming that you are properly licensed permits you to use the software, certain features of the software or to obtain additional benefits. For more information, see b. During or after a validation check, the software may send information about the software, the device and the results of the validation check to Microsoft. This information includes, for example, the version and product key of the software and the Internet protocol address of the licensed device. Microsoft does not use the information to identify or contact you. BY USING THE SOFTWARE, YOU CONSENT TO THE TRANSMISSION OF THIS INFORMATION. For more information about validation and what is sent during or after a validation check, see c. If, after a validation check, the software is found to be counterfeit, improperly licensed, or a non-genuine Office product then the functionality or experience of using the software may be affected. BY USING THESE FEATURES, YOU CONSENT TO THE TRANSMISSION OF THIS INFORMATION. Microsoft does not use the information to identify or contact you. Computer Information. The following features use Internet protocols, which send to the appropriate systems computer information, such as your Internet protocol address, the type of operating system, browser and name and version of the software you are using, and the language code of the device where you installed the software. Microsoft uses this information to make the Internet-based services available to you. Web Content Features. Features in the software can retrieve related content from Microsoft and provide it to you. Examples of these features are clip art, templates, online training, online assistance and help. You may choose not to use these web content features. Digital Certificates. The software uses digital certificates. These digital certificates confirm the identity of Internet users sending X.509 standard encrypted information. They also can be used to digitally sign files and macros to verify the integrity and origin of the file contents. The software retrieves certificates and updates certificate revocation lists using the Internet, when available. SharePoint Workspace. If the software includes Microsoft SharePoint Workspace ( SharePoint Workspace ), SharePoint Workspace will allow you to communicate directly with others over the Internet. If you cannot communicate directly with a contact over the Internet, and your administrator uses Microsoft s public server infrastructure, your communications will be encrypted and sent through Microsoft servers for later delivery. You cannot disable this service if your administrator uses Microsoft s public server infrastructure. SharePoint Workspace makes some information about your SharePoint Workspace account and device known to your approved contacts. For example, if you: add a contact to your contact list, import your user account onto a new device, update the information in your identity contact, or send a SharePoint Workspace invitation using an URL to reference the invitation file, information about you and your devices may be sent to your contacts. If you configure SharePoint Workspace to use Microsoft servers, those servers will collect information about your device and user accounts. b. Automatic Update. Software with Click-to-Run technology may periodically check with Microsoft for updates and supplements to the software. If found, these updates and supplements might be automatically downloaded and installed on your licensed device. c. Use of Information. Microsoft may use the device information, error reports, and malware reports to improve our software and services. We may also share it with others, such as hardware and software vendors. They may use the information to improve how their products run with Microsoft software. d. Misuse of Internet-based Services. You may not use these services in any way that could harm them or impair anyone else s use of them. You may not use the services to try to gain unauthorized access to any service, data, account or network by any means. 7. SCOPE OF LICENSE. The software is licensed, not sold. This agreement only gives you some rights to use the features included in the software edition you licensed. Microsoft reserves all other rights. Unless applicable law gives you more rights despite this limitation, you may use the software only as expressly permitted in this agreement. In doing so, you must comply with any technical limitations in the software that only allow you to use it in certain ways. You may not work around any technical limitations in the software; reverse engineer, decompile or disassemble the software, except and only to the extent that applicable law expressly permits, despite this limitation; make more copies of the software than specified in this agreement or allowed by applicable law, despite this limitation; publish the software for others to copy; use the software in any way that is against the law; rent, lease or lend the software; or use the software for commercial software hosting services. 8. BACKUP COPY. a. Media. If you acquired the software on a disc or other media, you may make one backup copy of the media. You may use it only to reinstall the software on the licensed device. b. Electronic Download. If you acquired and downloaded the software online, you may make one copy of the software on a disc or other media in order to install the software on the licensed device. You may also use it to reinstall the software on the licensed device. c. Click to-run. If you acquired and downloaded software online with Click-to Run technology, you will not be able to make a copy of the software on a disc or other media. Instead you may download the software online again only to reinstall the software on the licensed device. 9. DOCUMENTATION. Any person that has valid access to your licensed device or internal network may copy and use the documentation for your internal, reference purposes. 10. NOT FOR RESALE SOFTWARE. You may not sell software marked as NFR or Not for Resale.

13 11. ACADEMIC SOFTWARE. You must be a Qualified Educational User to use software marked as Academic edition. If you do not know whether you are a Qualified Educational User, visit or contact the Microsoft affiliate serving your country. 12. HOME AND STUDENT SOFTWARE. For software marked Home and Student edition, you may install one copy of the software on up to three licensed devices in your household for use by people for whom that is their primary residence. The software may not be used for commercial, non-profit, or revenue-generating activities. 13. MILITARY APPRECIATION SOFTWARE. You must be a Qualified Military User to license software marked as Military Appreciation edition. To be a Qualified Military User, in the United States of America, you must be an authorized patron of the Armed Services Exchanges in accordance with applicable U.S. Federal statutes and regulations. The software is not licensed for use in any commercial, non-profit, or revenue-generating activities. If the software is marked as Military Appreciation edition, you may only transfer this software in accordance with military exchange service policies and regulations. 14. CANADIAN FORCES SOFTWARE. You must be a CANEX Authorized Patron to license software marked as Canadian Forces edition. To be a CANEX Authorized Patron, you must be a Serving member of the Canadian Forces (CF) or their spouse; Member of the Canadian Forces Reserve Force; Retired Canadian Forces member or Department of National Defense (DND) civilian employee in receipt of a DND pension; Permanent full time or part time Non-Public Fund (NPF) or DND employee or and their spouse; CANEX Concessionaire (principals only); Qualifying foreign military personnel; Retired NPF employee in receipt of an NPF pension; Full time employee of Alternative Service Delivery contractors; Widow of CF personnel receiving a benefit under the Child Family Services Act, Defence Services Pension Contribution Act, or the Pension Act or the War Veterans Allowance Act; Member of the Canadian Corps of Commissionaires when residing or employed on a Base/Wing; or Member of the Royal Canadian Mounted Police. The software is not licensed for use in any commercial, non-profit, or revenue-generating activities. If the software is marked as Canadian Forces edition, you may only transfer this software in accordance with Canex retail store service policies and regulations. 15. HOME USE PROGRAM SOFTWARE. You must be a Home Use Program User to use software marked as Home Use Program. To be a Home Use Program User, you must be both: an employee of an organization that has a Microsoft Volume License agreement with Software Assurance, and the user of a licensed copy of the software, or a product that includes the software, with active Software Assurance. 16. GEOGRAPHIC RESTRICTIONS. If the software is marked as requiring activation in a specific geographic region, then you are only permitted to activate this software in the geographic region indicated on the software packaging. To upgrade or convert software, you must first be licensed for the software that is eligible for the upgrade or conversion. Upon upgrade or conversion, this agreement takes the place of the agreement for the software you upgraded or converted from. After you upgrade or convert, you may no longer use the software you upgraded or converted from. 18. PROOF OF LICENSE. a. Genuine Proof of License. If you acquired the software on a disc or other media, your proof of license is the genuine Microsoft certificate of authenticity label with the accompanying genuine product key and your proof of purchase. If you purchased and downloaded the software online, your proof of license is the genuine Microsoft product key for the software which you received with your purchase and your proof of purchase from an authorized electronic supplier of genuine Microsoft software. Proof of purchase may be subject to verification by your merchant s records. b. Upgrade or Conversion License. If you upgrade or convert the software, your proof of license is the genuine proof of license for the software you upgraded or converted from; and the genuine proof of license for the software you upgraded or converted to. c. To identify genuine Microsoft software, see REASSIGN TO ANOTHER DEVICE. You may reassign the license to a different device any number of times, but not more than one time every 90 days. If you reassign, that other device becomes the licensed device. If you retire the licensed device due to hardware failure, you may reassign the license sooner. 20. TRANSFER TO A THIRD PARTY. The first user of the software may make a one-time transfer of the software and this agreement, by transferring the genuine proof of license directly to a third party. The first user must remove the software before transferring it separately from the licensed device. The first user may not retain any copies of the software. Before any permitted transfer, the other party must agree that this agreement applies to the transfer and use of the software. If the software is an upgrade, any transfer must also include all prior versions of the software. 21. EXPORT RESTRICTIONS. The software is subject to United States export laws and regulations. You must comply with all domestic and international export laws and regulations that apply to the software. These laws include restrictions on destinations, end users and

This agreement (including the warranty below), any addendum or amendment included with the software, and the terms for supplements, updates, Internet-based services and support services that you use, are the entire agreement for the software and support services. 24. APPLICABLE LAW. a. United States. If you acquired the software in the United States, Washington state law governs the interpretation of this agreement and applies to claims for breach of it, regardless of conflict of laws principles. The laws of the state where you live govern all other claims, including claims under state consumer protection laws, unfair competition laws, and in tort. b. Outside the United States. If you acquired the software in any other country, the laws of that country apply. 25. LEGAL EFFECT. This agreement describes certain legal rights. You may have other rights under the laws of your state or country. You may also have rights with respect to the party from whom you acquired the software. This agreement does not change your rights under the laws of your state or country if the laws of your state or country do not permit it to do so. 26. LIMITATION ON AND EXCLUSION OF DAMAGES. YOU CAN RECOVER FROM MICROSOFT AND ITS SUPPLIERS ONLY DIRECT DAMAGES UP TO THE AMOUNT YOU PAID FOR THE SOFTWARE. This limitation applies to anything related to the software, services, content (including code) on third party Internet sites, or third party programs; and claims for breach of contract, breach of warranty, guarantee or condition, strict liability, negligence, or other tort to the extent permitted by applicable law. It also applies even if repair, replacement or a refund for the software does not fully compensate you for any losses; or Microsoft knew or should have known about the possibility of the damages. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. If you were not provided with a language selection, the language version will default to the language of your operating system or, if your operating system language is not available, to another available language. If the software includes Microsoft SharePoint Workspace ( SharePoint Workspace ), SharePoint Workspace will allow you to communicate directly with others over the Internet. If you cannot communicate directly with a contact over the Internet, and your administrator uses Microsoft s public server infrastructure, your communications will be encrypted and sent through Microsoft servers for later delivery. SharePoint Workspace makes some information about your SharePoint Workspace account and device known to your approved contacts. For example, if you: add a contact to your contact list, import your user account onto a new device, update the information in your identity contact, or send a SharePoint Workspace invitation using an URL to reference the invitation file, information about you and your devices may be sent to your contacts. If you configure SharePoint Workspace to use Microsoft servers, those servers will collect information about your device and user accounts. b. Automatic Update. Software with Click-to-Run technology may periodically check with Microsoft for updates and supplements to the software. If found, these updates and supplements might be automatically downloaded and installed on your licensed device. c. Use of Information. Microsoft may use the device information, error reports, and malware reports to improve our software and services. We may also share it with others, such as hardware and software vendors. BACKUP COPY. You may make one backup copy of the software media. You may use it only to reinstall the software on the licensed device. 9. DOCUMENTATION. Any person that has valid access to your computer or internal network may copy and use the documentation for your internal, reference purposes. 10. NOT FOR RESALE SOFTWARE. You may not sell software marked as NFR or Not for Resale.

18 11. HOME AND STUDENT SOFTWARE. For software marked Home and Student edition, you may not use the software for commercial, non-profit, or revenue-generating activities. 12. GEOGRAPHIC RESTRICTIONS. If the software is marked as requiring activation in a specific geographic region, then you are only permitted to activate this software in the geographic region indicated on the software or computer packaging. If you acquired the software on a device, or on a disc or other media, a genuine Microsoft Certificate of Authenticity label with a genuine copy of the software identifies licensed software. To be valid, this label must be affixed to the device or appear on the manufacturer s or installer s packaging. If you receive the label separately, it is invalid. You should keep label on the device or the packaging that has the label on it to prove that you are licensed to use the software. If the device comes with more than one genuine Certificate of Authenticity label, you may use each version for the software identified on those labels. b. To identify genuine Microsoft software, see TRANSFER TO A THIRD PARTY. You may transfer the software directly to a third party only with the licensed device, the Certificate of Authenticity label, and this agreement. Before the transfer, that party must agree that this agreement applies to the transfer and use of the software. You may not retain any copies. 16. EXPORT RESTRICTIONS. The software is subject to United States export laws and regulations. You must comply with all domestic and international export laws and regulations that apply to the software. APPLICABLE LAW. a. United States. If you acquired the software in the United States, Washington state law governs the interpretation of this agreement and applies to claims for breach of it, regardless of conflict of laws principles. The laws of the state where you live govern all other claims, including claims under state consumer protection laws, unfair competition laws, and in tort. b. Outside the United States. If you acquired the software in any other country, the laws of that country apply. 20. LEGAL EFFECT. This agreement describes certain legal rights. You may have other rights under the laws of your state or country. You may also have rights with respect to the party from whom you acquired the software.
