3 RATE CARD 2014 annual agreements Annual Agreements are binding agreements between the advertiser and Viasat Broadcasting UK Ltd. concerning the purchase of advertising time in By signing an annual agreement, the advertiser can benefit from of a number of advantages: Guaranteed TRP price excluding any Demand Supplement and PUT/Reach Adjustment. Reinforcement based on the total investment, which includes purchase of advertisements, sponsorships, online television and digital products. Discount on specific programme placements (premiums). Optional purchase of power breaks. Full retroactivity on the volume agreed upon. Option to decide on new target groups based on specific characteristics (e.g. wears glasses ). Advertisers guaranteeing VBUK a budget share of at least 50% in the Annual Agreement will only be offered a lower price with respect to PUT/Reach Adjustment. Advertisers guaranteeing VBUK a budget share of 40-49% are free to choose whether they want to include PUT/Reach Adjustment in the Annual Agreement. Annual agreements must be signed by the 4th of March If an annual agreement is signed, the agreed volumes will be fully retroactive. Budget share guarantee: Advertisers guaranteeing Viasat a budget share of at least 50% in the Annual Agreement will enjoy extraordinary benefits: Budget share reinforcement. For more information on definitions and preconditions, please contact a MTG TV employee. demand supplements Supply and demand vary greatly through the year, which is why the final price level is determined in connection with the monthly plan, which is send out 6 weeks prior to booking deadline. A demand supplement might be added to the guiding price in connection with the publication of the monthly plan. The demand supplement cannot rise with more than 5 percentage points compared to the price the year before. PUT/reach adjustment With effect from 31 March, a campaign adjustment will be introduced, which is dependent on developments in commercial PUT and MTG TV s weekly advertising reach ability. If market supply drops and MTG TV at the same time provides higher quality, the price of an advertising campaign will increase. If market supply increases and MTG TV at the same time provides lower quality, the price of an advertising campaign will decline. Fluctuations of +/- 3% may occur. If PUT drops by 3% and MTG TV s reach ability increases by 2%, the campaign price will be 2% higher. If PUT increases by 3% and MTG TV s reach ability drops by 3%, the campaign price will be 3% lower. Annual Agreement clients with a guaranteed budget share of >49% will never experience an increase in the campaign price due to campaign adjustment. Annual Agreement clients with a guaranteed budget share of 40-49% may choose if they want to be comprised by the campaign adjustment. Annual Agreement clients with a guaranteed budget share of <40% will be comprised by the campaign adjustment. Ad-hoc clients will be comprised by the campaign adjustment but can only experience a price supplement. PUT is defined as the number of viewed minutes in the commercial universe during the relevant period. Advertising reach ability is defined as the share of individuals in A21-50 who have viewed at least one minute of an advertisement during one week. The development in the two parameters is calculated as a 4-week rolling average. The period is determined based on the end date of the campaign and is defined as the preceding three weeks as well as the current week. (Example: If a campaign ends in week 19, the four weeks will be weeks ) Volume reinforcement Advertisers with annual agreements will enjoy volume reinforcement in accordance with the following scale for total purchases of advertising time on MTG TV between 1 January 2014 until and including 31 December In addition, reinforcement will also be provided to advertisers from the same group designated at the time of entering into the annual agreement. Companies acquired during the term of this annual agreement, however, are not entitled to coverage in this annual agreement. campaign structuring Not all advertisers want a completely equal distribution of TRPs on the range of programmes. If a certain part of the advertising exposure is preferred to be allocated to prime time, this can be done through payment of a supplement according to the table supplement for prime time. Prime time is defined as the time slot between 5 p.m. and p.m. Particular days in a campaign can also be deselected by payment of a supplement. guarantee packages MTG TV offers campaigns aimed at 31 different target groups with a fixed basic price for each target group. When advertising time is purchased, MTG TV will handle campaign planning so that the placement matches your chosen target group: All at a fixed and agreed upon price A guarantee package is an extremely safe and effective media purchase. The advertiser is guaranteed the implementation of the desired number of TRPs and that these are the only payable TRPs. extended television package As a new feature, MTG TV this year introduces a product that includes both television and online television. It will still be possible to purchase television and online television separately, but as the popularity of online television grows, we have found it natural to offer a product which combines television and online television. Accordingly, the extended television package means that 95% of the campaign budget will be allocated to television, while the remaining 5% will be broadcasted on online television. MTG TV offers an extraordinary introduction discount of 1% on the extended television package in Specific programme placements (premiums) Specific Programme Placements means that the advertiser can purchase spots in highly relevant programmes such as the UEFA Champions League, Formel 1, Paradise Hotel and Robinson. When making premium purchases, spots in the first, second, third or last part of the break can also be purchased. The guidelines and specific programmes, premiums, target groups and prices are described in the monthly plans, which can be downloaded from Power breaks A power break, for example in the Danish Superliga, is shown after the players have come onto the field but prior to kickoff or the start of the second half. By placing your spot in this exclusive break there will be minimal interference from other advertisements. Spot packages Spot packages in special programmes, such as football or other programmes with a clear profile, can also be acquired. This way it is possible to target a specific target group. Split spots A split spot consists of at least two advertising spots from the same advertiser that will be run in a specific order and/or in the same break. A 5% supplement is added because of the extra work involved. Introduction reinforcement When introducing new products, the advertiser can qualify for a 30 % extra reinforcement. This reinforcement is applicable only to the first campaign and only if ordered all at once and if the product has not been advertised during the last 36 months. MTG TV decides whether this reinforcement offer is applicable or not.
4 EXTENDED TELEVISION PACKAGE EXTENDED TELEVISION PACKAGE Clients purchasing TV & WEB-TV in combination can benefit from both effective exposures and added reach. When purchasing the Extended Television Package in 2014 an extraordinary introduction discount of 1% is awarded. 95% of the budget on TV (TRP-package) 5% of the budget on WEB-TV basic tv-package web-tv A classic TRP-package where the Client choose target group, period and number of TRP. 6 GENERAL TERMS AND CONDITIONS Agreement The Rate Card 2014 including the general terms and conditions are applicable for all agreements with Viasat Broadcasting UK Ltd ( VBUK ) concerning the purchase of advertising time on all the commercial channels ( the TV stations ) that VBUK represents in Denmark during When placing bookings, the advertiser and/or media agency ( the Client ) accepts these general terms and conditions. Any noncompliance must be agreed upon in writing. advertising regulations The TV-broadcasters broadcast from London and Amsterdam and are subject to British advertising legislation regulated by OFCOM and the Dutch advertising legislation regulated by DMC. The Client is responsible for the advertising being in full compliance with all applicable statutory legislation and not infringing the rights of third parties. The Client acknowledges and accepts that VBUK is required to comply with any rule, regulation or demand issued at any time by OFCOM, the ASA, the BCAP, DMC and/or with any other applicable law or regulation. The Client acknowledges and accepts that it may be necessary for VBUK to request the Client to modify an advertisement so it complies with any such rule, regulation, demand or other applicable law or regulation, although subject to this section and the section Warranties and Indemnities, the Client will not be required to comply with such a request. The Client also acknowledges and accepts that it may be necessary for VBUK to modify an advertisement in order to comply with any such rule, regulation, demand or other applicable law or regulation. If the Client decides not to comply with such a request or to accept modifications from VBUK, and VBUK as a result is prevented from broadcasting the advertisement in question, the Client is not required to pay for the booked advertising space, provided the Client has notified VBUK in writing of its decision no later than five (5) business days before the scheduled broadcasting date. The Client shall have documentary proof which reasonably substantiates any claims/statements made in an advertisement about the characteristics of the advertised product or service or the advertiser himself, including those claims/statements made in vocal jingles or indicated from pictures (for instance a photo of an overweight woman followed by a photo of the same woman but significantly thinner with a note or remark that only two weeks have passed). Where a claim/statement is based on research or testing, that work should be conducted in accordance with recognised best practice for products or services of the sort advertised and the results must be fair and reliable. Upon VBUK s request, the Client shall provide such documentary proof to VBUK within ten (10) business days. In the event 1) a modified advertisement is handed in later than three (3) business days before the first scheduled broadcasting date and the relevant advertisement is still found to be contrary to the relevant OFCOM, ASA, BCAP, DMC or other applicable rule or regulation, or 2) the documentary proof is not provided by the Client as set out above within the agreed term and to the reasonable satisfaction of VBUK, VBUK shall have no obligation to broadcast, and has the right to immediately stop broadcasting the advertisement without any obligation to notify the Client in advance that the advertisement cannot be broadcasted. In such case, VBUK is nevertheless entitled to charge the Client the full amount payable for the booked advertising space. Without prejudice to any other rights or remedies VBUK may have under an Agreement (including these general terms and conditions), where the Client has not provided VBUK with an advertisement conforming to the legislative requirements and restrictions set out in this section at least five (5) business days before the first scheduled broadcasting date, VBUK shall have no obligation to broadcast the advertisement and has the right to immediately stop broadcasting the advertisement without any obligation to notify the Client in advance that the advertisement cannot be broadcasted or to pay any damages to the Client. In such case, VBUK is nevertheless entitled to charge the Client the full amount payable for the booked advertising. The Client is obligated to obtain prior approval of the legality of the advertisement from VBUKS s legal department in London. However, regardless of such approval, the Client is still fully liable for the content of the advertisement. VBUK reserves the right to refuse advertisements based on their content. Should you have any doubts or if you require additional information, please do not hesitate to contact your MTG TV consultant. Furthermore, we refer to the British OFCOM regulations ( competitions In connection with competitions on the television stations and related platforms/sites, the Clients must register with the requisite authority and pay any and all taxes related to the competition. Responsibility for the conclusion of a data processing agreement rests with the party offering the competition. campaigns A campaign is a combined order for advertising time with a start and end date involving the advertising of exactly one product or one exactly company. If a campaign is interrupted for more than 21 calendar days, this will be regarded as a new campaign. Campaigns are run by station (RBS), which means that the TV-broadcasters decide on the placement of advertising spots during the campaign period (a campaign runs from Sunday to Saturday). Different advertisers cannot run advertising spots together or make joint purchases. changes to Booking Booking of advertising time must be made in writing to MTG TV A/S by sending orders via , fax or letter. The order must include the following: Name of the advertiser, product, spot length, spot title, spot code, period, budget, target group and any special requirements. Booking of advertising time is subject to a 5% discount if MTG TV receives the booking no later than 12 a.m. (i.e. noon) on the booking due date, please see the booking deadlines for booking change Bookings may be changed free of charge with regard to spot length, target groups, rotation and restrictions if a written notification of the change has been submitted to MTG TV no later than two (2) calendar weeks prior to the start of the campaign. If MTG TV receives notification of a booking change no later than one (1) calendar week prior to the start of the campaign, the advertiser must pay a fee of DKK 2,000. If MTG TV receives notification of a booking change later than one (1) calendar week prior to the start of the campaign, the advertiser must pay a fee of DKK 5,000. Campaign budgets may be increased after the booking deadline free of charge, but no booking discount will be awarded for the part of the campaign which was not been booked on time. rescheduling and cancellation Requests for rescheduling, scaling-down or cancellation must be submitted to MTG TV in writing. The television advertising broadcasting time cannot be transferred. conditions for campaign rescheduling It is possible to reschedule campaigns free of charge until seven business days before the broadcasting week as long as it is the same campaign (i.e. same budget, same advertiser product, etc.). Rescheduling later than seven business days before the broadcasting week will be subject to a fee of 30% of the rescheduled revenue. Example: Campaign period of three weeks, total budget of DKK 300,000. Request for rescheduling of budget week 1 (DKK 100,000). Fee of DKK 30,000. Rescheduling the entire campaign will be subject to a fee of DKK 90,000. conditions for cancellation/ reduction of campaign budgets Cancellations may be made free of charge up to six calendar weeks prior to the broadcasting of a campaign. If MTG TV receives a campaign cancellation between three and six calendar weeks prior to the calendar week during which the campaign was to be broadcasted, the cancellation will be subject to a fee of 10% of the full price agreed upon for the campaign. If MTG TV receives a campaign cancellation later than three calendar weeks prior to the calendar week in which the campaign was to be broadcasted, the cancelled advertisement must be paid for in full. A notification from the client concerning budget reductions for a campaign will be treated as a cancellation.
7 - for the purchase of air time for advertising Example: Campaign budget of DKK 300,000. New budget of DKK 200,000 notified six full calendar weeks prior to campaign start. Fee of DKK 0. New budget of DKK 200,000 notified between three and six full calendar weeks prior to campaign start. Fee of DKK 10,000. New budget of DKK 200,000 notified between twenty and zero days prior to campaign start. Fee of DKK 100,000. A campaign cannot be cancelled if it has been rescheduled. campaign delivery Any underdelivery will be delivered in connection with later campaigns subject to agreement with the Client. However, any outstanding sums owed to the advertiser will expire if not used for the purchase of advertising time for broadcast by the TV stations on or before 30 June Where several spot versions or spot lengths are used, any undersupply of a spot version will be offset against oversupply of another spot version. Broadcasts seen live or time-staggered within seven days from the day of broadcast will be included in the campaign statement. The campaign statement will generally be drawn up eight days after the end of the campaign. Viewings seen on platforms other than television, measured using Gallup s Virtual Meter, will be included in the campaign statement. guaranteed delivery As well as guaranteeing a fixed CPP, MTG TV offers compensation in the form of a new campaign of the same value free of charge if the undersupply on the TV stations exceeds 35% at campaign level. To qualify, however, the campaign must include a minimum of 100 TRPs and run for at least 14 days. advertising material At his own expense and risk, the Client shall provide advertising material that complies with VBUK s technical specifications for advertising material. If an advertisement is to contain mobile services that generate additional fees for the consumer, it must be approved by the TV-broadcasters prior to broadcasting. If references are made in the advertisement to the TV-broadcasters teletext service or web page, the Client is responsible for correct referencing. Advertising material must be submitted via Adstream or Adtoox to Viasat Broadcasting Centre no later than five (5) business days prior to the agreed first broadcasting date. If this deadline is not met VBUK is unable to guarantee that the advertisement be broadcasted in accordance with the booking. The late submission of advertising material will require the rescheduling of the campaign start. Fees will be applied according to the following guidelines: late submission fees 5 business days prior to 1. broadcast 1-4 business days prior to 1. broadcast Later submissions Correct spot length 0 DKK DKK DKK Wrong spot length DKK DKK DKK Where advertising material is submitted in time but with the wrong spot length a fee for changed booking must be paid. Please see the section relating to this matter. Advertising material may be destroyed by VBUK 90 days after the first broadcasting date unless otherwise agreed. complaints Complaints must be submitted no later than five (5) business days after receipt of the campaign statement. However, complaints concerning TV advertisements which are planned for broadcasting again before the expiration of the five (5) day deadline must be submitted immediately. Spot titles/spot codes It is the responsibility of the Client to enter the correct spot title/spot code on the booking form. The spot code on the booking form must be identical to the one on the tape. The TV-broadcasters shall not be liable for the broadcasting of the wrong advertisement if the spot title and spot code are not entered on the booking form. To ensure unambiguous spot codes, we recommend the following 12-character coding system; three (3) letters for the advertiser, three (3) letters for the product, three (3) figures for the version, and three (3) figures for the spot length. submitting advertising material VBUK only accepts digital files. Digital files must be submitted to the London office via Adstream (www. adstream.com) or Adtoox ( rejection VBUK is entitled to reject advertising material if it is not submitted in due time, does not comply with technical specifications or does not comply with statutory regulations. VBUK shall not be liable for any Client losses resulting from the rejection. terms of payment Any amount invoiced must be paid to and received by VBUK no later than the last banking day in the calendar month following the broadcasting month of the campaign. Direct customers must pay prior to the start of the campaign. The Client must provide continuous and full security for all bookings. Security may be deposited under Kreativitet og Kommunikation s security scheme or directly with VBUK. Late payments will incur default interests of 2% of the invoiced amount per month. However, Clients that are members of Kreativitet og Kommunikation will only be charged default interests. allowances Clients who provide security for payment under the Kreativitet og Kommunikation security scheme will be granted an allowance of 1.0% by VBUK. Clients who are members of the Kreativitet og Kommunikation security scheme will be granted an additional allowance of 0.5% on orders placed in due time, see overview of bookings for In addition, clients may be granted an allowance for cases if they satisfy the conditions therefor. Please contact your MTG TV consultant to learn more about the conditions for qualifying for allowances. In case of non-compliance with the terms of payment, the right to receive the allowance will lapse. Clients who only purchase digital products and who provide security for payment under the Kreativitet og Kommunikation security scheme will be granted a total allowance on digital products of 7% by VBUK. In case of non-compliance with the terms of payment, the right to receive the allowance will lapse. warranties and indemnities The Client warrants that: a) he is in possession of all the rights and licenses and has obtained all clearances necessary to enable VBUK to broadcast the advertisement without VBUK incurring any costs resulting from such broadcasting, b) he has paid for all necessary clearances and licenses, including, but not limited to, any music and copyright clearances, c) the advertisements fully comply with all legislative requirements and restrictions, including any applicable rules for deceptive advertising and any rules issued by OFCOM, the ASA, BCAP and DMC, d) he is in possession of documentary proof that reasonably substantiates any statements made in the advertisements concerning the advertised product, e) VBUK s broadcasting of the advertisement will not constitute infringement of any legislative or regulatory restrictions or third party rights (e.g. copyright and/or any other intellectual property rights). The Client shall at all times comply with the applicable rules, regulations and laws currently in force and/or issued at any time by the respective regulating.
8 GENERAL TERMS AND CONDITIONS The Client shall indemnify VBUK for any costs, fines, damages and/or other losses suffered and/or incurred by VBUK as a result of the Client s failure to comply with this section and/or any other breaches by the Client of the terms of an Agreement. VBUK shall not be obliged to broadcast any advertisement which in the reasonable opinion of VBUK breaches any applicable laws or regulations or infringes third party rights (including cases where claims have been submitted to VBUK about any such breaches or infringements by applicable regulatory authorities or rights holders). damages The ordinary rules of Danish law shall apply to liability for damages. However, VBUK s liability cannot exceed the amount VBUK has received for the campaign which the dispute may concern. applicable law and arbitration The agreement is subject to Danish law. Efforts shall be made to settle disputes between the Client and VBUK concerning the agreement through means of negotiation. Where disputes have not been settled at the latest 30 days after any of the parties has requested such negotiation, the dispute shall be submitted for arbitration in Copenhagen in accordance with the rules of procedure of Det Danske Voldgiftsinstitut (the Danish Institute of Arbitration Copenhagen Arbitration). Definitions ASA means the UK s Advertising Standards Authority. BCAP means the UK s Broadcast Committee of Advertising Practice. OFCOM means the Office of Communications which is the independent regulator and competition authority for the UK communications industries and which is responsible for television, radio, telecommunications and wireless communications services. DMC means the Dutch Media Committee. The Rate Card 2014 is valid from 1. januar 2014 until 31. december 2014 or until a new Rate Card is sent out. The right to changes reserved.
