4 5 The Institute of Directors Company Direction Programme Certificate in Company Direction Modules Role of the Director and the Board 2 days The important role that corporate values play in the development of a successful and responsible business Corporate governance and how it shapes the responsibilities, accountabilities and activities of the board The legal status of a company, the different forms this may take and the legal and regulatory environment it must operate in The role a director plays and the responsibilities and accountabilities associated with the role The role of the board and how it should operate to be effective The board s accountabilities and responsibilities to a number of stakeholders and that these relationships need to be managed and considered in board decision making The Director s Role in Strategy and Marketing 3 days What strategy is and how a board uses it to generate value The strategic importance of a clear purpose as provided by vision, mission and values, and effective strategic thinking The relationship between the internal and external environments of the organisation Tools to help make an effective situation appraisal Why good strategic analysis is essential to good strategic formulation and implementation Generating and evaluating strategic options in order to devise a strategy to realise the vision The role of the board in implementing strategy and the importance of operational capability, integration of decisions, risk and measurement Schedule The Certificate and Diploma in Company Direction are structured to minimise the time spent away from the demands of your business. To obtain the Certificate in Company Direction delegates must complete 10 days of course attendance at Loughborough University, and then pass the examination. Having completed the full Certificate programme, the Diploma in Company Direction is gained by attending an intensive 3-day course followed by examination. A list of venues will be supplied on application. The full programme plus examinations must be completed within a two-year period to be awarded the qualification. Alternatively, modules can be taken as one-off short courses. The modules run from 9am to 5pm. Overnight accommodation is not required. However, should delegates wish to stay overnight, accommodation is available at the University s own 4-star hotel ( or at a local hotel of their choice.

5 The Institute of Directors Company Direction Programme 6 Finance for Non-Financial Directors 3 days Define the financial responsibilities of directors and have the knowledge required for good governance and promotion of shareholder value The ingredients of financial strategy Become familiar with the major statutory financial statements How to assess the financial strength of a company in a structured way using typical financial ratios Differentiate between management and financial accounting Monitoring financial performance and the importance and positioning of Key Performance Indicators (KPI) Funding and the various sources of capital Why companies fail The Director s Role in Leading the Organisation 2 days How corporate strategy drives organisational structure and resource requirements, which the board must monitor and review The board must demonstrate the importance of organisational development by adopting the principles of the learning board Successful strategic change initiatives require board level sponsorship, on-going direction and tenacious leadership Organisational performance measures should be aligned to strategic objectives and to corporate culture I met some very interesting people, and in some ways the discussion and personal experience were as important and interesting as the topics themselves. Anthony Ridding, Company Direction Programme graduate How you are taught The Certificate and Diploma in Company Direction are based on a blended learning principle a set of modules combining focussed short courses with e-learning, making them the most time-efficient way to keep you up to date with your changing responsibilities as a director. Who should attend Directors, including SME directors and those of owner-managed companies or family businesses, newly appointed directors and senior executives shortly to become directors. Teaching is delivered through group activities, using interactive materials and the critical review of case studies. All certificate courses are supported by post-course e-learning. The IoD s Learning Zone offers delegates various online tools to assist with their exam revision and to reinforce the knowledge gained during the face-to-face element of the workshops.

Overnight accommodation however is not included in the fees. VAT is not applicable to tuition fees. Cancellation and Transfer In the event of a cancellation or transfer, requests must be received 20 working days prior to the commencement of each course. Where requests are received between 10 and 20 working days 50% of the fee will be forfeited. If less than 10 working days notice of cancellation is given, all fees are forfeited. Please note that in the event of a transfer to another centre a transference fee of per module day is payable.
