1 ELECTRONIC RECORDS DISCLOSURE AND AGREEMENT DISCLOSURE REQUIRED BY FEDERAL LAW Please read this Electronic Records Disclosure and Agreement carefully and keep a copy for your records. This disclosure applies to communications that we are legally required to provide to you and other communications that we provide to you in connection with any or all of your accounts, products and services. AGREEMENT This Electronic Records Disclosure and Agreement (the E-Agreement ) is a contract that establishes the terms governing the electronic delivery of various records and disclosures related to your accounts at Coastway Community Bank. By entering into this E-Agreement, you are accepting all of the terms and conditions herein. Please read carefully. Under this E-Agreement, we, us, our, the Bank, and Coastway mean Coastway Community Bank. You and your refer to each accountholder affected by this E-Agreement. PLEASE NOTE: This E-Agreement is a separate and distinct agreement pertaining only to the electronic delivery of account-related records and disclosures. Please refer to the Online Banking Agreement and Disclosure included below for the terms, conditions and agreements governing other electronic banking services you receive from Coastway Community Bank. YOUR CONSENT IS REQUIRED You must consent to receiving account-related records and disclosures before we can provide them to you electronically. You understand and agree that Coastway may provide to you in electronic format only, by posting the information on the website where you access your account, product or service, or through (if applicable and if you have provided a valid address) agreements, disclosures, notices, and other information and communications regarding your accounts, services and products, the use of any online banking websites or any other web services, your relationship with us, and/or other programs, products or services that are or may be in the future made available to you ("Communications"). Such Communications may include, but are not limited to: This E-Agreement and any updates; Other service or user agreements for online access to Coastway s website(s), all updates to these agreements and all disclosures, notices and other communications regarding online banking and transactions you make within online banking or through other Coastway websites; Disclosures, agreements, notices and other information related to the opening or initiation of an account, product or service including, but not limited to, account agreements, fee schedules or other disclosures or notices that may be required by the Truth in Savings Act, Electronic Fund Transfer Act, Truth in Lending Act, the Equal Credit Opportunity Act, the Fair Credit Reporting Act, the Gramm Leach Bliley Act, the Real Estate Settlement Procedures Act or other applicable federal or state laws and regulations; Periodic, annual, monthly or other statements, disclosures and notices relating to the maintenance or operation of an account, product or service including, but not limited to account information, account activity, account inactivity, payments made or due, or other statements, disclosures or notices that may be required by the Truth in Savings Act, Electronic Fund Transfer Act, Truth in Lending Act, the Equal Credit Opportunity Act, the Fair Credit Reporting Act, the Gramm Leach Bliley Act, the Real Estate Settlement Procedures Act or other applicable federal or state laws and regulations; Any notice or disclosure regarding an account, product or service fee, such as a late fee, an overdraft fee, an overlimit fee, a fee for a draft, check or electronic debit returned for any reason, such as insufficient funds fee or a fee as a result of a stop payment order; Any notice of the addition of new terms and conditions or the deletion or amendment of existing terms and conditions applicable to accounts, products or services you obtain from us; Our Privacy Policy and other privacy statements or notices (by posting such notices on our website); Certain tax statements or notices that we are legally required to provide to you, such as the annual IRS interest statements; and Certain information or forms that we request from you and ask you to submit electronically, such as signature cards, W-9s, or other agreements. PAPER COPY OF RECORDS AND DISCLOSURES If you do not want to receive all account-related records and disclosures, you should exit this area of our web site. If you do not consent to receiving an electronic copy of all account-related records and disclosures, we will not be able to offer you any of the electronic banking services described in the Online Banking Agreement and Disclosure. You may visit any of our locations and speak with a financial services representative. A list of our locations may be found at our Web site. If you consent to receive all account-related records and disclosures electronically, you can also request a paper copy of the related records and disclosures by contacting our Contact Center by 1

2 phone at the number listed on our Web site. If you request a paper copy of electronic records and disclosures, a fee may be assessed per our current Account Activity Charges schedule. YOUR RIGHT TO WITHDRAW CONSENT You may withdraw your consent to receive electronic records and disclosures by notifying us in writing at: Coastway Community Bank, ATTN: Contact Center, One Coastway Blvd., Warwick, RI It may take up to thirty (30) days from receipt of your written notice of cancellation to implement your request. If you withdraw your consent to receive electronic records and disclosures, we may terminate your ability to access and use any other electronic banking services you have requested. OUR RIGHT TO TERMINATE You agree that we may terminate this E-Agreement for any reason at any time. SYSTEM REQUIREMENTS TO ACCESS INFORMATION To receive electronic records and disclosures, you must have the following equipment and software: You must have a personal computer or other access device, which is capable of accessing the Internet (e.g., you must have a modem and available phone line, a cable Internet connection or some other means of access to the Internet, and you must have an active account with an Internet service provider). Your access to this page verifies that your system meets these requirements. You must have an Internet web browser which is capable of supporting 128-bit SSL encrypted communications, which requires a minimum web browser version of either Microsoft Internet Explorer version 6.0 or Netscape Navigator version 4.73, and your system must have 128-bit SSL encryption software. Your access to this page verifies that your browser and encryption software meet these requirements. You must have software which permits you to receive and access Portable Document Format or PDF files, such as Adobe Acrobat Reader version 5.1 or higher (available for downloading at Your access to this page verifies that your system has the necessary software to permit you to receive and access PDF files. SYSTEM REQUIREMENTS TO RETAIN THE INFORMATION To retain electronic records and disclosures, your system must have the ability to either download (e.g., to your hard disk drive or a floppy diskette) or print PDF files. You must have a functioning printer connected to your personal computer or other access device, which is able to print the records and disclosures on plain white 8½ x 11 inch paper. UPDATING ELECTRONIC CONTACT INFORMATION You agree to provide us with valid electronic contact information (such as an address) at all times. If you change your electronic contact information, you agree to promptly notify us of the change. You must notify us in writing at: Coastway Community Bank, ATTN: Contact Center, One Coastway Blvd., Warwick, RI EXCLUSION OF WARRANTIES This service and related documentation are provided as is without any warranty of any particular kind either expressed or implied, including, but not limited to the implied warranties of merchantability and fitness for particular purpose. ALTERATIONS AND AMENDMENTS The terms of this E-Agreement, applicable fees, and service charges may be altered or amended by us from time to time. In such event, we shall send notice to you at your address as it appears on our records. Any continuation of your use of this service after we send you a notice of change will constitute your agreement to such changes. Further, we may, from time to time, revise or update the program, services, and/or related materials, rendering prior versions obsolete. Consequently, we reserve the right to terminate this E-Agreement as to all such prior versions of the programs, services, and/or related materials and to limit access to our more recent versions and updates. ASSIGNMENT You may not assign this E-Agreement to any other party. We may assign this E-Agreement to any present or future, directly or indirectly, affiliated company. We may also assign or delegate certain of our rights and responsibilities under this E-Agreement to independent contractors or other third parties. 2

3 NO WAIVER Coastway Community Bank shall not be deemed to have waived any of its rights or remedies hereunder unless such waiver is in writing and signed by a Bank representative. No delay or omission on the part of the Bank in exercising any right or remedy shall operate as a waiver of such right or remedy or any other rights or remedies. A waiver on any particular occasion shall not be construed as a bar or waiver of any rights or remedies on future occasions. CAPTIONS The captions of sections hereof are for convenience only and shall not control or affect the meaning or construction of any of the provisions of this E-Agreement. GOVERNING LAW The laws of the State of Rhode Island and applicable Federal laws and regulations shall govern this E-Agreement. 3

4 ONLINE BANKING AGREEMENT AND DISCLOSURE This disclosure includes separate information about the FinanceWorks and Purchase Rewards features of Coastway Community Bank s electronic banking services. These are two services designed to make managing your finances online easier than ever before. Both of these features are free and optional to use. This means that the terms and conditions specific to the FinanceWorks and Purchase Reward features are effective only if you accept them here and then begin using the products. FinanceWorks is a personal financial management tool that allows you to view your complete spending picture in one place regardless of where the purchase information comes from. The Purchase Rewards product enables you to receive cash back on goods and services that you already buy today. Please review the FinanceWorks & Purchase Rewards Offers End User License Agreement, included at the end of this Online Banking Agreement and Disclosure, for details. 1. SCOPE OF AGREEMENT This Online Banking Agreement and Disclosure (the "Agreement") applies to the electronic banking services you receive from Coastway Community Bank ( Online Services ). This Agreement is provided to you in accordance with the requirements of federal and state law. You should read this Agreement carefully to understand how Online Services work, as well as your rights and obligations if you enroll in and use Online Services. By using Online Services, or authorizing others to use Online Services, you acknowledge that you have received and understand the terms of this Agreement and agree to the terms and conditions of this entire Agreement, as well as all of the other agreements that also govern your account(s) with us. This Agreement supplements the terms and conditions in the deposit account agreement that governs your deposit accounts. This Agreement applies only to personal banking accounts owned by a natural person/consumer for personal, household or family purposes, and not to business banking accounts. Under this agreement, we, us, our, the Bank, and Coastway mean Coastway Community Bank. You and your refer to each accountholder that has requested Online Services. When your Online Services is linked to one or more joint accounts, we may act on the oral, written or electronic instructions of any authorized signer regarding your service for those accounts. Each person on a joint account will be liable for all transactions that are made on that account by all other joint account holders of the account. It is your responsibility to notify us if a signer should no longer be given access to the joint account through the Online Services. Notices sent to the address of one account owner are binding on all account owners. We recommend that you print or store a copy of this Agreement for your records. If you are unable to print or store a copy of this Agreement or if you experience computer or printer malfunctions, please contact us and we will mail you a paper copy of this Agreement. 2. ELECTRONIC COMMUNICATIONS As provided more fully in the Electronic Records Disclosure and Agreement you agreed to concurrently with your enrollment in Online Services, you agree to receive this Agreement and any and all disclosures or notices required by applicable law and all other communications electronically to the address you designate in your profile. You also agree that we may respond to any communication you send to us with an electronic communication, regardless of whether your original communication to us was an electronic communication. Any electronic communication we send to you will be considered received within three (3) calendar days of the date sent by us to the address you designate in your profile, regardless of whether you log on to Online Services within that time frame. To the extent permissible under applicable law, any electronic communication you send to us will not be effective until we receive and have had a reasonable opportunity to act on such message. You should not rely on if you need to communicate with us on an immediate basis. If you do need to contact us immediately (for example, to report alleged unauthorized transfers or errors, or to request stop payments), we strongly suggest that you contact us as noted below. We may, however, require you to provide us with written confirmation of any verbal or electronic stop payment request or notice of alleged error. We will not send you requesting confidential information such as account numbers, PINs, or passwords. 5 We request that you do not send us or request sensitive information such as account numbers, passwords, account information, etc. via any public system. If you wish to send us a message electronically, please use the Contact Us option located on our website 3. SECURITY AND PROTECTING YOUR ACCOUNT. We are committed to protecting the security and confidentiality of information about you and your bank account(s). We use several different security methods to protect your account information: You will be asked for your Login ID and Password each time you access Online Services; You can only access Online Services with certain browsers that have high security standards; If we do not recognize your computer, we will ask you one of your challenge questions to verify your identity; Online Services will automatically log off if prolonged periods of inactivity occur; Coastway account data systems are protected by firewalls between our systems and the Internet You understand the importance of your role in preventing misuse of your accounts through Online Services and you agree to promptly examine your paper/electronic statement for each of your Coastway accounts as soon as you receive it. You agree to protect the confidentiality of your account and account number, and your personal identification information, such as your driver's license number and social security number. You understand that personal identification information by itself or together with information related to your account, may allow unauthorized access to your account. Your password and Login ID are intended to provide security against unauthorized entry and access to your accounts. Data transferred via Online Services is encrypted in an effort to provide transmission security and Online Services utilizes identification technology to verify that the sender and receiver of Online Services transmissions can be appropriately identified by each other. Notwithstanding our efforts to insure that the Online Services system is secure, you acknowledge that the Internet is inherently insecure and that all data transfers, including electronic mail, occur openly on the Internet and potentially can be monitored and read by others. We cannot and do not warrant that all data transfers utilizing Online Services, or transmitted to and from us, will not be monitored or read by others. For security purposes, you are required to change your password upon your initial login to Online Services. You determine what password you will use and the identity of your password is not communicated to us. You agree that we are authorized to act on instructions received under your password. You accept responsibility for the confidentiality and security of your password and agree to change your password regularly. Upon five (5) unsuccessful attempts to use your password, your access to Online Services will be revoked. To re-establish your authorization to use Online Services, you must contact us to have your password reset or to obtain a new temporary password. You are required to create a password that utilizes both upper and lower case alpha, numeric and special characters for purposes of security. Your password should not be associated with any commonly known personal identification, such as social security numbers, addresses, dates of birth, names of children, etc., and should be memorized rather than written down. 4. PERMISSIBLE BANKING TRANSACTIONS FOR ONLINE SERVICES A. Account Information You may check the balance of the Online Account(s) you have selected for online access. The account balance shown will be current as of the time of your inquiry. The account balance may include deposits still subject to verification by us and may not include deposits or loans in process, outstanding checks or payments, or other withdrawals, payments, credits, charges or debits. B. Fund Transfers You may transfer funds between the deposit accounts that you have selected for online access in any amount. When you request a fund transfer using this service, you authorize us to follow the transfer instructions and transfer the funds from the designated originating account to the designated recipient account. The day we make the transfer is called the Transaction Date. We may refuse to act on your fund transfer instructions if there are not sufficient available funds in your account, including funds available under any linked overdraft plan, on the Transaction Date. Funds transferred to the designated recipient account will be deemed deposited on the Transaction Date and will be available thereafter in accordance with our funds availability policy. You may not delete or modify a one-time transfer once you have completed and submitted the Transfer Instructions online. You may reverse the transaction by transferring the funds back to the account from which it was moved. C. Online Bill Payment Service The Online Bill Payment Service is an optional service available to all customers with a Coastway checking account in good standing. When you enroll in the Online Bill Payment Service you will receive a separate Electronic Bill Payment Authorization agreement that 5

6 will govern the specific terms, conditions and uses of the Online Bill Payment Service. D. Limits and Transfers from Your Online Accounts Your ability to transfer funds from or between certain of your Accounts with Online Services may be limited, as more fully described in your deposit account agreement. Federal regulations limit your ability to make transfers from your Savings and Money Market Accounts to one of your other Accounts or to third parties by preauthorized, automatic, personal computer, including online banking and bill payment services, to six (6) per monthly statement period. No more than three (3) of these six (6) transfers or payments may be made by check, draft or other similar item. We will impose an Excess Check Fee for each check which exceeds this limit. Transactions performed via the Bill Payment Service are included in the limited number of transactions on these accounts. For Access High Yield Savings accounts, you may not make more than two withdrawals or transfers per statement period. Each additional withdrawal or transfer will be charged an Excess Transaction Fee. If you exceed these permitted limits repeatedly, we may convert your account to a transaction account. If your account is converted to a transaction account, you will be informed of the change and the characteristics of your new account. Your ability to transfer funds from your accounts may also be subject to other restrictions and service charges under your Coastway deposit account agreement. You should review the deposit account agreement carefully for information regarding all applicable limitations and service charges. E. New Services New services may be periodically introduced for Online Services. We will notify you of the existence of these new services. By using these services as they become available, you agree to be bound by the rules that will be made available to you concerning these services. 5. STOP PAYMENTS Online Banking transactions are real time and cannot be canceled except by performing corresponding reverse transactions. You may be able to stop payment on certain Bill Payment transactions by contacting Coastway by: Calling OR Writing to: , Coastway Community Bank Monday- Friday, 8:00 am - 4:30 pm ATTN: Contact Center One Coastway Blvd. Warwick, RI SCHEDULE OF CHARGES The Bank makes the benefits and convenience of Online Services available to you free of charge. There may be fees imposed in connection with Bill Payment Services. Please see the Terms and Conditions for the service for information regarding any fees and charges. 7. ACCOUNT STATEMENTS Customers using Online Services or Bill Payment services will continue to receive regular account statements either monthly or quarterly, depending on the type of account and nature of transactions. Online banking and Bill Payment transactions will be itemized on the regular account statements. 8. VIRUS PROTECTION Coastway is not responsible for any electronic virus or viruses that you may encounter. We suggest that you routinely scan your personal computer using a virus protection product. An undetected virus may corrupt and destroy your programs, files and hardware. 9. NO SIGNATURE REQUIRED When any particular payment or other online service agreement generates items to be charged to your account, you agree that we may debit your account without requiring your signature on the item, and without prior notice to you. 10. THE BANK S BUSINESS DAYS For purposes of Online Services, the Bank s business days are Monday through Friday, excluding federal and state bank holidays. 6

7 11. DISCLOSURE OF INFORMATION TO THIRD PARTIES It is our general policy to treat your account information as confidential. However, we will disclose information to third parties about your account or the transactions you make ONLY in the following situations: Where it is necessary for completing transactions; Where it is necessary for activating additional services; In order to verify the existence and condition of your account to a third party, such as a credit bureau or merchant; In order to comply with a governmental agency or court orders; If you give us your written permission Including ), or; To our employees, auditors, service providers, attorneys or collection agents in the course of their duties. 12. INACTIVITY AND TERMINATION OF THIS AGREEMENT You are responsible for complying with all the terms of this Agreement and with the terms and conditions of all other disclosures and agreements governing the deposit & loan accounts which you access using Online Services. We can terminate your Online Services privileges (including Bill Payment Services) under this Agreement without notice to you if you do not comply with the agreement governing your deposit or loan accounts or your accounts are not maintained in good standing. If you do not log on to Online Services or the Bill Payment Service or have any transaction scheduled through Online Services or the Bill Payment Service during any consecutive one hundred eighty (180) day period, we may deactivate your ability to use Online Services and/or the Bill Payment Service without notice. If your account is considered inactive, you must contact us to have your Online Services and Bill Payment Service activated before you will be able to schedule any transaction through either service. 13. CANCELLATION To cancel Online Services, you must notify the Bank and provide your name, address and account information, and the effective date to stop the service. WAIVERS No delay or omission by Coastway in exercising any rights or remedies hereunder shall impair such right or remedy or be construed as a waiver of any such right or remedy. Any single or partial exercise of a right or remedy by us shall not preclude further exercise therefore or the exercise of any other right or remedy by Coastway. No waiver by Coastway shall be valid unless in writing signed by the Bank. 16. AMENDMENTS This Agreement for online banking services may be amended from time to time by the Bank or by mutual agreement of us and you. We shall give you notice of any amendment made by us unilaterally, which notice may be provided electronically or in writing. Any amendment agreed to by us and you shall be expressed in a written agreement signed by both parties. 17. ENTIRE AGREEMENT This Agreement and the Electronic Bill Payment Authorization agreement are the complete and exclusive agreements between you and the Bank related to Online Services, and supplement any other agreements or disclosures related to your deposit accounts or loan accounts with the Bank. In the event of a conflict between this Agreement and any other agreement or disclosures related to your deposit accounts or other accounts or any statement by our employees or agents, this Agreement shall control. 18. OUR LIABILITY FOR FAILURE TO TRANSFER FUNDS OR COMPLETE BILL PAYMENTS If we debit your account incorrectly or your payment is sent to a person or entity different than set out in your payment instructions, we 7

8 will be responsible for returning the improperly transferred funds to your payment account and for resending the payment properly. If we do not complete a transfer or bill payment to or from your account on time or in the correct amount in accordance with your transfer or payment instructions, we will be liable for your direct losses or damages but, unless prohibited by applicable law, not any consequential or special damages. However, there are some exceptions. We will not be liable, for instance, if: You did not properly follow the provisions of this Agreement, the online instructions for Online Services, or other instructions for making a transfer or payment; You choose a payment date that is not equal to or earlier than the payee biller's bill payment Due Date, or not the late date and/or a date within the grace period; Through no fault of ours, you do not have enough funds in your Account(s) to make a transfer or payment; The transfer will exceed the credit limit on your overdraft line of credit with us; Your computer, the software, phone lines, our computer systems or Online Services were not working properly or were temporarily unavailable, and this problem was apparent to you when you attempted the transfer or payment or you were advised by Online Services about the malfunction before you executed the transaction; Circumstances beyond our control prevented the transfer or payment, despite reasonable precautions that we have taken, including telecommunication outages, postal strikes, fires, floods or other natural disasters; We have paid funds from, or placed a "hold" on funds in your account or remitted funds to another party, pursuant to reasonable business procedures, or in compliance with legal processes such as a garnishment, tax levy or court order; You have not provided the Bill Payment Service with the correct names, phone numbers, or account information of your biller; We have received incomplete or inaccurate information from you or a third party involving the account with respect to a transfer or payment; The biller mishandles or delays a payment sent by the Bill Payment Service; We have reasonable basis to believe that unauthorized use of your Login ID, Password or Account has occurred or may be occurring; We or you have terminated your Online Services or closed your account to which the Login ID was linked; You have supplied your login information to another party; For any other reason specified in this Agreement or any other agreement we have with you. If your profile or one of the funding accounts is inactivated, any pending payments and recurring models will be cancelled. If you are reactivated at any time, these pending payments and recurring models have been cancelled and will never process. Any recurring models that were previously added will have to be set up again. 19. LIMITED LIABILITY Except as specifically provided in this Agreement or where Applicable Law requires a different standard, you agree that neither we or any third party service provider engaged by us to perform any of the services related to Online Service, shall be responsible for any damages or losses, whether related to property or bodily injury, incurred as a result of your using or attempting to use Online Service, whether caused by equipment, software, Internet Service Providers, browser software or any agent or subcontractor of any of the foregoing. Without limiting the foregoing, we will not be liable for delays or mistakes which happen because of reasons beyond our control, including without limitation, acts of civil, military or banking authorities, national emergencies, insurrection, war, riots, acts of terrorism, failure of transportation, communication or power supply, or malfunction or unavoidable difficulties with our equipment. You also agree that we or any third party service provider that we engage with, will not be responsible for any direct, punitive, special or consequential, economic or other damages arising in any way out of the installation, use or maintenance of the equipment, software, Online Service or Internet Browser or access software, or from the unavailability of Online Service or for any errors in information provided through Online Service. If a court finds that we are liable to you because of what we did (or did not do, as the case may be) under or in connection with this Agreement, you may recover from us only your actual damages, in an amount not to exceed the total fees and charges paid by you to us under and in connection with this Agreement during the 6 month period immediately preceding the event giving rise to our liability. You agree that the dollar limitation described in the preceding sentence is reasonable, to the extent permitted by Applicable Law. UNLESS PROHIBITED BY APPLICABLE LAW, IN NO EVENT WILL YOU BE ABLE TO RECOVER FROM US ANY SPECIAL, CONSEQUENTIAL, EXEMPLARY, INDIRECT, INCIDENTAL OR PUNITIVE DAMAGES OR LOST PROFITS, EVEN IF YOU ADVISE US OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES, SUBJECT TO APPLICABLE LAW. UNLESS THE DISCLAIMER OF SUCH WARRANTIES IS PROHIBITED BY APPLICABLE LAW, ONLINE SERVICE IS PROVIDED AS IS, AND WE MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO ONLINE SERVICE, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGMENT. 8

ADDRESS OR BANKING CHANGE We will rely on your address as it appears on our records for any and all communications we send to you unless you notify us of a change of address by: Calling OR Writing to: , Coastway Community Bank Monday- Friday, 8:00 am - 4:30 pm ATTN: Contact Center One Coastway Blvd. Warwick, RI and we have had a reasonable opportunity to act on such notice. You also agree to notify us in writing at the above address at least ten (10) Business Days in advance of any change in your banking status or other customer information, such as your address or phone number. 21. PROVISIONS SEVERABLE If any provision of this Agreement is held to be void or unenforceable by a court of competent jurisdiction, or any governmental agency, that provision will continue to be enforceable to the extent permitted by that court or agency, and the remainder of that provision will no longer be treated as part of this Agreement. All other provisions of this Agreement will, however, remain in full force and effect. 22. BANKING ALERTS Coastway and wireless banking alerts service enables you to receive notices from time to time concerning available balance information and other issues relating to your account(s). If you want to receive and wireless banking alerts, you must separately sign up for them. By signing up to receive one or more of the notices that are offered by the banking alerts service, you acknowledge that you are aware of and agree to abide by the following terms and conditions, as well as any other terms and conditions presented when signing up for and wireless banking alerts: The banking alerts service allows you to request and receive wireless and messages about your accounts with the Bank. We send banking alerts to you based upon the instructions you provide to us. The mobile phone numbers and address(es) you provide are neither reviewed nor verified by us prior to or following activation of the banking alerts service. You hereby acknowledge and accept that each banking alert is sent to you without being encrypted and may include information pertaining to your account(s). You may receive banking alerts through a text- or web-enabled mobile device, an account that is accessed via a personal computer, or both. It is your responsibility to determine if your mobile service provider supports text messaging and your telephone or other mobile device is capable of receiving text messages. Coastway banking alerts are subject to the terms and conditions of your agreement(s) with your cellular phone carrier and/or internet service provider. You are responsible for any fees imposed by your cellular phone service and internet service provider of any kind whatsoever. You acknowledge and agree that your receipt of any banking alerts may be delayed or prevented by factor(s) affecting your cellular phone service provider, internet service provider(s) and other factors outside our control. We neither guarantee the delivery nor the accuracy of the contents of each banking alert. You agree to not hold the Bank, its directors, officers, employees and agents liable for losses or damages, including attorneys' fees, that may arise, directly or indirectly, in whole or in part, from (a) a non-delivery, delayed delivery, or the misdirected delivery of a banking alert; (b) inaccurate or incomplete content in a banking alert; or (c) your reliance on or use of the information provided in a banking alert for any purpose. We provide this service as a convenience to you for information purposes only. A banking alert does not constitute a bank record for the deposit or credit account to which it pertains. We reserve the right to terminate our banking alerts service or begin charging a fee for such service at any time without prior notice to you. Nothing contained herein shall amend, supersede or nullify anything contained in any other agreement you have made with us. 23. UNATHORIZED TRANSFERS Consumer Liability - Generally You will be liable for unauthorized Online Services transactions from your deposit account to the extent allowed by applicable federal and state law and this agreement. 9

10 Tell us AT ONCE if you believe that any Login ID, Password, or other access code you use for Online Services has been lost or stolen or used without your permission. Telephoning is the best way of keeping your possible losses down. You could lose all the money in your account (plus your maximum overdraft line of credit). If you tell us within 2 business days after you learn of the loss or theft, you can lose no more than $50 if someone used your access information without your permission. If you do NOT tell us within 2 business days after you learn of the loss or theft, and we can prove we could have stopped someone from using your access information without your permission if you had told us, you could lose as much as $500. Also, if your statement shows transfers that you did not make, including those made by card, code or other means, tell us at once. If you do not tell us within 60 days after the statement was mailed to you, you may not get back any money you lost after the 60 days if we can prove that we could have stopped someone from taking the money if you had told us in time. If a good reason (such as a long trip or a hospital stay) kept you from telling us, we will extend the time periods. We must hear from you no later than 60 days after we sent the FIRST statement on which the problem or error appeared. 1) Tell us your name and account number (if any); 2) Describe the error or the transfer you are unsure about, and explain as clearly as you can why you believe it is an error or why you need more information. 3) Tell us the dollar amount of the suspected error. If you tell us orally, we may require that you send us your complaint or question in writing within 10 business days. We will determine whether an error occurred within 10 business days (20 business days if the transfer involved a new account) after we hear from you and will correct any error promptly. If we need more time, however, we may take up to 45 days (90 days if the transfer involved a new account, a point-of-sale transaction, or a foreign-initiated transfer) to investigate your complaint or question. If we decide to do this, we will credit your account within 10 business days (20 business days if the transfer involved a new account) for the amount you think is in error, so that you will have the use of the money during the time it takes us to complete our investigation. If we ask you to put your complaint or question in writing and we do not receive it within 10 business days, we may not credit your account. Your account is considered a new account for the first 30 days after the first deposit is made, unless each of you already has an established account with us before this account is opened. We will tell you the results within three business days after completing our investigation. If we decide that there was no error, we will send you a written explanation. You may ask for copies of the documents that we used in our investigation. 10

11 FinanceWorks & Purchase Rewards Offers -- End User License Agreement In addition to the above content, if you decide to use either FinanceWorks or the Purchase Rewards Offers application, you acknowledge and agree to the following terms and conditions of service. LICENSE GRANT AND RESTRICTIONS You are granted a personal, limited, non-exclusive, non-transferable license, to electronically access and use the FinanceWorks Service (the Service ) solely to manage your financial data, and the purchase rewards application ( Purchase Rewards Offers ) to benefit from your debit card purchases. In addition to the FinanceWorks Service and the Purchase Rewards Offers, the terms "Service" and Purchase Rewards Offers also include any other programs, tools, internet-based services, components and any "updates" (for example, Service maintenance, Purchase Rewards information, help content, bug fixes, or maintenance releases, etc.) of the Service or Purchase Rewards Offers if and when they are made available to you by us or by our third party vendors. Certain Service and Purchase Rewards Offers may be accompanied by, and will be subject to, additional terms and conditions. You are not licensed or permitted to do any of the following and you may not allow any third party to do any of the following: (i) access or attempt to access any other systems, programs or data that are not made available for public use; (ii) copy, reproduce, republish, upload, post, transmit, resell or distribute in any way the material from the FinanceWorks site or from the Purchase Rewards Offers program; (iii) permit any third party to benefit from the use or functionality of the Service or Purchase Rewards Offers, or any other services provided in connection with them, via a rental, lease, timesharing, service bureau, or other arrangement; (iv) transfer any of the rights granted to you under this license; (v) work around any technical limitations in the Service, use any tool to enable features or functionalities that are otherwise disabled in the Service, or decompile, disassemble, or otherwise reverse engineer the Service except as otherwise permitted by applicable law; (vi) perform or attempt to perform any actions that would interfere with the proper working of the Service or Purchase Rewards Offers or any services provided in connection with them, prevent access to or the use of the Service, Purchase Rewards Offers or any or services provided in connection with them by other licensees or customers, or impose an unreasonable or disproportionately large load on the infrastructure while using the Service; or (vii) otherwise use the Service, Purchase Rewards Offers or any services provided in connection with them except as expressly allowed under this section. OWNERSHIP The Service and Purchase Rewards Offers are protected by copyright, trade secret and other intellectual property laws. You do not have any rights to the trademarks or service marks. YOUR INFORMATION AND ACCOUNT DATA WITH US You are responsible for (i) maintaining the confidentiality and security of your access number(s), password(s), security question(s) and answer(s), account number(s), login information, and any other security or access information, used by you to access the Service, Purchase Rewards Offers or any services provided in connection with them, and your accounts with us (collectively, "Licensee Access Information"), and (ii) preventing unauthorized access to or use of the information, files or data that you store or use in or with the Service, Purchase Rewards Offers or any services provided in connection with them (collectively, "Account Data"). You are responsible for providing access and assigning passwords to other users, if any, under your account for the Service, Purchase Rewards Offers or any services provided in connection with them, and ensuring that such authorized users comply with this Agreement. You will be responsible for all electronic communications, including account registration and other account holder information, and financial, accounting and other data ("Communications") entered using the Licensee Access Information. It is assumed that any Communications received through use of the Licensee Access Information were sent or authorized by you. You agree to immediately notify us if you become aware of any loss, theft or unauthorized use of any Licensee Access Information. We reserve the right to deny you access to the Service, Purchase Rewards Offers or any services provided in connection with them (or any part thereof) if we reasonably believe that any loss, theft or unauthorized use of Licensee Access Information has occurred. You must inform us of, and hereby grant to us and our third party vendors permission to use, Licensee Access Information to enable us to provide the Service, Purchase Rewards Offers or any services provided in connection with them to you, including updating and maintaining Account Data, addressing errors or service interruptions, and to enhance the types of data and services we may provide to you in the future. We may use anonymous, aggregate information, which we collect and store, or which is collected and stored on our behalf by third party vendors, to conduct certain analytical research and help us to create new offerings and services for our customers. As we make additional offerings and online banking services available to you, some of which may rely on banking information maintained in your accounts, you will have the opportunity to participate in the services if you choose. If you choose not to participate, you do not need to notify us. We may also use anonymous, aggregate information which we collect and store, or which is collected and stored on our behalf by third party vendors, to (i) conduct database marketing and marketing program execution activities; (ii) publish summary or aggregate results relating to metrics comprised of research data from time to time; and (iii) distribute or license such aggregated research data to third parties. Additionally, automated technology may be used to tailor messages or advertisements that best reflect your interest and needs. 11

12 YOUR INFORMATION AND ACCOUNT DATA WITH OTHER FINANCIAL INSTITUTIONS Our financial management tools allow you to view accounts that you may have outside our financial institution (this is a process called aggregation ). When you choose to use online financial services which are applicable to data that you have transacted with other financial institutions or card issuers, you are consenting to us accessing and aggregating your data from those outside financial institutions. That data includes your financial institution account access number(s), password(s), security question(s) and answer(s), account number(s), login information, and any other security or access information used to access your account(s) with other financial institutions, and the actual data in your account(s) with such financial institution(s) such as account balances, debits and deposits (collectively, "Financial Account Data"). In giving that consent, you are agreeing that we, or a third party vendor on our behalf, may use, copy and retain all non-personally identifiable information of yours for the following purposes: (i) as pertains to the use, function, or performance of the services which you have selected; (ii) as necessary or useful in helping us, or third parties on our behalf, to diagnose or correct errors, problems, or defects in the services you have selected; (iii) for measuring downloads, acceptance, or use of the services you have selected; (iv) for the security or protection of the services you have selected; (v) for the evaluation, introduction, implementation, or testing of the services you have selected, or their upgrade, improvement or enhancement; (vi) to assist us in performing our obligations to you in providing the services you have selected. If we make additional online financial services available to you which are applicable to data that you have transacted with other financial institutions or card issuers, and which we will aggregate at this site, we will separately ask for your consent to collect and use that information to provide you with relevant offers and services. If you give us your consent, you will be agreeing to permit us to use Financial Account Data to help us suggest savings opportunities or additional products and services to you. If you select services that are offered by third parties or merchants through such offers or on our behalf, you will be agreeing that we have your consent to give such third parties or merchants your geographic location, and other data, collected and stored in aggregate, as necessary for such third parties or merchants to make their offerings and services available to you and to permit us to use Financial Account Data to help us suggest savings opportunities or additional products and services to you. Except as specified here, we and the third parties or merchants acting on our behalf shall not use or keep any of your personally identifiable information. USE, STORAGE AND ACCESS We shall have the right, in our sole discretion and with reasonable notice posted on the FinanceWorks site and/or sent to your address provided in the Registration Data, to establish or change limits concerning use of the Service and any related services, temporarily or permanently, including but not limited to (i) the amount of storage space you have available through the Service at any time, and (ii) the number of times (and the maximum duration for which) you may access the Service in a given period of time. We reserve the right to make any such changes effective immediately to maintain the security of the system or Licensee Access Information or to comply with any laws or regulations, and to provide you with electronic or written notice within thirty (30) days after such change. You may reject changes by discontinuing use of the Service and any related services to which such changes relate. Your continued use of the Service or any related services will constitute your acceptance of and agreement to such changes. Maintenance of the Service or any related services may be performed from time-to-time resulting in interrupted service, delays or errors in such Service or related services. Attempts to provide prior notice of scheduled maintenance will be made, but we cannot guarantee that such notice will be provided. THIRD PARTY SERVICES In connection with your use of the Service, Purchase Rewards Offers, or any other services provided in connection with them, you may be made aware of services, products, offers and promotions provided by third parties, ("Third Party Services"). If you decide to use Third Party Services, you are responsible for reviewing and understanding the terms and conditions governing any Third Party Services. You agree that the third party is responsible for the performance of the Third Party Services. THIRD PARTY WEBSITES The Service may contain or reference links to websites operated by third parties ("Third Party Websites"). These links are provided as a convenience only. Such Third Party Websites are not under our control. We are not responsible for the content of any Third Party Website or any link contained in a Third Party Website. We do not review, approve, monitor, endorse, warrant, or make any representations with respect to Third Party Websites, and the inclusion of any link in the Service, Purchase Rewards Offers or any other services provided in connection with them is not and does not imply an affiliation, sponsorship, endorsement, approval, investigation, verification or monitoring by us of any information contained in any Third Party Website. In no event will we be responsible for the information contained in such Third Party Website or for your use of or inability to use such website. Access to any Third Party Website is at your own risk, and you acknowledge and understand that linked Third Party Websites may contain terms and privacy policies that are different from ours. We are not responsible for such provisions, and expressly disclaim any liability for them. 12

13 EXPORT RESTRICTIONS You acknowledge that the Service may contain or use software that is subject to the U.S. Export Administration Regulations (15 CFR, Chapter VII) and that you will comply with these regulations. You will not export or re-export the Service, directly or indirectly, to: (1) any countries that are subject to US export restrictions; (2) any end user who has been prohibited from participating in US export transactions by any federal agency of the US government; or (3) any end user who you know or have reason to know will utilize them in the design, development or production of nuclear, chemical or biological weapons. You further acknowledge that this product may include technical data subject to export and re-export restrictions imposed by US law. PURCHASE REWARDS OFFERS If you decide you wish to participate in the Purchase Rewards Offers application, you acknowledge and agree to the following terms and conditions of service. Purchase Rewards. You will earn rewards for your participation in the Purchase Rewards Offers program based on total purchases. If you participate in the Purchase Rewards Offers, we will credit all cash or point rewards earned to your rewards balance and send you a lump sum of all rewards due to you. For any qualifying purchases during the current month, we will distribute the lump sum amount to you during the following calendar month. For example, if the payment date of all rewards end user disbursements is August 30, the applicable Measurement Period would be the calendar month ended July 31. Cash rewards will be deposited in the Purchase Rewards Offers deposit account which is associated with the Purchase Rewards Offers program. Purchase Rewards Offers Account. You must use the debit card associated with the Purchase Rewards Offers account in order to receive the offers which qualify for the rewards. Rewards will not be earned for any portion of your purchase that you pay for with store credit, gift certificates or other payment types. Purchases must be made as indicated in the offers made available under the Purchase Rewards Offers program. Each offer will specify whether the purchase can be made online, at a store location, or by telephone to be eligible for rewards. You must also comply with any guidelines included with the offer, such as offer expiration dates, minimum purchase amounts, purchase limits, etc. You must also pay using the debit card associated with the account that received the Purchase Rewards offer in order for the purchase to qualify. While we and the merchants work hard to properly track and credit all eligible purchases, there may be times that we are unable to do so because of problems with your internet browser, the merchant's web site or our system. Please contact our support team if you believe you have made a qualifying purchase for which you did not receive Rewards. Please note that you will not earn rewards as part of this program if you use a debit card not issued by us or do not have the designated deposit account opened with us at the time of disbursement. You understand and agree that we make no warranties and have no liability as to: Any offers, commitments, promotions, money back, or other incentives offered by any of the merchants in the Purchase Rewards Offers program. The rewards information that we provide to you, which is provided as is and as available. (i) Your inability to comply with offer guidelines, (ii) the accuracy, timeliness, loss or corruption, or mis-delivery, of any qualifying purchase information or any other information, (iii) unauthorized access to your account(s) or to your account information and any misappropriation, or alteration, of your account information or data, to the extent that the unauthorized access results from your acts or omissions, or (iv) your inability to access your account(s) including, but not limited to, failure of electronic or mechanical equipment, interconnect problems with telephone providers or internet service providers, acts of God, strikes, or other labor problems.
