Sales Agent enters this relationship as an independent contractor on a month to month agreement. thing contained within this Agreement shall constitute a hiring by either party nor any other relationship such as employee/employer, joint venture, partnership other than the independent contractor relationship set forth herein. This agreement shall govern the actions and conduct in the Sales Agents Real Estate Sales Business. Should the Sales Agent be involved with the Company in a position other than real estate sales, exhibits to this contract will be added at the end of this agreement and said exhibits will govern the actions in those roles with the Company. 3. Company Supervision. Sales Agent is under the control of Company as to the result of Sales Agent s work only and not as to the means by which such result is accomplished, except to the extent as required by law. Sales Agent shall be the sole determinant of his/her method of conduct of his/her Real Estate sales business, except where such methods are inconsistent with this Agreement, the Company s Policies and Procedures, or the law. The Company shall have no right, except to the extent required by law, to direct or limit Sales Agent s activities as to hours, leads, open houses, prospecting, reports, sales meeting attendance, services, time off, training, vacation, or other similar activities Authority to Bind. Sales Agent shall have no authority to bind the Company by any promise or representation unless specifically authorized in a particular transaction or as defined herein. The Company shall not be liable for any of Sales Agent s acts or omissions. The Company shall not be liable to Sales Agent for any expenses, losses or damages incurred by him/her nor shall Sales Agent be liable to the Company for any expenses incurred by it. 4. Sales Agent s Responsibilities. Until termination hereof, Sales Agent agrees to work diligently and with Sales Agent s best efforts to sell or lease any and all Real Estate listed with the Company or the MLS, to solicit additional listings and customers and otherwise promote the business of serving the public in Real Estate transactions to the end that each of the parties hereto may derive the greatest profit possible. Sales Agent shall use only those forms and materials approved by the Company, the Association of Realtors or the Division of Real Estate. 5. Adherence to State and Federal Laws. Sales Agent agrees to commit no act of any type for which the Real Estate Examiners/Auditors from the State are authorized to sanction, suspend or revoke Sales Agent s license. Sales Agent agrees to conduct his business and regulate his/her habits so as to maintain and to increase, rather than diminish, the good will and reputation of the Company. The parties hereto agree to conform to and abide by the By-laws and Code of Ethics of the National, State and Local Associations of Realtors and all MLS Rules and Regulations. Sales Agent expressly understands and agrees that the Company has a zero tolerance policy regarding Sales Agent s noncompliance with obeying said rules and laws and that Sales Agent shall immediately be terminated in the event any of Sales Agent s activity is found to be in noncompliance with the law (i.e. loan fraud, forging of documents, mishandling of earnest money deposits, etc.). 6. Errors and Omissions Insurance (E&O). Sales Agent agrees to carry current Errors and Omissions Insurance. The Company shall exercise its best efforts to maintain an active Company E&O policy. From time to time, claims, complaints or litigation involving the Company may arise directly from the activities of Sales Agent. In such cases, Sales Agent agrees to pay all reasonable attorneys fees, damages, costs and expenses, including, but not limited to, the full amount of the E&O deductible assessed against the Company in defending or satisfying any claim or judgment against the Company because of Sales Agent s activity, even if such claim or judgment is brought or filed subsequent to the expiration or termination of this agreement or any renewals or extensions hereof. The Company agrees to work closely with Sales Agent to keep such expenses to a minimum, but the Company and/or E&O carrier reserves the right to select the attorney(s). In the event any activity in which Sales Agent is involved results in a dispute, litigation or legal expense, Sales Agent agrees to cooperate fully and completely with the Company and its attorneys Company Determination. It is the policy to avoid litigation wherever reasonably possible, and the Company, within its sole discretion, may determine whether or not any litigation or dispute shall be prosecuted, defended, compromised, or settled, and the terms and conditions of any compromise or settlement, or whether or not legal expense shall be incurred Insurance Exclusions. Sales Agent acknowledges and recognizes there are insurance exclusions contained in the E&O policy of insurance. It is specifically acknowledged and recognized by Sales Agent, by way of illustration only and not by way of limitation, that if any litigation or dispute involving Sales Agent relates to any act of racial or other legally defined discrimination, fraud or any other intentional tort or situation wherein a Sales Agent is involved as a direct principal (i.e., as seller, purchaser, principal, landlord or tenant) in any Real Estate sale or rental transaction, or in matters that relate to insurance, mortgage brokering or settlement services, no E&O insurance is available to the Sales Agent Indemnification of the Company. Sales Agent shall indemnify and hold harmless the Company from all settlement costs, damages, fines, levies, suits, proceedings, claims, actions or causes of action of any kind and of whatsoever nature, including but not limited to all costs, litigation expenses and reasonable attorney s fees arising from, growing out of, or incurred in connection with, or, incidental to, Sales Agent s activities and Sales Agent s operation of a Real Estate business or taken or omitted pursuant to this Agreement. 7. Commission Withholding. Sales Agent expressly agrees that the Company may deduct from the commissions payable to Sales Agent as a withholding and/or set-off any portion or all of the fees, charges and expenses which have been billed to Company on behalf of Sales Agent or are otherwise due to the Company by Sales Agent as authorized by this Agreement.

The Company shall not withhold from Sales Agent s commissions any amounts for any federal, state or local taxes. Sales Agent shall pay his/her own self-employment taxes and any and all income taxes and any other taxes of any type or description whatsoever without withholding or contribution by the Company. The Company shall not make any premium payments or contributions for any workman s compensation or unemployment compensation for Sales Agent unless required by state law Sales Agent s Warrant to Pay Taxes. Sales Agent represents and warrants that he/she will report all income earned from the Company pursuant to this Agreement and pay all federal, state and local income, self-employment taxes or other assessments required to be paid by Sales Agent under federal, state or local laws. 8. Reimbursement of Expenses. Sales Agent shall reimburse the Company for any and all expenses related to selling or purchasing a property. These expenses shall include, but not be limited to MLS fees, advertising and promotional costs and any legal fees incurred by Sales Agent. The standard transaction fee applies to personal transactions. 9. Sales Agent Indemnification of Company. Sales Agent agrees to indemnify, defend, and otherwise hold the Company harmless from any and all claims made against the Company or Sales Agent regarding or arising out of Sales Agent s personal purchase and/or sale of real property. Sales Agent further agrees to disclose to the buyer/seller that Sales Agent is acting in the transaction solely as a principal and not as a Sales Agent of the Company and that the Company has absolutely no liability in the transaction. 10. Legal Exclusion. The Company shall not be liable to make any payment for any loss in connection with any claims made against it for the sale of property owned, developed or constructed by Sales Agent, or any organization or entity in which Sales Agent has a financial interest, in connection with Sales Agent s activities as an underwriter, sponsor, partner, joint or co-venture or member of any Real Estate partnership, venture or syndicate, or in the event of any fraud or misrepresentation by Sales Agent. 11. Exclusive Relationship with Sales Agent. Sales Agent shall not enter into any agreement with another licensed Real Estate Sales Brokerage, individual or organization for any fees or compensation of any kind pertaining to the Real Estate business without the consent of the Company. Compliance with state laws, rules and regulations require that commissions, finder fees, bonuses or referral fees be paid through The Company rather than to the Sales Agent directly. 12. Insurance Coverage. Sales Agent shall carry personal liability and property damage insurance coverage on all vehicles used in Sales Agent s Real Estate business. The required policy shall name the Company as an additional insured party. Sales Agent agrees to indemnify and hold the Company harmless for any losses incurred by the Company due to damages negligently or intentionally caused by Sales Agent s driving. Sales Agent shall maintain his/her own insurance coverage on personal property used or stored in any of Company s facilities. Sales Agent acknowledges the Company s insurance coverage is limited to Company s equipment and facilities and agrees not to hold the Company responsible for personal property losses suffered in the office due to theft, fire, vandalism or any other reason. Failure of the Company to enforce any part of this paragraph 13 shall not constitute a waiver of this requirement. 13. Trade Secrets. Sales Agent agrees that any and all information acquired while Sales Agent is associated with the Company (including, but not limited to, transaction files, other documents, products, systems, programs, production reports or telephone lists) is the sole and exclusive property of the Company and constitutes confidential trade secrets of the Company. Immediately upon termination of this contract Sales Agent shall turn over to the Company all papers, records, files and documents constituting trade secrets which Sales Agent possesses or has the ability to obtain. Sales Agent agrees that on termination or expiration of this agreement Sales Agent will maintain the confidentiality of any policies, procedures, standards of practice, materials, website content, passwords, and/or any other confidential information gained while associated with the Company. Furthermore, Sales Agent agrees that the trade secrets and information provided in the section were unknown to you prior to your relationship with the Company. 14. Breach of Confidentiality. Sales Agent shall not use to Sales Agent s own advantage, or the advantage of any other person or entity, any information gained from files or from the business of the Company. In the event of a breach by Sales Agent of this section 15, the Company shall be entitled to an injunction restraining Sales Agent from disclosing any trade secrets. Further, the Company shall be entitled to all attorney fees and expenses incurred by the Company, assuming the Company is the prevailing party in a legal action. thing herein shall be construed as prohibiting the Company from pursuing any other remedies available to the Company for such breach including recovery of injunctive relief, compensatory damages and punitive damages. 15. Termination of Agreement. This agreement is month to month and the association that is created may be terminated at any time upon 30 day written notice to the other party. This contract may be terminated by the Company immediately upon Sales Agent s breach or violation of any terms or agreements as set forth in this Agreement, including nonpayment of any fees or expenses owed to the Company.

Company and Sales Agent shall comply with all Federal and State laws regarding fair housing, civil rights, anti-discrimination or any other laws which make discrimination based on race, color, religion, sex, familial status, national origin or income illegal in connection with the sale or rental of real property. Company and Sales Agent shall comply with the Antitrust Compliance Program of the National Association of Realtors. 17. Arbitration. In the event of a disagreement or dispute between Sales Agents in the office or between Company and Sales Agent arising out of or connected with this agreement which cannot be adjusted by and between the parties, Sales Agent hereby agrees to arbitrate, using as a guide the National Association of Realtors guidelines for arbitration pursuant to the provisions of its by-laws, said provisions being hereby incorporated by reference. 18. Waiver. The failure of any party hereto to enforce at any time any of the provisions or terms of this Agreement shall not be construed to be waiver of such provision or term, nor the right of any party thereafter to enforce such term or provision. 19. Enforceability. If any provision of this Agreement is invalid or unenforceable in any jurisdiction, the other provisions herein shall remain in full force and effect in such jurisdiction and shall be liberally construed in order to effectuate the purpose and intent of this Agreement, and the invalidity or unenforceability of any provision of this Agreement in any jurisdiction shall not affect the durability of enforceability of any such provision in any other jurisdiction. 20. Fifteen (15) Day tice. The terms of this agreement may be altered at any time upon a 15-day written notice. Sales Agent agrees to electronic notification via Use of Offices. Sales Agent will indemnify and hold harmless the Landlord, the Sales Agent, the Company, and all other private contractors, and employees of the Company from and against any claims, actions, damages, liability or expense in connection with loss of life, personal property, personal injury and damage to property occasioned by any negligent act or omission of the Landlord, Brokerage, and Sales Agents employees or invitees while they are within the premises of the Company offices. Sales Agent shall not operate any other businesses other than real estate out of the Company offices. 22. Sales Agent Leads from Previous Broker. Sales Agent may have participated in a leads program at another brokerage prior to joining Company and likely executed a written and binding agreement with previous brokerage limiting or excluding any and all follow up with the leads and/or use of information associated with the leads program. Company does not allow Sales Agent to attempt to solicit or follow up with any individuals from a prior lead source program unless the Sales Agent can show proof of ownership of lead or information associated with lead. Upon proof of ownership and prior written approval by Company, Sales Agent is allowed to contact leads or use lead information. Sales Agent shall reimburse the Company for any cost incurred, legal or otherwise, due to the Sales Agent follow-up with any lead or use of any lead information from a previous broker 23. Sales Associate Policies and Procedures handbook. The Sales Associate Policies and Procedures handbook has been provided to the Sales Agent including information of VERI Colorado LLC policies, philosophies and practices. It is important for Sales Agent to become familiar with this handbook. It is important that Sale Associate reads it carefully and completely. Sales Associate acknowledges that he/she has received a copy of this handbook, read the handbook, and understands handbook is not a contract of employment and does not constitute a contract for employment. Sales Agent agrees to be bound by all the provisions, terms and conditions of the Company s written policies and procedures and Company memoranda to the extent not in conflict with this Agreement. In the event there is any such conflict between said documents and this Agreement, then the Policies and Procedures shall control. Sales Agent acknowledges and agrees that said memoranda may be altered or changed from time to time and Sales Agent agrees to be bound by such changes. By signing this Sales Agent Independent Contractor Agreement, Independent Contractor agrees to be bound by all the provisions, terms and conditions of this agreement. This agreement shall not be binding on the Company until signed by the Company or Company Representative.
