1 IN THE UNITED STATES BANKRUPTCY COURT FOR THE DISTRICT OF DELAWARE In re KAISER ALUMINUM CORPORATION, a Delaware corporation, et al., Debtors. Jointly Administered Case No (JKF) Chapter 11 MASTER BALLOT FOR ACCEPTING OR REJECTING THE SECOND AMENDED JOINT PLAN OF REORGANIZATION OF KAISER ALUMINUM CORPORATION, KAISER ALUMINUM & CHEMICAL CORPORATION AND CERTAIN OF THEIR DEBTOR AFFILIATES CLASS 7 NIHL PERSONAL INJURY CLAIMS THE VOTING DEADLINE TO ACCEPT OR REJECT THE PLAN IS 500 P.M., EASTERN TIME, ON NOVEMBER 14, 2005 This Master Ballot is to be used only by counsel for individuals holders of NIHL Personal Injury Claims in Class 7 to summarize votes cast on behalf of individual holders of NIHL Personal Injury Claims in Class 7 to accept or reject the Second Amended Joint Plan of Reorganization of Kaiser Aluminum Corporation, Kaiser Aluminum & Chemical Corporation and Certain of Their Debtor Affiliates (the "Plan") described in the accompanying Disclosure Statement, dated September 7, 2005 (the "Disclosure Statement"). Capitalized terms used in this Ballot or the attached instructions that are not otherwise defined herein have the meanings given to them in the Plan. This Master Ballot must be properly completed, signed, dated and returned to Logan & Company, Inc., 546 Valley Road, Upper Montclair, New Jersey so that it is received by the deadline indicated above. Otherwise, the votes transmitted hereby will not be counted. The Plan can be confirmed by the Bankruptcy Court and thereby made binding on your clients if the Plan (a) is accepted by the holders of at least two-thirds in amount and more than one-half in number of the Claims in each impaired non-asbestos related Class that vote on the Plan; (b) is accepted by holders of at least two-thirds in amount and three-fourths in number of the Claims in the Asbestos Personal Injury Class that vote on the Plan; and (c) otherwise satisfies the applicable requirements of section 1129(a) of the Bankruptcy Code. If the requisite acceptances in each impaired non-asbestos Class are not obtained, the Bankruptcy Court nonetheless may confirm the Plan if it finds that the Plan (a) provides fair and equitable treatment to, and does not unfairly discriminate against, the Class or Classes rejecting the Plan and (b) otherwise satisfies the requirements of section 1129(b) of the Bankruptcy Code. PLEASE READ THE ATTACHED VOTING INFORMATION AND INSTRUCTIONS BEFORE COMPLETING THIS BALLOT.
2 PLEASE COMPLETE ITEMS 1, 2 AND 3. 4 VOTING INFORMATION AND INSTRUCTIONS FOR COMPLETING THE BALLOT 1. This Master Ballot is to be used by counsel to holders of NIHL Personal Injury Claims who are authorized to vote on behalf of their clients to accept or reject the Plan. 2. Complete the Master Ballot by providing all the information requested and sign, date and return the Master Ballot by mail, overnight courier or personal delivery to Logan & Company, Inc. (the "Voting Agent") at the following address Logan & Company, Inc. 546 Valley Road Upper Montclair, New Jersey Attn Kaiser Aluminum Voting Department Master Ballots must be received by the Voting Agent by 500 p.m., Eastern Time, on November 14, 2005 (the "Voting Deadline"). If a Master Ballot is received after the Voting Deadline, it will not be counted. An envelope addressed to the Voting Agent is enclosed for your convenience. Ballots submitted by facsimile will not be accepted. 3. Multiple Master Ballots may be completed and delivered to the Voting Agent. Votes reflected by multiple Master Ballots will be counted except to the extent that they are duplicative of other Master Ballots. If two or more Master Ballots are inconsistent, the latest dated Master Ballot received prior to the Voting Deadline will, to the extent of such inconsistency, supersede and revoke any prior Master Ballot. If more than one Master ballot is submitted and the later Master Ballot(s) supplement(s) rather than supersede(s) earlier Master Ballot(s), please mark the subsequent Master Ballot(s) as "Supplement" and clearly mark which of those votes reflected thereon are additional votes. Notwithstanding the foregoing, if two or more Master Ballots are received from separate counsel, each of whom purports to represent the same holder of a NIHL Personal Injury Claim, the vote by such holder will be counted only once, and only if such votes are consistent. In the event that the votes are not consistent, neither vote will be counted. 4. In the space provided in Item 1, please check the appropriate box to indicate acceptances and/or rejections of the Plan by the holders of NIHL Personal Injury Claims on whose behalf you are authorized to vote. If all of the individuals set forth on the Exhibit required in Item 2 have voted in the same manner (i.e., all such individuals have voted either to accept or reject the Plan), please check one of the first two boxes in Item 1. If some of the individuals set forth on the Exhibit required in Item 2 have voted to accept the Plan, while other individuals have voted to reject the Plan, please check the last box in Item Please note that Item 2 of the Master Ballot requires that you prepare a list (the "Exhibit"), which must be submitted with the Master Ballot, setting forth each holder of a NIHL Personal Injury Claim that you represent and on whose behalf you are authorized to vote on the Plan under applicable bankruptcy and/or non-bankruptcy law. The Exhibit must be in Excel TM or a comparable electronic format on either a 3.5" floppy disc or CD-ROM. If you either (a) certify that you do not have access to Excel TM or a comparable application or (b) represent fewer than 1,000 holders of NIHL Personal Injury Claims, then you may provide the Exhibit in hard copy. If you have any technical questions or need to arrange for special delivery of your Exhibit, please contact Logan & Company, Inc. at [email protected] or The Exhibit should list all holders of NIHL Personal Injury Claims on whose behalf you are voting, and for each such holder, the Exhibit should include each of the following fields (in the order listed) (a) the social security number of the claimant; (b) the last name of the claimant; (c) the first name of the claimant; and (d) whether the claimant votes to accept or reject the Plan. Please ensure that columns on the Exhibit are no greater than 45 characters wide. For your convenience, a sample template is set forth below and may also be downloaded in Excel TM format from the Voting Agent's website at Social Security No. Last Name First Name Accept or Reject Smith John Accept 7. Each holder of a NIHL Personal Injury Claim that votes must vote his or her entire claim to accept or reject the Plan and may not split such vote. Accordingly, any vote of a holder of a NIHL Personal Injury Claim who attempts partially to reject and partially to accept the Plan will not be counted. If this Master Ballot is signed and timely sent to the
5 Voting Agent, but does not designate either acceptance or rejection of the Plan for any particular claim, such vote shall not be counted as either an acceptance or rejection of the Plan. 8. Item 3 contains certifications, under penalty of perjury pursuant to 28 U.S.C. 1746, which are required for you to submit a vote on behalf of one or more holders of NIHL Personal Injury Claims. Please ensure that you have read and understood the certifications prior to signing the Master Ballot. If you are unable to make the certification as to the authority to vote on behalf of any holder of a NIHL Personal Injury Claim, you must either (a) furnish the Voting Agent, on or before October 3, 2005, with the names, addresses and social security numbers of such holder(s), to whom the Voting Agent will send Solicitation Packages, including Ballots, or (b) obtain additional Solicitation Packages from the Voting Agent, serve a Solicitation Package, including a Ballot, on any such client directly and, within 5 business days of such service, file an affidavit of service with the Bankruptcy Court evidencing delivery of the Solicitation Packages to such clients and send a copy of that affidavit to the Voting Agent. If you chose to transmit the Solicitation Packages to your clients directly, you must submit a list of each such client (which is subject to the requirements set forth in paragraphs 5 and 6, except that the list need include only the client's name and social security number) to the Voting Agent on or before October 17, The Debtors will reimburse you for the actual postage incurred in serving Solicitation Packages on your clients upon submission of evidence of reasonable postage expense. 9. Each NIHL Personal Injury Claim has been temporarily allowed in the amount of $1.00 for purposes of voting to accept or reject the Plan in accordance with certain tabulation rules approved by the Bankruptcy Court (the "Tabulation Rules"). The Tabulation Rules are set forth in the Notice of (A) Deadline for Casting Votes to Accept or Reject Proposed Joint Plan of Reorganization, (B) Hearing to Consider Confirmation of Proposed Joint Plan of Reorganization and (C) Related Matters, which is appended to the front of the Disclosure Statement; the Tabulation Rules are also set forth in the Ballot Solicitation and Tabulation Procedures, which are attached to the Disclosure Statement as Exhibit III. The temporary allowance of NIHL Personal Injury Claims in the amount of $1.00 is solely for voting purposes and does not constitute an allowance of such Claims for purposes of distribution under the NIHL PI Trust and is without prejudice to the rights of your clients or the Debtors and the NIHL PI Trust in any other context. 10. The Master Ballot does not constitute and will not be deemed a proof of Claim or equity interest or an assertion of a Claim or equity interest. PLEASE RETURN YOUR MASTER BALLOT PROMPTLY. THE VOTING AGENT WILL NOT ACCEPT MASTER BALLOTS BY FACSIMILE TRANSMISSION. NOTHING CONTAINED HEREIN OR IN THE ENCLOSED DOCUMENTS SHALL CONSTITUTE AUTHORITY FOR YOU OR ANY OTHER PERSON TO ACT AS THE AGENT OF THE DEBTORS OR THE VOTING AGENT, OR AUTHORIZE YOU OR ANY PERSON TO USE ANY DOCUMENT OR MAKE ANY STATEMENTS ON BEHALF OF ANY OF THEM WITH RESPECT TO THE PLAN, EXCEPT FOR THE STATEMENTS CONTAINED IN THE ENCLOSED DOCUMENTS. IF YOU HAVE ANY QUESTIONS REGARDING THE MASTER BALLOT OR THE VOTING PROCEDURES, OR IF YOU NEED ADDITIONAL COPIES (AT NO COST TO YOU) OF THE MASTER BALLOT OR SOLICITATION PACKAGES, INCLUDING THE PLAN AND THE DISCLOSURE STATEMENT, PLEASE CONTACT THE VOTING AGENT, LOGAN & COMPANY, INC., AT [email protected] OR (973)
