4 D&B Life Insurance Plan for Active Team Members 2 The Dun & Bradstreet Corporation Welfare Benefit Plan provides health care, disability, accident, spending account, employee assistance and life insurance coverage to eligible D&B active team members and their dependents. The D&B Life Insurance Plan for active team members (the Life Insurance Plan ) is part of The Dun & Bradstreet Corporation Welfare Benefit Plan. This document summarizes D&B s Life Insurance Plan, effective January 1, 2005, unless otherwise noted, for active team members. It describes the benefits as they apply to eligible participants, and serves as the summary plan description (SPD) for these benefits. Life insurance plan benefits for retirees are described in a separate SPD. D&B encourages you to read this SPD carefully and share it with your eligible dependents covered under the Life Insurance Plan. If you have any questions about your benefits, please contact the D&B Benefits Center. See the section How to Reach Your Life Insurance Plan Service Provider at the beginning of this SPD for contact information. The insurance policy and the D&B legal plan document provide additional information about the administration of the Life Insurance Plan. If there is any difference between the information in this SPD and in the insurance policy and D&B legal plan document, or if there are details not covered in this SPD, the insurance policy and D&B legal plan document will determine how to resolve these issues. Important Information The Dun & Bradstreet Corporation (D&B or the Company ) is the Plan Sponsor of the Life Insurance Plan. As Plan Sponsor, D&B is authorized to delegate certain administrative duties to one or more administrative service providers. The Life Insurance Plan is fully insured by an outside insurance company (the Insurance Provider ), which means the Insurance Provider assumes full responsibility for claims adjudication and payment. D&B has delegated day-to-day operations of the Life Insurance Plan to the Benefits Center for The Dun & Bradstreet Corporation (the D&B Benefits Center ). You can contact the Insurance Provider or the D&B Benefits Center if you have questions or need more information. See the section How to Reach Your Life Insurance Plan Service Provider at the beginning of this SPD for contact information.

6 D&B Life Insurance Plan for Active Team Members 4 ABOUT YOUR PARTICIPATION This section contains important information about your participation in the Life Insurance Plan including eligibility information, when coverage begins, naming beneficiaries, paying for coverage, making changes and when coverage ends. Who Is Eligible You are eligible for Life Insurance Plan coverage if you meet all of the following conditions: You are an active full-time or part-time team member employed by a D&B company that participates in the Life Insurance Plan, and You are regularly scheduled to work 20 or more hours per week Eligibility of Rehired Retirees If you are participating in the Retiree Life Insurance Plan and you are hired or rehired by D&B or a related employer, your coverage under the Retiree Life Insurance Plan will terminate, and you will be eligible to participate in the Life Insurance Plan only if you satisfy the applicable eligibility requirements. Dependent Eligibility Your eligible dependents are also eligible for coverage under the Life Insurance Plan. Eligible dependents include: Your legal spouse (not including your divorced spouse) or domestic partner, Your or your domestic partner s unmarried dependent child(ren) under age 24 who is: Unmarried Is supported by you Not employed on a full-time basis, and If enrolled at an accredited school, college or university that is licensed in the jurisdiction where it is located is a full-time student.

7 D&B Life Insurance Plan for Active Team Members 5 Your or your domestic partner s unmarried dependent child, regardless of age, who is incapable of self-sustaining employment because of a mental or physical handicap as defined by applicable law. To be eligible, children must live with you and qualify as eligible dependents based on federal tax guidelines under the Internal Revenue Code. Eligible children may include: Biological children, Adopted children (eligible as of the date of birth if legally adopted before birth; otherwise, eligible as of the date they are placed in your home), Stepchildren who are living in your home, Children placed in your care by court order/legal guardianship. The following dependents will not be eligible for Life Insurance Plan coverage: Dependents who live outside the U.S. or Canada, Dependents in the military of any country or subdivision of any country, Dependents who are covered under the Life Insurance Plan as a D&B team member, or Dependents who are no longer eligible dependents under the terms of the Life Insurance Plan. Domestic Partner Eligibility Your domestic partner may be eligible for coverage under the Life Insurance Plan. Domestic Partner means each of two people of the same or opposite sex, one of whom is a team member of D&B, who represent themselves publicly as each other's domestic partner and have: registered as domestic partners or members of a civil union with a government agency or office where such registration is available; or submitted a domestic partner declaration. The domestic partner declaration must establish that:

8 D&B Life Insurance Plan for Active Team Members 6 Each person is 18 years of age or older; Neither person is married; Neither person has had another domestic partner within 6 months prior to the date they enrolled for insurance for the Domestic Partner under the Life Insurance Plan; They have shared the same residence for at least 6 months prior to the date they enrolled for insurance for the Domestic Partner under the Life Insurance Plan; They are not related by blood in a manner that would bar their marriage in the jurisdiction in which they reside; They have an exclusive mutual commitment to share the responsibility for each other's welfare and financial obligations which commitment existed for at least 6 months prior to the date they enrolled for insurance for the Domestic Partner under the Life Insurance Plan, and such commitment is expected to last indefinitely; and Two or more of the following exist as evidence of joint responsibility for basic financial obligations: A joint mortgage or lease; Designation of the Domestic Partner as beneficiary for life insurance or retirement benefits; Joint wills or designation of the Domestic Partner as executor and/or primary beneficiary; Designation of the Domestic Partner as durable power of attorney or health care proxy; Ownership of a joint bank account, joint credit cards or other evidence of joint financial responsibility; or Other evidence of economic interdependence. If any of the above eligibility requirements are no longer being met, domestic partner coverage ends. You must notify the D&B Benefits Center immediately. See the section

When Coverage Begins Company-Paid Life Insurance You are automatically enrolled in Company-paid life insurance on your date of hire or the date you first become eligible, provided you are actively at work on that date. Basic, Supplemental and Dependent Life Insurance If you enroll for Basic and Supplemental Life Insurance coverage for yourself or Dependent Life Insurance coverage for your eligible dependents within 31 days of the date you are employed or first become eligible, your coverage is effective the date you: Began employment with the Company, or First became eligible for coverage under the Life Insurance Plan, provided you are actively at work on that date. Coverage for your dependent(s) starts the same day your coverage begins, if you have enrolled for dependent coverage, unless your dependent is confined in a hospital, at home under a doctor s care or receiving or applying to receive disability insurance benefits. If you are absent from work on the day your coverage is scheduled to begin, coverage will start on the date you have completed at least 20 hours of work during the 7 calendar days following your return to work. If your dependent is confined in a hospital or at home under a doctor s care or receiving or applying to receive disability insurance benefits from any source, dependent coverage will not begin until the confinement and receipt of disability insurance benefits end. Delayed Enrollment If you do not elect coverage within 31 days of the date you are first eligible you can elect Basic, Supplemental and Dependent Life Insurance coverage anytime during the year.

10 D&B Life Insurance Plan for Active Team Members 8 However, you and/or your dependents must provide Evidence of Insurability (EOI) when you do enroll unless you experience a family status change. Coverage you elect during the year will go into effect on the date your EOI is approved by the Insurance Provider, provided you are actively at work on that date. If you experience a qualified family status change you may elect to enroll in Basic, Supplemental or Dependent Coverage for the first time or increase your Supplemental and/or Dependent coverage, without providing EOI up to certain limits. Any changes you wish to make to your life insurance coverage due to a change in family status, must be consistent with the family status change. See the sections: Making Changes During the Year and Evidence of Insurability in this SPD for more information. Naming a Beneficiary You have the right to choose a beneficiary under the Life Insurance Plan. A beneficiary is the person you choose, on an Insurance-Provider-approved form, to receive the insurance benefits when you die. You can name one or more beneficiaries to receive insurance payments in the event of your death and can change your beneficiary designation at any time without the consent of your current beneficiary(ies). Please note, you may want to review your beneficiary designation periodically. For example, if you get married or divorced, you may want to name a new beneficiary. You may designate your beneficiaries online on Fidelity NetBenefits. Just click on the Your Profile tab, then Beneficiaries to designate your beneficiaries. If you fail to name a beneficiary or your beneficiary predeceases you, your life insurance benefits will be paid in accordance with the insurance policy, which provides for payment to the first of the following: Your surviving spouse/domestic partner, Any surviving child(ren) in equal shares, Any surviving parents in equal shares,

11 D&B Life Insurance Plan for Active Team Members 9 Any surviving siblings in equal shares, Your estate. If you name more than one beneficiary without specifying their shares, they will receive equal shares. If your beneficiary(ies) dies before you, their interest will end. Your benefit will be shared equally by any remaining beneficiaries. Paying for Coverage D&B pays the full cost of the Company-Paid Life Insurance coverage provided to you under the Life Insurance Plan. You pay the full cost of coverage for Basic, Supplemental and Dependent Life Insurance. Your cost for coverage will depend on how much coverage you elect to purchase and your and your dependent s age. Rates are established by age bands that run in five-year increments (e.g., 40-44, 45-49, etc.). Your or your spouse or domestic partner s age band rate is determined based on your or your spouse/domestic partner s age at the time of hire and recalculated each January 1. Additionally, Basic and Supplemental life amounts and rates are recalculated based on annual earnings semi-annually. Contributions are deducted from your paycheck on an after-tax basis; that is, after federal and state income taxes and FICA taxes are withheld from your paycheck. Imputed Income Under federal tax law, a portion of the value of the premiums you pay for life insurance in excess of $50,000 may be considered imputed income. The amount of imputed income is determined by comparing the premiums you pay for coverage to premiums established by the Internal Revenue Code (IRC) for employer provided life insurance. If the premiums you pay are lower than the IRC premiums, you will have imputed income on the difference between the premiums you pay and the IRC premiums. This imputed income will be added to your annual compensation for federal income tax and FICA tax purposes. Your imputed income for life insurance will be included on your pay stub and reported to you and the IRS on your W-2 form. Your contribution for your domestic partner s coverage, as well as coverage for the child(ren) of your domestic partner is also considered taxable (or imputed) income to you,

12 D&B Life Insurance Plan for Active Team Members 10 will be added to your income, and is subject to ordinary federal, state, local, FICA and other applicable payroll taxes.

13 D&B Life Insurance Plan for Active Team Members 1 When Coverage Ends Coverage under the Life Insurance Plan will end for you on the earliest of the: Date you die, End of the period for which premiums are paid on a timely basis, Date D&B terminates this Life Insurance Plan, End of the month in which your employment ends or you are not actively at work, Date you retire, or Date you are no longer eligible for benefits, Basic and Supplemental Life Insurance coverage ends at age 65 for team members who are disabled and receiving coverage under the Life Insurance Plan s premium waiver provisions. Your dependent s coverage will end on the earliest of the date: You die, D&B terminates all dependent coverage under this Life Insurance Plan, D&B terminates this Life Insurance Plan, Your dependent becomes covered as a D&B team member, Your dependent no longer meets the definition of an eligible dependent End of the year in which your dependent child(ren) reaches the limiting age You are no longer eligible for benefits, Your employment ends or you are no longer actively at work, Your coverage terminates, Your dependent dies, or The end of the period for which premiums are paid on a timely basis.

14 D&B Life Insurance Plan for Active Team Members 2 You may be eligible to convert your coverage to an individual or group life insurance policy offered by the Insurance Provider when coverage ends. See the section Conversion of Your Life Insurance Coverage in this SPD for more information about conversion privileges. Making Changes During the Year You can make the following changes to your Life Insurance Plan coverage during the year: You can cancel coverage at any time. If you do not enroll within 31 days of the date you are first eligible, you can enroll for Basic, Supplemental or Spouse/Domestic Partner coverage at any time during the year. However, you and/or your dependents must provide Evidence of Insurability (EOI) when you do enroll unless you experience a qualified family status change. Your coverage will not go into effect until EOI is approved by the Insurance Provider and you are actively at work You can elect to cover your or your domestic partner s dependent child(ren) at any time during the year without providing EOI. You may be eligible to enroll for Life Insurance coverage without providing EOI if you experience a qualified change in family status, provided: The change to your life insurance coverage is consistent with your change in family status, and You enroll for coverage within 31 days of the qualified family status change. You may be eligible to increase your Supplemental and Dependent Spouse coverage up to certain limits without providing EOI. See the sections Qualified Changes in Family Status and Evidence of Insurability for more information. Qualified Changes in Family Status Approved qualified family status changes under the Life Insurance Plan include:

15 D&B Life Insurance Plan for Active Team Members 3 A change in your legal marital status (such as marriage, divorce, death of spouse and annulment) or domestic partner status (i.e. your domestic partner meets or fails to meet the domestic partner criteria), and A change in the number of your dependents (such as through birth, adoption or placement for adoption of a dependent child or death). The following table provides some examples of how a qualified change in family status may affect your Life Insurance coverage. If You Experience birth, adoption or placement for adoption of a dependent child Marry or establish an eligible domestic partner relationship Divorce, annulment or end of a domestic partnership How Your Life Insurance Coverage May Change You may wish to purchase Basic and Supplemental Life Insurance for yourself and Dependent Life Insurance coverage for your or your spouse s/domestic partner s dependent children. See the section Evidence of Insurability for information about providing EOI. You may wish to change your beneficiary by contacting the D&B Benefits Center. See the section How to Reach Your Life Insurance Plan Service Provider at the beginning of this SPD for contact information. You may wish to purchase Basic and Supplemental Life Insurance for yourself and Dependent Life Insurance coverage for your new spouse/domestic partner and/or your spouse s/domestic partner s dependent children. You may wish to change your beneficiary by contacting the D&B Benefits Center. See the section Evidence of Insurability for information about providing EOI. See the section How to Reach Your Life Insurance Plan Service Provider at the beginning of this SPD for contact information. Your spouse s/domestic partner s life insurance coverage ends. Your spouse/domestic partner may be eligible to convert their life insurance to an individual policy. You may wish to change your beneficiary by contacting the D&B Benefits Center. See the section Conversion of Your Life Insurance Coverage of this SPD for information about conversion

16 D&B Life Insurance Plan for Active Team Members 4 If You Your dependent dies or is no longer eligible How Your Life Insurance Coverage May Change privileges See the section How to Reach Your Life Insurance Plan Service Provider at the beginning of this SPD for contact information. If your child or spouse/domestic partner dies while covered under Dependent Life Insurance, you should contact the D&B Benefits Center for the appropriate claim form. You are the beneficiary of the life insurance benefit. If your spouse/domestic partner or dependent child dies, you may wish to change your beneficiary by contacting the D&B Benefits Center. See the section How to Reach Your Life Insurance Plan Service Provider at the beginning of this SPD for contact information.

17 D&B Life Insurance Plan for Active Team Members 5 If Your Employment Situation Changes The following chart summarizes how your Life Insurance coverage may be affected if your employment situation changes. If You Are totally and permanently disabled 1 and you: Are disabled before age 60 Are continuously disabled for 9 consecutive months, Have Company-paid Life Insurance on the date your life insurance ends due to disability, and Have had Basic and Supplemental Life Insurance coverage for at least one year immediately preceding the date your disability began. Take an approved leave of absence, including: An approved unpaid personal leave of up to 90 days; A family leave of absence of up to 12 weeks under the Family and Medical Leave Act; or A short-term disability leave of absence of up to 180 days. How Your Life Insurance Coverage May Change Your Company-paid, Basic and Supplemental Life Insurance may continue as long as you remain disabled as certified by the Insurance Provider. You must submit valid proof of disability acceptable to the Insurance Provider and be approved for continuation of life insurance coverage by the Insurance Provider. See the section Conversion of Your Life Insurance Coverage of this SPD for information about conversion privileges. Your continuation coverage due to total and permanent disability will end on the date: you die, your disability ends, you fail to provide valid proof of disability to the Insurance Provider, you refuse to be examined by the Insurance Provider s physician, or for Basic and Supplemental Life Insurance, the date you attain age 65. Your coverage will continue for you and your eligible covered dependents as long as you are on an approved leave and you pay the required contributions for coverage on a timely basis. If you are on an unpaid leave, you will be billed monthly for the cost of your life insurance coverage by the D&B Benefits Center. 1 Totally and permanently disabled means that you are unable to perform the material duties of your regular job and are unable to perform any other job for which you are fit by education, training or experience as determined by the Insurance Provider.

18 D&B Life Insurance Plan for Active Team Members 6 If You How Your Life Insurance Coverage May Change Leave the Company Your coverage stops at the end of the month when your employment ends. You may be eligible to convert your life insurance coverage to an individual policy. See the section Conversion of Your Life Insurance Coverage in this SPD for more information about conversion privileges. Your death Your designated beneficiary(ies) should notify the D&B Benefits Center of your death and request the appropriate claim form. Retire and you: Have completed 10 or more years of Eligibility Service (as defined below) with the Company after reaching age 45 * Note: Team members employed by Hoover s or any company acquired by D&B on or after January 1, 2004 are not eligible for benefits under any of the D&B retiree benefit plans. If you have less than 10 years of Eligibility Service (as defined below) when you retire The death benefit, if any, paid by the Life Insurance plan will be based on the amount of coverage you were enrolled for on the date of your death. See the section How to Reach Your Life Insurance Plan Service Provider at the beginning of this SPD for contact information. You may be eligible to receive life insurance coverage in an amount equal to 30% of your Basic Life Insurance coverage with a minimum benefit of $3,000 and a maximum benefit of $10,000. If you are eligible for retiree life insurance coverage, you pay 100% of the cost. You may be eligible to convert amounts in excess of your retiree coverage to an individual policy. See the section Conversion of Your Life Insurance Coverage in this SPD for more information about conversion privileges. You may be eligible to convert your life insurance coverage to an individual policy. See the section Conversion of Your Life Insurance Coverage in this SPD for more information about conversion privileges. Work past age 65 Your Company-paid and Basic Life Insurance are reduced on the day before your 65 th birthday to 65% of your Basic and Company-paid Life Insurance amounts. Your Spouse s/domestic Partner s Life Insurance Amount is reduced on the day before your spouse s/domestic partner s 65 th birthday to 65% of your Spouse s/domestic partner s Life Insurance amount.

19 D&B Life Insurance Plan for Active Team Members 7 Eligibility Service For team members employed full-time or part-time with 20 or more hours per week, years of Eligibility Service is defined as the number of years between the date you start working at D&B and the date you leave the Company. Each month or partial month counts as onetwelfth of a year. Important Note: We refer to the years of service that an employee must have to be eligible for retiree medical benefits as Eligibility Service. However, use of this term (or any other term that is or has been used in operation) carries no implication that an employee s or retiree s opportunity to be eligible for retiree medical benefits is in any way a fixed, protected or "vested" right. Retiree medical benefits never become a fixed, protected or vested right, and D&B reserves, as it always has, the unrestricted right to amend, modify or terminate such benefits at any time. (For additional detail regarding the future of the plan, see the Plan Administration section at the end of this SPD.) Leave of Absence If you take an authorized, approved leave of absence (including military leave), this period will count towards Eligibility Service if you resume your employment at the end of such leave of absence or within the period prescribed by law for the exercise of employment rights. This excludes an LTD leave. Breaks in Service Generally, if you leave D&B and are reemployed, service for purposes of determining eligibility for the D&B retiree life insurance plan includes service prior to your termination if one of the following two conditions is met: Service resumes prior to the end of five consecutive one-year breaks in service from the date of termination; or Your number of years of service prior to termination equals or exceeds the number of consecutive one-year breaks in service, provided you complete one year of service after reemployment; and Your service after re-employment meets the D&B retirement plan s service requirement for re-employed D&B retirement plan participants.

20 D&B Life Insurance Plan for Active Team Members 8 If you have experienced a break in service, you should contact the D&B Benefits Center to determine if you have enough Eligibility Service to meet the D&B retiree life insurance plan s service requirement for receiving retiree life insurance coverage. See the section How to Reach Your Life Insurance Plan Service Provider at the beginning of this SPD for contact information. YOUR LIFE INSURANCE BENEFITS The Life Insurance Plan is designed to help provide protection for your family s financial well-being. The following chart summarizes the life insurance coverage options that D&B offers you, your spouse/domestic partner and your dependent children and the EOI requirements for each coverage option. Annual Earnings Your annual earnings include your current gross annual salary (including lump sum salary or wage increases) and your prior year's cash bonus and commissions (including one-time payments due to a reduction in regular bonus or commission opportunity as a result of a job change). If you are newly hired, your annual earnings equal your current gross annual salary or draw, if you earn sales commissions. Your annual earnings do not include overtime pay, pension payments, retainers, prizes and awards and other special remuneration. Annual earnings are recalculated twice a year on or about March 15, and September 15 (based on the preceding 12-months). Company- Paid Life Insurance Basic Life Insurance Supplemental Life Insurance Life Insurance for Your Spouse/Domestic Partner Life Insurance for Your Child(ren) Benefit Amount D&B provides you with 1x annual earnings to a maximum of $50,000. You may elect 1x annual earnings, to a maximum of $1 million. You may elect 1, 2, 3, 4, 5, or 6x your annual earnings, to a maximum of $4.3 million. The maximum amount is up to 6x your annual earnings or $4.3 million, whichever is less. You may elect $10,000, $20,000, $30,000, $40,000, or $50,000 of coverage. Total spouse/domestic partner coverage may not exceed your total Basic and Supplemental Life Insurance coverage amounts. You may elect $10,000 of coverage for each dependent child.

No EOI is required for this coverage and the benefit is paid to your beneficiary(ies) in the event of your death. Basic Life Insurance You have the option to buy Basic Life Insurance coverage for yourself. 22 D&B Life Insurance Plan for Active Team Members 10 Supplemental Life Insurance You have the option to buy Supplemental Life Insurance coverage for yourself if you have Basic Life Insurance coverage. This benefit is paid to your beneficiary(ies) in the event of your death. You can choose from the following options: 1x your annual earnings 2x your annual earnings 3x your annual earnings 4x your annual earnings 5x your annual earnings 6x your annual earnings Dependent Life Insurance You have the option to buy term life insurance coverage for your spouse/domestic partner and/or your and your spouse s/domestic partner s dependent children. If both you and your spouse/domestic partner work for D&B, only one of you can purchase Dependent coverage. In other words, you cannot elect Dependent coverage to cover your spouse/domestic partner and/or children as dependents under the Life Insurance Plan if your spouse/domestic partner is a D&B team member and has elected Dependent coverage under the Life Insurance Plan. The D&B Life Insurance Plan offers you the following Dependent Life Insurance options: Dependent Life Option Coverage Amount Spouse/domestic partner $10,000 $20,000 $30,000 $40,000 $50,000 Or your Basic and Supplemental Life Insurance amount, if less.

23 D&B Life Insurance Plan for Active Team Members 11 Dependent Life Option Your and/or your spouse s/domestic partner s dependent children Coverage Amount $10,000 for each child To buy term life insurance coverage for your spouse/domestic partner, you must be enrolled for Basic Life Insurance. The maximum coverage that you may elect is the total of your Basic and Supplemental Life Insurance amount to $50,000. You do not need to elect Basic Life insurance to enroll your children for Dependent Life Insurance coverage. Dependent Life Insurance benefit is paid to you in the event of your dependent s death. Evidence of Insurability You will be required to provide Evidence of Insurability (EOI) to the Insurance Provider if you delay enrollment beyond 31 days from the date you are first eligible for coverage or if you wish to increase your life insurance coverage in excess of certain limits. Following are the rules for providing EOI under the Life Insurance Plan: Basic Life Insurance Coverage If you enroll for Basic Life Insurance coverage within 31 days of the date you are first eligible or the date you experience a qualified change in family status, you will not need to provide EOI. If you delay enrollment, you will need to provide EOI to enroll for Basic Life Insurance coverage. Supplemental Life Insurance Coverage If you enroll for Supplemental Life Insurance within 31 days of the date you are first eligible, you will not need to provide EOI for Supplemental Life Insurance coverage up to $1,500,000 or 4x your annual earnings, if less. If you elect coverage in excess of $1,500,000 or 4x your annual earnings, you will need to provide EOI. If you delay enrollment for Supplemental Life Insurance coverage, you will need to provide EOI.

24 D&B Life Insurance Plan for Active Team Members 12 If you experience a qualified change in family status, you may be able to elect to increase your Supplemental Life Insurance coverage by 1x your annual earnings without providing EOI provided that you enroll within 31 days of the event. You will be required to provide EOI for increases to your Supplemental Life Insurance coverage in excess of 1x annual earnings. Remember, you must have Basic Life Insurance coverage to elect or increase Supplemental Life Insurance coverage. Dependent Life Insurance Coverage If you enroll for Spouse/Domestic Partner coverage within 31 days of the date you are first eligible, your spouse/domestic partner will not be required to provide EOI for the first $10,000 coverage. For Spouse/Domestic Partner coverage in excess of $10,000 your spouse/domestic partner will be required to provide EOI. If your experience a qualified change in family status, you may enroll for the first time or increase coverage for your spouse/domestic partner by one $10,000 increment without providing a statement of good health provided that you enroll within 31 days of the event. You can enroll for coverage for your or your spouse s/ domestic partner s eligible dependent children at any time during the year. Your or your spouse s/domestic partner s eligible dependent children will not be required to provide EOI to receive coverage. EOI may include obtaining a physical examination at your own expense. Your additional or increased coverage will not go into effect until the Insurance Provider has approved your application and you are actively at work and paying the required premiums for coverage. Accelerated Payments Under the Life Insurance Plan, you can choose to receive accelerated life insurance benefits if you or your spouse/domestic partner becomes terminally ill. A terminally ill person is someone whose life expectancy is six months or less. If you become terminally ill, you can elect to receive the actuarial equivalent of:

25 D&B Life Insurance Plan for Active Team Members 13 50% of your Company-paid Life Insurance benefit to a maximum of $25,000, and 50% of your Basic and Supplemental Life Insurance Benefit to a maximum of $250,000. If your spouse/domestic partner becomes terminally ill, you can elect to receive the actuarial equivalent of: 50% of your spouse s Dependent Life Insurance coverage to a maximum of $25,000. If you are terminally ill and wish to receive an accelerated benefit payment, you must submit written proof to the Insurance Provider from your doctor that you are terminally ill. The Insurance Provider will determine the actuarial equivalent of your accelerated payment taking into account your mortality and interest and administrative expenses. The accelerated payment will be made in a single sum unless you elect another form of payment. Your life insurance benefit when you die will be reduced by the amount of the accelerated payment and interest and expense charges as determined by the Insurance Provider. The accelerated benefit option for your spouse/domestic partner will end on the earliest of the date: Your spouse or your domestic partner attains age 70 Life Insurance for your spouse/domestic partner ends Your rights to life insurance for your spouse/domestic partner are assigned, or You or your legal representative has accelerated all Dependent Life Insurance benefits. For more information about accelerated life insurance payments, you should contact the Insurance Provider. See the section How to Reach Your Life Insurance Provider for contact information. If you elect the accelerated benefit option, any payment made under this option may be taxable to you. You are advised to seek the help of a professional tax advisor for assistance with questions you may have about accelerated life insurance payments.

26 D&B Life Insurance Plan for Active Team Members 14 Reduction of Coverage Your life insurance Company-paid and Basic Life Insurance is reduced to 65% of your elected coverage if you are age 65 or older when your coverage begins. If you under age 65 when your Life Insurance Plan coverage begins, at age 65 your coverage will be reduced to 65% of your coverage amount in effect on the day before your 65 th birthday. When your coverage is reduced if you are age 65 or older, your spouse s/domestic partner s life insurance coverage may be reduced to ensure that your spouse s/domestic partner s coverage amount does not exceed 100% of your coverage amount. What s Not Covered If you have Basic and Supplemental Life Insurance and you commit suicide within 2 years of the date your Basic and Supplemental Life Insurance began, benefits payable to your beneficiary will be limited to a return of any premiums paid by you. Any premiums paid by the Company for Company-paid Life Insurance will be returned to the Company. No additional benefits will be payable to your beneficiary. If you increased your Supplemental Life Insurance and commit suicide within 2 years of the increase, benefits payable to your beneficiary will be limited to the Basic, Company-paid and Supplemental Life Insurance coverage in effect for more than 2 years and a return of any premiums paid by you for the increased Supplemental Life Insurance coverage. If your dependent has Dependent Life Insurance and they commit suicide within 2 years of the date their Dependent Life Insurance began, benefits payable to you will be limited to a return of any premiums paid by you. No additional benefits will be payable to your beneficiary. If you increased your Dependent Life Insurance and your Dependent commits suicide within 2 years of the increase, benefits payable to you will be limited to the Dependent Life Insurance coverage in effect for more than 2 years and a return of any premiums paid by you for the increased Dependent Life Insurance coverage. Conversion of Your Life Insurance Coverage

27 D&B Life Insurance Plan for Active Team Members 15 If your or your spouse s/domestic partner s life insurance coverage is reduced or ends, you or your spouse/domestic partner may have the option to convert coverage within 31 days of the date your coverage is reduced or ends to an individual or group life insurance contract offered by the Insurance Provider. The deadline for submitting your request to convert your life insurance to an individual policy depends on when you receive written notice of your conversion privilege. If you receive written notice within 15 days of the date your coverage ends, you will have 31 days from the date you receive written notice to convert your life insurance coverage. If you receive written notice after the 15 th day but within 90 days of the date your life insurance coverage ends, you will have 45 days from the date you receive written notice to convert your coverage. If you are not given written notice within 90 days of the date your life insurance coverage ends, you will have 90 days from the date your life insurance ends to convert coverage to an individual policy. To determine if you are eligible for the conversion privilege, call the Insurance Provider. See the section How to Reach Your Life Insurance Plan Service Provider at the beginning of this SPD for contact information. Filing a Claim In the event of your death (or your spouse s/domestic partner s or your child(ren) s death), the beneficiary(ies) should file a claim and provide valid proof of death to the Insurance Provider as soon as possible. The beneficiary(ies) should contact the D&B Benefits Center to receive a claim form. See the section How to Reach Your Life Insurance Plan Service Provider at the beginning of this SPD for contact information.

28 D&B Life Insurance Plan for Active Team Members 16 PLAN ADMINISTRATION This information about the administration of the Life Insurance Plan is provided in compliance with the Employee Retirement Income Security Act (ERISA) of 1974, as amended. While you should not need these details on a regular basis, the information may be useful if you have specific questions about your Life Insurance Plan. 30 D&B Life Insurance Plan for Active Team Members 18 Plan Year The plan year for the Life Insurance Plan is January 1 through December 31. Plan Funding The Life Insurance Plan is fully insured, which means the Insurance Provider assumes full responsibility for claims adjudication and payment. Plan Document This SPD is intended to help you understand the main features of the Life Insurance Plan. The insurance policy and D&B legal plan document provide additional information about the administration of the Life Insurance Plan. If there is any difference between the information in this SPD and in the insurance policy and D&B legal plan document, or if there are details not covered in this SPD, the insurance policy and D&B legal plan document will determine how to resolve these issues. Future of the Plan D&B reserves the right to amend, modify, suspend or terminate the plan, in whole or in part, by action of the Plan Benefits Committee appointed by the Company s Board of Directors. Plan amendment, modification, suspension or termination may be made for any reason, and at any time. Limitation on Assignment You may assign your rights and ownership under the Life Insurance Plan as a gift or viatical assignment. You must make the assignment in writing on a form approved by the Insurance Provider and signed by you. Both D&B and the Insurance Provider must give written consent to such an assignment. If you have made an irrevocable assignment under a group life insurance policy that is replaced by the D&B Life Insurance Plan, the Insurance Provider may recognize the irrevocable assignment if it is in writing, signed by you and both D&B and the Insurance Provider approved the assignment. You should contact the Insurance Provider for the appropriate forms. See the section How to Reach Your Life Insurance Plan Service Provider for contact information.

31 D&B Life Insurance Plan for Active Team Members 19 Neither D&B nor the Insurance Provider is responsible for the legality of the assignment. Therefore, you should consult with your attorney before taking this action.

32 D&B Life Insurance Plan for Active Team Members 20 CONTINUATION OF COVERAGE You may be able to continue coverage under the Life Insurance Plan under certain conditions. Continuation of Coverage for Employees in the Uniformed Services The Uniformed Services Employment and Reemployment Rights Act of 1994 (USERRA) guarantees certain rights to eligible team with regards to military service. If you go on a military leave of absence, you are generally entitled to participate in any rights under benefits not based on seniority that are available to employees on comparable non-military leaves. Upon reinstatement to active employment with the Company, you are generally entitled to the seniority, and all seniority-based rights and benefits associated with the position that you held at the time your employment was interrupted, plus the additional seniority; and seniority-based rights and benefits that you would have attained with reasonable certainty if your employment had not been interrupted. If your military leave is for less than 31 days, you may continue your life insurance coverage by paying the same amount charged to active employees for the same coverage. If you choose not to continue your life insurance coverage while on military leave, you are generally entitled to reinstate your coverage with no waiting periods or exclusions (however, an exception applies to service-related injuries or illnesses) when you return to active employment with the Company. To be eligible for the reemployment rights guaranteed by USERRA, you must meet certain requirements. One of these requirements is that you generally must return to active employment with the Company (or reapply for employment with the Company, as applicable) within the following time frames: Return to work no later than the first full, regularly scheduled work day following military service, including an 8-hour rest period after you return home from your military service, if you are on a military leave of less than 31 days Return to or reapply for employment within 14 days of completion of such period of duty, if your period of military service is more than 30 days and less than 180 days

33 D&B Life Insurance Plan for Active Team Members 21 Return to or reapply for employment within 90 days of completion of your period of duty, if your military service lasts more than 180 days. See your Human Resources representative for more information on applicable military leaves of absence Continuation of Benefits While on a Family and Medical Leave Under the federal Family and Medical Leave Act (FMLA), team members are generally allowed to take up to 12 weeks of unpaid leave for certain family and medical situations. If you are eligible, you can take up to 12 weeks of unpaid leave in a 12-month period for the following reasons: For the birth and care of your newborn child or a child that is placed with you for adoption or foster care For the care of a spouse, child, or parent who has a serious health condition For your own serious health condition. Depending on the state you live in, the number of weeks of unpaid leave available to you for family and medical reasons may vary based on state law requirements. During such periods, your Life Insurance coverage will continue, provided you pay the required premium on a timely basis. If you leave is unpaid, you will be billed monthly by the D&B Benefits Center for the cost of continued coverage.

34 D&B Life Insurance Plan for Active Team Members 22 YOUR RIGHT TO APPEAL Time Frame for Claim Determinations If you receive an adverse benefit determination (such as any denial, reduction or termination of a benefit, or a failure to provide or make a payment), the Insurance Provider will notify you of the adverse determination within a reasonable period of time, but not later than 90 days after receiving the claim. This 90-day period may be extended for up to an additional 90 days, if the Insurance Provider both determines that special circumstances require an extension of time for processing the claim, and notifies you, before the initial 90-day period expires, of the special circumstances requiring the extension of time and the date by which the Life Insurance Plan expects to render a determination. In the event an extension is necessary due to your failure to submit necessary information, the Life Insurance Plan s time frame for making a benefit determination on review is stopped from the date the Insurance Provider sends you the extension notification until the date you respond to the request for additional information. If the Insurance Provider does not receive the requested information from you within 60 days of the date the Insurance Provider sends you the request, your claim will be considered without such additional information and the resulting claim determination by the Insurance Provider will be final. No additional appeals with respect to such claim will be available to you under the terms of the Life Insurance Plan. If You Receive an Adverse Benefit Determination The Insurance Provider will provide you with a notification of any adverse benefit determination, which will set forth: The specific reason(s) for the adverse benefit determination. References to the specific Life Insurance Plan provisions on which the benefit determination is based. A description of any additional material or information needed to process the claim and an explanation of why that material or information is necessary.
