2 2 Cardholder Terms These Business Debit Card Cardholder Terms (these Cardholder Terms ) apply to the use of the Business Debit Card issued to you by us (your Business Debit Card ) from 28 November 2010 for new Business Debit Cards and from 1 January 2011 for existing Business Debit Cards in addition to the Business Debit Card Terms and Conditions between us and the Customer, as defined in clause 1.1 below. These Cardholder Terms replace all cardholder terms which previously applied to your Business Debit Card. 1. Interpretation 1.1 Where we refer to the Customer, we mean the Customer named on the Business Debit Card Cardholder Application Form signed by you as Cardholder. 1.2 Where we refer to a PIN, we mean a personal identification number. 1.3 Where we refer to a Debit Card payment, we mean a payment for goods and services made with a Business Debit Card. 1.4 Where we refer to a Debit Card transaction, we mean a cash withdrawal, internal transfer, charity donation or mobile phone top-up purchase made with a Business Debit Card, a payment by cheque issued on or before 30 June 2011 in the UK with a Business Debit Card which features a cheque guarantee symbol or a Debit Card payment, as appropriate. 1.5 Where we refer to working days, we mean Monday to Friday, except for public holidays. 1.6 Where we refer to Cardholder notice, we mean a notice sent to you and to the Customer by post, statement message, or secure e-message or by any other means that allows it to be addressed to you and to the Customer. 2. Your Business Debit Card and PIN 2.1 All Business Debit Cards we currently issue are VISA debit cards. 2.2 We will issue you with a PIN. We will not reveal your PIN to anyone but you. You can change your PIN if you wish but not within a 30 day period before the expiry date of your existing Business Debit Card or at any time between the order and receipt of your replacement Business Debit Card. 2.3 We reserve the right not to replace or renew your Business Debit Card. We will not replace or renew Business Debit Cards issued on the Customer s Business Money Manager account. 2.4 We may issue, at our discretion, debit cards with a contactless function which can be used at retailers who accept contactless VISA debit card payments. Debit cards with a contactless function will have a contactless transaction limit, which we will tell you about when you receive your card from us. We may change this limit by telling you. 3. Using your Business Debit Card 3.1 Your use of your Business Debit Card must be in accordance with these Cardholder Terms. 3.2 Business Debit Cards can be used to obtain the services described in these Cardholder Terms and such additional Business Debit Card services as we may provide from time to time. All such additional Business Debit Card services will be subject to such terms and conditions as we may notify to you. We may change or withdraw any Business Debit Card services by giving you notice in accordance with clause All Business Debit Cards can be used to withdraw cash and obtain other services available from our self-service machines in the UK, the Channel Islands and the Isle of Man. You may have to enter your PIN in order to use self-service machines. We may allow you to use your Business Debit Card in self-service machines in the UK, the Channel Islands, the Isle of Man and overseas operated by other financial institutions. Cards can be used to withdraw cash from self-service machines overseas operated by members of the HSBC Group and from selfservice machines overseas operated by other financial institutions if such machines display the VISA logo. Please also see clause 8 for details of the charges for using self-service machines and any applicable exchange rate. 3.4 You can use your Business Debit Card to obtain and perform some of the following from some of our self-service machines in the UK, the Channel Islands and the Isle of Man: details of the balance and available balance on the Customer s account; and/or pay cash and cheques into the Customer s account; and/or make internal transfers between the Customer s account and some other accounts which the Customer holds with us. 3 3 Internal transfers are authorised when your PIN has been entered into the keypad and a button on the keypad has been pressed to confirm the amount of the internal transfer. You cannot stop the internal transfer after this point. Internal transfers will be processed immediately. 3.5 You can use your Business Debit Card to make the following payments from some of our self-service machines in the UK, the Channel Islands and the Isle of Man: make certain charitable donations; and/or purchase mobile phone top-ups for pay-asyou-go mobile phones (please ensure that you enter the correct mobile phone number as we will not provide a refund if you enter an incorrect mobile phone number). Charitable donations and mobile phone topups are authorised when your PIN has been entered into the keypad and a button on the keypad has been pressed to confirm the amount of the payment. You cannot stop these payments after this point. These payments will be processed immediately. 3.6 Your Business Debit Card can be used to pay for goods and services in the UK, the Channel Islands, the Isle of Man or overseas with retailers and other suppliers who accept VISA. A cashback service may also be available. You may use your Business Debit Card to pay for goods and services through the internet. See clause 4.1 regarding the use of secure payment sites and software. You can also set up a series of recurring Debit Card payments on your Visa debit card. 3.7 We will process a Debit Card transaction if it is authorised in any of the ways set out in these Cardholder Terms or as advised by us from time to time. 3.8 We may decline to process a Debit Card transaction (other than a payment by cheque issued on or before 30 June 2011 in the UK with a Business Debit Card which features a cheque guarantee symbol) without any responsibility for any loss if it does not meet the following conditions: either (i) it is covered by cleared funds in the Customer s account or by an overdraft we have agreed following a formal request or (ii) we agree to cover it by treating it as an informal request for an overdraft to which we decide, in our complete discretion, to agree to provide; and we are not aware of any reason to stop the Debit Card transaction in accordance with clause 11 or for other fraud prevention purposes; and we are not aware of any reason to believe that your Business Debit Card may have been or might be misused or that the security of your Business Debit Card, PIN or other security details may have been or might be compromised; and we are reasonably satisfied that the Debit Card transaction and your authorisation are lawful. If we decline to process a Debit Card payment, you will normally be told when you authorise the Debit Card payment, unless we suspect fraud (please see clause 11 for details about our fraud prevention measures and what we do if we have any reason to check whether a Debit Card transaction is properly authorised). Unless it is unlawful for us to provide you with such details, if you call us on the telephone numbers set out in clause 4.4 at any time after a Debit Card transaction has been declined, we will tell you that it has been declined, the reasons why and provide you with details of the procedure for rectifying any factual errors that led to it being declined. We may charge the Customer for each occasion we notify you that we have declined to process a Debit Card transaction. HB00520_BusDebitCard_TC-12pp.indd 3 01/08/ :07

4 4 3.9 If the Customer s account on which your Business Debit Card was originally issued was later converted from a business current account into a Business Money Manager account, we are allowing you to continue to use your Business Debit Card to make Debit Card transactions (other than a payment by cheque issued in the UK with a Business Debit Card which features a cheque guarantee symbol) from the Customer s Business Money Manager account subject to these Cardholder Terms until your Business Debit Card expiry date. After that happens, you will not be able to make Debit Card transactions from the Customer s Business Money Manager account. Depending upon the Customer s price list, the Customer may incur transaction charges on the Customer s business current account if you subsequently use a Business Debit Card issued to you on the Customer s business current account to make a Debit Card transaction Your Business Debit Card must not be used after its expiry date, its use has been suspended or it has been cancelled Your Business Debit Card must not be used for any illegal purpose. If it is, the Customer will be responsible for such use and may be required to reimburse us and the relevant debit card scheme for all amounts which we or they incur as a result of such use We shall not be liable to you for any loss suffered if we are prevented from or delayed in complying with our obligations under these Cardholder Terms due to (i) complying with our other obligations under applicable law or (ii) any abnormal or unforeseeable circumstances beyond our reasonable control. 4. Taking care of your Business Debit Card, PIN and security details 4.1 You must take all reasonable precautions to keep safe and prevent fraudulent use of your Business Debit Card and any security details (including PINs, security numbers, passwords or other details). These precautions include but are not limited to: signing your Business Debit Card upon receipt if it bears a signature strip; and not allowing anyone else to use your Business Debit Card; and keeping your Business Debit Card, PIN and other security details safe; and keeping your Business Debit Card away from cheques; and not allowing anyone else to have or use your Business Debit Card or PIN; and not disclosing your Business Debit Card number, PIN or security details except when using your Business Debit Card to make Debit Card transactions; and not disclosing your PIN for mail order payments or when paying for goods and services over the telephone or through the internet or at a point of sale; and using secure payment sites and software when sending your Business Debit Card details over the internet to facilitate a Debit Card payment; and not tampering with your Business Debit Card; and safely destroying any PIN advice we send you immediately after receipt (eg, by shredding it); and choosing security details that are unique to your accounts, cards and services with us; and not choosing a PIN or other security details that may be easy to guess; and never writing down or otherwise recording your PIN and other security details in a way that can be understood by someone else; and shielding the keypad at self-service machines and the secure PIN pad at premises of retailers or other suppliers when entering your PIN; and never disclosing your PIN to anyone else, even the police or members of our staff; and complying with all reasonable instructions we issue regarding keeping your Business Debit Card, PIN and security details safe. 4.2 If your Business Debit Card, PIN or security details are lost or stolen, or if you know or suspect that someone has used or tried to use them or might use or try to use them, you must tell us without delay by calling our emergency 24 hour telephone number ( ). If you are calling from outside the UK, the Channel Islands and the Isle of Man, use our international number ( ). A textphone is available for customers with hearing and/or speech impairments ( ). If you are calling from outside the UK, the Channel Islands and the Isle of Man, use our international textphone number ( ). 5 5 If we ask, you or the Customer must confirm the loss or theft of your Business Debit Card, PIN or security details in writing to us at the following address: Lost and Stolen Cards Department HSBC Bank plc Card Services Delivery PO Box 6001 Coventry CV3 9FP We will ask you and the Customer to co-operate with us and the police in relation to any investigation into the actual or suspected misuse of your Business Debit Card, PIN or security details. You must report any unauthorised transactions to the police within seven days of our request. We may also disclose information about you, the Customer or the Customer s accounts with us to the police or other third parties if we think it may help to prevent or recover losses. 4.3 If you find your Business Debit Card after it has been reported as lost or stolen, it must not be used again. It must be cut up into at least six pieces and returned to us immediately. 4.4 If you enter an incorrect PIN three times consecutively when using your Business Debit Card on the premises of a retailer or other supplier, your Business Debit Card will lock for use with retailers and other suppliers. You can unlock it using the correct PIN at a self-service machine in the UK, the Channel Islands and the Isle of Man. If you cannot remember the correct PIN, or are outside the UK, the Channel Islands and the Isle of Man, you will need to telephone us on ( if calling from overseas) or textphone ( if calling from overseas) for assistance. Lines are open 8am to 10pm every day (except Christmas Day, Boxing Day and New Year s Day). We will advise you of any steps you need to take in order to start using your Business Debit Card again and will re-advise you of your PIN by post. 4.5 You must take all reasonable steps to prevent someone else from altering or signing cheques from the Customer s cheque book and you must notify us as soon as possible if any such cheques are altered or signed or if you suspect that someone might alter or sign a cheque. If you are paying a cheque to a bank, building society or a large organisation, do not make the cheque payable to the organisation without adding further details in the payee line (eg, HM Revenue & Customs, account J Jones or AAA Bank, account J Jones). Further important information about the security of the Customer s cheque book and writing cheques is set out inside the cover of the Customer s cheque book. Such information forms part of these Cardholder Terms. 4.6 You must notify us immediately if you change your name, address, telephone number or address. 5. Cash withdrawals 5.1 We will set a limit on the amount of cash you can withdraw each day using your Business Debit Card. You will be advised of the amount of your limit upon receipt of your Business Debit Card. Please note that using your Business Debit Card to make a charitable donation or to purchase mobile phone top-ups will reduce your limit by the amount of the payments you make. 5.2 Cash withdrawals from a self-service machine are authorised when your PIN has been entered into the keypad and a button on the keypad has been pressed to confirm the amount of the cash withdrawal. You cannot stop the cash withdrawal after this point. 5.3 You can use your Business Debit Card to make cash withdrawals at self-service machines in the UK, the Channel Islands or the Isle of Man. The amount of the cash withdrawal and any charges that are payable under clause 8 will be deducted from the Customer s account on the same day. You can use your Business Debit Card to make cash withdrawals at self-service machines outside of the UK, the Channel Islands and the Isle of Man as set out in clause Business Debit Cards cannot be used to make cash withdrawals over the counter at our branches or at another bank but you can use your Business Debit Card as an item of identification. To make cash withdrawals over the counter at our branches or at another bank, you must produce the Customer s cheque book together with your Business Debit Card and/ or such other items of identification as may be requested. 6 6 5.5 You can use your Business Debit Card to make cash withdrawals in Euro or US Dollars from some of our self-service machines. Our prevailing exchange rate, the amount of currency you will receive and the sterling amount will be detailed on the screen. The amount of the cash withdrawal converted into sterling will be deducted from the Customer s account balance immediately. 5.6 We will be responsible for any money lost if there is a fault on one of our self-service machines of which we have not notified you by a message on the screen or a notice on the machine. If we have notified you of a fault by a message on screen or a notice on the machine, you should not use your Business Debit Card to withdraw cash from that machine and we will not be liable for any loss if you do. The number of self-service machines we make available will vary in number from time to time. 5.7 We are not responsible and will not be liable for any loss if any other financial institution refuses to accept your Business Debit Card or if your Business Debit Card cannot for any reason or purpose be used in a cash machine operated by another financial institution in the UK, the Channel Islands, the Isle of Man or overseas. 6. Debit Card payments 6.1 A Debit Card payment made in person is authorised when either: (i) details of your PIN have been entered into a keypad and a button on the keypad has been pressed to confirm the Debit Card payment; or (ii) a signature has been provided to confirm the Debit Card payment. (iii) where there is a contactless function on your card, the card is held near the contactless device provided by the retailer (you may on occasion be asked to either enter your PIN into a keypad or provide a signature); Other Debit Card payments are authorised when certain personal details and the threedigit card security number on the back of your Business Debit Card have been provided to a retailer or supplier (a recipient ) together with confirmation to make the Debit Card payment. We will advise the recipient if we are prepared to process the Debit Card payment. For decision-making and card-misuse prevention purposes, we may refer an authorisation request back to the recipient for further information. This may result in you being asked to produce further identification. This may also be done on a random basis for fraud prevention purposes. 6.2 We may allow a Debit Card payment to be authorised after it has been made. Debit Card payments authorised to or through a recipient will not be immediately notified to us. If we receive notification of a Debit Card payment outside our normal business hours, then it will be deemed to have been received by us by the end of the next working day. 6.3 A Debit Card payment (including a recurring Debit Card payment) cannot be stopped once it has been authorised but the recipient may agree to make a refund. We will credit the Customer s account with a refund only if the recipient refunds us, and then, only after we have received the refund. We cannot be responsible for any delay in receiving a refund. 6.4 We will normally deduct from the Customer s account the amount of a Debit Card payment made in the UK, the Channel Islands or the Isle of Man on the first working day following receipt of the request from the recipient s bank for the Debit Card payment to be made. We will make the Debit Card payment to the recipient s bank on the same day. 6.5 Where you authorise a Debit Card payment and the amount of the Debit Card payment is not specified when the authorisation is given, if the amount of that Debit Card payment is unexpectedly higher than you could reasonably have expected in the circumstances, then, provided you or the Customer asks for a refund within 8 weeks of the amount of the Debit Card payment being deducted from the Customer s account, we will investigate and, if required, refund the amount of the Debit Card payment to the Customer s account and deduct from the Customer s account the amount which you could reasonably have expected when you authorised the Debit Card payment. This will not apply where you gave your authorisation for the Debit Card payment directly to us and, for recurring Debit Card payments, the information on the relevant Debit Card payment was provided or made available in an agreed manner to you or the Customer for at least four weeks before it was due to be processed. 7 7 You must provide us with any additional information we request which is reasonably required to allow us to verify whether the Customer is entitled to a refund. We will either make a refund or provide the Customer with our reasons for not doing so within 10 working days of either receiving a request for a refund or, if later, receiving any additional information we request. 6.6 We will not be liable for any loss if any retailer or other supplier refuses to accept your Business Debit Card or if you cannot for any reason or purpose use your Business Debit Card at a point of sale. 6.7 When you place an order over the internet with an organisation that participates in Verified by VISA you will be invited to register for the service. If you do not do so we may not authorise the payment for your order. 7. Charges and exchange rates 7.1 Details of the charges, debit interest rates and overdraft fees that may be payable for the use of Business Debit Cards are set out in the Customer s price list from time to time. If other financial institutions make additional charges for the use of cards in their selfservice machines, their additional charges will also be payable by the Customer. We may also charge for the issue and renewal of cards. By requesting us to issue Business Debit Cards, the Customer has authorised us to deduct all such charges from the Customer s account. 7.2 Cash withdrawals at self-service machines outside the UK, the Channel Islands and the Isle of Man are subject to a 1.5% (minimum 1.75) charge. This charge is shown separately on the Customer s account statement. 7.3 For cash withdrawals at self-service machines outside of the UK, the Channel Islands and the Isle of Man (where the selfservice machine operator will act for itself and not on our behalf) the amount of any cash withdrawal made in a currency other than sterling will be converted into sterling as set out in clause 8.5. See the Customer s price list for charges that will apply. We will deduct the amount of the cash withdrawal from the Customer s account once we receive details of the cash withdrawal from the relevant debit card scheme, at the latest by the next working day. 7.4 We will convert the amount of any cash withdrawal made in a currency other than sterling from our self-service machines into sterling at our prevailing exchange rate on the working day we receive details of the cash withdrawal in the UK. Details of the exchange rate and any charges are available by calling or by contacting any of our branches. A textphone is available for customers with hearing and/or speech impairments ( ). Lines are open 8am to 10pm every day (except Christmas Day, Boxing Day and New Year s Day). 7.5 Any foreign currency Debit Card payments are converted into sterling by VISA using wholesale market exchange rates applying on the day the conversion is made. These Debit Card payments are subject to our foreign exchange charge of 2.75%. We will deduct the Debit Card payment and the charge from the Customer s account once we receive details of the Debit Card payment from the relevant debit card scheme, at the latest by the next working day. Details of the current wholesale market exchange rates can be obtained by calling us on the telephone numbers set out in clause If we process a Debit Card payment that involves a currency conversion and that Debit Card payment is subsequently refunded or returned to us, we will convert the refunded or returned Debit Card payment (as appropriate) back to the original currency at our prevailing exchange rate when we receive the refunded or returned Debit Card payment (as appropriate) and credit it to the Customer s account. This means that the amount we credit could be less than the amount we originally deducted. 7.7 We may make a charge for any additional Business Debit Card services we provide. We will tell the Customer of these charges when the Customer asks for the service. Suspension and return of your Business Debit Card 8.1 Business Debit Cards belong to us and we may, at any time, cancel your Business Debit Card and/or any other Business Debit Cards issued to other Cardholders by us subject to the Business Debit Card Terms and Conditions between us and the Customer or ask you or the Customer to return your Business Debit Card and/or such other Business Debit Cards to us or suspend its or their use, if we have reasonable grounds which relate to: the security of your Business Debit Card and/ or such other Business Debit Cards and/or its or their suspected unauthorised or fraudulent use; or the security of or the suspected unauthorised or fraudulent use of the Customer s accounts or of cards or other services provided by us to the Customer; or the occurrence of an insolvency event in relation to the Customer in any jurisdiction (including but not limited to the making of a bankruptcy order, the presentation of a winding-up petition or a petition for a bankruptcy order which is not withdrawn or dismissed within 30 days, the making of a winding-up order or passing of a winding-up resolution, the appointment of an administrator or receiver or an insolvent reorganisation by way of voluntary arrangement, scheme of arrangement or otherwise); or if we consider there is a significantly increased risk that the Customer will be unable to repay any overdraft on the Customer s account. 8.2 We will normally give you or the Customer advance notice (either in writing or by phone or in branch) if we are going to suspend use of your Business Debit Card. We will tell you why we are taking this action but we will not give you or the Customer notice or details of the reason for the suspension if this would compromise our reasonable security measures or if it is unlawful to do so. We may suspend the use of your Business Debit Card without notifying you or the Customer where we have been unable to contact you or the Customer in advance. We may also suspend the use of your Business Debit Card due to national or European legal obligations that apply to us. 8.3 You can ask us to lift any suspension of your Business Debit Card by phoning us. 8.4 You can return your Business Debit Card to us at any time but it must be cut up into at least six pieces. 8.5 The Customer will be liable for and we may continue to deduct from the Customer s account the amount of any Debit Card transactions (and any applicable charges) made before the return or suspension of your Business Debit Card but not processed by us until after the return or suspension of your Business Debit Card. 9. Misuse of your Business Debit Card 9.1 The Customer will be responsible for all losses if you act fraudulently or if you allow someone else to use your Business Debit Card, PIN or other security details. 9.2 If we suspect that you may have acted fraudulently or may have intentionally failed or been grossly negligent in failing to notify us of the loss or theft of your Business Debit Card, PIN or other security details or otherwise in failing to comply with the security precautions in clause 4, then we will check the authorisation for the relevant Debit Card transaction(s) and/ or investigate it/them fully. We will refund the Customer s account if we have concluded that it is appropriate to do so under clause 5 of the Business Debit Card Terms and Conditions. 10. Fraud prevention Preventing fraud and other criminal activities is in the interests of our customers, in our interests and in the wider public interest so we would ask you to use your Business Debit Card securely. For our part, we carry out certain checks on Debit Card transactions as part of our fraud prevention measures. We may contact you or the Customer by post, telephone (including mobile phone), or mobile messaging to check that a Debit Card transaction is properly authorised or we may leave a message asking you or the Customer to call us. If we ask you or the Customer to call us, you or the Customer must contact us as soon as possible. For Debit Card payments, if we do not hear from you or the Customer and we do not have any reason to believe there are any other payments from the Customer s account which may not have been properly authorised, we will assume that you have authorised the Debit Card payment and will process it. This will not prevent you from later disputing that you authorised the Debit Card payment. HB00520_BusDebitCard_TC-12pp.indd 8 01/08/ :07

9 9 We, or any other member of the HSBC Group, may take whatever action it considers appropriate to meet any obligations in the UK, the Channel Islands, the Isle of Man or elsewhere in the world relating to the prevention of fraud, money laundering, terrorist financing, bribery, corruption, tax evasion and the provision of financial and other services to persons who may be subject to economic or trade sanctions. This may include, but is not limited to, investigating Debit Card transactions and intercepting Debit Card payments (particularly international Debit Card payments) and investigating the source of funds or intended recipient. It may also include making enquiries to establish whether a person is subject to sanctions. Carrying out the activities in this clause 11 may delay or stop the processing of Debit Card transactions but, where possible, we will advise you of the reasons for any delay or stop and the likely length of any delay. If we are not satisfied that a Debit Card transaction is lawful, we may decline to process it. 11. Changes 11.1 We may change these Cardholder Terms at our discretion by giving two months notice of the change by Cardholder notice We may cancel your existing Business Debit Card and replace it with a Business Debit Card issued under another debit card scheme or with another type of business card. We may do this when we replace or renew your Business Debit Card or, if we give you at least 30 days notice of the change by Cardholder notice, at any other time. 12. Your information We will use your information as set out in clause 8 of the General Terms and Conditions in section 1 of our Business Banking Terms and Conditions which applies to the Customer s account and which has been provided to the Customer. For the purposes of these Cardholder Terms, references in such clause 8 to you should be read as applying to the Customer and references in such clause 8 to your representatives should be read as applying to you, the Cardholder. The purposes for which your information may be used include, without limitation, providing your Business Debit Card and the Business Debit Card services referred to in clause 3.2, credit reference checks, fraud prevention and administrative purposes.
