1 Functions of the Company and Corporate Management Presidency The President of Grupo Tragsa is the Chief Executive responsible for operations of the companies in Grupo Tragsa, he possesses the senior most authority over each of the activities developed by the companies that make up Grupo Tragsa. He exercises his authority and functions, either directly or through the Management Committee. His primary functions are the following: Inform the Board of Directors and the shareholders about the actions and results of the companies. Representation of Grupo Tragsa at the highest level. Ensure the compliance of the purposes outlined in the Company Statutes. Approve the organizational structure of Grupo Tragsa. Define and approve the business policies and strategies, while consulting with the Grupo Tragsa management team. Preside over the Management Committee and execute its decisions. Oversee the compliance of the defined corporate policies, with the assistance of the Management team. Define the pricing policy of Objectives (MBO) when it does not apply to SEPI. The approval and revision of the general internal corporate rules for Grupo Tragsa.
2 Establish and maximize the study of the development of the sectors in which Grupo Tragsa operates, as well as seek new opportunities and competitive advantages of the business areas through the use of the Department of Business Development, International Relations and the Regional Delegates. General Secretariat Dependent on the Presidency, its primary functions are the following: Coordinate, boost and monitor the actions of the unit that depend on it. Implement, develop and monitor the policies approved by the Management Committee that correspond to the units that depend on the Secretariat. Coordinate the design and development of the Strategic Plan, ensuring the effective enforcement of requests, while fulfilling the commitments of quality and profitability. Manage the drafting of the annual budgets of Grupo Tragsa s productive activity, monitor its progress and take corrective measures whenever necessary. Define and manage the policies and plans of Human Resources and Occupational Safety. Define the framework for action for Legal Services. Manage the performance of Corporate Services of Territorial Units, through their respective officers. Assign the objectives for Territorial Units, Tragsatec and International. Define and implement Grupo Tragsa s internationalization strategy.
3 Management of Legal Affairs Primary functions within Grupo Tragsa are the following: Provide legal advice to the units of Grupo Tragsa. Defense and representation of Grupo Tragsa s interests before courts of justice, both national and international institutions. Management and processing of internal rules and protection of information. Risk management and insurance. Handling and reporting of complaints related to the quality of performance of Grupo Tragsa s products and services. Advisement to the contracting entities. Advise and participate at Board Meetings and other general meetings. Legal Institutional Relations Administration. Processing of Agreements and institutional agreements. Report of agreements and contracts signed by Grupo Tragsa companies. Hiring of outside counsel. Management of intellectual and industrial property. Expert advice on all legal aspects necessary for the internationalization plan. Centralization of corporate support for international business, in functions related to administration and management (Human Resources, Economic and Financial and Legal Affairs).
4 Human Resource Management Primary functions are the following: Define the Human Resources strategy of Grupo Tragsa, and manage its proper implementation. Advise, propose, define and manage the organizational model, as well as the functions of the units and the value they provide Grupo Tragsa. Define and manage Grupo Tragsa s Remuneration Policy. Analyze and manage the viability of the proposed appointed posts of the Organizational model and Special Responsibility, in its capacity as guarantor and manager of the organizational model. Implement and supervise the various Human Resource policies: personnel recruitment (recruiting events, internal and external selection), identifying and retaining talent, training and employee development, career plans and performance evaluations. Promote the actions necessary to incorporate people from groups with special difficulties in the labor market. Define and develop collective negotiation strategies of Grupo Tragsa companies including social entities and union representation. Manage labor relations: legal labor advice, social dialogue, collective and individual conflicts and disciplinary guidelines. Represent the company during employment inspections and before Administration entities. Manage personnel administration: hiring, social security, taxes and remuneration. Manage Employee Safety of Grupo Tragsa, in both levels of Organization: Corporate and Peripheral, defining policies and internal procedures in matters of health and safety at work, while coordinating with production units.
5 Operations Management Dependent on the General Secretariat, primary functions are the following: Plan Grupo Tragsa s activity according to the needs of the Administration and/or requesting entities. Manage, supervise and coordinate Tragsa and Tragsatec actions. Manage, supervise and coordinate Territorial Unit production. Manage Quality and Environmental Systems. Promote the study and implementation of improvements of territorial structure and Tragsatec, as well as implementation processes of productive work in order to maximize efficiency. Coordinate the management of emergency situations. Implement an appropriate monitoring and analysis of relations with the Administration and/or requesting entities aimed at the implementation of production, through information received from Territorial Unit Headquarters, Autonomous Delegates and other Managers. Participate in drafting the National and International Business Plan of Grupo Tragsa. Coordinate and supervise the preparation of the Budgets of the Territorial Units and Tragsatec, and ensure the proper follow-up. Establish and follow-up on productive objectives in the Territorial Units and Tragsatec. Support the Financial area in the management of tariffs for Grupo Tragsa and monitor their suitability. Plan, manage and propose policy renewal and/or modification of the Machinery Yard.
6 Its primary functions within the Quality Systems and Environmental Management are the following: Supervise the implementation and enforcement of the requirements of actions under Quality Systems and Environmental Management, especially those related to planning, implementation, and monitoring progress. Propose environmental and quality policy. Set quality and environmental objectives and monitor their progress. Develop, review and propose the approval of Quality and Environmental Management Handbooks. Manage, supervise and review the definition and implementation of Quality Systems and Environmental Management. Conduct periodic reviews of Quality Systems and Environmental Management. Represent Management before the Certification Entities. Provide the necessary training on Quality Systems and Environmental Management in the various units. Provide technical and documentary support to those responsible for Quality and Environmental Management for the different Units. Identify applicable requirements for Environmental legislation. Conduct periodic monitoring of nonconformities. Identify all environmental aspects usually present in the activities undertaken. Supervise the implementation of the Quality and Environmental Procedures, and advise Organizational Units when necessary. Evaluate the satisfaction level of the Administration and/or Requesting Entities. Define processes, establish indicators, and determine systematic data analysis.
7 Tragsatec Management Tragsatec Management relies on Operations Management. Its primary functions are the following: The drafting and monitoring of the centralized and territorial production budget. The control and monitoring of actions, both during production and documentary formalization, as well as drafting of projects and the preparation of studies and/or reports. The maintenance and management of technical and material means. The supervision and coordination of the ascription of human resources for productive activities to efficiently adapt and adjust to the level of activity. The coordination and monitoring of work assigned by the Administration and/or Requesting Entities. The control and support to achieve products with technical quality and security. In the case of centralized actions, responsible for the implementation and monitoring of the actions. These must be implemented according to the request from the Administration and/or Requesting Entities, effectively, efficiently, using the appropriate means and ensuring positive, economic results. With the support of Territorial Units, develop the Action Implementation Control, in relation to the correct implementation of these, verifying the activities carried out by those responsible for the implementation of the actions, ensuring compliance with the technical and legal requirements, quality standards and quality control, the evaluation of work performance, the resources used, the implementation deadlines, planning/scheduling compliance, the economic performance, and compliance with the provisions of Quality Systems and Environmental Management.
8 Participation in the establishment, control and calculation the fulfillment of the Management by Objectives Program. Conduct productive activities that are not susceptible to territorialization. Participation in Board of Director and Committee Meetings where presence is requested. The completion of Technical reports and studies of any offers that may be requested from the Procurement Units. Specific functions of Tragsatec Management, relative to information systems: Develop and monitor the Information Systems Investment Plan and manage purchases of computer equipment and the inventory of these types of items. Ensure the proper operation of Information Technology infrastructure of the group: communications networks, servers, enterprise applications, employee equipment, peripherals and security systems; as well as fixed, mobile and satellite phones. Perform Information Technology development for the group, both for internal and external use. Provide specialized support for the use of computer applications for all users at Grupo Tragsa. Promote the use of new technologies within the Grupo Tragsa.
9 Financial Economic Department Relies on the Presidency, its primary functions are the following: Manage Accounting and Tax departments and prepare Grupo Tragsa s Financial Statements, including tax settlements. Manage the Grupo Tragsa Treasury. Manage and coordinate bill collection and certification of pending payments. Manage banking operations. Establish and manage tariffs. Preparation, monitoring and control of the Annual Budgets and Investment Plans of each of the societies of Grupo Tragsa, in coordination with the General Secretariat. Direct and coordinate the management and budgetary control of the organization. Develop and provide, the internal and external economic information necessary for the management of Grupo Tragsa (Operating and Capital Budget (PEC), Multiannual Action Program (PAP), and Quarterly report to the Spanish Securities and Investments Board [Comisión Nacional del Mercado de Valores]). Periodic dialogue and information for SEPI: Annual Operating Plan (POA), Latest Annual Review (UPA)). Manage the Purchasing policy of products and services for Grupo Tragsa efficiently, generating savings and ensuring compliance with current legislation. Oversee the Contract Awarding Committee and the Central Procurement Board. Manage and oversee Grupo Tragsa s assets and General Services.
10 Management of Business Development and Institutional Relations Relies on the Presidency, its primary functions are the following: Institutionally represent Grupo Tragsa to clients and entities at the national and regional level. Define, implement and manage the Institutional Relations and Trade strategy of Grupo Tragsa. Define and implement an Annual Commercial Group Plan, promoting the centralized and coordinated development of said plan. Promote the innovation and development of new services and products that reinforce Grupo Tragsa s commercial activity. Define the Research, Development and Innovation (R&D&I) Plan, in accordance with the Strategic Plans of Grupo Tragsa. Develop and manage finances (subsidies and European Funds) of the R&D&I Budget, taking responsibility for operating results. Manage external, national and international collaborations, in reference to R&D&I. Coordinate the commercial and institutional actions of the territorial units. Analyze clients and business opportunities.
