1 ELECTRONIC DELIVERY OF BANK STATEMENTS/NOTICES CONSENT AND AGREEMENT 1. Welcome Welcome to The Juniata Valley Bank Online Banking Statement Delivery Service. Our goal is to provide you with an easy and convenient way to receive your periodic Bank Statements and notices. 2. Definitions The words we, us, and the bank mean The Juniata Valley Bank and the words you and your mean you, the individual(s) who is identified on the account as the owner or authorized signer or as the account holder on the Account(s). As used in this Disclosure, E-Documents means any bank periodic statement, notice or disclosure as outlined in section 3 below, or which we are required by law to provide to you in writing. 3. Scope of Communications to Be Provided in Electronic Form When you select Accept with respect to an Account, you agree that we may provide you with any Communications relating to that Account in electronic format, and that we may discontinue sending paper communications to you, unless you withdraw your consent as described below. Each account is separate and distinct and must receive its own individual consent for the electronic documents associated with that account. 4. Method of Providing Communications to You in Electronic Form notifications will be sent to the address that was specified on your Online Banking Application with us. If, for any reason, this information should change, it is your responsibility to notify the bank immediately of your new address. Box 66, Mifflintown, PA How to Provide Consent You may provide your consent to receive E-Documents in electronic form for any of your Accounts by clicking on the Accept link at the bottom of the online statement s welcome screen 6. How to Withdraw Consent You may withdraw your consent to receive E-Documents in electronic form for any of your Accounts by: Clicking on the Decline link at the bottom of the online statement s welcome screen Sending us an by logging onto Online Banking via and clicking on the link at the top of the screen Contacting us at Informing us in person at any of our Community Offices Sending us a letter to: The Juniata Valley Bank, EFT Department, P.O. Hardware and Software Requirements In order to access, view and retain E-Documents that we make available to you, you must have: A PC or Macintosh personal computer system with Internet connectivity Available hard disk space of at least 10 Megabytes A computer pointing device, such as a mouse, trackball or touchpad A graphical user interface operating system, such as Windows XP, 2000, or Vista, or Apple Macintosh OS X. Adobe Acrobat Reader 5.0 or higher A 128-bit encryption SSL (Secure Socket Layer) compatible browser (recommended: Internet Explorer 6.0 or higher, or FireFox) A JavaScript enabled browser A computer monitor capable of displaying Internet Web pages and graphics (recommended: 800x600 resolution or higher) A printer if you wish to retain E-Documents in printed form 8. Requesting Paper Copies If you elect to receive your bank statements and notices through electronic delivery, we will no longer send you your bank statements and notices through the mail. You also have the right to receive a paper copy of your account statement, electronic records, agreements and disclosures. You can obtain a paper copy by printing it yourself or by requesting that we mail you a paper copy, provided that such request is made no later than seven years after we first provided the E- Document to you. Box 66, Mifflintown, PA or call us at We will charge you a fee of $7.00 for the delivery of each paper copy of any E-Document provided to you electronically pursuant to your authorization. We reserve the right, but assume no obligation, to provide a paper (instead of electronic) copy of any E-Document that you have authorized us to provide electronically. 9. Communications in Writing All Communications in either electronic or paper form from us to you will be considered in writing. You should print or download for your records a copy of your Juniata Valley Bank Online Statements, this Disclosure, your initial authorization to receive The Juniata Valley Bank Online Statements and any changes to that authorization, and any other Communication that is important to you. E-Documents will be available electronically to view and reprint for up to 24 months. 10. Security We are providing this service through Print Mail Systems Inc., because of its method of maintaining the security of confidential documents. To access your E-Documents, you will be required to log on to Online Banking using your login credentials and password. To protect the security of your banking information, you must not disclose or share your password with any third party. In addition, your E-Documents will not be forwarded through standard . You will be notified by that they are available to you for access.

3 You agree that The Juniata Valley Bank shall not be liable if you are unable to access the website from time to time. You understand that some or all of the E-Documents services and/or other Juniata Valley Bank s system services may not be available at certain times due to maintenance and/or computer, communication, electrical or network failure or any other causes beyond our control. You understand the importance of your role in preventing misuse of your accounts and you agree to promptly examine your E-Documents for each of your Juniata Valley Bank accounts as soon as you can access it. You agree to protect the confidentiality of your account and account number and our personal identification information. You understand that personal identification information by itself or together with information related to your account may allow unauthorized access to your account. You acknowledge that the Internet is inherently insecure and that all data transfers, including electronic mail, occur openly on the Internet and potentially can be monitored and read by others. We cannot and do not warrant that all data transfers utilizing the Internet, or transmitted to or from us, will not be monitored or read by others. You understand that protecting your personal information requires the installation of firewalls, anti-virus, and spyware protection software, including periodic required updates, on your computer. You understand that periodic operating system and browser application updates provide better protection for your computer and online banking sessions and are the recommendation of the Bank. For additional online security information, please review the security information on our website at The Juniata Valley Bank does not warrant the security or confidentiality of any information transmitted through any applicable Internet service provider, information/communication network service provider, network system or such other equivalent system in any jurisdiction via e-statements. 11. Federal Law You acknowledge and agree that your consent to E-Documents is being provided in connection with the Signatures in Global and National Commerce Act (also referred to as E-Sign Act) and that you and we both intend that the Act apply to the fullest extent possible to validate our ability to conduct business with you by electronic means. 12. Termination/Changes We reserve the right, in our sole discretion, to discontinue this provision of your E-Documents or to terminate or change the terms and conditions on which we provide E-Documents. We will provide you with notice of any such termination or change as required by law. 13. Disclaimer of Warranty and Limitation of Liability We make no warranty of any kind, express or implied, including any implied warranty of merchantability of fitness for a particular purpose, in connection with the E-Documents provided to you under the Agreement. We do not and cannot warrant that the service will operate without error, or that the service will be available at all times. Except as specifically provided in this Agreement, or otherwise required by Law, you agree that our officers, directors, employees, agents or contractors are not liable for any indirect, incidental, special or

4 consequential damages under or by reason of any services or products provided under the Agreement or by reason of your use of the E-Documents service, including loss of profits, revenue, data or use by you or any third party, whether in an action on contract or tort or based on a warranty or any other legal theory. The Juniata Valley Bank makes no warranty that: The service will be uninterrupted, timely, secure or error-free The service will meet your requirements Any errors in the software will be corrected The Juniata Valley Bank will not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses resulting from: 14. Governing Law The use or the inability to use the service Unauthorized access to your transmission Unauthorized alteration of your data Statements or conduct of the third party service provider Any other matter relating to the service This agreement shall be construed, interpreted and enforced in accordance with, and governed by the laws of the Commonwealth of Pennsylvania, without regard to conflicts of law principles. You and the bank agree that any action, suit, dispute, claim or proceeding brought by either you or the bank in connection with this Agreement shall be subject to the jurisdiction of and shall be brought in the courts of Pennsylvania. 15. Miscellaneous This Agreement consists of the terms and conditions set forth in this document and in The Juniata Valley Bank Personal and Business Electronic Services Agreements. You and the bank acknowledge that you have read this Agreement, understand it, and agree to be bound by it. This Agreement, together with The Juniata Valley Bank Personal and Business Electronic Services Agreements, constitutes the complete and entire understanding and agreement between you and the bank with respect to the subject matters hereof and supersedes and replaces all prior agreements and understandings, oral and written, with respect to such subject matters. In the event that any of the terms and conditions of this Agreement conflict with any term or condition set forth in The Juniata Valley Bank Personal and Business Electronic Services Agreements, the term and condition set forth in The Juniata Valley Bank Personal and Business Electronic Services Agreements shall control unless otherwise specified by you and the bank. If any provision of this Agreement is invalid or unenforceable for any reason, the balance of the Agreement shall remain in effect.

5 16. Privacy Our privacy policy (that has been previously provided to you) will apply to this service, and the policy is incorporated into and made part of this Agreement. Our third party provider is subject to our rules on privacy in relation to your E-Documents. 17. Authorization By accepting below you are acknowledging receipt of the terms and conditions contained in The Juniata Valley Bank Electronic Delivery of Bank Statements/Notices Consent and Agreement to which you agree to be bound. Additionally, you affirm that you have the minimum hardware and software requirements to be able to receive, view and retain these communications. Accept Decline
