3 TERMS OF SALE MASTER LOCK COMPANY TERMS OF SALE EFFECTIVE JUNE 2011 All orders are subject to acceptance by Lock Company LLC, Milwaukee, Wisconsin, USA PRICES: All prices are stated in US dollars ($). Orders are subject to prevailing prices on order acceptance date. MINIMUM ORDER: US$50 on all catalog items except parts and keys. ADDITIONS/CHANGES: Once your order has been processed, additions, cancellations or changes may not be accepted. A separate order may be required. Items are subject to discontinuation without notice. FREIGHT TERMS: All shipments within the US and Canada are FOB destination. Shipments to Alaska or Hawaii will be to US port of exit (Seattle or Los Angeles) Lock Company will pre-pay freight charges on all orders over US$1,000 (based on net prices) to a single destination within the contiguous United States or Canada. Orders destined to Alaska or Hawaii ship prepaid to the customer s designated freight forwarder in either Seattle or Los Angeles. Freight charges on orders less than US$1,000 (net) will be shipped on a Prepay & Add basis. Freight charges will be added to the customer s invoice. Lock Company reserves the right to select both the carrier and mode of transport when shipping on a Prepaid or Prepay & Add basis. Customer is responsible for any charges in excess of normal transportation that result from services requested by the receiving party. For an International Shipment that is a Routed-Transaction the Buyer s [consignee s] freight forwarder is responsible for export clearance and AES filing. CLAIMS: You must report any claims for shortages or damages for which Lock Company or our freight carriers are responsible within 30 days of receipt of merchandise. Receivers must note visible discrepancies on the carrier s copy of the delivery receipt in order for the claim to be considered valid. Visible discrepancies include, but are not limited to, open, torn, crushed or water damaged cartons, piece counts that do not match the delivery receipt, etc. Lock Company uses yellow stretch-wrap. If freight is received with stretch-wrap that is clear or any other color, it should be noted on carrier s copy of the delivery receipt. Concealed damages must be reported within five business days of receipt of merchandise in order to determine liability. All carriers claims on Prepaid (or Prepay & Add) shipments are filed by Lock Company. How To Order RETURNED GOODS: No merchandise may be returned without authorization from Lock Company. All returns must have a Returned Material Authorization (RMA) issued by Lock Company Customer Care. The RMA must be shown on all labels and correspondence with regards to returned merchandise. All returns must be prepaid and returned within 30 days of authorization in order to receive credit. A minimum 15% handling charge will be assessed on authorized returns. Returns received without prior authorization (RMA Code) may be returned to the customer. Returns will not be authorized for custom Made To Order (MTO) products and/or products built to a specific customer requirement such as laser engraved, master keyed, or keyed alike products. PAYMENT TERMS: Standard: 2% 20 days, net 31. LIMITED LIFETIME WARRANTY: If a product fails due to a defect in material or workmanship at any time during the life of the product, we will replace it free of charge. This warranty gives you specific legal rights and you may also have other rights, which may vary from state to state, province to province or country to country. MASTER LOCK COMPANY IS NOT LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. Some governments do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. This warranty does not cover products which have been abused, altered, damaged, misused, cut or worn.
