We will make every effort to assign you the space you have requested. All applications and requests are evaluated in the order that the office receives them. When executed by both parties to this agreement, this shall constitute a binding agreement between The Western States Tow Show produced by the California Tow Truck Association and the undersigned exhibitor. The California Tow Truck Association agrees to rent to the undersigned the exhibitor space at the Town & Country Resort and Convention Center. We have read and agree to abide by the Exhibitor Rules and Regulations which are a part of the agreement. We understand that exhibitor space allocation shall be at the discretion of California Tow Truck Association and this agreement shall be legally binding between California Tow Truck Association and the exhibitor upon acceptance of California Tow Truck Association. We understand that any change in the information on this agreement must be in writing. 4 Western States Tow Show Exhibitor Rules & Regulations 1. SPACE LEASING A. Exhibitor booths or spaces are rented strictly to the exhibitor only or to his/her representative previously agreed by the Western States Tow Show (hereafter referred to as WSTS), produced by the California Tow Truck Association. B. Assignment or subletting of any booth or any part of a booth, or use of any space by a non-exhibitor, is prohibited except upon written permission from WSTS. C. The Western States Tow Show is a closed trade show designed to provide a showcase for equipment, products and services customarily used by tow truck service companies. WSTS reserves the right to refuse rental of display space to any company whose display of goods or services is not likely to be, in the opinion of WSTS, compatible with the general character and objective of the show. D. Should WSTS not be satisfied with the use being made of any rented space, they reserve the right to clear all or part of the site at the exhibitor s expense. Any payment made in respect of space will be forfeited. E. If for any reason an exhibitor finds he/she is unable to honor his commitment for space; he/she should immediately notify WSTS. WSTS may, without prejudice to any claim for full payment against the exhibitor, cancel the allocation. WSTS will make all reasonable efforts to re-rent the space, and may consider reducing part of the exhibitor s liability for payment should said be re-rented. F. Exhibitors will not be permitted to purchase back-to-back booths and remove existing back drape without the written approval of WSTS. Exhibitors may purchase multiple booths in a row and remove existing side rails between booths. 2. PAYMENT A. Payment in full must be received in order for reservation of booth space to be purchased unless otherwise stated in writing by WSTS. WSTS will only process and assign booth spaces with full payments. 3. CHARACTER OF EXHIBITS A. All exhibitors must comply with all municipal, county and state ordinances while exhibiting at the Western States Tow Show. Any applicable permits and licenses must be obtained from the proper authority including but not limited to Dept. of Public Health, Fire Marshall, City of San Diego License Section, County Human Service Agency and State Board of Equalization. B. With any working exhibits, provisions must be made for the protection of the public. C. Moving pictures, loudspeakers, projectors, slide or sound presentations will be permitted if the volume is turned down to a conversational level and if not objectionable to neighboring exhibitors or visitors. Sound equipment may be used for demonstration only. D. Exhibitors must confine exhibits and all sales activities within their rented space. NO exhibits will be permitted that interfere with other booths or block any aisles. E. Exhibitors may distribute advertising material only from their booth space or other designated area that is approved by WSTS. F. All Exhibitor booths must be controlled by an authorized representative throughout the open hours. G. All displays, giveaways, advertisements or items to be sold will be decent and acceptable for viewing by all persons attending from teenagers to adults. H. The arrangement of delivery and payment of goods will be the sole responsibility of Exhibitor. p4

5 4. SET UP AND TRADE SHOW DAYS AND HOURS A. The 2012 Western States Tow Show trade show area will be open on Firday, October 11th, 2013 from 11am-6pm and Saturday, October 12th from 10am 4pm. B. The trade show area will become available for display and exhibit move-in and setup on Thursday, October 10th, 2012 from 12pm-6pm. Final set-up must be complete by Friday, October 5th at 10am (hall will open at 8am). C. To ensure the professional climate and appearance of the entire floor, exhibitors will not be permitted to remove any of their equipment from the exhibit area during hours of operation. D. Repairs or alterations by removal of or addition of materials may be performed when the premises are closed to public and with the agreement of WSTS. All deliveries and maintenance work should be completed by the day s show opening. The trade show area will be made available to exhibitors one hour prior to opening to the general public. Should any exhibitor require admission at other times, the exhibitor should contact the WSTS Show Management. E. The exhibitor agrees not to dismantle his/her exhibit or to do any packing prior to trade show closing at 4:00 p.m. on Saturday, October 12th, F. All property and material must be removed by 12:00 a.m. October 13th, 2013 from your booth. Any property or material remaining after 12:00 a.m. on Sunday, October 13th, 2013 will be disposed of by WSTS at the exhibitor s expense. 5. GES EXPOSITION SERVICES A. GES Exposition Services is the official Services Contractor for the Western States Tow Show. Exhibitors may order additional furniture, services and/or equipment through GES. You may also coordinate any shipping or material you may need throughout the show. Exhibitors will receive an Exhibitor Service Manual from GES Exposition Services at least 90 days before the show. This kit will include necessary order forms for items you may need to equip your exhibit booth. The kit will also include order forms for electric and internet services you may need for your booth. WSTS does not include any electric or internet services for exhibit booths with booth rental. Should you have any questions regarding ordering or shipping, please contact GES at or visit them on the web at B. GES Exposition Services has the responsibility of receiving and handling all exhibit materials and empty crates. It is their responsibility to manage docks and schedule vehicles for the smooth and efficient move in and move out of the exhibition. GES Exposition Services will not be responsible, however, for any materials they do not handle. GES Exposition Services will have complete control of the loading docks at all times. If you wish to unload or load, you must report to the GES Freight Desk. Do not proceed to the docks until told to do so. C. All exhibitors are expected to comply with any union requirements in effect and as outlined in the Show Site Work Rules section of the Exhibitor Kit. D. Our work rules prohibit the SOLICITATION OR ACCEPTANCE of tips in cash, product or gifts in kind by any employee union or non-union. Our employees are paid appropriate wages denoting professional status, therefore tipping of any kind is not allowed. E. GES requires the highest standards of integrity from all employees.
