4 Page 1 of 82 FAIA MODEL PARTNERSHIP PANEL REPORT Background, Methodology & Purpose BACKGROUND Most know Florida s homeowners market is poles apart from other lines and other states. One of the more challenging aspects of being an agent in a landscape dominated by domestic carriers and MGAs is the appointment decision making process and its many variables: What type of appointment, limited or regular? Citizens takeouts only or new business? Will the partnership produce a result satisfactory to the carrier, the agency, and ultimately...the agency s customers? Some may recall a time when agency appointment decisions were based on the three Cs: competitiveness, contract, and commissions: Is the product competitive from both a price and coverage standpoint? Is the company s contract acceptable? Are the commissions adequate to provide a reasonable profit? Before Florida s residential property market relied almost exclusively on mono-line domestics, there was also a fourth C, compatibility. From the standpoint of automation and workflow, was the company, generally, a good fit? For independent agents, such compatibility issues were dissected and improved through national projects such as Agency Company Organization for Research and Development (ACORD), Insurance Institute for Research (IIR), and the quest for Single Entry Multi-company Interface (SEMCI), and were jointly pursued by agent members of FAIA, IIABA, and large national and superregional carriers. During the 70s and 80s, FAIA lead the way with its Manifesto projects and functional cost studies, all designed to help lower costs for partners and improve independent agent competitiveness with direct writers. But, what about today? What about Florida? How does an agent know to accept or reject an appointment offer (or to seek one) based on three or four Cs if the true costs of the relationship are unknown? What good, for example, is a fair contract and a higher commission percentage if processing costs and workflow requirements are incompatible and so costly there s no profit left over? And, since consistency often drives profitability over the long-term, isn t it also important to know the degree to which company processing issues may assist or impede attainment of the agency s strategic goals?

5 Page 2 of 82 THE MODEL PARTNERSHIP PANEL Last year, FAIA s Board undertook a study to assist agents seeking or accepting offers of appointment with Florida s new breed of domestic carrier. A Model Partnership Panel of involved and technically savvy agents was formed to address the issues (see page 4 for panel participants). Ably assisted by independent consultant Al Diamond, owner of the Agency Consultant Group (ACG), and FAIA staffers past and present, the panel designed and distributed a survey on existing workflow issues and requirements of Florida s top domestic writers. This document is one of two resulting from the survey. We believe agents will find this piece to be most helpful as it is an alphabetical listing by carrier, including written comments for every question on the survey as answered by each carrier representative. A second document prepared by the ACG is also available online or by request and provides totals by category, percentage to model comparisons, and other helpful aggregate data analysis. METHODOLOGY The web-based survey was sent to the top domestic carriers (not including Citizens) writing homeowners through independent agents. Accuracy is paramount; so, after agent panelists assembled the original draft, it was screened and revised by a half-dozen carriers for accuracy and relevancy. An advanced hard copy was forwarded, enabling companies to better prepare accurate and complete answers on the final electronic version. Once completed, the answers were returned to each carrier for another review, final revision, and the opportunity to write in qualifying comments. The final data set was then reviewed by agents of each company and, to the extent possible, inconsistencies were resolved, results corrected, and totals recalibrated, again. The final report constitutes the most comprehensive survey of its kind ever conducted in Florida. PURPOSE AND USAGE So, what can agents (and companies) learn from these results? In addition to the original three Cs (competitiveness, contract, and commissions), agents can now find out prior to the appointment and in one central place whether policies can be rated online, whether the carrier participates in agency downloads for direct bill business, and how it handles direct deposit of commissions and ACH transactions. Does the carrier have a consumer portal and a find an agent section on its website? Can the agent process endorsements on the company website and, if so, which endorsements? An agency may know it will receive a 10 percent commission on new business, but is the commission paid on the gross premium? Do commissions differ by peril, territory, risk, size of agency, or other factors? Are commissions paid on an annualized basis or as earned? These issues matter. They can cost the agency many dollars by each year s end and certainly over the long-haul.

6 Page 3 of 82 Again, for the carriers surveyed, it s all here in one place. AGENCY APPOINTMENT CONTRACTS One of the more challenging areas for a survey of this type is agency contracts. Contract wording is, by nature, subject to interpretation and should always be reviewed, prior to signing, by a licensed and qualified member of the Florida Bar. This survey attempts to help lift the agent burden in this regard by asking questions related to prime contract issues, such as ownership of expirations, cancellation provisions, and indemnity and hold harmless clauses. While the answers should be helpful, keep in mind that contract language is not only subject to individual interpretation but also can differ by agency or be changed with little notice. Enforceability is yet another important contract issue, often affected by relevant case law and requiring expert analysis and advice. Contract issues dealing with post-termination solicitation of business by the carrier are often controversial and best avoided by a thorough review of language prior to signing the contract. To assist with this and the entire contract-review process, this report includes FAIA s Model Agency Contract. You ll find recommended language on ownership of expirations and post-termination communications by the carrier in Section XII, A. Remember, the contract is only a model, and is not widely used or recommended for every situation. While we know of no company that has adopted it in total, every agent can reduce post-cancellation trauma by using it as a guide prior to signing. FAIA members should feel free to provide it to outside counsel as a means to reduce legal fees as well. THE FUTURE When these survey answers are shared with an agent prior to an appointment, the partnership is built around realistic expectations not surprise and recrimination. If all four Cs are satisfactory instead of just the usual three, a more enduring and mutually profitable relationship is created for both partners, ultimately serving Florida consumers with a more cost effective distribution channel. Carriers should know FAIA isn t making judgments or deciding who s right or wrong, better or worse. That s for agents to decide, individually, once they have the information to do so. Our task is providing information agents need to make good decisions something companies should want them to have. The results will be improved and refined over time and will necessarily reflect the changing nature of the agent/company partnership, a partnership we hope will improve, in part, because such a survey was conducted in the first place. 80 MODEL AGENCY-COMPANY CONTRACT Effective, this Agreement is entered into by and between Insurance Company, hereinafter referred to as Company, and hereinafter referred to as Agent. It being the intent of the Agent and Company to provide for stability in their relationship, this Agreement shall remain in force for a term of not less than consecutive years, commencing anew on each succeeding January 1, unless terminated in accordance with Article XI of this Agreement. The parties hereto mutually agree to the following: I. AUTHORITY OF AGENT The authority of the Agent shall extend to the lines and coverages as described in the Schedule of Commissions issued by the Company. The Agent is an independent contractor, not an employee of the Company. Subject to requirements imposed by law, the terms of this Agreement and the underwriting rules and regulations of the Company, the Agent is authorized to: A. Solicit, receive and transmit to the Company proposals for insurance contracts for which a commission is specified in the Commission Schedule, signed by the parties to this Agreement, and hereby made a part of this Agreement. B. Bind and execute insurance contracts in accordance with the company underwriting guidelines. C. Provide all usual and customary services of an insurance agent on insurance contracts placed by the Agent with the Company. D. Collect and receipt for premiums and, as compensation, retain commissions out of premiums so collected as specified in the Commission Schedule. The Agent agrees to refund return commissions on policy cancellations or reductions of coverage, in each case at the same rate at which such commissions were originally retained. E. Exercise authority personally or through authorized employees. F. Represent other companies. G. Exercise exclusive and independent control of time and the conduct of the Agency. H. Advance premiums on behalf of policyholders, in which event the Agent accepts full responsibility for collection of such premiums from the policyholders. The Authority of the Agent may be terminated, suspended or modified in accordance with Article XI of this Agreement, or as otherwise stated therein.

81 II. DUTIES OF AGENT The Agent agrees to: A. Comply with the underwriting rules, manuals and regulations of the Company, provided that the Company has furnished the Agent with copies of, and all changes to, said rules, manuals and regulations. B. Forward copies of all completed applications, binders, policies, certificates and endorsements issued by the Agent, or otherwise notify the Company of all liability accepted on its behalf, within five (5) working days following the inception date of coverage. C. Comply with accounting procedures as hereinafter set forth. D. Allow the Company to have access during normal business hours to the Agent s books, records and files for the purpose of determining any fact relative to business placed with the Company by the Agent. The Company shall provide the Agent with reasonable notice prior to any inspection. III. PREMIUM ACCOUNTING The Agent and the Company shall comply with the following accounting procedures: A. Itemized statements of money due shall be prepared monthly by the Company. B. The balance shown in the statement due the Company, or due the Agent shall be payable not later than 45 days after the end of the account month for which such statement was prepared. C. The omission of any item(s) from a monthly statement shall not affect the responsibility of either party to account for and pay all amounts due the other, nor shall it prejudice the rights of either party to collect all such amounts due from the other. Any extension of time granted to an insured by the Agent for the payment of premium due on any policy issued by the Company shall be done at the sole responsibility of the Agent, who shall be accountable to the Company in accordance with the provisions contained in this Agreement. D. All premiums collected or received by the Agent shall be held by the Agent in trust for the Company until paid to the Company. E. The Agent agrees to be accountable for the payment of the earned premium on each binder given or executed by the Agent. F. Additional exposures which may develop premium through audits, inspections, and/or reporting form policies shall be immediately endorsed onto the policy. At the request of Agent, the Company will assume responsibility for the collection of audited premiums and retrospective additional premiums which the Agent has been unable to collect despite a demonstrable effort to do so. Agent must make such request of the Company within 45 days of the premium billing date and no commission will be paid on premiums collected by Company.

82 IV. COMMISSIONS It is agreed that: A. The Company will pay and the Agent will accept as compensation for all services rendered under this Agreement the commission percentages upon specific lines of business specified in the Commission Schedule, which is a part of this Agreement. B. The terms of this Agreement shall not prohibit the negotiation of special commission rates on individual policies by mutual agreement of the Agent and the Company. V. DESIGNATION OF AGENT BY POLICYHOLDER If a conflict exists as to which Agent is authorized to represent an existing or prospective policyholder, the policyholder s written statement designating his agent shall be binding upon the Agent and the Company. VI. AMENDMENTS A. The parties agree that any changes in, or amendments to, this Agreement, including changes in commissions, shall be by mutual agreement, evidenced by a written document signed by both parties, and each party further agrees to negotiate with the other party in good faith in pursuing such changes and amendments. B. The Company shall give the Agent at least one hundred and eighty (180) days notice of intent to negotiate a change in, or amendment to, this Agreement, including changes in commissions, before those changes shall go into effect. C. Commission rates, once established, shall remain in effect for at least a twelve (12) month period. VII. DIRECT BILL BUSINESS A. The company shall specify the particular lines of business that will be put on direct bill and outline those functions the company will provide and those the agent will provide on direct bill business. B. The agency name shall be displayed prominently on communications from company to insured, in the largest print practicable, and in any case in print no smaller than the largest used on the communication. C. A copy of all bills, underwriting requests, recommendation audits, engineering reports, and cancellation notices sent to insured by the company shall be sent to the agent prior to such mailing to the insured. Copies of mass mailings of public service, safety, or similar materials shall also be furnished to the agent prior to such mailing. Information required by this paragraph may be sent to the agent through electronic transmission. D. Agent may request and receive a complete list of direct billed policyholders together with expiration dates and necessary policy writing details of coverage, including mailing labels of the list, at any time at agent s expense, and shall receive such information/materials within a reasonable time after termination, at company expense.

83 E. With regard to direct bill policies in force, the company shall accept the responsibility for sending to the policyholder timely notices of cancellation and nonrenewal and changes made in the insured s policy as a result of changes in statutes, coverages, or forms, and for outlining any options available to the policyholder as a result of changes in statutes, coverages, or forms. Copies of all notices shall be sent to the agent prior to mailing to the insured. The agent should be identified as to whom to direct questions and requests for service. VIII. INDEMNIFICATION A. The Company shall indemnify and hold the agent harmless against all liability, including attorney s fees and costs of investigation and defense incident thereto arising as a result of: 1. Company act or omission, except to the extent the agent has caused such error; 2. Failure of insured to receive notice of cancellation, nonrenewal, impairment of aggregate limits, or any other notice affecting coverage on company billed business, where such notices are sent directly to the insured by the company; 3. Any action or inaction of the agent based upon the agent s use of forms supplied by the company, or following instructions or procedures established by the company, except to the extent the agent has caused such failure; and 4. Damages sustained by any person as a result of information furnished by the agent to the company unless the agent furnished false information with malice or willful intent to injure. B. The Company s obligation to indemnify shall be conditioned upon prompt notification by the Agent to the Company of any claim made or legal action brought against the Agent which is subject to indemnification as set forth above and the Company shall have the right to direct the investigation, settlement and defense of any such claim or action. If the Agent fails to notify the Company pursuant to this Section, the Company s obligation to indemnify the Agent under this Section shall not apply. C. The Agent shall indemnify, hold harmless, save and defend the Company against liability for damages (including reasonable expenses and legal fees) caused or resulting from any act or omission of the Agent except to the extent that the Company caused, compounded or contributed to the Agent s act or omission. D. The Agent s obligation to indemnify shall be conditioned upon prompt notification by the Company to the Agent of any claim made or legal action brought against the Company which is subject to indemnification as set forth above and the Agent shall have the right to direct the investigation, settlement and defense of any such claim or action. If the Company fails to notify the Agent pursuant to this Section, the Agent s obligation to indemnify the Company under this Section shall not apply. E. For the purposes of Section VIII, Company shall include Company Service Center.

84 IX. ARBITRATION If any dispute or disagreement shall arise in connection with any interpretation of this agreement, its performance or nonperformance, or the figures and calculations used, the parties shall make every effort to meet and settle their dispute in good faith informally. If the parties cannot agree on a written settlement to the dispute within thirty (30) days after it arises, or within a longer period agreed upon by the parties, then the matter in controversy shall be settled by arbitration, in accordance with the rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction. The parties may agree to submit the dispute to one arbitrator, otherwise, there shall be three, one named in writing by each party within twenty (20) days after notice of arbitration is served by either party upon the other, and a third arbitrator selected by these two arbitrators within twenty (20) days thereafter. If the arbitrators are unable to agree upon a third arbitrator, then the third arbitrator shall be chosen impartially by the American Arbitration Association. An arbitrator selected by the American Arbitration Association must have knowledge of or experience in the business of insurance. The arbitrator(s) shall follow and apply the law and/or generally accepted insurance industry practices and rules. The determination of the arbitrator(s) shall be final and binding on all parties, provided such determination is made in writing and signed by a majority of the arbitrator(s). The arbitrator(s) shall provide a short, written statement explaining the reasons for the determination. Where arbitration results in an award, such award shall include interest in the amount of ten percent (10%) per annum running from the date when the amount that is the subject of the award first became due. The costs of arbitration shall be borne equally by the parties, provided, however, that the arbitrators may assess one party more heavily than the other for these costs upon a finding that the party did not make a good faith effort to settle the dispute informally when it first arose. Each party shall be responsible for its own attorneys fees. X. REHABILITATION Before taking any steps to terminate this Agreement (except termination for cause), in order to avoid termination, the Company will make a good faith effort to reach mutual agreement with the Agent on a written plan for rehabilitation for a period of one year or more. Such agreement shall specify what the Agent must do to avoid termination, and how the Company intends to assist the Agent to avoid termination. XI. TERMINATION A. This Agreement may be terminated at any time by written mutual consent of the parties. B. This Agreement may be terminated immediately by the Agent upon written notice to the Company.

85 C. Except as provided in Section XI, paragraph D, this agreement may be terminated by the Company upon 180 days written notice to the Agent: 1. For any reason not prohibited by law; or 2. For failure of the Agent to comply with any of the provisions of this contract; or 3. When the Agent is no longer Agent of Record for any current policyholder of the company. D. Except if required to be extended by law, this Agreement shall terminate: 1. Automatically, if the Department of Insurance cancels or declines to renew the license or certificate of authority of the Agent or the Company, or if the Company surrenders its certificate of insurance in the State of Florida. 2. Automatically upon the effective date of the sale or transfer of the Agency s business. The Agent agrees to give advance notice to the Company of any sale or transfer of his or her business, or its consolidation with a successor firm, in order that the Company may, at its election and with the consent of the parties in interest enter into a new Agency Agreement with the successor. 3. Immediately upon any party giving written notice to the others, in the event of abandonment, fraud, material breach of contract, gross or willful misconduct or bad faith on the part of one or both of such other parties. Gross or willful misconduct shall include, but not be limited to: a) the failure of the Agent to pay any funds owing to the Company for any reason within ten (15) days after a request has been made by the Company; b) the misdirection or misappropriation of the funds or property of the Company by the Agent; c) The delegation or attempted delegation of any of the Agent s obligations and/or assignment or attempted assignment of any of the Agent s rights under this Agreement without the prior written consent of the Company; 4. Immediately, should any party at any time: a) become subject to any insolvency proceeding; b) go into liquidation, whether voluntary or compulsory, or suffer the appointment of a receiver; c) become involved in serious financial difficulties evidenced by, but not limited to, any petition for reorganization, bankruptcy or receivership, or any attachment of a major portion of assets, or any judgment rendered remaining unsatisfied for thirty (30) days or more without having been bonded by an authorized surety company admitted in the jurisdiction where the judgment is entered; or d) be convicted, found guilty of or plead no contest, without regard to the fact that adjudication is withheld, to a felony or a crime involving the business of insurance.

86 E. Upon termination of this Agreement: 1. All renewals that come up within a one-year period following termination that meet current underwriting standards will be renewed for a term of at least one additional year, at the rate of commission and upon terms in effect prior to termination. 2. Agent shall be permitted to continue to service the business, to account for premium in the same manner as provided in this Agreement and to receive the prevailing rate of commission on policies containing a contractual guaranty of renewal and on policies renewed pursuant to state law, regulation, as well as by order of government authority. 3. The parties agree to enter a limited agency agreement setting forth the contractual rights of both parties and services to be provided to the policyholder and the agent s ability to continue to perform routine service functions on the business. The limited agency agreement shall not restrict the agent s authority to obtain, or the Company s duty to provide, reasonable changes in coverages and limits of coverage. Reasonable changes are those which the Company would have permitted prior to termination of this Agreement. 4. The agent shall have the right to decide whether existing policies should be reinsured, replaced, or continued in force following the termination. 5. The Company shall assume the responsibility of notifying insureds of its intent not to renew the policy following the agent s termination. The company and the agent should agree on the wording of the notice to be used, subject to the requirements of law. The Company shall send copies of such nonrenewal notices to the agent prior to mailing to the insured. XII. OWNERSHIP OF EXPIRATIONS A. The use and control of expirations, including those on direct billed business and business serviced through a Company Service Center, the records thereof, and the agent s work product, shall remain in the undisputed possession and ownership of the agent, and the company shall not use its records of those expirations in any marketing method for the sale, service, or renewal of any form of insurance coverage, or other product which shall abridge the agent s right of ownership, use, and control, nor shall the company refer or communicate this expiration information or work product to any other agent or broker. B. However, in the event of termination of this agreement, if the agent has not then properly accounted for and paid all premiums to the company for which he is liable, the use and control of such expirations including all right, title, and interest in and to the records thereof shall be vested in the company as of the date of such termination. In the exercise of its right to collect any indebtedness due from the agent through use and control of such expirations, the company shall use reasonable business judgment in selling such expirations and shall be accountable to the agent for any sums received which, net of expenses, exceed the amount of indebtedness. The agent shall remain liable for the excess of the indebtedness over the sums received by the company. Any indebtedness due from

87 the agent shall not prevent application of the ownership of expirations clause in favor of the agent if the agent furnishes collateral security acceptable to the company in the amount of such indebtedness to be held by the company until the indebtedness is satisfied. A difference of opinion with respect to balances owed by the agent does not constitute a failure to pay and does not have the effect of vesting title to expirations in the company. C. thing in this section shall interfere with the company s obligation to renew policies containing contractual renewal guarantees or which must be renewed pursuant to state law, regulation, or by order of government authority, and the agent shall be entitled to receive commissions on such policies at the prevailing rate of commission then in effect. The company s obligation to renew for reasons set forth in this paragraph shall not in any other way alter or interfere with the agent s ownership of expirations as provided in this section. XIII. COMPANY SERVICE CENTER In addition to the provisions of this Agreement, the following provisions shall apply in the event that the Company requires the agent or the agent elects to utilize a Company Service Center: A. If the agent elects to utilize the service center, the Company shall give the agent 24 months to transition business from the service center to the Company s traditional processing center, if the agent decides the service center does not fit his/her agency. B. The Company shall provide the agent with complete customer information on an ongoing basis and at termination, and such information shall be downloaded into the agency s management system if both parties have the equipment and programs to do so.
