2 History TimberTec was founded by engineers Andreas Boll and Frank Ridder in 1999 with goal of developing industry-specific software solutions for companies operating in the timber trading and other wood industries. Turbulent changes in the market during the company's start-up phase provided an early opportunity to continue developing a system that had already been established in the industry for a number of years. We changed our company's name and legal form to AG [=Inc.] on 1 Jan 2002 as we began re-developing Timber Commerce, which is now our core product Software Consulting Development Timber Commerce Timber industry Today TimberTec AG furnishes their customers with a comprehensive all-inclusive package that reflects all areas of the industry, from procurement, production planning and management to warehouse management and logistics all the way to sales and marketing. The demands of the market and the companies who are our customers are always at the forefront when we develop concepts for our software. A young team of specialists develops the software in a modern development environment. 3 Philosophy Our objective as an all-around provider is to maintain and strengthen long-term working relations with our customers in a spirit of partnership. That's the philosophy we have tried and tested innumerable times and has proven to be the best basis for future customer relations. Unifying the timber industry's market requirements, but also taking each individual customer's situation into account are always the core considerations when we develop our customised solutions. We see ourselves not only as software specialists, but even more as idea generators and industry experts in timber commerce and woodworking sectors. We are constantly working on developing our software even further. And in doing so, people are always at the centre of our deliberations. We are inspired by fresh ideas that flow into new software modules and functions through interactive dialogue with our customers and partner enterprises as well as our employees. 4 TimberTec AG - Executive Management Two executive board members are at the head of TimberTec AG: Dipl.-Ing (FH) [Engineer - Information Technology] Andreas Boll, born in 1969, and Dipl.-Ing. (FH) [Engineer - Telecommunications] Frank Ridder, born in They met six years prior to establishing the company now called TimberTec AG. At that time they were working in both software development and project management for the timber industry. That combined knowledge - together with the resulting customer relations - formed the foundation of their newly established company and is still the basis for TimberTec AG's orientation today: Faithful to the motto "Technology that's all about wood". Despite the number of specialised developers in our team, we have always kept our connection to the software. That's very important to us. In some cases we are still directly involved with implementing individual functions. (Andreas Boll) Frank Ridder is primarily responsible for the areas of support and finances. Andreas Boll, on the other hand, is in charge of sales and development. Thus they complement each other and form a highly effective team.

Our extensive expertise in the area of timber combined with substantial specialised knowledge in informatics has resulted in our being able to provide such a comprehensive, industry-specific programme. Our modules make it possible for us to map our customers' processes and thus to help make their workflows more efficient. We understand the special vocabulary our customers use and can also discuss the subject of the timber business with them in great depth. It is precisely against the background of economising on raw materials, energy and time that our company supports production planning and manages the operations optimally. The multilingual capability of our software has enabled it to be used not only in the German-speaking parts of Europe, but also in Poland and Russia. 6 Flexibility Full-Range Provider Product Diversity Flexibility and Product Diversity All commercial sectors as well as logistics and production are covered by various standard TimberTec modules. Just like a puzzle, we put together the software modules jointly with the customer according to his requirements. The programme can be individualised in terms of operations and effects to suit the customer's specifications using the numerous settings. That's the basis of the single programme we continue to develop, which nevertheless is still capable of meeting nearly every requirement in spite of its diversity and various applications. We also fall back on individual adaptations should not all requirements be able to be fulfilled. Full-Range Provider One of our lofty goals is to be a full-range provider in the area of timber trading and the woodworking industries. To us that means focusing on the industry's distinctive features. An example of this is the representation of entering orders with multiple dimensioning chains, refinements and bundling requirements, just as are round wood purchasing or storage management as round wood or sawn timber. We also furnish the Production Department with information no other system supplier is required, because we can deliver the data for making pieces in glulam production all the way to SPS, for example. On the other hand standard modules for Office, Finance and payroll accounting are industry-neutral. In these cases we offer our customers solutions or we integrate existing systems.

9 Competent Partner for the Timber Trade The manifold demands on timber are what make the timber trade special. Commercial processing of the natural characteristics of wood with its dimension changes and the quality requirements are omnipresent and depicted in the programme in a comprehensible way. We supply integrated systems, started with purchasing to the warehouse and on to the sales with exact figures on turnover, revenue and profit margin. The normal links to EDI and other modern communication channels are a matter of course. The continuous data capture and monitoring already begins in the forest and ends with the refining step in the Production Department. To be able to do that, we have developed a number of modules that are tailored to the special production step processes in addition to the round wood purchasing and sales system. Both our customers and we see the big advantage in an integrated system in which all processes are portrayed and supported. In spite of the large number of solutions that we have already implemented, we have the customer explain the production and all processes from his point of view all over again with each new product. The reason is that everyone does the same thing, but in his or her own special way. That way we can combine the customer's requirements with our collective experience to be able to offer the customer a suitable solution every time. Everyone does the same thing, only differently!

So we work hand in hand with machine suppliers, facilities builders and commercial partners to obtain the best possible solution for the customer. LIGNUM Handel (DOS-based ERP) installations We are responsible for around 300 installations in Germany, Austria and Switzerland.

14 Investment in the Future Advanced Training Our employees receive internal and external training. In addition to the day-to-day work, our personnel get further training in other subjects, such as Microsoft Certified Professional Program (MCP) or language courses. Thus our employees are optimally prepared for any challenges they may face daily. But self-initiative is also welcome - we always happy to support our employees regarding their educational plans. Training Programmes at TimberTec AG We have placed great importance on training up and coming employees from the outset. Today we train people regularly in technical and commercial professions. In addition to the classic IHK vocational training, we also offer the possibility of a dual course of study in our company.
