7 The Africa Talent Fund seeks to address this talent gap by overcoming the high opportunity costs faced by attractive candidates 1 Top talent is recruited by the ATF to return to Africa 4 Talent meets attributable milestones in company growth 6 ATF s investment appreciation is recycled into new investments 3 SME pays talent guaranteed base salary 2 ATF invests equivalent of base salary for the talent for X years (~$500k per co.) in the form of equity / debt / quasi-equity in the hiring SME 5 Talent exercises option to buy or earn back part of the equity, similar to stock options 6

8 The Africa Talent Fund is designed to overcome the three key hurdles SMEs face in attracting talent Hurdle Solution 1 ATF s investment provides funding for sufficient base compensation Insufficient base compensation Base compensation calibrated and negotiated to local cost-of-living adjusted levels adequate to attract top talent 2 Instability of base compensation ATF s investment funds 2-3 years of guaranteed base salary, ensuring income stability for the recruit / entrepreneur while they demonstrate their value 3 Insufficient upside / performance-based compensation Recruits / entrepreneurs can buy or earn back part of the ATF investment as equity in the company, based on meeting performance targets Similar to stock option compensation, managers are rewarded based on their performance to take greater ownership in the enterprise The Fund allows managers time to prove their abilities, create value, and get compensated accordingly. 7
