1 Appointment of Trustees 2014/15 has proven to be a most exciting time in the development of IAC - The Centre for Adoption. About the organization Alongside the original sector-leading work in intercountry adoption, the Agency has now launched a domestic adoption service, calling on the experience gained over 18 years in making placements of children from overseas, including those with additional and special needs. Key services continue to include the provision of initial information, the preparation, assessment and approval of prospective adopters, linking approved families with children awaiting adoption and post-placement support. Services to adoption professionals are also offered to subscribing Local Authorities and to other voluntary adoption agencies who provide intercountry adoption services. IAC places children from many parts of the world. In particular, IAC is now fully accredited by India, China and the Philippines as a foreign partner agency and work continues to achieve similar partnership status with other countries of origin from which children are placed. Since 2012, IAC has supported prospective adoptive families who have already been approved for intercountry adoption by IAC but who wish to convert to domestic adoption. Now, with the support of grant funding from the Department for Education and the commitment of Agency resources, IAC has launched its Domestic Adoption Direct (DADs) service, which is now recruiting potential families to adopt harder-to-place children waiting in the UK for adoption. Post adoption support has become increasingly important commensurate with the additional needs of the children placed in both intercountry and domestic adoption. Through its membership of West London Adoption Consortium and its partnership with North London Consortium, IAC augments the support services available to its adoptive families. IAC also provides training for other agencies adoptive parents and adoption professionals in its areas of specialism, e.g. adopting across race and ethnicity. IAC undertakes an expansive range of services to 70 adoption agencies (Local Authorities and voluntary adoption agencies) under a variety of agreements. Of these, 29 local authorities, contract all their intercountry adoption services to IAC IAC has given evidence to the House of Lord s on the adoption legislation, has undertaken considerable lobbying on behalf of service users and has a close working relationship with the Department s adoption casework team in Doncaster. 1
2 The IAC Team The CEO and management team are drawn from the most experienced intercountry adoption professionals in the UK, and the Responsible Individual, a position required under the charity s regulator Ofsted, is held by a former Head of Adoption of a large Local Authority. The agency has a permanent staff of 17 and employs the services of more than 30 social workers on a contractual basis to variously provide advice, counselling and support and to undertake the assessment and training for prospective adopters. In addition, the Agency has a substantial central list of appropriately experienced personnel from which its Adoption Panels are drawn, The Agency also benefits from specialist advice from a range of professional advisors, including research and literature, legal, notarial and medical. IAC has the benefit of an exclusive self-contained office and training building in Barnet, north London. Turnover for the year to March 2015, the seventeenth year since founding is approaching 1m. Additional information IAC was established in March 1997, when it was incorporated as a Company Limited by Guarantee and became a registered charity in January IAC is a voluntary adoption agency, registered with Ofsted in November 2008 and was formerly a registered adoption support agency. The current registration extends to both intercountry and domestic adoption arrangements. 3 The Trustee roles At this stage in its development, IAC wishes to strengthen its Trustee Board through the appointment of committed and enthusiastic Trustees. In addition to those whom we would welcome to act in a generic capacity, we are seeking a Trustee to act as Honorary Treasurer, and who has appropriate skills and experience to liaise with IAC s finance manager who herself is CIMA final year/ MAAT qualified. We are also seeking Trustees with marketing and PR experience and a track record supporting charities in their fundraising activities. The existing Trustees have collectively served the charity for many years with a very low turnover in personnel, and whilst there is no intention on any Trustee s part to imminently step down from the Board, it is clear that the charity would benefit from fresh input at the senior level. Trustees play a crucial role in the agency. Meetings of the Board of Trustees are held a minimum of four times per year in central London. Trustees are consulted on key issues between meetings as the need arises. Further meetings between the Board of Trustees and IAC staff are held from time to time and these are usually at IAC s offices in Barnet. A Trustee s key responsibilities are to: ensure that the agency complies with its governing documents, charity law, company law and any other relevant legislation or regulations; ensure that the agency pursues its objects as defined in its Memorandum and Articles of Association and Statement of Purpose; ensure the agency uses its resources exclusively in pursuance of its objects; contribute actively to the board of Trustees' role in giving firm strategic direction to the agency, setting overall policy, defining goals and setting targets and evaluating performance against agreed targets; safeguard the good name and values of the agency; ensure the financial stability of the agency; protect and manage the property of the charity and to ensure the proper investment of the charity's funds; appoint the chief executive officer and monitor his/her performance In addition to the above statutory duties, each Trustee should use any specific skills, knowledge or experience they have to help the Board of Trustees reach sound decisions. By agreement with the Chair, or Acting Chair in his/her absence, the Trustee may be involved in additional tasks or focus on key issues within the agency which reflect the Trustees special area of skill or expertise. 3
4 How these responsibilities are addressed in practice are summarised in the following table: Core responsibility How addressed by the work of the Board Setting the strategic aims Reviewing and approving business plans, organisational strategies and key policies/initiatives Monitoring the work of the charity Reviewing progress against agreed business objectives and key performance indicators, including specific requirements around duties of the voluntary adoption agency, intercountry and domestic adoption accredited agencies, adoption support and intermediary services to adopted adults and birth family members Taking responsibility for the solvency of the charity Carrying out agreed financial scrutiny Employment, management and welfare of staff Reviewing and approving key HR policies, strategies and objectives Compliance with legislation ] Reviewing and approving organisational policies and strategies to ensure compliance; ensuring appropriate expertise and professional advice is in place, whether on the staff body or externally. Composition of the Board - knowledge and experience The range of knowledge and experience the Board of Trustees may consider desirable/required, might include the following: Especially for the Honorary Treasurer role: General financial knowledge or experience Recognised accountancy or audit qualification Charity administration experience Recognised legal qualification 4
5 Especially for the fundraising/marketing/pr trustee role: Experience of fundraising Experience of human resources management or administration Public relations knowledge or experience Sales and marketing knowledge or experience Other specialist knowledge and experience: Experience and knowledge of social work practice, particularly in relation to adoption and intercountry adoption Current knowledge of adoption practice, including from a legal perspective Current knowledge of counselling and therapeutic services Experience or knowledge of local authority management and leadership An understanding of the machinery of government (central and local) Experience or knowledge of lobbying and campaigning work Experience as a service user Time Commitment Much contact between the Chair, other Trustees, CEO and the management team is achieved through and phone. Occasional visits to the Barnet office would be desirable outside the Board s quarterly meeting cycle, to meet the staff and sessional workers and to become familiar with the adoption services the agency delivers. Trustees to IAC are voluntary roles for which there is no remuneration except for reimbursement of reasonable and exceptional expenses 5
6 Selection and Appointment Process: Interested candidates are asked to supply: A comprehensive CV, including details of at least 3 referees (who would not of course be contacted without your knowledge or consent) A supporting statement that illustrates your motivation for applying for this role and how you feel your skills and experience match the requirements of it, directly addressing the person specification, and addressed to the Company Secretary, Jeremy Muller A panel comprising the CEO, the Responsible Individual and at least one Trustee will invite the candidates to a formal interview, chaired by a Trustee. The panel will make a recommendation to the Board of Trustees. Appointment(s) will then be made, subject to eligibility, references and a DBS (police) check. Induction The appointment of Trustees will be followed by an extensive induction process to establish the new Trustees as quickly and effectively as is possible. This process will be carried out under the auspices of the Chair, CEO and the Responsible Individual, with guidance as appropriate from Trustees. 6
