3 Introduction Thank you for your interest in the Triodos Socially Responsible Investment Funds. Our funds enable you to invest in listed companies delivering superior social, environmental and financial performance. Triodos Bank is one of the world s leading sustainable banks. We have over 15 years of experience in managing investment funds through our wholly owned subsidiary Triodos Investment Management. Since 1980, we ve pioneered a groundbreaking, commercially successful approach to money that values people, the environment and culture, as well as profit. What is Socially Responsible Investment? We define Socially Responsible Investment (SRI) as investing in stock market listed companies following strict criteria on environmental, social and governance issues, as well as investing directly in sustainable businesses. Our Strategy We strongly believe our SRI funds are a powerful means of promoting our principles and working for greater sustainability, while enabling us to offer a range of attractive investment options. Our SRI strategy is based on the belief that, in the long term, the most successful businesses will be those that achieve the best balance between social, environmental and governance factors. SRI forms just one part of our mission to make money work for positive change. How we invest We have strict social, environmental and governance criteria, and a rigorous research and selection process that provides a firm foundation for every investment decision. This helps us to ensure that the money you entrust to us is invested only in companies with the best sustainability performance. Our Sustainability Research Department screens companies on a number of sustainability criteria and enters into a dialogue with these companies. Please see our Socially Responsible Investment Funds booklet or go to for more information. Total transparency We re completely transparent about how we select listed companies to invest in. We publish all our criteria online, giving investors access to our motivations behind the choices that have been made. Maximum influence Another key aspect of our approach to SRI is our commitment to exerting strong positive influence on the companies we research and invest in, through active engagement. The more money our clients entrust to our SRI products, the more pressure we can apply on businesses to improve their sustainability performance. But we believe that, whatever the size of our shareholding, we can use our influence to make a difference. And even a small change in the policy or practices of a major company can make a significant global impact. 4 5

4 Information to support your decision to invest The Socially Responsible Investments form part of an investment company called SICAV I. The two SICAV I sub-funds being offered by Triodos Bank in the UK are the Triodos Sustainable Equity Fund and the Triodos Sustainable Pioneer Fund. You can take full advantage of your annual tax-free ISA allowance by wrapping your chosen investment in our Ethical Stocks and Shares ISA - see page 13. The purchase of shares through Triodos Bank will be administered by T. Bailey Asset Management Ltd. The opening of an account and investing in these funds (either directly or within an Ethical Stocks and Shares ISA) is only available to UK residents. Before deciding to invest with us, please familiarise yourself with the range of documents that are available to you: Supplementary Information Document (SID): This document provides practical information, such as how to make investments with Triodos Bank, how to set up a stocks and shares ISA and the on-going management of your stock. It also contains additional regulatory information on things like changing your mind, complaints and when you are covered by a compensation scheme. Key Investor Information Document (KIID): Each fund has its own KIID. Its aim is to help you decide whether a particular fund meets your needs. It comes in a standardised format and contains specific information about the fund, such as its investment objectives and policy, the risk and reward profile of the investment, charges to invest in the fund and the fund s past performance. The KIID should be read in conjunction with the SID. Terms and Conditions: An expansion of the practical information contained in the SID. The Terms and Conditions outline general and special arrangements, provisions, requirements and rules that apply to being a customer of Triodos Bank and vice versa. Before investing in our funds we request that you read all these documents. We will need you to confirm that you have done so by signing the application form. For more in-depth details and technical information about the funds, please refer to the Prospectus and its UK Addendum. These are available online at or call us on and we ll send you one. You should not interpret anything in this document as financial advice. If, after reading the information supplied, you are still unsure as to the appropriateness or suitability of investing with Triodos Bank, you should contact an independent financial advisor. The value of investments and the income derived from them may go down as well as up and you may not get back the amount originally invested. Regulations, including tax rules are subject to change. When investing in these funds currency risk arises because the investments made by the funds are denominated in US dollars, Euro and other foreign currencies. In principle the fund does not hedge the currency risk of these investments. As the UK share classes are offered in sterling, when comparing returns for these share classes to those generated for the Euro share classes offered to European investors, returns will be affected by currency fluctuations between Sterling and the Euro. 6 7

5 Investing and dealing Initial application Investing in the SRI Funds is very straightforward. Once you have decided what you want to invest in, simply complete the Triodos Socially Responsible Investment Funds application form, indicating which of the two funds you want or how you wish to split your investment between them. You can make your initial investment either with a personal cheque made payable to Triodos Bank Client Money, or by electronic transfer to the bank account details outlined in the investment details section of the application form. This transfer must be from an account that you nominate on the application or an existing Triodos UK account in your name. Please make your transfer as soon as possible, as your money must be with us within 10 business days of your application being received. The application form can be requested or downloaded from or call us on and we ll send you an enquiry pack. Share purchasing The money you invest will be used to buy shares in either or both of the funds below: Triodos Sustainable Equity Fund a global fund investing exclusively in equities issued by larger listed companies with a strong financial position and who deliver superior social and environmental performance. Triodos Sustainable Pioneer Fund a global fund that invests in equities issued by innovative small and medium sized listed companies that focus on the sustainable themes of climate protection, healthy people, clean Earth and corporate social responsibility. Minimum initial investment per fund 1,000 Minimum additional lump sum investment per share class 500 Minimum fund balance per fund 500 Charges Initial Fee (taken from the initial and any subsequent investments) Annual Management Charge (factored into the share price) 3% Transaction Fee 0 Triodos Sustainable Equity Fund: 0.75% Triodos Sustainable Pioneer fund: 0.95% When comparing investment fund charges in the market, you might come across the term Ongoing Charges or Total Expense Ratio (TER). They are both a type of cost calculation which estimate the total charges that will be taken from a fund throughout the year, including the AMC mentioned above. Details of what makes up our Ongoing Charges and their maximum levels can be found in the KIIDs and Prospectus. What has actually been charged can be found in the Annual and Semi-annual reports. Once we have received your cleared funds we will invest your money on a forward pricing basis i.e. using the share price calculated on the Valuation Day following the Dealing Cut-off time. The Dealing Cut-off time is 12pm Greenwich Mean Time (GMT) on each fund business day. If your funds arrive after this time we will place the deal at the next business day s Dealing Cut-off, using the share price as at the Valuation Day after that, i.e. two days later. 6 Investing and dealing (continued) Lump sum investing After your initial investment, additional shares may be purchased by investing a lump sum of 500 or more. Please complete and return a Top Up form. As with the initial investment, the payment may be made by cheque or electronic bank transfer. The shares will be purchased in the same way as your initial investment, as outlined above. The Top Up form can be downloaded from or call us on and we ll send you one. You will also receive copies of the form in the welcome pack that you ll receive after your account has been opened. Confirmation of Investment After your initial application we ll send you a welcome pack which provides information about your new account. Each time you purchase shares we ll send a contract note that confirms the amount of money invested, the number of shares you have bought and at what price. Periodically we will publish a fund newsletter on our website which contains information about the investment funds as a whole. Then twice a year you will receive a statement detailing all transactions and the performance of your specific investments over the previous six months. It is important that you keep these documents for future reference. Account set up After your application has been processed, as long as we have your address, you will be able to see the details of your investments and the value of your shares, by logging into your online account at Once logged in, you will also be able to make changes to your contact details such as address, telephone numbers and address. Income Another decision you need to make when applying to purchase shares is how you want any income made by the funds to be distributed. With the Triodos Socially Responsible Investment Funds you may choose from the following share classes: Distribution (also known as Income) shares - where the income generated is transferred as cash into your nominated bank account Capitalisation (also known as Accumulation) shares - where the income generated by the fund is not paid out to you but is invested back into the value of the fund Switching and selling investments You may wish to switch your existing investment from one fund to the other. To instruct us to do this, a switch form should be completed and returned. This form may be downloaded from or call us on and we ll send you one. To sell your shares, you must instruct us to do so in writing. Please include your account number and details of what you wish to sell in the letter. The proceeds of the sale the settlement will be sent to you by electronic transfer within 5 business days of the Dealing Date. If your instruction takes the fund below that minimum balance we will not be able to process the instruction

7 Tax Implications Stocks and Shares ISAs Your investments are subject to income and capital gains tax. Your liability, tax rate and whether you are eligible for any tax relief depends on your personal circumstances and is likely to vary over time. We recommend that you take professional advice for more details on this matter or if you are unclear about your tax position. We will send you a tax voucher showing you the amount of the distribution and tax credit. It is your responsibility to declare this to HM Revenue & Customs if you have a tax liability. Any investments wrapped in a stocks and shares ISA are not liable for income or capital gains tax. Income or gains made through a stocks and shares ISA need not be declared on your tax return. If you die whilst holding Triodos investments the value of your shares will form part of your estate for inheritance tax purposes. EUR 2.4 billion total assets under management* An ISA is a tax-efficient way of saving or investing money. The ISA account is like a wrapper in which you can put different types of investments. The advantage of it is that you are not taxed on any interest or income produced. There are two types of ISA; a cash ISA (see our web site for details of our current range of cash ISAs) and a stocks and shares ISA. The Triodos Socially Responsible Investment Funds detailed in this document may be wrapped in a Triodos Ethical Stocks and Shares ISA. Anyone aged 18 or over who is resident in the UK for tax purposes can invest in a stocks and shares ISA. There is an overall subscription limit for ISAs which is set by HMRC. You can invest the full amount in a stocks and shares ISA, or if you already have a cash ISA, the balance up to the overall subscription limit. You cannot subscribe to more than one cash ISA or stocks and shares ISA at a time, in the same tax year. Setting up a Triodos Ethical Stocks and Shares ISA is as straightforward as setting up an investment funds account. Simply complete a Triodos Ethical Stock and Shares ISA application form which can be requested or downloaded from or call us on and we ll send you an application pack. You will need to tell us whether you wish to buy new shares to invest in the stocks and shares ISA (in which case send in a cheque or transfer money from your UK bank/building society or Triodos UK account). You could also wish to wrap existing Triodos Socially Responsible Investment Funds that you already own into the Triodos Ethical Stocks and Shares ISA. Or of course, you may want to transfer an ISA you hold with a different provider. There are many rules and eligibility criteria relating to ISAs, especially around the process of transferring an existing one from another ISA provider. Before you take any action it is really important that you refer to the Triodos Ethical Stocks and Shares ISA part of the Terms and Conditions or the HMRC website for full details. *Triodos Investment Management as of 30 June

8 Rights and obligations Further information Proof of Identity We are required by law to check the identity of anyone wishing to invest. To help us verify your identity and address we may make an electronic search, using the information you supply on the application form. Please see our Terms and Conditions for further information. In some instances we may need to ask you to send in further information or documents. By signing the application form you give us permission to do this. Right to cancel After making your initial or lump sum investment or after you have requested a switch between your existing investment funds, you have the right to cancel this instruction. You will have 14 days from the date the deal was carried out to exercise this right. Details of how to do this will be contained in the contract note we send to confirm your deal. We will refund the initial charge and the monetary value of the investment. Please note that if the share price has fallen by the time we receive your written instruction, you may get back less than the amount originally invested. Compensation arrangements Triodos Bank UK is part of Triodos Bank NV which is based in the Netherlands. As such, for some of our products and services our UK investors are covered by the Dutch Deposit Guarantee Scheme or the Dutch Investor Compensation Scheme, rather than being covered by the Financial Services Compensation Scheme (FSCS) in the UK. Banks established in the Netherlands are subject to the strict supervision of the Dutch Central Bank, De Nederlandsche Bank (DNB). Further details of the compensation arrangements in relation to the SICAV I are detailed in the Prospectus.
