4 1.0 BACKGROUND & PROJECT DESCRIPTION The District of Sechelt is seeking proposals for monitoring and support of our Information Technology Infrastructure. The District of Sechelt is committed to having a stable and secure computer network. 2.0 REQUEST FOR PROPOSAL TERMINOLOGY Throughout this Request for Proposal terminology is used as follows: a) Contract or Agreement means the written agreement resulting from this Request for Proposal executed by the District and the Contractor; b) Contractor or Consultant means the successful Proponent responding to this Request for Proposal who enters into a written Contract with the District; c) must, mandatory, shall or required means a requirement that must be met in order for a proposal to receive consideration; d) Proponent means an individual or a company that submits, or intends to submit, a proposal in response to this Request for Proposal; e) District means the District of Sechelt; f) Should or desirable means a requirement having a significant degree of importance to the objectives of the Request for Proposal. 3.0 DISTRICT OF SECHELT INFORMATION TECHNOLOGY OVERVIEW The District is located on the lower Sunshine Coast of British Columbia. Approximately 50 km northwest of Vancouver, Sechelt is accessible to the mainland of British Columbia via a 40 minute ferry trip between Horseshoe Bay and Langdale, and a 25 minute drive from Langdale along Highway 101, also known as the Sunshine Coast Highway. The Information Systems Department supports the following: approximately 60 system users 25 desktop computers 22 notebook and tablet computers 35 android and apple cellular phones 15 ipads, and 8 networked printers. These devices are networked to: 3 Dell VMWare servers 21 virtual severs running Windows Server 2008 R2 EMC data storage Veeam backup and replication Sophos Firewalls, VPN and Ubiquiti equipment to connect 5 sites, and a combination of HP, Cisco, Aerohive and Sophos devices to manage the distribution, security and availability of the network. APPENDIX B CONSULTING SERVICE AGREEMENT Page 1 of 11

5 Sechelt is currently completing construction of a Water Resource Facility and plans to build a new Operations Centre Facility in Key systems include: Exchange 2010 SQL Server 2008 Microsoft System Centre Essentials 2010 ESRI ArcGIS and Cityworks asset management Hyland OnBase document management Vadim Financials encompassing Visions employee evaluation DNN Content Management System website Avaya IP Office hybrid VOIP/SIP phone system Aerohive and Sophos wireless networks, and Windows 7 with Office 2010 on the desktops. 4.0 SCOPE OF WORK 4.1 Deliverables The primary deliverable for this RFP is a three year renewable support contract that will provide the following: a) Monitor and report on the availability, security, performance and general health of the hardware and software components of our computer network such that alerts are received and acted upon in order to be pro-active in resolving issues before they cause network down time. b) Server and Workstation security including: i. firewall monitoring & maintenance to ensure stable and secure network; ii. security best practices advice relating to virtual private network (VPN) access, wireless network, passwords, file restrictions, mobile device and data protection, web server configuration and protection; iii. Antivirus system monitoring; iv. Security certificate management. c) VMWare system management and monitoring. d) Storage array system management and monitorin.g e) Server monitoring and maintenance including level 2 Exchange and SQL Server support f) Active Directory and Group Policy configuration support. g) Data backup solution management and monitoring and backup data recovery if required. h) Level 3 helpdesk telephone/ support and periodic helpdesk staff augmentation. i) All levels of helpdesk support when District Information Technology staff are out of the office for vacation, training and sick leave. Estimated to be 6 to 8 weeks per year. j) Windows operating system patch level monitoring and scheduled application of patches and software updates for servers and workstations. k) Monthly reporting including network health and activity report detailing support provided. l) Bi-annual network health review, capacity and strategic planning including backups, firewalls, storage arrays, server and network hardware. 6 4.2 Delivery of Services The above services must be provided by one or more of the following methods depending on the best method to quickly and efficiently resolve any issues: telephone, communication, remote support via internet connection or on site visit. Peak support hours are Monday to Friday 8:00 am to 5:00 pm. After hours emergency support should be available as needed on a 24/7 basis. 4.3 Response Time Proponents tender documents must clearly state proposed service levels including: Peak Support hours response times Off Hours response times Helpdesk telephone and support response times On-site emergency response time when necessary. 4.4 Fee for Services The fee for this service should be a flat monthly rate. Hourly rates for services not included in the flat rate fee should be provided, including any minimum charges for on-site or remote services. A rate for after hours, weekend and holiday service calls should also be included. 4.5 Additional Services During the course of the contract, the District of Sechelt may request the Consultant to provide staff augmentation for special projects over and above the original contract. Details of any additional services the proponent may be able to offer the District should be included in the Proponents tender package. These services will be through a separate agreement with the District, unless otherwise authorized by the District. 5.0 DISTRICT SUPPORT SERVICES The District has one Applications and Systems Analyst providing the following services: a) System Administration b) Level 1 and 2 helpdesk support c) Hardware installation, inventory, troubleshooting and maintenance d) New user configurations and training e) Monitoring and maintenance of current enterprise software systems f) Managing and renewing licenses, certificates and domains g) Management, maintenance and upgrades of office technology including mobile technology, office postage, Point of Sale, telephone systems, meeting audio/visual and conferencing systems h) Vendor relations including software and hardware purchasing i) New software systems implementations currently consisting of OnBase content management, ERP integrations, Vadim Open, Cityworks Asset Management System, Cityworks Permitting, Land and Licensing workflows, electronic meetings and agenda management j) Wireless network monitoring and maintenance k) Webmaster duties for Website CMS and implementation of Citizen Self Service Portal Page 3 of 17

8 8.3 Mandatory Site Visit A MANDATORY site tour and pre-bid meeting has been arranged. It will start at 10:00 AM on Tuesday, April 28 at the site - 2nd Floor Reception Desk, 5797 Cowrie St., Sechelt, BC, to visit and examine the information technology system; pose questions; and meet the District of Sechelt representatives. Consultants must attend this meeting in order to bid. Tenderers shall make a careful examination of the site and investigate and satisfy themselves, at their own risk and expense, as to all matters relating to the nature of the Work to be undertaken, the means of access and egress, the extent of the Work to be performed and any and all matters which are referred to in the Drawings, Specifications and other tender documents which are necessary for the full and proper completion of the Work and the conditions under which it will be performed. Attendees must register intent to attend the site meeting in advance by sending an stating their name and the name of the contractor they represent to procurement@sechelt.ca then sign in at Reception between 9:30 am and 10:00 am on April 28, Contacts during the RFP Process Only the Applications and Systems Analyst is authorized to communicate and otherwise deal with Proponents and all Proponents must communicate and otherwise deal with that person only. Contact with any other District representative, including members of Council, officers or employees of the District regarding this RFP or a Proponents submission will result in that Proposal being removed from consideration. Should a Proponent have a dispute with their Proposal being removed under this clause, a formal appeal letter must be presented to the Chief Financial Officer of the District within five working days of notice of removal, stating clearly the reason(s) that they feel that their Proposal should be reinstated. Under this process the Chief Financial Officer, at his sole discretion, will make the final decision. The District shall not be responsible for Proponents adjusting their Proposals based on oral instructions by any member of District staff or by a contracted consultant or agent. Request for Proposal documents will only be modified by issuance of an addendum by the Applications and Systems Analyst. 8.5 Addenda And Subsequent Information Proponents are advised that all subsequent information regarding this RFP including any addendum will be distributed by be sent to all registered Proponents. It is each Proponent s sole responsibility to ensure that all addenda and additional information is received. All addenda must be acknowledged in your submission on the Certification Document Endorsement The proposal must contain the following endorsement: Identified project team members shall only be replaced with written approval of the District s Chief Financial Officer. 10 9.5 Methodology a) Provide a detailed work plan and methodology clearly describing all tasks proposed to fulfill the service objectives. b) In the methodology section, the Proponent is invited to identify any special issues or foreseen problems and how they would potentially deal with them. The Proponent is also invited to describe any specialized method or technological means that they may have at their disposal to ensure quick, efficient and professional execution of the services. 9.6 Schedule Provide a detailed project timeline schedule, identifying specific milestone dates. Include an indication of when meetings will be required with District staff and the timing of submissions to the District. 9.7 Project Team 9.8 Fees a) The Proponent should demonstrate that the team and its members have all the necessary skills and abilities to undertake the work that will be required. Key areas that will be evaluated include, but may not be limited to: b) Roles and responsibilities of key personnel for this assignment, including project manager, engineers, technologists/technicians and sub consultants. If, due to unforeseen circumstances, the project manager is replaced, please indicate who the new project manager would be and his/her credentials for the assignment. c) Organization and reporting structure - demonstrate experience and expertise of the proposed team members. Specify each team member s role and responsibility on previous projects. d) The Proposal should provide appropriate information to demonstrate that the team members are available for completing the service tasks. a) Include a table in the main body of the Proposal clearly showing: Number of hours for each team member, including sub-consultants hours; and Number of hours totaled for each task including sub-consultants hours. b) Provide a task/fee schedule identifying not only the information noted in 4.4 but hourly rates for each member of the team, disbursement allowances and any other charges or costs, with the total proposed fee, including GST, clearly summarized in the table. GST is to be identified separately. c) Optional fees for additional services available as needed should be included. d) The hourly rates quoted shall be fixed for the duration of the contract. 9.9 General Proponents acknowledge that, if it is a non-resident company, payments to the Proponent, as a nonresident, may be subject to withholding taxes under the Income Tax Act (Canada). Further, unless the Proponent, as a non-resident, provides the District with an official letter from Canadian Customs and Revenue Agency waiving the withholding requirements, the District will withhold the taxes it determines are required under the Income Tax Act (Canada). 11 9.10 Negotiation Delay If a written Agreement cannot be negotiated within thirty days of notification of the successful Proponent, the District may, at its sole discretion at any time thereafter, terminate negotiations with that Proponent and either negotiate an Agreement with the next qualified Proponent or choose to terminate the Request for Proposal process and not enter into an Agreement with any of the Proponents Debriefing Unsuccessful Proponents may request a debriefing meeting with the District GENERAL TERMS AND CONDITIONS 10.1 Not a Tender Call This RFP is not a tender call, and the submission of any response to this RFP does not create a tender process. This RFP is not an invitation for an offer to contract and it is not an offer to contract made by the District. By this RFP, the District reserves to itself the absolute and unfettered discretion to invite submissions, consider and analyze submissions, select a proponent or attempt to negotiate an agreement with any Proponent as the District considers desirable. Without limiting the generality of the foregoing, the District reserves the right to: Reject or consider any compliant submission whether or not it contains all information required by this RFP; Require clarification where a submission is unclear prior to award; Reject any or all submissions without any obligation, or any compensation or reimbursement, to any Proponent or any other person associated with this RFP process; Disqualify or reject any submission without discussion with the submitting party; Reject any Proposal that the District considers is not in its best interests; Undertake the Project using the District s own resources, or any other suitable arrangement to be determined in the future, if it is apparent that the responses to the RFP anticipated herein will not result in any cost savings or substantially enhanced service for the benefit of the District and its taxpayers No Obligation To Proceed Though the District fully intends at this time to proceed through the RFP in order to have the Project completed, the District is under no obligation to proceed. The receipt by the District of any information (including any submissions, ideas, plans, drawings, models or other materials communicated or exhibited by any Proponent, or on its behalf) shall not impose any obligations on the District. There is no guarantee by the District, its officers, employees or agents, that the process initiated by the issuance of this RFP will continue, or that this RFP process or any RFP process will result in a contract with the District for the development of the Project. 12 10.3 District s Decision-Making Power The District has the power to make any decision, or to exercise any contractual right or remedy, contemplated in this RFP at its own absolute and unfettered discretion Irrevocability of Proposals By submission of a clear and detailed written notice, the Proponent may amend or withdraw its Proposal prior to the closing date and time. Upon closing time, all Proposals become irrevocable. By submission of a Proposal, the Proponent agrees that should its Proposal be successful the Proponent will enter into a Contract with the District Proponents expenses Proponents are solely responsible for their own expenses in preparing a proposal and for subsequent negotiations with the District, if any. If the District elects to reject all proposals, the District will not be liable to any Proponent for any claims, whether for costs or damages incurred by the Proponent in preparing the Proposal, loss of anticipated profit in connection with any final Contract, or any other matter whatsoever Limitation of Damages Further to the preceding paragraph, the Proponent, by submitting a Proposal, agrees that it will not claim damages, for whatever reason, relating to the Agreement or in respect of the competitive process, in excess of an amount equivalent to the reasonable costs incurred by the Proponent in preparing its proposal and the Proponent, by submitting a proposal, waives any claim for loss of profits if no agreement is made with the Proponent Proposal Validity Proposals will be open for acceptance for at least 60 days after the closing date Form of Agreement Upon the award of this assignment, the District shall prepare a form of Agreement between Client and Consultant for execution incorporating all terms and conditions Agreement with Terms By submitting a proposal the Proponent agrees to all the terms and conditions of this Request for Proposal. Proponents who have obtained the Request for Proposal electronically must not alter any portion of the document, with the exception of adding the information requested. To do so will invalidate the Proposal Modification of Terms The District reserves the right to modify the terms of the Request for Proposal at any time at its sole discretion. Page 9 of 17

13 10.11 Laws of British Columbia Any Agreement resulting from this Request for Proposal will be governed in accordance with the laws of the Province of British Columbia Health and Safety Requirements The Consultant shall strictly comply with the current Occupational Health and Safety Regulations and Workers Compensation Act of WorkSafeBC and the safety policies/procedures of the District of Sechelt. Other applicable federal, provincial and local regulations or policies concerning the health and safety of workers and the general public shall also be followed Liability for Errors While the District has expended considerable efforts to ensure an accurate representation of information in this Request for Proposal, the information contained in this Request for Proposal is supplied solely as a guideline for Proponents. The information is not guaranteed or warranted to be accurate by the District, nor is it necessarily comprehensive or exhaustive. Nothing in this Request for Proposal is intended to relieve Proponents from forming their own opinions and conclusions with respect to the matters addressed in this Request for Proposal Confidentiality Any Proponent and any other person who, through this RFP process, gains access to confidential financial information of the District is required to keep strictly confidential all information which in any way reveals confidential business, financial or investment details, programs, strategies or plans, learned through this RFP process. This requirement will continue with respect to such information learned by the successful Proponent, if any, over the course of any Contract for service which arises out of this RFP process Ownership of Documents The originals of all surveys, drawings, specifications, tender documents and any other documentation produced by the Consultant for the District, during the course of this assignment, shall upon completion of this assignment become the property of the District of Sechelt. This information shall also be provided in electronic disc format Conflict of Interest The Proponent warrants that, at the date of submitting a proposal, no conflict of interest exists or is likely to arise in the performance of its obligations under the contract, if the Proponent is successful and is selected by the District as the Consultant. If, during the term of the Contract, a conflict or risk of conflict of interest arises, the Consultant undertakes to notify the District immediately in writing of that conflict or risk and take any steps that the District reasonably requires to resolve the conflict or deal with the risk. 14 10.17 Not a District Employee The successful Proponent will acknowledge and agree that neither the Proponent nor any person employed by or associated with the successful Proponent in the performance of services or otherwise, is an employee of, or has an employment relationship of any kind with the District or is in any way entitled to terms or conditions of employment or employment benefits of any kind whatsoever from the District under any collective agreement or otherwise including but not limited to private programs or coverages and statutory programs and coverages, whether under the Employment Standards Act of British Columbia (as amended from time to time), the Workers Compensation Act of British Columbia (as amended from time to time), the Employment Insurance Act of Canada (as amended from time to time), health play contributions, or otherwise Consultant s Employees The Consultant's representatives shall be under the exclusive supervision of the Consultant. All responsibility and authority for hiring, training, supervision, direction, compensation, discipline, termination, and administration of the Consultant's representatives, and any and all costs or expenses related thereto, rest exclusively with the Consultant Freedom of Information and Protection of Privacy Act The District of District is subject to the British Columbia Freedom of Information and Protection of Privacy Act. Subject to Sections 12 through 22 inclusive of the Act, any reports and or documents produced on behalf of the District are subject to public review under the Act. For additional information, please go to: Sector/contracting/privacy protection schedule/default. asp Funding The Agreement and the financial obligations of the District pursuant to that Agreement are subject to there being sufficient monies available in an appropriation, as defined in the Financial Administration Act, to enable the District in any fiscal year or part thereof when the payment of money by the District to the Consultant falls due under the Agreement, entered into pursuant to this Request for Proposal, to make that payment. 15 APPENDIX A INSURANCE REQUIREMENTS Insurance 1. The Consultant shall, at his own expense, carry and keep in force during the term of this agreement, the following coverage: a) Professional liability insurance with a minimum limit of $250, for each occurrence and $500, aggregate; and. b) Comprehensive general liability insurance with a minimum limit of $2,000,000 per occurrence with a cross-liability clause. 2. The District may require a dedicated limit of the Consultant's professional liability policy be allocated to cover the Consultant's work while contracted by the District. 3. The District shall be added as an additional insured under the Consultants comprehensive general liability insurance. 4. All insurance policies shall provide that they cannot be cancelled, lapsed or materially changed without at least 30 days notice to the District. 5. Prior to the commencement of the services hereunder, the Consultant shall file with the District a copy of each insurance certificate required. All such insurance shall be maintained until final completion of the service. APPENDIX A INSURANCE REQUIREMENTS Page 1 of 1

Box 129 Sechelt, BC V0N 3A0 AND: NAME Address (the Consultant ) WHEREAS the District wishes to retain the Consultant to provide XXXXX consulting services effective date; AND WHEREAS the Consultant is prepared to provide those services in accordance with the terms and conditions outlined in this Agreement; AND in consideration of the mutual covenants and conditions in this Agreement, the parties agree as follows: 1. ENGAGEMENT 1.1 The Consultant will provide to the District XXXX consulting services as set out in Schedule A attached hereto (the Services ) in accordance with the Community Charter and as directed by the District. 1.2 The Consultant will report to XXXXXX and provide additional services as mutually agreed upon. 17 2. FEES, DISBURSEMENTS AND INVOICES INFORMATION TECHNOLOGY MANAGED SERVICES 2.1 The District will pay the Consultant a fee of $XXXX per month (the "Fee"), total not to exceed $XXXXX, exclusive of GST. 2.2 The District will reimburse the Consultant for disbursements related to travel, accommodation and professional development pursuant to District policy and upon prior written consent of the Mayor. 2.3 The District will be invoiced by the Consultant on a monthly basis for fees plus disbursements. 3. PAYMENT The District will remit a cheque or electronic payment of the invoice with payment due within ten (10) business days of receipt of the invoice. 4. TERM This Agreement will begin on the day first set out above unless terminated earlier as set out herein. 5. CONFIDENTIALITY The Consultant acknowledges that during the course of this Agreement, he will acquire information which is confidential to the District and which the Consultant acknowledges and agrees to be the exclusive property of the District. The Consultant acknowledges that the confidential information referred to in this Section could be used to the detriment of the District or in a manner which brings harm to the District. Accordingly, the Consultant will not disclose such information to any person at any time, except as may be necessary in the proper discharge of his obligations under this Agreement. 6. TERMINATION Either party may terminate this Agreement upon delivering thirty days written notice to the other party. 7. NOTICES Any notices, requests, demands or other communications by the terms hereof required or permitted to be given by one party to any other will be given in writing by registered post, personal delivery, , fax or any similar form of communication addressed to such other party or delivered to such other party at the address shown on page 1 hereof or at such other address within British Columbia as any party may from time to time specify by notice in writing given to the other party. Demands or other communications will be deemed to have been received, if sent by registered post, the date of acknowledged receipt in writing by or on behalf of the addressee, or if sent by personal delivery, when delivered. APPENDIX B CONSULTING SERVICE AGREEMENT Page 2 of 4

18 8. INDEPENDENT CONTRACTOR The District and the Consultant acknowledge that this Agreement is not intended and does not create an agreement of employment or of agency between the District and the Consultant. The Consultant will not make any contracts or other commitments on behalf of the District without the prior written consent of the District, except as may be authorized by the District. The Consultant will provide his own home office, cell phone, vehicle and other equipment as required to carry out the terms of this contract. However, the consultant will have access to an office and access to the District s computer system for the purpose of conducting meetings and for preparing, receiving and sending reports and s. 9. LIABILITY AND PERSONAL INJURY INSURANCE The Consultant shall maintain general liability insurance and WorkSafe BC coverage for the duration of this contract. The Consultant will be solely responsible for ensuring payment of all income taxes, Canada Pension Plan contributions, employment insurance premiums and such other taxes levied by a government in Canada, and the Consultant will indemnify and save harmless the District from and against any and all claims arising therefrom. 10. ENTIRE AGREEMENT This Agreement and all documents contemplated by or delivered under or in connection with this Agreement, constitute the entire Agreement between the parties with respect to the subject matter of this Agreement and supersede all prior agreements, negotiations, discussions, undertakings, representations, warranties and understandings, whether written or oral, express or implied, statutory or otherwise. The Consultant hereby waives any right to assert a claim in tort based on any pre-contractual representations, negligent or otherwise, made by the District. 11. SURVIVAL The obligations set out in sections 5 and 13 will survive the termination of this Agreement and continue in effect regardless of whether any party is or has been in compliance with any provision in this Agreement. 19 12. ASSIGNMENT Neither party will assign its interest under this Agreement except with the express written consent of the other party. 13. INDEMNIFICATION The District will indemnify the Consultant for all losses or damages in connection with any actual legal proceeding to which the Consultant is or could be made a defendant or respondent by a third party arising out of the performance of the Services.
