2 SUPPLEMENTAL AGREEMENT BETWEEN THE CITY OF LOS ANGELES AND MATRIX CONSULTING GROUP, LTD THIS SUPPLEMENTAL AGREEMENT to Contract No between the City of Los Angeles, a municipal corporation (hereinafter City), acting through the Office of the City Administrative Officer (CAO) and Matrix Consulting Group, LTD., a California corporation, (hereinafter Consultant) is entered into with reference to the following: WHEREAS, the City authorized three hundred thousand dollars ($300,000) in funding for a management consultant to assist the City in functionally transferring its development services functions into one Department as part of the Adopted Budget; and, WHEREAS, the City Administrative Officer was authorized by the Mayor and Council to represent the City in engaging a consultant to provide that analysis; and, WHEREAS, the services to be performed by the Consultant are of a professional, expert and technical nature, and are temporary and occasional in character; and WHEREAS, the Consultant is a private firm specializing in providing Process Improvement services; and WHEREAS, the City is relying on the County of Los Angeles' (County) Process Improvement Services Management Consultant Master Agreement for this procurement; and WHEREAS, the City followed the County's process for utilizing the Process Improvement Services Management Consultant Master Agreement list; and WHEREAS, the County's Chief Executive Office initially released a Request for Proposals on January 15, 2010, and subsequently obtained approval on June 15, 2010 to seek qualified firms to sign a non-exclusive Master Agreement for Process Improvement Services; and WHEREAS, the Consultant met the requirements listed in the County's Process Improvement Services Statement of Qualifications, Exhibit G, to be placed on the Process Improvement Services Management Consultant Master Agreement list; and WHEREAS, the County's Master Agreement with the Consultant, Exhibit H, is authorized under California Codes, Government Code Section which authorizes the Board of Supervisors to contract for special services; and 1
3 WHEREAS, the Consultant was selected by the City to provide such services, following a request-for-proposals process; and, WHEREAS, the Consultant has reviewed the Statement of Work incorporated in this Agreement, and represents that it has the qualities, expertise, skills, and ability to perform such work; and, WHEREAS, the Consultant has demonstrated, to the satisfaction of the City, the possession of specialized expertise in the necessary subject areas; and, WHEREAS, on or about August 9, 2013, the City and the Consultant entered into Contract No (Contract) whereby the Consultant agreed to provide professional services related to functionally transferring its development services into a new department; and WHEREAS, Contract No expired on November 8, 2013, and the City and Consultant now agree to continue Consultant's service to provide process improvement management services related to the City's development reform efforts; WHEREAS, the CAO received an appropriation of three hundred thousand dollars ($300,000) as part of the Fiscal Year Adopted Budget for Contract No Of this amount, fifty one thousand dollars ($51,000) are designated as contingency monies to be dispersed at the sole discretion of the City; and WHEREAS, on or about April 2, 2014, the Council adopted a Planning and Land Use Management Committee Report with a recommendation which identified additional tasks to be performed by the Consultant; WHEREAS, on or about August 27, 2014, the Council adopted a Planning and Land Use Management Committee Report with a recommendation to allocate an additional one hundred seventeen thousand six hundred sixty dollars ($117,660) to fund a supplemental agreement through June 30, 2015; WHEREAS, the City wants to amend the Contract to allocate the additional monies and extend the length of Contract accordingly; WHEREAS, the Consultant has agreed to perform the additional tasks; and WHEREAS, due to the need for the Consultant's services to be provided continuously on an ongoing basis, the Consultant may have provided services prior to the execution of this Agreement. To the extent that said services were performed in accordance with the terms and conditions of this Agreement, those services are hereby ratified: 2
4 NOW, THEREFORE, the parties hereby covenant and agree as follows: 1. The terms and conditions of Contract No shall be the terms and conditions of this Supplemental Agreement, except as expressly modified herein. 2. Article II Section 201. Term of Agreement: The term of this Supplemental Agreement shall terminate on June 30, 2015, subject to the termination provisions herein. 3. Article Ill Section 301. Compensation: A. The total compensation that may be paid to Contractor by the City for complete and satisfactory performance of services under this Agreement will not exceed four hundred seventeen thousand six hundred sixty dollars ($417,660). The term of this Supplemental Agreement shall terminate on June 30, 2015, subject to the termination provisions herein. B. Of the total amount of compensation included in Section 301(A) above, the City will pay Contractor for services to be performed, tasks to be implemented, and Deliverables to be provided as specified in this Agreement and in Exhibit B, Statement of Work, and satisfactorily performed in accordance with the terms of this Agreement, an amount not to exceed four hundred seventeen thousand six hundred sixty dollars ($417,660), inclusive of expenses. The foregoing represents the total compensation to be paid to Contractor for services to be performed, tasks to be implemented, and Deliverables to be provided as specified in this Agreement. 4. Ratification Clause: Due to the need for the Consultant's services to be provided continuously on an ongoing basis, Consultant may have provided services prior to the execution of this Supplemental Agreement. To the extent that said services were performed in accordance with the terms and conditions of this Supplemental Agreement, those services are hereby ratified. Except as herein amended, all other terms and conditions of the Agreement (Contract No ) shall remain in full force and effect. 3
