2 Session One A. The Attorney General s Guidance on Board Service (NBM), Kirk Harvey If you haven t attended this workshop, it s a must! You will explore the legal duties, rights and responsibilities of volunteer board members in governing charitable and other nonprofit organizations. B. Governing Documents, Grady Goodall Articles of incorporation and Bylaws are critical documents, but many board members don t know what they should include or how to use them. Bring your Articles, any amendments, and current Bylaws for a fun and interactive session on what should (and should not) be in these documents and how to sue them effectively to be a better board. C. Strategic Thinking, Arty Trost To fully benefit from formal strategic planning, nonprofit board members need to think strategically. This workshop will focus on the importance of this activity and how to transform your board into a hotbed of strategic thinkers. Session Two D. Fundraising 101, Grady Goodall Raising funds from individuals in a systematic, personalized way is more important than ever for nonprofits. This presentation will cover the fundamentals and share tips for developing a comprehensive fundraising program. You will also learn more about membership mailings, personal solicitations, and estate gifts. E. High Impact Board Leadership, Arty Trost What are the characteristics of a successful board? How can the board work together to enhance your organization? What s your role whether you re a member or a board chair in helping the board work together effectively? This fast-paced, highly interactive session will give you practical tools you can use immediately. F. Understanding Financial Information (NBM), Kirk Harvey Have you ever wondered what financial information you should be receiving at board meetings? In this workshop you ll learn what fiscal information you should be receiving, how to interpret it, what questions you should be asking, and how to determine if your organization is in a secure place. Session Three Breakout Sessions G. Writing Financial Policies, Katherine DeYoung and Joe Kroll Formal written policies on financial management are key to the effective governing of your organization, its leaders, staff and volunteers. This workshop identifies the ten essential policies to have in place and includes templates for an Internal Control Policy, a Travel & Other Expense Reimbursement Policy (required by the IRS), and Debit & Credit Card Use Policy. H. Board Recruitment, Heidi Henry It is critical that you get the right people on your board and keep them! In this fastpaced interactive workshop, you will learn how to add diversity and connect across generations. Learn how to ensure your new board members are prepared for their first meeting. I. It happens more often than one might think. This workshop will highlight activities that can jeopardize tax exempt status including: political campaigning, substantial lobbying, operating to benefit private interests, operating for non-exempt purposes, and failing to file required tax returns. Session Four J. Unrelated Business Income Tax (UBIT), Joe Kroll Even though nonprofit organizations are exempt from traditional income tax, they may be subject to unrelated business income tax. This workshop will cover the basics of UBIT and common situations where it may be applicable. If you are responsible for fundraising or are a professional advisor (accountant or attorney) this workshop is for you. K. New Board Member Training (NBM), Heidi Henry This workshop is designed to give new board members the skills and confidence they need to become effective leaders in their organizations. It includes plenty of resources and question and answer time to help new members understand general expectations of board members. L. Restricted Funds, Kirk Harvey Does your organization accept restricted funds? If so, serious legal implications apply to the use of restricted funds. In this workshop we will explore the various ways funds can become restricted as to their use, how to account for them, and what it means for board members who must decide whether restricted funds can be sued for a particular purpose. New to Board Service? Look for the workshops marked with NBM (New Board Member). These key, introductory workshops are particularly relevant for those new to board service.

4 Our Instructors Audit Manager Joe Kroll Internal Revenue Service-Tax Exempt Division Joe is a popular national speaker for the Internal Revenue Service. As exempt organization audit manager in San Francisco, he manages employees who conduct examinations of organizations with religious, charitable, able, scientific, literary, educational, civic, labor, agricultural, social, and fraternal purposes. Board Trainer and Organizational Planner Heidi Henry Banner Non-Profits, LLC Heidi is co-owner of Banner Non-Profits LLC, a nonprofit consulting firm. For 15 years she has worked with boards on governance planning and training as well as on organizational business planning and fund development strategies. Heidi was previously a Community Development Coordinator for Rural Development Initiatives and Main Street specialist with Oregon Downtown Development Association. Director of Development, OSU Grady Goodall, JD College of Liberal Arts Grady is dedicated to using his legal training and experience to serve the nonprofit sector. Before becoming a lawyer, he worked in higher education administration, fundraising, lobbying, public relations, and administered a tax exempt university foundation. His law practice was focused on charitable giving, estate planning, governance, and intellectual property issues for small organizations. Nonprofit Consultant Arty Trost Decisions, Decisions Arty is a lively and insightful consultant and trainer whose work focuses on helping people and organizations develop their capacity and expand their options. In the past 28 years, Arty has provided consultation, training, and keynote presentations to hundreds of organizations throughout the United States and overseas. Her training programs blend practice and principle using a highly interactive, skill-building approach. Director of Programming Kirk Harvey, CFE Kirk served as the Chief Investigator the Oregon Department of Justice Charitable Activities Section for over 20 years. He is a Certified Fraud Examiner with over 35 years experience in governmental regulation and law enforcement. Prior to his appointment to Chief Investigator, Kirk served as an Investigative Auditor for the Charitable Activities Section of the Department of Justice. President Katherine DeYoung, CPA Kathy is the founder of the, co-author of A Directors and Officers Workbook for nonprofits and author of How to Conduct an Internal Audit.
