2 About this Financial Services Guide This Financial Services Guide (FSG) is issued by York Wealth Management Pty Ltd (ABN ) (York). The purpose of this FSG is to assist you in deciding whether to use any of the financial services we offer. After reading this FSG, you will know: Who we are and how to contact us The specific services offered by York and its advisors How the relationship with your adviser will work How we (and any other relevant persons) are remunerated How to buy or sell shares, other listed securities and financial products using York and some of the risks involved in buying or selling financial products, The commissions and other benefits that may be paid to York, your Adviser and other relevant persons Whether any relevant associations or relationships exist that may influence our advice How we maintain your personal information How to access our internal and external complaints handling arrangements Retail clients should be aware this FSG is one of three (3) disclosure documents that retail clients may be entitled to receive, the other two being a Statement of Advice and a Product Disclosure Statement, although York is only obliged to provide these two latter documents in certain specific circumstances. About York York is an Australian Financial Services Authorised Representative No of Samuel Allgate Investments Pty Ltd (ABN ), Australian Financial Services Licensee No (SAI). SAI appoints authorised representatives to act on its behalf for the provision of authorised financial services. York and its advisors are authorised representatives of SAI. SAI is therefore responsible for the financial services provided by it and its authorised representatives. SAI has authorised your advisor to distribute this FSG. Clients will be provided with a written Statement of Advice (SoA) that will summarise the advice, the basis of the advice, any fees or charges and any potential conflict of interest on the first occasion that advice is provided. If York provides a retail client with further advice then York may rely on the information that it already holds and the retail client will not automatically receive a revised SoA. Copies of all advice documents will be retained on your client file and if you have not already been provided with one you may ask for a copy of these documents at any time. If your advisor recommends certain types of financial products, your Adviser will give you a Product Disclosure Statement (PDS) which has been issued by or on behalf of the product issuer. The main purpose of a PDS is to help you make an informed choice about a financial product. A PDS will contain general information about the product including the terms and conditions for the product, any significant benefits and risks associated with 2

3 holding the product and information about the cost of the product. You should read this information to enable you to make an informed decision prior to purchasing the recommended financial product. Who will give you advice and what advice can be provided? York and its advisors are responsible for the advice they provide you. York s advisors may provide you personal or general advice. If you receive personal advice, this means your York advisor will take into account your personal objectives, financial situation or needs, and you will receive a SoA. If you receive general advice this means that any advice given by advisor will not take into account your personal objectives, financial situation or needs. You will need to decide if the product or service is right for you. If you access our services through a financial services provider, any personal advice we give you will be based on the information provided to us by your financial services provider. York can only provide advice on financial products and/or services within certain classes which are listed on the SAI Approved Product List. The Approved Product List includes a range of investment and insurance products for which the appropriate research and analysis has been undertaken. As an authorised representative of SAI, York cannot advise you on, or influence you in favour of, a financial product which: is not on the approved product list; or any arrangement where your advisor can make changes to your portfolio before obtaining your consent unless they are specifically authorised to ; or is a product they are not authorised to provide advice on. 4 Trading in Domestic Equities York specialises in best execution when buying and selling shares in listed companies on local exchanges such as the ASX. York s advisors understand the needs of high net wealth and the time conscience investor and are therefore equipped accordingly with leading infrastructure and resources to deliver upon those services. Cash, Bonds and Fixed Interest Products Yorks relationships with many of Australia s leading banks and FIIG, enables clients with low risk appetites to have access to cash management accounts with the bank/s of their choosing, as well as access to term deposits, bonds, fixed interest products with the most competitive of returns and the highest level of account service. The majority of cash and fixed interest products are deemed to have lower risks associated to them and greater security, although there are still risks involved including but not limited to the risk to your capital from unfavourable movements in interest rates and default by the issuer. Managed Investment Schemes York provides access to a range of managed funds managed by Australia s best providers. Investing in managed funds allow you to pool your money with other investors, diversify your portfolio and access a wider range of investment opportunities. Such wider investment opportunities include access to international markets, hedge funds and infrastructure funds. Funds are managed by investment professionals who have specialist experience and expertise in this area. In addition, some managed funds can be traded on the ASX (Exchange Traded Funds). York s advisers can assist you in identifying which managed fund is suitable for your individual circumstances and investment objectives. Superannuation Funds and Self- Managed Superannuation funds York s superannuation accredited advisers are skilled at providing financial product advice for self- managed superannuation funds. In order to make certain types of investments, such funds may be required to have in place documentation, such as a formal investment strategy. It is the responsibility of the trustees of the fund to ensure that any such documentation is in place and that any investment recommendation adopted by the trustees complies with those documents. Access to Capital Raisings Access to these unique opportunities such as Initial Public Offerings and Equity Raisings are normally reserved for high- end clients of the firms in which the opportunity was created. Some opportunities are reserved for Sophisticated or professional investors only. To access these particular deals, you must be a client of that firm. Clients have found they can only have so many accounts with so many firms before it becomes unmanageable. York is an intermediary working on your behalf by having accounts with these major financial institutions in order to provide you access. When an opportunity arises, York will present the opportunity to you and our clients. If the opportunity is right for you, your advisor will add your bid to the York book build and bulk bid on all our clients behalf. If we receive an allocation for the opportunity from the provider it will be split accordingly amongst our clients on a first come first serve basis. The details of any fee will be disclosed to you in the documents relating to the issuer or by your advisor. York may receive a handling fee or underwriting fee from the issuer. Generally clients are not charged brokerage on applications for shares in floats, new issues and placements. Not all offers will be suitable for all clients and some restrictions may apply. Your advisor can provide you with further details on the restrictions that may apply. 4

5 Research Your adviser can provide you with access to research from the publications and firms that we have relationships with. As research is subject to change, York s relationships with publications and firms may also change as a result. Your advisor will disclose this to you. You should bear in mind that these publications are prepared for multiple distributions and contain information and opinions of a general nature. Recommended investments may not necessarily be suitable for you and you should view any recommendation in light of your personal circumstances. You should always consult your adviser before acting on a recommendation in a research publication. Please note that there is no obligation on your adviser to provide you with research, to consider whether a particular publication should be sent to you or to make contact with you to provide a recommendation. Not all research may be appropriate for you, given your personal circumstances. York Portfolio Service (YPS) York Portfolio Management and Administration Service (YPS) is our central platform offering. YPS provides a robust framework for private wealth management clients who expect nothing but the highest levels of service for investment and portfolio advice. The benefits of this service is tailored investment advice, portfolio management, simplifies administration, reporting, valuation and asset allocation reports, performance reports, tax reports, multi- currency reports, transparency with fee for service as a percentage or fixed cost and reduced transaction fees. Separately Managed Account (SMA) York s Separately Managed Account (SMA) is a registered managed investment scheme through Praemium in which each investor has a separate account to which their investments are allocated. Your SMA can be constructed by using a range of available investment strategies that you can select in consultation with your advisor. Each investment strategy is referred to as a model portfolio, and they can be found in the model portfolio profiles in the Approved Product List. Once you have chosen which model portfolios are best suited to your investment needs and objectives, York will purchase securities to be included in your SMA so that it reflects the model portfolio or combination of model portfolios that you have selected. You will be the beneficial owner of the securities in your SMA. You can view online all of the securities, which are included in your SMA as a single account, even if you have decided to have securities invested in accordance with more than one model portfolio. Your investment strategy and preferences may only be communicated to the platform by your financial adviser or nominated representative. The model portfolio managers will manage the model portfolios on an ongoing basis, and we will buy and sell securities to be included in, or removed from your SMA as the model portfolios change. Your Adviser Your adviser is an authorised representative of York and is authorised to provide you with some or all of the above services. Your adviser is an independent contractor to York (as opposed to an employee of York). Your adviser may be a company, with sub- authorised representatives, or an individual. Your adviser s details are set out in your SoA. If you do not have an adviser, please contact York so that we may introduce you to an adviser. If you already own shares or other financial products, your adviser can review your portfolio of holdings and help you decide whether the financial products you hold are still appropriate having regard to your personal circumstances. If you do not already own shares or other financial products, your adviser can help you design a portfolio to suit your personal circumstances. Your advisor may provide you personal, general advice or no advice. You have the right to receive advice that is appropriate to your investment objectives, which is in turn appropriate having regard to the your financial situation and particular needs on the one hand, and the 5

6 circumstances of the security that is the subject matter of the advice, on the other. Whilst you have the right not to divulge personal financial information if you do not wish to do so, if you do not provide sufficient information to your adviser, York and/or your advisor is obliged to warn you about the possible consequences of not having a full client profile of personal financial information. In the event that you do not provide full information, you must understand that you may receive advice that is inappropriate, as it does not take into account your financial situation, particular needs and investment objectives. In such circumstances, it is your responsibility to assess whether the advice is appropriate for you. These warnings relate to any personal financial product advice provided by an adviser with limited knowledge of your personal financial circumstances whether such advice is provided verbally or in writing. If no information is provided then only general advice may be provided and you are responsible for assessing whether the advice is suitable. York s research is general financial product advice only and does not constitute advice to any particular person and therefore cannot be considered as personal advice. General advice is prepared without consideration your financial situation, particular needs and investment objectives. Accordingly, in the event of receiving general advice, you should consult your adviser before any investment decisions are made based on such general advice. In order to preserve the integrity of the personal financial information that York maintains, clients should maintain regular contact with their adviser and keep them abreast of any material changes in their financial circumstances. Clients have the right to give instructions as to the way their account with York is conducted, so long as those instructions comply with regulatory requirements and York is prepared to accept the instructions. Clients have the right to be advised about any interest that York, or the client s adviser, may have in a security that may reasonably be expected to influence their recommendation to the client. The mere existence of an account with York or the acquisition of a financial product through York does not mean that York or one of its advisers is responsible for monitoring a client s portfolio. Similarly, the fact that an adviser may contact clients with recommendations is not an indication that the account is being managed by the adviser. Unless a separate arrangement such as a Private Investment Management or a Managed Discretionary Account Contract is entered into, clients remain responsible for monitoring their own portfolios and contacting their adviser if they have any questions or concerns related to their investments. Documents you may receive from us In addition to this FSG, you may receive from us: a Statement of Advice (SoA); a Product Disclosure Statement (PDS); and/or Clearing Participant Documents other disclosure documents (where relevant) Statement of Advice (SoA) Where York or its advisors give you personal advice, you will receive a Statement of Advice (SoA). This is a written record of the personal advice we give to you. The SoA will set out our understanding of your relevant personal circumstances and your investment objectives and preferences, our recommendations about specific financial products, the basis of those recommendations, for example, why we think the product is appropriate for you and disclosures about any relevant fees, commissions and associations. Generally, we are required to provide you with an SoA the first time we provide you with personal advice about each type of financial product or when there has been a significant change in your circumstances. Where a SoA is required, we must give it to you before we provide any services in connection with the advice documented in the SoA. However, if you instruct us to provide the services immediately, we will give you an SoA within five (5) days of providing the advice to you. If we provide personal advice in circumstances where we are not required to give you a SoA, you may request a record of this advice (if we have not already provided a record to you) at any time for a period of seven years after the date the advice was given. You may request this record by writing to us at the applicable address set out on the back page. 6

7 Product Disclosure Statement (PDS) A Product Disclosure Statement (PDS) is a type of offer document, which provides information about a product, for example, its features, benefits, fees and associated risks, to enable you to make an informed investment decision. Generally, a PDS must be given to you in connection with any offer or recommendation to invest in: Managed investments; Superannuation products; Retirement savings accounts; Deposit products; Clearing Participant Documents When you open a client account, you will receive York s Clearing Participant s FSG and any other required documentation. Other Disclosure Documents A prospectus or other offer document may be issued instead of a PDS for some financial products, for example a new listing of shares or debentures. General disclosure York, its authorised representatives, associates and their respective officers and employees may have a pecuniary or other interest in financial products which you purchase or sell and may earn fees from dealing in financial products you purchase or sell as outlined in this FSG or as advised to you from time to time. Placing and processing your order Telephone is the usual method of instructing York although instructions can also be given in person or by mail, facsimile or . Instructions by facsimile and will only be effected once York has acknowledged receipt of those instructions in writing or the order is placed. Similarly, instructions for the acquisition or disposal of other financial products may be made in writing or electronically provided such instructions are acknowledged in writing. All instructions to buy or sell shares are automatically accepted on a good till cancelled basis unless you instruct otherwise. All instructions to buy or sell derivatives are accepted on a good for day only basis. York through its Clearing Participant will process your order(s) in accordance with the ASIC ASX Market Integrity Rules and any other relevant rules of ASIC, ASX, ASX Clear, ASX Settlement or any other relevant regulatory authority or relevant exchange. Most orders are processed shortly after receipt, however there is no guarantee that your order will be processed within any given time period. The time taken to process your order will depend upon a number of factors, including your price instructions, the state of the market and the number of securities to be traded. Your order will be processed in accordance with York s Clearing Participant s Best Execution Policy which can be viewed by visiting the following URL content/uploads/2012/09/d2mx_bestexecutionpolicy.pdf. York will not act on a discretionary basis on your behalf (except with regard to price and timing of execution of an order) unless you have entered into a separate written agreement with York. Once your order is processed, York (through its Clearing Participant), will issue you with a confirmation detailing the transaction undertaken to buy or sell financial products. Please read this confirmation carefully. 7

8 Settling your buy transactions You may authorise York s Clearing Participant to directly debit and credit your nominated bank account for settlement purposes. Alternatively, your adviser can help you establish a Cash Management Account (CMA). A CMA can be used to hold the funds with which you plan to buy shares and settle securities transactions There are several advantages of a CMA or a Direct Debit/Credit Facility ( DD/CF ) including: A CMA or DD/CF can be used for the timely settlement of purchases. This makes the T+3, T+2 or T+1 settlement requirements far easier to meet and less risk of defaulting. Your CMA or DD/CF is credited or debited (as the case may be) after any transaction on the second or third business day for shares You will earn interest on the funds you have set aside in the CMA (subject to certain minimum deposits) and the normal interest rate you receive from your bank account using a DD/CF to your bank account. Funds you realise from selling shares or derivatives earn interest as soon as settlement is completed and Your CMA enables you to manage your transactions and settlements easily Settling your sell transactions Any sell transactions of a parcel shares, which are broker sponsored by York s Clearing Participant will settle automatically. Where you sell shares through York s Clearing Participant, which are not broker sponsored, you will need to provide York with the relevant Security Reference Number (SRN). If you can t locate your SRN, please notify your advisor and York s client services will assist (a fee may be levied for this service). Cancellation of trades by an exchange or regulatory authority In certain circumstances, the rules or procedures of relevant regulatory authorities or exchanges allow such regulatory authority or exchange to take any action they consider appropriate to deal with erroneous trades, including cancelling or amending trades. York is entitled to cancel or amend a trade without further notice to you where such regulatory authority or exchange has recommended or required it, or where it is permitted under the rules of the relevant regulatory authority or exchange. Investment risks Shares and any other investments can rise or fall in value. The measure of this change in value is often referred to as volatility. Any security may incur daily price changes, as new information becomes available to investors. The market is constantly evaluating the strengths and weaknesses of each security in relation to various risk factors. The following list sets out some of the possible risks associated with investing in listed securities: Overall Market Factors the risk of loss by reason of movements in the share market generally caused by political, economic, taxation or legislative factors. International Factors the vulnerability of a company to international events or market factors, such as movements in exchange rates, changes in trade or tariff policies and changes in other stock or bond markets. Sector Specific Factors these may include demand for the type of product the company produces, commodity prices, the economic cycle of industry, changes in consumer demands, lifestyle changes and changes in technology. Stock Specific Factors these would include amongst many other matters, the strength of the company s management and board, the company s profit history, tangible asset base, debt level and fixed cost structure, litigation, profits or losses on particular contracts, drill or exploration results and competition from within the sector. Cash and Fixed Interest Products these products carry different risks. Primarily the holder risks their capital if the issuer defaults or files for bankruptcy 8

9 Fees and benefits York may charge brokerage, commission or a fee depending upon the services that are provided. York may also pay or receive other fees in relation to services supplied to you, but which are not payable by you. All fees are subject to change. All fees are exclusive of GST and an amount equal to the amount of the GST is payable by you at the same time as the fee is due. Fees payable by you - Australian financial products and services Type of fee or Cost Why and when is it paid? Amount? Brokerage We charge you brokerage when we buy or sell financial products for you. Brokerage and government charges are deducted from the proceeds of a sale or added to the purchase price of an order we receive from you. Brokerage is settled on T+1 (business days after the trade date. The rate of brokerage is usually between 1% and 2% with all transactions subject to a minimum $ charge for brokerage. For example, if you sell $20,000 worth of shares at 1.5% brokerage, you would be charged brokerage of$ Our brokerage rates depend on the type and level of service, the size of the transaction and the frequency of these transactions. Please also note that rates may be negotiated between you and your adviser, and fees may be subject to change. York Portfolio Service (YPS) fee YPS is our central platform offering through our partner, Praemium Limited. York s Portfolio Service charges an annual management fee paid quarterly. YPS is Non- Discretionary Portfolio Management.The rate is usually up to 2% with a minimum fee of $3,000 p.a. per account. The fee is calculated according to the value of your portfolio either as a percentage or a flat fee and will be disclosed in your agreement. A setup fee may be included. Preparation of a Portfolio Review, additional Statement of Advice or Further Advice When you request the relevant document be prepared. Type of fee or Cost How and when is it paid? Amount? Separately Managed Account (SMA (See Praemium's PDF)) SMA Fees when your money moves in or out of the Fund Establishment Fee (the fee to open your investment) The Establishment Fee is deducted from the amount invested to establish your account. This fee is paid to your adviser at your direction for services that your adviser provides to you. This amount may be negotiated with your adviser. Fee is dependent of the level of advice, time taken to create advice and will be discussed with you prior to the preparation of the relevant document. If your circumstances change after the advice has been prepared an additional fee may be imposed. Up to 4.40% 9

This fee is deducted immediately after each cash contribution and is based on the value of the contribution. This amount may be negotiated with your adviser. Not applicable. The Administration Fee is calculated monthly in arrears based on the daily value of your account and is deducted directly from your account. The Investment Fee, if applicable, is calculated monthly in arrears based on the daily value of your account and the particular Model Portfolio(s) selected. It is deducted directly from your account. The Performance Fee, if applicable, is calculated monthly in arrears based on the daily value of your account and the particular Model Portfolio(s) selected. It is deducted directly from your account. The Adviser Service Fee is calculated monthly in arrears (based on the daily value of your account for percentage based fees) and is deducted directly from your account. This amount may be negotiated with your adviser The Dealer Group Service Fee is calculated monthly in arrears (based on the daily value of your account for percentage based fees) and is deducted directly from your account. This amount may be negotiated with your adviser. The Research Fee is calculated monthly in arrears (based on the daily value of your account for percentage based fees) and is deducted directly from your account. 11 conducted by them and/or third party contractors as part of the provision of financial product advice to you) In- Specie Transfer Fee (the fee for the transfer of securities out of your account) This amount may be negotiated with your adviser. Cash Management Account (CMA) fees/commissions York may receive a fee or commission from the relevant bank on amounts deposited into the CMA. Any fees or commissions York receives are calculated as a percentage of the amount deposited in a CMA. The rate of commission is usually between 0.1% and 0.5% per annum. Other Commissions Adviser Remuneration Corporate Finance Referral fees to third Parties York may receive a fee or commission from the various financial product issuers on amounts invested by you in a financial product. York collects brokerage on your adviser s behalf. York receives payments from companies for undertaking various activities including but not limited to placements, initial public offerings of securities and Listed Investment Companies A referral fee may be paid to a third party, such as a financial planner, for referring your business to York. Any such payment depends on the particular circumstances of the arrangement with the third party. Any fees or commissions York receives are calculated as a percentage of the amount you invest in the Financial Product. The rate of commission is usually between 0.05% and 1.0% depending on the period of investment. The specific rate will be provided to you with the issuer s documentation, PDS or as advised to you by your adviser. Advisers receive 100% of the brokerage or commissions and remit a percentage of this (approximately 50%) to York. York and its Advisers may earn fees, commission or income from such corporate finance activities and have interests directly or indirectly in the securities involved in these activities. Any fees earned by York and its Advisers will be disclosed to you in the documentation relating to the offer or by your Adviser The amount of the fees depends on the specific arrangement. For instance, if the referring party receives a share of the brokerage, this is calculated as a percentage of the brokerage, which York receives from you for the transaction. The rate of the share of the brokerage is usually between 0% and 75%. The specific rate will depend on the terms of the agreement between York and the third party. You may request particulars of the referral fee that the third party will receive from York. Any request must be made within a reasonable time after you receive this FSG and before any financial service is provided to you. 11
