3 Introduction: Goods and Services Tax Network (GSTN) is a Section 25 (not for profit), non-government, private limited company. The Company provides IT infrastructure and services to the Central and State Governments, tax payers and other stakeholders for implementation of the Goods and Services Tax (GST). For more details visit This tender document is for supply, installation and leasing of Internet Leased line at our office space at East wing, 4 th floor, World Mark -1, Aerocity, Delhi. SECTION I: Instructions to Bidders 1. The bidders must submit the bids under 2 bids system i.e. I. Technical bids containing all technical and commercial details except prices along with EMD. II. Priced bids with Detailed BOM and prices. III. Both the bids must be submitted in 2 different sealed envelope and submitted to Procurement department. IV. The rate format for bidding is as per Annexure-IIII. 2. Eligibility Criteria: I. The bidder must be a licensed Internet Service Provider from Department of Telecom, Govt. of India. for Delhi area 3. Bid Security (EMD - Earnest Money Deposit): Bidders shall submit, along with their Bids, EMD (amount specified in the tender notification table), in the form of a Demand Draft/ Bank Guarantee drawn from any Scheduled bank in favour of Goods and Services Tax Network (GSTN) payable at New Delhi branch and valid for 120 days from the last date of the bid submission. EMD in any other form will not be accepted. EMD in the shape of Bank Guarantee shall be submitted in the format provided in the Annexure V (Form 1): Earnest Money Deposit as specified in this Tender. 1 The EMD is interest free. 2 The EMD, for the amount mentioned above, of successful bidder would be returned upon submission of Performance Bank Guarantee. The EMD of all unsuccessful bidders will be refunded by Goods and Services Tax Network (GSTN) at the earliest post signing of agreement and submission of the PBG by the successful bidder. 3 The bid submitted without EMD, mentioned above, will be rejected without providing any further opportunity to the bidder concerned. 4 The bidder shall extend the validity of the offer and EMD on request by Goods and Services Tax Network 5 The EMD may be forfeited: 3 P a g e RFQ for Internet Leased Line - GSTN

4 i. If a bidder withdraws its bid during the period of bid validity ii. In case of a successful bidder, if the bidder fails to sign the agreement in accordance with terms and conditions 4. Venue & Deadline for submission of proposals I. Proposals, in its complete form in all respects as specified in the Tender, must be submitted to Goods and Services Tax Network (GSTN) as specified in the Tender Notification Table. II. III. Last Date & Time of submission: As given in the Tender Notification Table Goods and Services Tax Network (GSTN) may, in exceptional circumstances and at its discretion, extend the deadline for submission of proposals by issuing an addendum, in which case all rights and obligations of Goods and Services Tax Network (GSTN) and the bidders previously subject to the original deadline will thereafter be subject to the deadline as extended. 5. Late Bids I. Bids received after the due date and time as specified in the Tender Notification Table (including the extended period if any) for any reason whatsoever, shall not be entertained by Goods and Services Tax Network. 6. Goods and Services Tax Network s Right to terminate the Process I. Goods and Services Tax Network (GSTN) reserves the right to accept or reject any proposal, and to annul the bidding process and reject all proposals at any time prior to award of agreement, without thereby incurring any liability to the affected bidder or bidders or any obligation to inform the affected bidder or bidders of the grounds for actions taken by Goods and Services Tax Network. II. GSTN is accepting the bids on a no cost no commitment basis. III. Goods and Services Tax Network (GSTN) makes no commitments, express or implied, that this process will result in a business transaction with anyone. IV. This Tender does not constitute an offer by Goods and Services Tax Network. The bidder s participation in this process may result in Goods and Services Tax Network (GSTN) selecting the bidder to engage in further discussions and negotiations toward issue of LOI/PO. The commencement of such negotiations does not, however, signify a commitment by Goods and Services Tax Network (GSTN) to issue LOI/PO or to continue negotiations. Goods and Services Tax Network (GSTN) may terminate negotiations at any time without assigning any reason. 7. Acceptance of part / whole bid / modification Rights there of I. Goods and Services Tax Network (GSTN) reserves the right to accept or reject wholly or partly bid offer, or modify the technical specifications / quantities / requirements mentioned in this Tender including addition / deletion of any of the item or part thereof after pre-bid, without assigning any reason whatsoever. No correspondence in this regard shall be entertained. Internet IP addresses to GSTN for usage on this ILL. b. The contract for this ILL shall be for an initial period of 2 years. The contract may be extended, at sole discretion of GSTN, at rates, terms and condition mutually agreed at the time of extension. c. The proposed solution should be based on Industry standard technologies and minimal requirements at GSTN. GSTN is primarily running a standard TCP/IP networks on dynamic BGP protocol. The various applications in GSTN eg. Voice, Video, Portals, Messaging etc. d. The complete backbone network, provided by the service provider, will be managed by service provider, including links management. GSTN s on-premise equipment s, which are owned by GSTN, will be managed and configured by the GSTN itself or its representatives. e. The handoff of the link must be on Ethernet. f. The link shall be terminated on Router which shall be provide by GSTN. g. The Link links would be used for Voice, Video, Portals etc.. The SLA should be based on, but not limited to, the mentioned below parameters: 1. Link Availability 2. Guaranteed time to restore 3. Fault Reporting etc. h. Monitor ability : The vendor shall configure the link provided to GSTN in his NMS system and provide access on the same to GSTN. The system must provide online charts/reports for minimum important possible parameters for current as well as historical data for preceding 3 months: a) Utilization and throughputs b) Link Availability c) Latency d) Packet Loss e) Jitters i. The vendor will provide a web portal with user Id and Password for getting the link monitoring reports for above mentioned parameters for the link delivered to GSTN. 6 SECTION II: 1. Scope of Work : a) The vendor shall supply and commission 1 no. 10 Mbps 1:1 Internet Leased line at GSTN s new office at Aerocity, New Delhi. The link shall be leased to GSTN for a period of 2 years from the date of commissioning. b) The vendor shall supply install the equipment required for provisioning of the required link at GSTN office, integrate and test systems to meet GSTN requirements. c) Within one week after receipt of LOI/PO, the vendor has to submit the detail project schedule with proper timelines and resource deployment. The same shall also cover the requirement from GSTN side. d) Any changes that are needed to be carried out in the existing setup shall be conducted in consultation and approval from GSTN. The same shall be informed in advance so as to plan the down time / impact to the end users. The work shall be carried out as per GSTN s compliance requirements communicated to the vendor time to time. e) Vendor shall ensure that the proposed solution/components/services are as per applicable regulations in India. The vendor shall be responsible for implementing and maintaining the implemented solution/services as per applicable regulations in India. f) Vendor shall submit architecture design of link built-up. The link must not be overlapped with M/s Airtel s telecom infrastructure who are current ISP to GSTN. g) The link is preferred to be built on terrestrial media e.g. OFC/Copper with Ethernet drop to GSTN for connectivity. However, on case of infeasibility, the link may be built on wireless. In case link is built on wireless, the outdoor components must be deployable on max. 6 meters pole on the rooftop and should be non-interfering with other wireless based links in that area. 2. Terms & Conditions 1. The terms & conditions related to the scope of work in context of this document are mentioned as in this section. 2. Delivery, installation and commissioning: The complete solution and any additional service requested shall be supplied, installed and commissioned within a period of upto 4 Weeks The timely execution of the job is of paramount importance and any delay in executing the purchase order shall be viewed seriously, which may even lead to cancellation of the PO. 3. If the materials ordered, are not delivered by the vendor within the delivery date specified in the Purchase Order, GSTN may cancel the Purchase Order without prejudice. 7 expenses, if any, resulting from the cancellation of the Purchase Order, shall be to the vendor s account. 4. Payment Terms:- The payment for the monthly recurring expenses shall be made on arrears basis within 15 days of submission of certified invoice in duplicate to GSTN office. 5. No other charges except those quoted by the vendor and accepted by GSTN shall be paid to the successful bidder for carrying out the job. 6. GSTN shall not provide any C form, Road permit or any other documentation for the movement of the material or components. 7. Validity of Quotation: Quotation shall remain valid for a period of 120 days from the date of bid opening. 8. Spoc (Single Point o f Contact): GSTN shall appoint an Engineer-in-charge as the SPOC for this project. He / she shall be single point of contact for all technical directions or decision related to the project. SECTION III 1. OTHER TERMS AND CONDITIONS The prices must be quoted strictly as per rate format at Annexure-IIII. Commercials in any other format may make bid invalid and hence rejected. 2. Performance Bank Gaurantee: The Supplier shall submit a Performance Bank Guarantee (PBG) for 10% of the value of the PO on a non-judicial stamp paper of appropriate value and from any Scheduled Bank within 21days of receipt of PO. The format for the same shall be provided by GSTN along with PO. Performance Security should remain valid for a period of 2 months beyond the date of completion of all contractual obligations of the supplier including warranty obligations. The proceeds of the performance security shall be payable to the GSTN as compensation for any loss resulting from the Supplier s failure to complete its obligations under the Contract. If the successful Bidder fails to furnish a Performance Bank Guarantee, then the Earnest Money Deposit shall be liable to be forfeited by the GSTN. 3. Price Reduction Schedule: In case of delay in job completion (i.e. delivery, installation and commissioning), 0.5% per week or part thereof subject to a maximum of 5% of the PO Value of undelivered/uninstalled material/service will be recovered from the bill. 4. Service Level Agreement & Non Performance charges: GSTN expect very high availability and reliability of the ILL through out its leasing to GSTN. 8 a) Mean Time to Resolve (MTTR) : Service Levels Last Mile Complaints Backbone/System/HW Faults 6 clock Hrs 12 clock Hrs b) Link Availability : 98 % calculated on 24x7 basis for the every month In case of the vendor s failure to meet SLAs as committed above, GSTN has right to terminate the services of the Vendor from its premises. The vendor shall have to remove its equipment within 15 days of such termination of services at its own costs. GSTN shall not be responsible for the vendor s material in its premises after such period. The vendor has to maintain the above SLA using its own resources. In case of repeated / major downtimes which the vendor is not able improve despite notices from GSTN, GSTN may terminate the services without any prejudice. The vendor shall provide reports from their NMS system along with calculations of SLAs along with monthly bills for release of payment. 5. Non-Performance Penalty : In case of any problem reported, the same has to be attended & resolved as per Service level Agreement (SLA) mentioned above. In case of violations of SLAs, the penalty applied shall be as per below : 1 For every hour of delay in problem resolution, non-performance penalty of 1% of monthly recurring charges of effected link shall be applied and deducted. 2 For link uptime less than 98%, non-performance penalty of 5% of monthly recurring charges shall be applied for every 1% excessive downtime. Maximum non-performance charges shall be capped at 100 % of monthly recurring cost. 6. Termination : Termination with cause: In case of the vendor s repeated failure to meet SLAs as committed above and committed availability, GSTN shall serve 15 days notice to rectify the services. In case of failure to rectify services, GSTN has right to terminate the services of the vendor from its premises. The Vendor shall have to remove its equipment within 15 days of such termination of services at its own costs. GSTN shall not be responsible for the vendor s material in its premises after such period. In case of not meeting SLA for consecutive 3 month, GSTN May terminate the services by giving one Month notice The Vendor has to maintain the above SLA using its own resources. SLA for each service must be 99% on monthly basis calculated based on SLA window as mentioned above. In case of repeated outages/disruptions which the vendor is not able improve despite notices from GSTN, GSTN may terminate the services without any prejudice. 8 P a g e RFQ for Internet Leased Line - GSTN

9 Termination without cause: GSTN, at its sole discretion, may surrender the link at a notice period of maximum one month and all payments for services obtained shall be done on pro-rata basis. GSTN can also terminate or downgrade/upgrade the link by giving one month prior Notice. 7. GSTN at its sole discretion can appoint other service providers as alternate telecom service providers to GSTN. 8. The vendor shall undertake necessary insurance of its material installed at GSTN premises and all necessary protections to save it from electric and atmospheric conditions. GSTN shall extend its normal safety and security services as available in its premises. 9. The setup established by the vendor at GSTN s premises shall be exclusively used for GSTN users only. The vendor shall not extend any connectivity from this setup to any external customer, without express permission from GSTN. 10. Confidentiality: All drawing, inputs, data, details, or technical particulars supplied by GSTN to the Vendor are to be kept confidential and no part of the same should be shared with anyone other than the authorized persons of the Vendor. The Vendor shall indemnify GSTN for any losses, damages, costs, etc. arising due to any such drawing, input, data, details, technical particulars, etc. provided by GSTN, getting disclosed or known to any party other than the Vendor or its authorized employees. 11. Force Majeure: Any delay in or failure of the performance of either party hereto shall not constitute default hereunder or give rise to any claims for damage, if any, to the extent such delays or failure of performance is caused by occurrences such as Acts of God or public enemy, expropriation or confiscation of facilities by Government authorities, acts of war, rebellion, sabotage or fires, floods, explosions, epidemic, quarantine restrictions, riots, or strikes. 12. If Vendor is prevented or delayed from the performing any of its obligations under this Purchase Order by Force Majeure, then Vendor shall notify GSTN the circumstances constituting the Force Majeure and the obligations, performance of which is thereby delayed or prevented, by Registered letter, the beginning and end of the cause of delay immediately, but in no case later than 14 days from the beginning and end of such cause of Force Majeure condition as defined above respectively. The Vendor shall keep records of the circumstances referred to above. The amount of time, if any, lost on any of these counts shall not be counted for the Contractual Delivery Date/ Completion Time without any prejudice to the GSTN s rights mentioned in this regard. The decision of the GSTN arrived at after consultation with the Vendor, shall be final and binding. Such a determined period of time shall be extended by the GSTN to enable the Vendor to complete the job within such extended period of time. i. It is the clear understanding of the Vendor that the occurrence of any Force Majeure conditions at supplier s vendors or sub Vendor(s) premises shall not be considered for this Purchase Order/LOA. 9 P a g e RFQ for Internet Leased Line - GSTN

Arbitration : All disputes and differences of whatsoever nature, whether existing or which shall at any time arise between the parties hereto touching or concerning the LOA/Purchase Order, meaning, operation. or effect thereof or to the rights and liabilities of the parties or arising out of or in relation thereto whether during or after Completion of the LOA/Purchase Order or whether before or after determination, foreclosure, termination or breach of the LOA/Purchase Order (other than those in respect of which the decision of any person is, by the Contract, expressed to be final and binding) shall, after written notice by either party to the Agreement to the other of them and to the Appointing Authority hereinafter mentioned, be referred for adjudication to the Sole Arbitrator to be appointed as hereinafter provided. The appointing authority shall either himself act as Sole Arbitrator or nominate some officer of GSTN to act as sole Arbitrator to adjudicate the disputes and differences between the parties. The Vendor shall not be entitled to raise any Objection to the appointment of such officer of the GSTN as the Sole Arbitrator on the ground that the said officer is an officer and/or shareholder of the GSTN or that he/she has to deal or dealt with the matter to which the LOA/Purchase Order relates or that in the course of his/her duties as an officer of the GSTN, he/she has/had Expressed views on all or any of the matters in dispute or difference. In the event of the Arbitrator to whom the matter is referred to, does not accept the appointment, or is unable or unwilling to act or resigns for any reasons whatsoever, the Appointing Authority aforesaid, shall nominate another Officer of the GSTN to act as Arbitrator. Such Officer nominated as Sole Arbitrator shall be entitled to proceed with the arbitration from the stage at which it was left by his predecessor. It is expressly agreed between the parties that no person other than the Appointing Authority or an Officer of the GSTN nominated by the Appointing Authority, shall act as an Arbitrator. The Award of the Sole Arbitrator shall be final.and binding on the parties to the Agreement. The Work under the LOA/Purchase Order shall, however, continue during the Arbitration proceedings and no payment due or payable to the concerned party shall be withheld (except to the extent disputed) on account of initiation, commencement or pendency of such proceedings. The Arbitrator may give composite or separate awards in respect if necessary. Subject to the aforesaid, the provisions of the Arbitration and Conciliation Act, 1996 or any statutory modification or re-enactment thereof and the rules made there under, shall apply to the Arbitration proceedings under this Clause. The LOA/Purchase Order shall be governed by and constructed according to the laws in force in India. Quotation received after the stipulated time will not be accepted and considered. Bidders are advised to send their sealed bid preferably by Courier or in person at above address.
