1 Regulations governing the Executive MBA in Management of Technology - MoT Art. 1 - Background and Organization 1. The Swiss Federal Institute of Technology of Lausanne (EPFL) and the University of Lausanne (UNIL) offer continuing education in business administration, and in particular a program with a specialization in Management of Technology, entrepreneurship and innovation, hereafter referred to as the Executive MBA in Management of Technology. 2. This course is organized within the framework of the EPFL by the College of Management of Technology (CDM) and within the framework of the University of Lausanne (UNIL) by the HEC Faculty (HEC). 3. It is a continuing education program intended for people with professional experience. It is designed for students who are in employment. Art. 2 - Structure, content and duration 1. The Executive MBA in Management of Technology MoT represents 60 ECTS credits and is taught over a period of 15 months. 2. Students must request the Steering Committee in writing if they require an extension to their studies; an authorization to exceed the 15-months duration (for one year at the most) may be granted by the Management (Dean s Office) of HEC and CDM. 3. The Executive MBA in MoT consists of two parts: the general management part (managed by HEC) and a specialization in Management of Technology (managed by CDM). 4. The general management part consists of approximately 240 hours of teaching periods of 45 minutes. 5. The specialization consists of approximately of 200 study periods of 45 minutes and other associated activities, as well as a 3-months full-time project. 6. The study periods of the general management core and of the specialization are coordinated in order to avoid schedule overlapping. 7. All compulsory classes are held in English. Art. 3 - Management of the Executive MBA in Management of Technology - MoT 1. The Executive MBA in Management of Technology MoT is under the responsibility of the College of Management of Technology of the EPFL and of the Dean's Office of the HEC Faculty of UNIL. 2. The College of Management of Technology of the EPFL and the Dean's Office of the HEC Faculty of UNIL appoint a Steering Committee to lead the program. It is composed of two representatives of EPFL and two representatives of HEC. There may be substitutes.

2 3. The College of Management of Technology of the EPFL, and the Dean s Office of the HEC Faculty of UNIL each designate their representatives on the Steering Committee, and their substitutes. 4. The management of the general management part is delegated by the Faculty of the HEC to an Administrative Director and an Academic Director. 5. The Steering Committee of the Executive MBA in Management of Technology MoT is responsible for the co-ordination of the general management part and the specialization in Management of Technology MoT. 6. The Steering Committee is responsible for the quality, promotion and international recognition of the Executive MBA in Management of Technology MoT. It delegates the responsibility for these areas, as well as the management of the specialization, to the codirector of the program named by the Steering Committee. Promotional elements (such as advertising and website), except for yearly updates, are submitted for approval to the Management of UNIL before they are released. The operational management of the general management part is under the responsibility of the HEC Faculty. 7. The Steering Committee may appoint a scientific advisory board composed principally of external experts who are actively involved in the themes addressed by the program. Art. 4 Conditions and procedure for Admission 1. Candidates should already hold a Master s or Bachelor s degree in any subject awarded by a University or Swiss university of applied sciences (HES) or a qualification that is assessed to be equivalent by the Dean of the EPFL School of Continuing Education and by the Matriculations and Admissions Office of UNIL. They are also required to have at least 7 years work experience; a minimum of 5 years work experience may be accepted if the candidate holds a Master s degree or holds a qualification that is assessed to be equivalent by the Dean of the EPFL School of Continuing Education and by the Matriculations and Admissions Office of UNIL. Furthermore, the level of English of the candidates must be good enough to participate fully in the program. Proof of their level of English e.g. a TOEFL test, or studies completed in English or any other evidence of proficiency judged to be acceptable by the Steering Committee. 2. Exceptionnally, the Steering Committee may admit one, or a maximum of two candidates who do not have enough work experience but whose personal file is outstanding. 3. Candidates will be informed in writing of decisions regarding admission by the Dean of the EPFL School of Continuing Education, with the agreement of the Dean of HEC. Negative decisions relative to admission are communicated in writing to the candidates by the Co- Director of the program. 4. Candidates are registered at EPFL. Art. 5 - Number of participants 1. The "EMBA in MoT" program will only take place if a minimum of 15 students are enrolled. 2. The number of participants is normally limited to 30.

3 Art. 6 - Scope and objectives of the teaching and unfolding of the Executive MBA in Management of Technology - MoT. 1. The objective of the Executive MBA in Management of Technology MoT is to: develop and stimulate entrepreneurship and intrapreneurship competencies, ensure success in innovation by fostering a multidisciplinary approach for the conception, production and commercialization of new products or services provide insights into the constraints and interactions within the technological, business, social and international environments 2. Teaching fields are: Management (core subject managed by HEC) Technology (an element of the specialization managed by CDM) Entrepreneurship (an element of the specialization managed by CDM). Innovation (an element of the specialization managed by CDM). 3. The Executive MBA in Management of Technology - MoT also includes two modules in relation with the specialization given in a university abroad chosen by the management of the specialization. 4. It is followed by a 3-month project. Art. 7 Participation 1. Students are required to participate regularly in all core study and specialization classes. Repeated unexplained absences may lead to a written warning and expulsion from the program. 2. Students who do not attend an assessment automatically obtain the grade zero. 3. Candidates who wish to put forward a case of force majeure to explain their absence from program activities and/or an evaluation must do so in writing and send the explanation to the Administrative Program Director of the general management part for activities and evaluations concerning the general management part and to the Co-director of the program for activities and evaluations concerning the specialization, including proof of a case of force majeure within three days of the event taking place. 4. If the student is allowed to withdraw from the course due to force majeure, the results of any tests already taken remain valid. Art. 8 - Organization of and conditions for passing the general management part 1. Teaching hours are organised by HEC Faculty. 2. The general management part represents 30 ECTS credits. 3. Classes are held every second weekend from September to May on Fridays and Saturdays. The program includes in addition a maximum of three sessions of classes over a maximum period of five days each. Some of these dates may be used for the specialization. Tutorials may be organised on weekends where no classes are being held..

4 4. Each course is assessed. This assessment may be in written and/or oral form. Students will be told at the beginning of each course how grades are allocated. Tests are graded from 1 (very bad) to 6 (very good), subject to the conditions laide down in article 7.2. Half-points (e.g. 4.5) are possible and averages are rounded up to the nearest tenth (e.g. 4.3). Students are considered to have passed a test if they obtain a grade equal to or above 4. Students may retake the exam a second and final time if their grade is below Written work must be presented in English or French. Derogations for work presented in German may be requested from the Academic Director of the general management part. 6. Students are informed in writing ( ) of their grades by the management of the program. 7. Students who do not obtain a weighted average of 3 out of 6 for the first 6 obligatory courses of the general management part will not be admitted to continue the rest of the program. A list of the courses concerned will be sent to the students at the beginning of the program. Weighting is calculated in line with the ECTS credits awarded to each course in the general management part, as set out in the course outline. 8. The 30 ECTS credits making up the general management part will be awarded en bloc if the weighted average of grades of the general management courses is equivalent or superior to 4 out of 6. Weighting is calculated in line with the ECTS credits awarded to each course in the general management part as indicated in the course outline. Students will fail the general management part if they do not obtain a weighted average of at least 4 out of 6 for all courses assessed, subject to the conditions laid down in paragraph 7. Only students who obtain a weighted average of at least 4 out of 6 for all the general management part are admitted to the rest of the program. 9. Any plagiarism, act of fraud or attempt to commit a fraud by a student will result in automatic and permanent failure of the person concerned. 10. Any recourse against test results must meet the following conditions, i.e. it must be: a) in writing and in French; b) sent by registered letter to the Dean of the Faculty within ten days as of the communication of the test result; c) justified and accompanied by proof; d) based solely on the grounds of the illegality of the decision, i.e. an irregularity in the examination procedures or in the marking. Any recourse not meeting these conditions will be deemed inadmissible. Art. 9 - Organization and conditions for passing of the specialization in Management of Technology MoT 1. The College of Management of Technology of the EPFL is responsible for the specialization in Management of Technology MoT. 2. The specialization represents a total of 30 ECTS credits. 3. The teaching sessions and the project are managed by the CDM. The teaching is provided in collaboration with the following entities and institutions:

5 EPFL: with its various faculties and colleges UNIL: HEC Swiss and foreign universities Industry professionals. 4. Classes are given according to the schedule, normally on Fridays and Saturdays. 5. There may be the possibility of attending classes in the fields of Management of Biotech, Medtech, and Pharma Ventures. If such modules are chosen by the participant, they are considered as alternatives to the normal modules of the specialization. 6. When 4 modules are taken in addition to the usual modules taking place in Lausanne, they can then substitute the 2 modules which take place in a university abroad, as long as the part of the program which takes place abroad is longer than 2 weeks. 7. Students shall be evaluated for every module. A business plan must also be prepared during the program which will also be evaluated. 8. Evaluation is the responsibility of the teachers of the modules concerned. It may be oral or written. The details of the evaluation will be announced at the start of the module concerned. In the case of an individual oral examination, an expert approved by the co-director of the Executive MBA in Management of Technology MoT will be present during the examination. 9. The modules given in the university abroad are evaluated by that university according to its own regulations. 10. The weighting of the elements of the specialization, apart from the project, is as follows: Specialization modules taught in Lausanne and abroad: 75%. They are weighted according to the number of ECTS credits associated with each module The business plan: 25%. In order to pass, a student must obtain a weighted average of grades equal or above to 4 out of 6 for the courses of the specialization. 11. The project work must be approved by a member of the Steering Committee of the Executive MBA in Management of Technology MoT who is attached to the CDM. It is carried out under the guidance of a teacher accepted by the co-director of the program. The work may be carried out by a team of two people. The subject may arise from a development or innovation project within an industry, a private or university institute, or it may be connected with the creation of a company. It is normally carried out within the company, the administrative department or the institute that offers it. 12. The internship is described in a paper that will be judged by a teacher of the Executive MBA in Management of Technology MoT, a member of the Steering Committee attached to the CDM and an external expert, during an oral presentation. The paper is presented at the end of the 3-month project. If the project is carried out by a team of two people, the paper will normally be presented by both members rather than by one individual, unless otherwise indicated at the start of the project.

6 13. The passing grade for the project work is 4 out of 6. If the report is not completed within the set time, the project is automatically failed. 14. Participants receive written notification of their grades from the Vice President for Academic Affairs of the EPFL. 15. Candidates who fail the examinations in the specialization may resit the exam(s) concerned a second and final time. They have the right to repeat a maximum of three modules which they have failed. 16. A candidate who fails the project work may be allowed a supplementary period of one month, starting from the announcement of the results, to improve the project and /or complete the paper and present it again. To benefit from this supplementary period, the candidate must submit a request to the Co-director of the Executive MBA in Management of Technology - MoT within two weeks of the announcement of the results by the competent authorities of EPFL. A second failure is final. Art Degree obtained 1. Students admitted to the course who have met the conditions for passing the general management part and the specialization part, in line with the present regulations, will obtain a Master in advanced studies (MAS) in continuing education called Executive MBA in Management of Technology - MoT. The Executive MBA in MoT is issued jointly by l Ecole Polytechnique Fédérale de Lausanne EPFL (Swiss Federal Institute of Technology) and the University of Lausanne. It contains the logos of the two institutions. It is signed by the Vice President for Academic Affairs. the Dean of Continuing Education and the Program Director for EPFL, the Rector of the University of Lausanne and the Dean of the Faculty of HEC for UNIL. 2. Participants who have followed more than three modules in the field of Management of Biotech, MedTech, and Pharma Ventures receive a degree specifying "Option Biotech, Medtech, and Pharma." Art Taxes and Fees 1. Students pay CHF for the minimum required duration of the program. This amount includes teaching in Lausanne and abroad, course material (excepting books) and taxes. If the course exceeds this period, the student will pay EPFL a supplementary fee of CHF 580 per semester. 2. This sum is payable in three installments. The first payment of 40% is payable 30 days after the candidate s acceptance. The other two payments of 30% each are payable at the end of December and the end of April. In the case of withdrawal before the start of the program, the sum of CHF is deductible for administrative expenses.

7 Art Financial redistribution 1. The EPFL is responsible for collecting the fees for the EMBA in MoT. 2. UNIL receives 25% of the fees from the EMBA in MoT to cover teaching, course materials and activities associated with the general management part. Art General provisions 1. Concerning the teaching of the general management part, all matters relating to appeals, plagiarism or fraud are decided by the LUL, the Law of the University of Lausanne, dated 6 July Concerning the specialization and others, all matters that are not covered by these present regulations are subject to the study regulations of the EPFL, dated 14 June 2004, the regulations concerning post-graduate training at EPFL dated 27 June 2005, and disciplinary regulations of the EPFL dated 17 September Art Requests for review and administrative appeal concerning the specialization 1. Decisions issued by the Vice President for Academic Affairs based on these regulations may be subject to a request for review made within a period of 10 days following their notification. 2. Such decisions may also be subject to an administrative appeal to the Internal Appeal Commission of the EPF, PO Box 6061, 3001 Bern, within 30 days of their notification. 3. The time periods defined in paragraphs 1 and 2 run simultaneously. Art. 15 -Withdrawal 1. Students who withdraw from the program must inform the Steering Committee of their decision, at the latest 20 days after their departure. 2. Early withdrawal or expulsion from the program at a later date does not entail the reimbursement of taxes and fees. 3. Neither the management of the EPFL or UNIL, nor the program Steering Committee is in any way liable for the consequences of the withdrawal or expulsion of students. Art Language and entry into effect The official version of these regulations is in French. An English translation is also made available. These regulations come into effect and apply to the program starting on August 29, 2011.
