On October 5, 2015, the above-captioned debtors and debtors in possession (the Debtors ) commenced these chapter 11 cases. 2. On October 21, 2015, the Debtors filed the Debtors Motion for an Order Authorizing and Approving Procedures for Rejection of Executory Contracts and Unexpired Leases [Docket No. 133] (the Motion ). 3. On November 2, 2015, Chestnut Hill Shopping Center LLC (the Chestnut Hill Landlord ) and Legacy Place Properties LLC (the Legacy Landlord and together with the Chestnut Hill Landlord, the Landlords ) filed the Objection of Chestnut Hill Shopping Center LLC and Legacy Place Properties LLC to Proposed Lease Rejection Procedures [Docket No. 223] (the Objection ). 1 The Debtors in these Chapter 11 cases, together with the last four digits of each Debtor s federal tax identification number, are as follows: City Sports, Inc. (6205); and City Sports-DC, LLC (6205). The mailing address for the Debtors, solely for purposes of notices and communications, is: 77 N. Washington Street, Boston, MA

As stated on the record, the Debtors agreed with the Landlords that the hearing on the Motion with respect to the Objection would be adjourned to November 23, The Debtors and the Landlords have agreed to a proposed form of order, attached hereto as Exhibit 1 (the Proposed Order ), that resolves the Objection. The Debtors circulated the Proposed Order to counsel to the Lender and counsel to the Committee, and the Lender and the Committee do not object to the Proposed Order. WHEREFORE, the undersigned, respectfully requests that the Proposed Order, attached hereto as Exhibit 1, be entered at the Court s earliest convenience. 4 Case KG Doc Filed 11/20/15 Page 2 of 6 UNITED STATES BANKRUPTCY COURT FOR THE DISTRICT OF DELAWARE In re: CITY SPORTS, INC., et al., Chapter 11 Case No (KG) Debtors. 1 Jointly Administered Related Docket Nos. 133, 223, 300 & ORDER RESOLVING OBJECTION OF CHESTNUT HILL SHOPPING CENTER LLC AND LEGACY PLACE PROPERTIES LLC TO PROPOSED LEASE REJECTION PROCEDURES Upon the motion (the Motion ) 2 of the Debtors for entry of an order, pursuant to sections 105, 365 and 554 of title 11 of the United States Code (the Bankruptcy Code ) and Rules 6006 and 9014 of the Federal Rules of Bankruptcy Procedure (as amended, the Bankruptcy Rules ) and Rule of the Local Rules of Bankruptcy Practice and Procedure of the United States Bankruptcy Court for the District of Delaware (the Local Bankruptcy Rules ), authorizing and approving procedures for the Debtors to reject executory contracts and unexpired leases of residential real property, as more fully set forth in the Motion; and Chestnut Hill Shopping Center LLC (the Chestnut Hill Landlord ) and Legacy Place Properties LLC (the Legacy Landlord and together with the Chestnut Hill Landlord, the Landlords, and each individually a Landlord ) having filed the Objection of Chestnut Hill Shopping Center LLC and Legacy Place Properties LLC to Proposed Lease Rejection Procedures [Docket No. 223] (the Objection ); and the Court having entered the Order Authorizing and Approving Procedures for Rejection of Executory Contracts and Unexpired Leases [Docket No. 300] (the Rejection 1 The Debtors in these Chapter 11 cases, together with the last four digits of each Debtor s federal tax identification number, are as follows: City Sports, Inc.. Washington Street, Boston, MA Capitalized terms used but not defined herein shall have the meanings ascribed to such terms in the Motion or the Rejection Procedures Order.
5 Case KG Doc Filed 11/20/15 Page 3 of 6 Procedures Order ) which provides, among other things, that such order shall not apply to the Landlords; and the Court having jurisdiction to consider the Motion and the relief requested therein pursuant to 28 U.S.C. 1334; and consideration of the Motion and the relief requested therein being a core proceeding pursuant to 28 U.S.C. 157(b); and venue being proper in this district pursuant to 28 U.S.C and 1409; and due and sufficient notice of the Motion having been given under the particular circumstances; and it appearing that no other or further notice is necessary; and it appearing that the relief requested in the Motion is in the best interests of the Debtors, their estates, their creditors, and other parties in interest; and the Court having determined that the legal and factual bases set forth in the Motion establish just cause for the relief granted herein; and upon all the proceedings had before the Court; and after due deliberation thereon; and good and sufficient cause appearing therefor, IT IS HEREBY ORDERED THAT: 1. The Motion is GRANTED and Rejection Procedures Order shall be binding on the Landlords except as otherwise modified herein. 2. The lease to which the Chestnut Hill Landlord is a party is referred to herein as the Chestnut Hill Lease. The demised premises that is the subject of the Chestnut Hill Lease is referred to herein as the Chestnut Hill Premises. The cure amount with respect to the Chestnut Hill Lease, including Stub Rent (as defined below), is purported to be no less than $88, and is referred to herein as the Chestnut Cure Claim. 3. The lease to which the Legacy Landlord is a party is referred to herein as the Legacy Lease and, together with the Chestnut Hill Lease, as the Leases (and each individually, as a Lease ). The demised premises that is the subject of the Legacy Lease is referred to herein as the Legacy Premises (and together with the Chestnut Hill Premises, the 2

The cure amount with respect to the Legacy Lease, including Stub Rent (as defined below), is purported to be no less than $149, and is referred to herein as the Legacy Cure Claim and together, with the Chestnut Cure Claim, as the Cure Claims. 4. With respect to each Lease, the Debtors shall pay the rent for December 2015 as follows: a. If Debtors do not surrender the applicable Premises prior to December 1, 2015, then the Debtors shall pay minimum rent, additional rent (as defined under each Lease) and other charges due under the applicable Lease for the period from December 1, 2015 through and including December 15, 2015 no later than December 2, 2015; and b. If the Debtors do not surrender the applicable Premises on or prior to December 15, 2015, then the Debtors shall pay, for the period from December 16, 2015 through the date on which the Debtors surrender the applicable Premises, minimum rent, additional rent and other charges due under the applicable Lease on a per diem basis to the applicable Landlord, which payment shall be no later than one (1) business day following the date of surrender of the applicable Premises. 5. The effective date of rejection of each Lease (the Rejection Date ) shall be the date on which the Debtors surrender to the applicable Landlord the Premises subject to such Lease. The term surrender as used in this Order shall mean to vacate the Premises in broom-clean condition and deliver to the respective Landlord the keys (if any) and/or entry codes to the Premises. In no event shall the Rejection Date of the Leases be later than December 31, Except to the extent that the provisions of this Order conflict with those of the Rejection Procedures Order previously entered by this Court, Debtors shall comply with the rejection procedures provided in the Rejection Procedures Order with respect to the rejection of the Chestnut Hill Lease and the Legacy Lease. 6. In the event that the Chestnut Hill Lease is rejected, the Chestnut Hill Landlord shall be deemed to have waived its administrative rent claim for the period from the Petition 3
7 Case KG Doc Filed 11/20/15 Page 5 of 6 Date through and including October 31, 2015 (the Stub Rent ) in the approximate amount of $61, The Chestnut Hill Landlord may not include the amount of the Stub Rent in any credit bid that it submits on the Chestnut Hill Lease if it is the only party bidding on the Chestnut Hill Lease in connection with an auction or other sale process that includes the Chestnut Hill Lease. Notwithstanding the foregoing, the Chestnut Hill Landlord may include the amount of the Stub Rent in a credit bid if one or more third parties also submits a bid on the Chestnut Hill Lease in connection with an auction or other sale process that includes the Chestnut Hill Lease. In the event the Chestnut Hill Lease is assumed by the Debtors and/or assigned to a third party assignee, the Chestnut Hill Landlord may include Stub Rent as part of its Chestnut Cure Claim. 7. The Debtors and their bankruptcy estates hereby waive and release any and all claims and causes of action arising under Chapter 5 of the Bankruptcy Code (the Avoidance Actions ) that they have or may have against the Chestnut Hill Landlord (or its members, managers or property management company). 8. The Debtors have paid or will pay to the Chestnut Hill Landlord the deficiency of the November rent payment in the amount of $8, no later than the entry of this Order. 9. The Debtors (i) have paid or will pay to the Legacy Landlord the deficiency of the November rent payment in the amount of $776 no later than the entry of this Order, and (ii) shall pay the Stub Rent in the amount of $63, to the Legacy Landlord by November 24, The entry of this Order is without prejudice to the rights of the Landlords and the Debtors with respect to the assumption and assignment of the Leases, adequate assurance of future performance under each Lease, the Cure Claims and the amount of any lease rejection claim under each Lease. 4
8 Case KG Doc Filed 11/20/15 Page 6 of Nothing herein shall be construed as a concession or evidence that a contract or lease has expired, has been terminated or is otherwise not currently in full force and effect. The parties respective rights with respect thereto are reserved, including their respective rights to seek a later determination of such matters and to dispute the validity, status, characterization or enforceability of such contract or lease or any claims related thereto. 12. The Debtors are authorized and empowered to execute and deliver all instruments and documents, and take such other actions as may be necessary or appropriate to implement and effectuate the terms of this Order. 13. Nothing in this Order shall be deemed to constitute the postpetition assumption or rejection of any executory contract or unexpired lease. The Debtors reserve all rights to contest any rejection claims and/or the characterization of any contract as an executory contract or lease as an unexpired lease. 14. The Debtors and Landlords are authorized and empowered to take all actions necessary to implement the relief granted in this Order. 15. This Order and the releases and waivers contained herein shall be binding on the Debtors and Landlords and their successors and assigns, including, as to Debtors, any trustee, plan administrator or other fiduciary that may be appointed in these cases. 16. This Court shall retain jurisdiction with respect to all matters arising from or related to the implementation, interpretation, or enforcement of this Order.
