2 CORPORATE LAW Yale Law School Yale Law School has an illustrious tradition in business law. Starting in the nineteenth century with Simeon Baldwin, the leading railroad lawyer of his day, continuing with Arthur Corbin, the leading contract scholar at the outset of the twentieth century, and through the legal realists of the 1920s to 1940s, Yale Law School s business law faculty was key to the School s emergence as a leading center of teaching and scholarship in law. Today, the international preeminence of Yale s business law faculty continues to be widely acknowledged, with four business law faculty members who are past presidents of the American Law & Economics Association and eight who have been elected to the American Academy of Arts & Sciences.
3 The Yale Law School Center for the Study of Corporate Law is a focal point of activity in business law at the Law School. It was created in 1999 and was the first organization of its kind at a U.S. law school. The wide-ranging objective of the Center is to enrich the intellectual life of the Law School in the business law area by enhancing the quality of students educational experience and of faculty research through greater exposure to and engagement with contemporary business law issues. The Center is directed by Roberta Romano 80, Sterling Professor of Law at Yale Law School. Corporate Law Center Activities LECTURES The Center hosts two named lectures, the John R. Raben/Sullivan & Cromwell Fellow Lecture and the Judge Ralph Winter Lectureship on Corporate Law and Governance, and additional lectures throughout the year that feature a wide range of speakers, including international and domestic scholars, members of the bar and business community, and government officials. ROUNDTABLES The Weil, Gotshal & Manges Roundtables are one-day events that seek to foster a dialogue on the important business law issues of the day through presentations of scholarly papers and panel discussions. Leading corporate lawyers, members of the business and investment communities, public officials and scholars participate in the roundtables. PANELS, SYMPOSIA, CONFERENCES The Center hosts panel discussions, symposia, and conferences on timely topics, such as the Fall 2013 Sullivan & Cromwell Conference on Challenges in Global Financial Services. Other past events include: What Do Transactional Lawyers Do? How to Craft a Career in Corporate Law Lawyering and the Financial Crisis What Does a General Counsel Do? Careers in Consulting Industry Perspectives on the Global Financial Crisis Yale Symposium on Corporate Governance COLLOQUIUM The Marvin A. Chirelstein Colloquium on Contemporary Issues in Law and Business, a limited enrollment course, brings leading members of the corporate bar and business and investment communities, judges, and regulators to the Law School to discuss new practice and regulatory issues. WORKSHOPS The Bert W. Wasserman Workshop in Law and Finance brings faculty from Yale and other universities to the Law School to present their research. ALUMNI BREAKFASTS The Center sponsors the Craig Wasserman 86/Wachtell, Lipton, Rosen & Katz breakfast program for alumni in New York City that features panel discussions on current topics in business law by members of the bar and business and investment communities, public officials, and faculty.

6 Student Organizations YALE LAW & BUSINESS SOCIETY The Yale Law & Business Society (YLBS) serves as a center for members of the Law School community interested in many aspects of business, including entrepreneurship, corporate law, corporate social responsibility, and regulation. YLBS is a very active organization, hosting lectures, panels, workshops, conferences, and networking events throughout the year. YALE JOURNAL ON REGULATION The Yale Journal on Regulation is a law journal that publishes in-depth scholarly articles by professors and legal practitioners twice a year, on a broad range of topics including corporate and securities law, financial regulation, environment, energy, utilities, health care, telecommunications, bankruptcy, tax, information technology, and antitrust. Respected by academics and attorneys alike, the Yale Journal on Regulation is one of the top 20 specialized law journals in the United States. Career Services Yale Law School s Career Development Office (CDO) provides a wide array of services to support student interest in corporate law. Through CDO s two interview programs, students secure summer and post-graduate employment with preeminent law firms and businesses from around the world. CDO also coordinates numerous career education programs focused on corporate law such as the annual Law Firm Practice Area Forum with attorneys representing more than 25 areas of law firm practice, including securities, mergers and acquisitions, and cross-border transactions. CDO career counselors provide one-on-one advising to students and alumni exploring corporate opportunities. CDO s Law Firm Practice and Lawyers in Business guides introduce students to corporate law career paths. And through the Law School s alumni mentor network, YLS Career Connections, students can locate and learn from alumni in business settings.
7 Joint Degrees ACCELERATED INTEGRATED JD-MBA Yale Law School and the Yale School of Management offer a combined three-year JD-MBA designed for students interested in business law related practice as well as in careers as entrepreneurs and managers in business and nonprofit organizations. The program enables students to master the analytical and quantitative skills necessary to solve complex legal and business challenges, along with softer but equally essential skills involving negotiation and teamwork, which are invaluable for successful careers in business law-related practice, as well as in social entrepreneurship and nonprofit management. Students are fully immersed in the required curriculum and community life at each school and will graduate with their entering class at both the Law School and School of Management. Application to the program may be made simultaneous to the student s initial application to the Law School or during the student s first year at the Law School. JOINT JD-MBA Students may also apply to pursue a JD-MBA over four years, with the Yale School of Management or another business school. This program is particularly well-suited for students who decide to pursue a JD-MBA in their second year of law school and cannot apply to the three-year program. Interested students should apply to the Law School and the other program separately. After matriculating at the Law School, students may petition a faculty committee for approval of their four-year joint degree, which will be considered on a case-bycase basis. JD-PHD IN FINANCE The joint JD-PhD program with the School of Management is intended for students wishing to pursue a career in business law teaching. The program is structured to permit course requirements to be completed in four years. The expectation is that law students will apply for admission to the School of Management s graduate program in their first year of law school, but they may apply at any time.
8 Business Law Courses The course offerings in business law at Yale are wide-ranging and interdisciplinary. In addition to developing familiarity with the institutional landscape covered in core substantive law courses, students considering pursuing a career as a transaction lawyer or corporate litigator need to master a set of basic analytical skills in financial accounting, finance, microeconomics, and statistics. The Law School offers courses in financial accounting and finance on a regular basis. Law students can also enroll in Yale College and School of Management courses in microeconomics and statistics.
