1 Approved Committees for 2007 Functions, Responsibilities, and Qualifications COMMITTEES AND STEERING COMMITTEES Accounting Committee Functions and Responsibilities: To consider and make policy recommendations and take appropriate action on matters relating to requirements concerning reporting of life insurance companies on both a statutory and non-statutory basis. Qualifications: Senior actuarial or accounting officer Actuarial Committee Functions and Responsibilities: To consider policy on actuarial matters, such as the regulation of reserves, non-forfeiture values and risk-based capital, and make recommendations on policy relating to legislation and regulation relative to these matters. Qualifications: Senior actuarial officer Annual Conference Advisory Committee Functions and Responsibilities: To develop the program direction of the ACLI Annual Conference. Qualifications: Senior level staff of various disciplines with responsibility for one or more product lines of business or state and federal advocacy; Section leadership; representing and appointed by the ACLI Chair, Chair-elect, Chair-elect Designate, and Immediate Past Chair. The committee is chaired by the designee of the current ACLI chairman of the board of directors. Annuities Committee Functions and Responsibilities: To coordinate the work of ACLI technical committees and subcommittees as it pertains to the identification and consideration of federal and state issues that affect annuity products. Qualifications: Senior officer with the responsibility for the annuity line of business. Company Taxation Federal Committee Functions and Responsibilities: To highlight, consider, develop, implement and make recommendations on positions related to the federal income tax treatment of life insurance companies and their affiliates (including domestic, foreign and reinsurance affiliates.) To review positions and recommendations on matters relating to federal and state withholding and information reporting and their associated penalties, as originally prepared by a Task Force on Withholding and Information Reporting. Qualifications: Senior officer (i.e., attorney, accountant, actuary, tax director) with extensive knowledge of federal tax laws, particularly as they affect taxation of insurance companies.
2 Disability Income Committee Functions and Responsibilities: To consider, analyze and make policy recommendations on state and federal matters relating to individual and group disability income insurance issues. Qualifications: Senior officer with broad knowledge of group or individual disability income issues such as product development, underwriting, actuarial, tax and/or state and federal government relations. Distribution Committee Functions and Responsibilities: To consider, analyze and make policy recommendations on distribution activities within the insurance company as they relate to producer regulation, bank distribution, e-commerce, and direct marketing. Qualifications: Midlevel to senior executive responsible for the supervision of product distribution with experience of different distribution channels. Executive Roundtable Committee Functions and Responsibilities: To design, develop and organize the program for the annual Executive Roundtable meeting exclusively for chief executive officers and other senior executives of member companies. Qualifications: Chair, vice chair, president, chief executive or chief operating officer. Financial Services Steering Committee Functions and Responsibilities: To recommend to the board policy on domestic and international legislative and regulatory matters involving (1) activities and opportunities in the international markets; (2) efforts at the state and federal levels to modernize the life insurance regulatory environment; (3) the buying and selling of reinsurance; (4) the distribution of insurance products and services through both traditional and alternative channels; and (5) general corporate matters affecting life insurance companies. Qualifications: Chief executive officers; chair must be a member of the board of directors. Insurance Regulation Steering Committee Functions and Responsibilities: To develop policy recommendations for board consideration with respect to state and federal legislation/regulation on issues of importance to the ACLI membership in the following areas: accounting, actuarial, litigation, market conduct, privacy, risk classification, securities, solvency, taxation, or any related areas as delegated by the board. Qualifications: Vice president, general counsel or other officer from a member company with expertise in one or more of the issues represented by the reporting committees or with expertise in related areas as delegated by the board; the Chair will be the senior officer designated by the ACLI Chair-elect as that organization s representative on the ACLI Deputies Committee of the Executive Committee or, if necessary and appropriate, another senior officer from that company designated by the Chair-elect. The term of the steering committee chair will be one calendar year. 2
3 International Committee Functions and Responsibilities: To advance the interests of domestic life insurance companies in the international marketplace by providing a unified forum, assuring effective lines of communication between pertinent federal and state government agencies, foreign governments and trade associations, and other financial service organization. Qualifications: Senior officer responsible for overseeing the life and annuity business of domestic companies in the international arena. Life Insurance Committee Functions and Responsibilities: To coordinate the work of ACLI technical committees as it pertains to the identification and consideration of federal and states issues that affect life insurance products. Qualifications: Senior officer with responsibility for the individual or group life insurance lines of business. Litigation Committee Functions and Responsibilities: To follow litigation trends affecting life insurers, and review and recommend cases in which the ACLI should participate as amicus curiae; follow litigation trends affecting the life insurance industry. Qualifications: Member company lawyer of counsel level or above. Long-term Care Insurance Committee Functions and Responsibilities: To consider, analyze and make policy recommendations on federal and state matters relating to long-term care insurance. Qualifications: Senior officer with broad knowledge of long-term care insurance issues. Market Conduct Committee Functions and Responsibilities: To develop and coordinate ACLI policy on market conduct legislative and regulatory issues at both the state and federal level. Qualifications: Senior government, law or compliance staff who have responsibility for market conduct regulatory and legislative developments. Pension Committee Functions and Responsibilities: To review, analyze and make policy recommendations on matters relating to employer-sponsored pension plans, including defined benefit plans, defined contribution plans, tax deferred group annuities, IRAs and other employee pension and welfare benefit matters. Qualifications: Senior officer with responsibility for group or individual pension plan issues. Privacy Committee Functions and Responsibilities: To assure that ACLI confidentiality, security, and telemarketing policies are responsive to member company information needs and federal and state legislative, regulatory developments; to develop appropriate responses to challenges to member company information practices. Qualifications: Legal officer knowledgeable about federal and state privacy and telemarketing laws and regulations; senior officer knowledgeable about life insurers information needs and practices. 3
4 Product Taxation Federal Committee Functions and Responsibilities: To highlight, consider, develop, implement and make recommendations on positions related to the federal income, estate, and gift tax treatment of life insurance company products, including annuities, life insurance and long-term care policies. Qualifications: Senior officer (i.e., attorney, accountant, actuary, tax director) with extensive knowledge of federal tax laws, particularly as they affect taxation of insurance products. Regulation Modernization Committee Functions and Responsibilities: To formulate recommendations for ACLI policy on federal and state regulatory and legislative initiatives designed to modernize and make more efficient the regulatory environment in which life insurance companies and their producers operate. Qualifications: Senior government relations or senior legal officer. Reinsurance Committee Functions and Responsibilities: To protect and advance the interests of companies that engage in the business of buying and/or selling reinsurance by developing and advocating policies at the federal, state and international levels that preserve or improve the ability to transact valuable reinsurance business. Qualifications: Senior officer responsible for reinsurance operations or government relations professionals with reinsurance knowledge. Retirement & Financial Security Steering Committee Functions and Responsibilities: To review and make policy recommendations to the board relating to the development and implementation of ACLI policy on retirement and financial security issues. Review and act on policy recommendations of subordinate committees. Qualifications: Chief executive officer; Chair must be a member of the board of directors. Risk Classification Committee Functions and Responsibilities: To assure that ACLI develops genetic testing and other risk classifications policies that are responsive to member company underwriting needs and federal and state legislative regulatory developments; to develop appropriate responses to challenges to member company risk classification practices. Qualifications: Medical director, underwriting, actuarial or legal officer knowledgeable about risk classification and its laws and regulations. Securities Committee Functions and Responsibilities: To develop policy recommendations and evaluate regulatory and legislative actions involving the manufacture and distribution of variable life insurance and variable annuities, including initiatives involving broker-dealers, investment companies, and investment advisors. Qualifications: Senior officer experienced in the operation, design, legal compliance, laws and regulations governing variable life insurance and variable annuity products. 4
5 Social Security Committee Functions and Responsibilities: To review, analyze and make policy recommendations on matters relating to legislative and regulatory reforms of the Social Security Program. Qualifications: Senior officer with broad knowledge of pensions, IRAs, individual investments and their impact and implications on the Social Security Program. Solvency Committee Functions and Responsibilities: To develop and recommend policy on legislative and regulatory issues regarding life insurance insolvency prevention, guaranty associations, rehabilitation/liquidation and other issues that impact the solvency of life insurance policies. Qualifications: Officer with extensive knowledge of life insurer solvency issues, state guaranty association laws and operations, and/or rehabilitation/liquidation issues. State Taxation Committee Functions and Responsibilities: To develop, review and advise on legislative and regulatory proposals relating to state and local taxes affecting insurance companies, insurance products and/or policyholders. Qualifications: Attorney or other tax or accounting professional with responsibility for addressing state or local laws relating to state or municipal taxes that affect premiums, company and policyholder income, sales, and the corporation. GROUPS Federal Legislative Strategy Group Functions and Responsibilities: To ensure that member company representatives have the opportunity to help devise, develop, organize and implement federal legislative or regulatory strategies on board-approved policy or other federal issues of importance to life insurers. Qualifications: Senior staff officers of member companies or their retained consultants, lobbyists or attorneys whose responsibilities include federal legislative or regulatory oversight. State Legislative Strategy Group Functions and Responsibilities: To help develop, review and coordinate strategy for implementing policy with respect to state legislative and regulatory proposals affecting life insurers; to make recommendations to relevant steering committees on matters of existing policy revision and implementation relating to state legislation and regulation of importance to life insurers. Qualifications: Senior legal or government relations officer*. *see Insurance Regulation Steering Committee CEO Tax Advisory Group Functions and Responsibilities: To advise the tax committee and the board of directors, on an as needed basis regarding strategy, tactics and policy on matters relating to taxation of life insurance companies, their products and customers. Qualifications: Chief executive officer. 5
6 CEO Task Force on Annuities Functions and Responsibilities: To oversee, discuss and guide ACLI efforts toward gaining a tax incentive for policyholders to annuitize non-qualified annuities. This Task Force reports to the Retirement & Financial Services Steering Committee. Qualifications: Chief executive officer. Public Relations Council Functions and Responsibilities: To provide a biannual opportunity for senior and mid-level professionals in the areas of media relations, advertising and corporate communications to discuss communications strategies regarding industry issues as well as trends and innovations in the broad communications field. Qualifications: Senior and mid-level communications professionals. * * * 6
