We encourage you to read through the entire booklet to make this transition a smooth one. IMPORTANT NOTE TO POPULAR COMMUNITY BANK CUSTOMERS: This booklet has been updated since it was last mailed to you. Please make note of the new critical dates that have been changed. 4 Personal Banking This section goes over the transitional areas for your Personal Banking accounts and services. We start with a quick checklist of items we recommend you can do that will ensure a smooth transition. In addition, we have included a Questions and Answers section as well as full descriptions of your new Banc of California deposit accounts.

5 PERSONAL BANKING IMPORTANT: The transition to the Banc of California is expected to begin at 1:00 p.m. on Friday, November 7, 2014 and end at 9:00 a.m. on Monday, November 10, Below, please find a checklist of essential items to review before and immediately following the transition. Prior to Friday, November 7th Expect your new Banc of California Bank Visa Debit Card to arrive in the mail (see pg. 8) Download or print copies of Popular Community Bank account statements, check images, and/or transaction history (see pg. 7) View, schedule, or make changes to your existing Popular Community Bank Online Bill Pay payments (see pg. 9) On Friday, November 7th Your Popular Community Bank branch will close at 1:00 p.m. in preparation for the systems conversion Cease using your Popular Community Bank Debit Card at 3:00 p.m. PT (see pg. 8) You may begin using your new Banc of California Bank Visa Debit Card at 3:00 p.m. PT. 6 PERSONAL BANKING Personal Account Transition The transition to Banc of California is expected to begin at 1:00 p.m. on Friday, November 7th, and end at 9:00 a.m. on Monday, November 10th. Below, please find questions and answers relating to your account transition. When will the acquisition take place? The acquisition is anticipated to close on November 7th subject to regulatory approval. In preparation for the conversion of systems, all Popular Community Bank s California branches will close at 1:00 p.m. PT on Friday, November 7th and remain closed on Saturday, November 8th. Beginning Monday, November 10th, we ll have all systems up and running to service all of your banking needs. Until then, it s business as usual. Will the branch office hours change? No. All legacy Popular Community Bank branch office hours will remain the same after the closing date. And, beginning Monday, November 10th, you will have access to all of the current Banc of California branch offices. Included in this booklet is a complete branch listing with addresses and operating hours. What changes will occur to my bank accounts? We ve included a section called, Account Conversion Chart in this booklet that explains exactly how your Popular Community Bank accounts will be converted to the new Banc of California offerings. That, in conjunction with the information provided in the Account Descriptions section, will give you the information you need to fully understand how your new Banc of California account(s) will function. We are confident you will be happy with your new Banc of California account. What if I am unhappy with the new Banc of California choice made for me? We ve chosen an account that best matches your existing Popular Community Bank account. If you are unhappy with the choice for any reason, just mention to one of our branch representatives that you d like a different option, and we ll be glad to change it for you after Monday, November 10th. Will my bank account number(s) change? All bank account numbers will remain the same. What is Banc of California s routing number? Banc of California s routing number is Use this number when setting up new direct deposits or automatic debits to/from your account(s) and when wiring funds to your account(s). Will I be able to use my existing supply of checks? Yes. All customers who opened their checking account at a Popular Community Bank branch will be able to continue to use their existing Popular Community Bank checks for a period of thirty (30) days after acquisition closing, at which time customers must place an order for new Banc of California checks. NOTE: Customers who opened their checking account(s) through the Popular Community Bank website using an online application will be issued new checks prior to the acquisition weekend. Your existing Popular Community Bank checks must be destroyed by Friday, November 7th. You can start using your new Banc of California checks on Monday, November 10th. Will my overdraft protection line of credit for my personal checking account still be available to me? Unfortunately, these overdraft lines of credit will not be transferred to Banc of California. Please contact Popular Community Bank as to the disposition of your current line of credit. If you would like overdraft protection for your personal checking account, Banc of California offers automatic transfer* from a savings or money market account. To set this up, visit your local branch or call BANC (2262) on or after Monday, November 10th. *Transfer limitations apply. See Deposit Account Agreement for details. 6

We are community-oriented and offer full-service banking and home lending to individuals and their businesses, families and employees throughout California and across the West. How will my direct deposit or automatic debit be affected? All current direct deposits and automatic debits will continue to be processed as usual. We will notify all payment originators such as government agencies, your employer, payers of dividends, etc. about the change in the bank s routing number. Certain originators may require your authorization to change their records. We recommend that you check with all of your payment/ debit originators to see if this is required. Inform them the bank name and routing number have changed: Banc of California, N.A Von Karman Avenue #1100 Irvine, CA Routing Number: No change to your bank account number is required. How is my bank statement (e-statement) affected? Due to the change in systems, you will receive a final statement or e-statement from Popular Community Bank for all non-cd accounts (checking, savings & money market accounts) with activity through Friday, November 7th and interest paid (if applicable) through Sunday, November 9th. Interest at Banc of California will begin to accrue as of Monday, November 10th on your new Banc of California account. You will receive your first statement from Banc of California within 30 days if you receive a monthly statement or at quarter s end if you have a quarterly statement. **Due to the account change-over mid-month, any applicable monthly service charge(s) will be waived for all initial Banc of California statement periods. Will I be able to access e-statements for statement periods prior to the closing date? Transaction history and imaged online statements from Popular Community Bank will not be converted. It is important that you print, save or download any information you need, including statements, prior to Friday, November 7th at 6:00 p.m. PT. Beginning Monday, November 10th, if you need any help in researching transactions you can always call us at BANC (2262). I receive check images in my paper statement. Will that continue? If you currently receive images with your paper statement, you will continue to receive them at no charge with your new Banc of California statements. We encourage our customers to sign up for free electronic statements (e-statements) where you can see all of your account activity as well as see paid items online. If you would like to sign up for Banc of California e-statements, please contact your local branch representative or call us at BANC (2262) after Monday, November 10th. Do you offer Telephone Banking? Yes, Telephone Banking using our TeleBanc system is available at no charge to all customers. Beginning Monday, November 10th, have your account number(s) handy and call BANC (2262). Choose the TeleBanc option and follow the directions to sign up. Initially, you will use the last four (4) digits of your Social Security Number for your temporary passcode. Once signed up, you can then change your passcode to a four-digit number of your choice. If we do not have a Social Security Number on file for your account, press 0 to speak to a representative that can help you. 7

8 PERSONAL BANKING Debit Card & ATMs You will be receiving a new Banc of California VISA Debit Card by Wednesday, November 5th. Please activate your new card and pick your PIN before Friday, November 7th by calling the phone number on the activation sticker affixed to your new debit card. How does the transition affect my Debit Card? Continue to use your existing Popular Community Bank Debit/ATM card until Friday, November 7th at 3:00 p.m. PT at which time your card will be deactivated. Your new Banc of California VISA Debit Card will be available for use effective on Friday, November 7th at 3:00 p.m. PT. NOTE: Because of the conversion process, between Friday, November 7th at 3:00 p.m. PT and Monday, November 10th at 8:00 a.m. PT, the card limits will be: $300 per day per card for ATM withdrawals and PIN-based purchases (aggregate) $750 per day per card for signature-based purchases* Please be aware during this time frame your account balances may not be accurately reflected at the ATM. We apologize in advance for any inconvenience this may cause. Effective Monday, November 10th at 8:00 a.m. PT, your new Banc of California debit card limits will be: $750 per day per card for ATM withdrawals & PIN-based purchases (aggregate) $2,000 per day per card for signature-based purchases* I have a Popular Community Bank ATM (only) card. What will I receive? ATM card customers will be receiving their Banc of California ATM Card by Wednesday, November 5th. IMPORTANT NOTE FOR ATM CARD HOLDERS ONLY: Though this particular card will have the VISA logo on it, it cannot be used for purchases. It will have the same access as your current Popular Community Bank ATM card. It can only be used for transactions at an ATM. Any attempted purchase transactions will be denied. What about ATM fees for using non-banc of California ATMs? There are no ATM fees when you use any Banc of California ATM (including all former Popular Community Bank California ATMs). In addition, Banc of California is also part of the Allpoint network which is the same ATM network Popular Community Bank is currently utilizing. The Allpoint Network maintains over 55,000 ATM locations throughout North America and abroad that provides free access for Banc of California customers. You can find a list of all participating ATMs by going to the Allpoint Network website, or downloading the free Allpoint Network app for your smart phone. Other transaction fees may apply. Please refer to the Deposit Account Agreement & Disclosures for applicable fee. I currently authorize Popular Community Bank to pay my ATM and every-day debit card transaction overdrafts. Does Banc of California offer a similar option? Yes. Your opt-in contract will carry over to Banc of California. *Actual limits subject to merchant processing and clearing 8

9 PERSONAL BANKING Online Banking & Bill Pay Over the transition weekend, Popular Community Bank Online Banking will not be available while the systems are being converted. Your Popular Community Bank Online Banking will be unavailable beginning on Friday, November 7th at 6:00 p.m. PT. How do I access my online banking? You will be able to sign into Banc of California s Online Banking at 8:00 a.m. PT on Monday, November 10th: 1 Go to and use the Sign-In box located on the home page. 2 Enter your current Popular Community Bank log-in name (Access ID) which is case-sensitive. 3 Enter your new temporary passcode: Last four (4) digits of your Social Security Number. 4 You will be prompted to change your passcode immediately. You will also be prompted to choose security challenge questions and enter answers for each. 5 Read and accept the Terms and Conditions for Online Banking. 6 You re in! At this time you can set up any automatic account alerts you may have had at Popular Community Bank as those will not be converted. IMPORTANT NOTE: As transaction history and imaged online statements will not be converted, it is important to save or download any information you need, including statements from Popular Community Bank prior to Friday, November 7th at 6:00 p.m. What is going to happen to my Bill Pay payments scheduled for conversion weekend? We strongly recommend you change the payment date for all payments that are scheduled for payment on November 7th, 8th, 9th and 10th on the Popular Community Bank Bill Pay system to Thursday, November 6th at 9:00 a.m. PT to ensure timely payments. Will I have to rebuild my payees? Please know that every attempt will be made to properly convert all of your current payees. On Tuesday, November 11th after 8:00 a.m. PT, we recommend you look at all of your payments and payees and make sure all were converted properly. If any are missing, you can reestablish them at this time. What about my bill payment history? As Bill Pay history will not be converted, it is important that you save or download any payment information you need prior to Friday, November 7th on the Popular Community Bank system. When can I begin creating new Bill Pay payments? Beginning on Friday, November 7th, no new payments can be created during conversion weekend. When the Banc of California Online Banking system becomes available on Tuesday, November 11th, you can then create any new payments or change existing payments. IMPORTANT NOTE on creating new Bill Pay payments: On the Banc of California Bill Pay system, you will need to allow at least five (5) business days when making your first payment. This allows our system to determine how the merchant receives their payment (via check or electronic). After the first payment is made, you will notice on your payment screen how many days to allow for the next and future payments (2 days for electronic or 5 days for check). This is important information when setting your payment dates. 9

10 PERSONAL BANKING Mobile Banking & Other Services Mobile Banking & Mobile Check Deposit Does Banc of California offer Mobile Banking with Mobile Check Deposit? Banc of California offers both Mobile Banking and Mobile Check Deposit free of charge. You can perform inquiries on balances and account history, as well as make transfers between accounts along with many other transaction choices. Mobile Check Deposit allows you to make check deposits without having to go to the bank. Simply take a picture of your check and deposit it. It s that easy. NOTE: If you currently have Mobile Banking and Mobile Check Deposit at Popular Community Bank, you will have to re-enroll on or after Monday, November 10th through Banc of California s Online Banking. After enrolling, download the Banc of California Mobile Banking App for your particular smart phone for free. To sign on, use your same Access I.D. and password as you use for Online Banking access. If you need help signing up, or if you need help in using Mobile Banking, call us at (877) 770-BANC (2262). Certificates of Deposit & FDIC Insurance Will my Certificate of Deposit continue to earn the same interest rate? Yes. Your CD will earn its current rate until maturity and continue with the same interest disposition as you have now. If your CD qualified for a Popular Relationship Bonus, the interest rate as of close of business on Friday, November 7th will be paid through your maturity date. At maturity, your CD will automatically renew to a like term at the then current interest rate for our regular CDs. How does the acquisition affect my FDIC insurance coverage? If you currently have deposits at Banc of California, your acquired Popular Community Bank account(s) will continue to be insured separately for a period of six months from the acquisition date. Acquired Popular Community Bank CDs that mature within that six-month period and automatically renew for a like term and for the same principal amount will be insured separately through the next maturity date. If you have any questions regarding this overlapping FDIC coverage rule, visit the FDIC website at fdic.gov. 10

To avoid a monthly service fee of $15.00, an average daily balance of $2,500 OR a combined daily balance $10,000 in your consumer deposit and loan accounts must be maintained in the account during the month. The average daily balance is calculated by adding the principal in the account for each day of the period and dividing that figure by the number of days in the period. The minimum required to open this account is $100. Former Popular Basic Interest Checking Customers: To avoid a monthly service fee of $5.00, you must maintain an average daily balance of $250 or more in the account during the month. Former Popular Investor Checking Customers: To avoid a monthly service fee of $10.00, you must maintain an average daily balance of $1,000 or more in the account during the month. Former Popular 50+ Interest Checking & No Minimum Interest Checking Customers: There is no minimum balance requirement and no monthly service fee. If you exceed these limitations, we may refuse to honor the excessive transactions and impose a fee for each (see the Schedule of Fees & Charges for fee amount). There is no minimum balance requirement and no monthly service fee. The account holder is entitled to request a VISA Debit Card. There is no charge for transactions at ATMs our bank owns and operates and at designated Allpoint ATMs. A fee of $2.00 per transaction will be assessed at all other non-proprietary ATMs. Additional fees may be imposed by non-proprietary ATM owners for the use of their ATM s. Banc of California Account Former Popular Community Bank Account CERTIFICATES OF DEPOSIT Popular Certificate of Deposit, Traditional IRA CD, Roth CD & Education CD IMPORTANT NOTE: For all Certificates of Deposit transferring from Popular Community Bank, your CD will earn its current rate until maturity and continue with the same interest disposition as you have at Popular Community Bank. If your CD qualified for a Popular Relationship Bonus, the rate as of close of business on Friday, November 7, 2014, will be paid through your maturity date. At maturity, your CD will automatically renew to a like term at the then current interest rates for our regular CDs (See below for account description). 20 BUSINESS BANKING Business Account Transition The transition to Banc of California is expected to begin at 1:00 p.m. on Friday, November 7th, and end at 9:00 a.m. on Monday, November 10th. Below, please find questions and answers relating to your account transition. When will the acquisition take place? The acquisition is anticipated to close on November 7th subject to regulatory approval. In preparation for the conversion of systems, all Popular Community Bank s California branches will close at 1:00 p.m. PT on Friday, November 7th and remain closed on Saturday, November 8th. Beginning Monday, November 10th, we ll have all systems up and running to service your banking needs. Until then, it s business as usual. Will the branch office hours change? No. All legacy Popular Community Bank branch office hours will remain the same after the closing date. And, beginning Monday, November 10th, you will have access to all of the current Banc of California branch offices. Included in this booklet is a complete branch listing with addresses and operating hours. What changes will occur to my business bank accounts? We ve included a section called, Business Account Conversion Chart in this booklet that explains exactly how your Popular Community Bank accounts will be converted to the new Banc of California offerings. That, in conjunction with the information provided in the Business Account Descriptions section, will give you the information you need to fully understand how your new Banc of California account(s) will function. We are confident you will be happy with your new Banc of California account. What if I am unhappy with the new Banc of California choice made for me? We ve chosen an account that best matches your existing Popular Community Bank business bank account. If you are unhappy with the choice for any reason, just mention to one of our branch representatives that you d like a different option, and we ll be glad to change it for you after Monday, November 10th. Will my bank account number(s) change? All bank account numbers will remain the same. What is Banc of California s routing number? Banc of California s routing number is Use this number when setting up new direct deposits or automatic debits to/from your account(s) and when wiring funds to your account(s). Will I be able to use my existing supply of checks? Yes. No need to worry about ordering new checks before the conversion date. Continue to use your existing supply of Popular Community Bank checks for a period of thirty (30) days after acquisition closing, at which time customers must place an order for new Banc of California checks. How will my direct deposit or automatic debit be affected? All current direct deposits and automatic debits will continue to be processed as usual. We will notify all payment originators such as government agencies, your employer, payers of dividends, etc. about the change in the bank s routing number. Certain originators may require your authorization to change their records. We recommend you check with all of your payment/debit originators to see if this is required. Due to the change in systems, you will receive a final statement or e-statement from Popular Community Bank for all non-cd accounts (checking, savings & money market accounts) with activity through Friday, November 7th and interest paid (if applicable) through Sunday, November 9th. Interest at Banc of California will begin to accrue as of Monday, November 10th on your new Banc of California account statement(s). You will receive your first statement from Banc of California within 30 days if you receive a monthly statement or at quarter s end if you have a quarterly statement. **Due to the account change-over mid-month, with the exception of analyzed accounts, any applicable monthly service charge(s) will be waived for all initial Banc of California statement periods. Will I be able to access e-statements for statement periods prior to the closing date? Transaction history and imaged online statements from Popular Community Bank will not be converted. It is important that you print, save or download any information you need, including statements, prior to Friday, November 7th at 4:00 p.m. PT. Beginning Monday, November 10th, if you need any help in researching transactions you can always call us at BANC (2262). I receive check images in my paper statement. Will that continue? If you currently receive images with your paper statement, you will continue to receive them at no charge with your new Banc of California statements. We encourage our customers to sign up for free electronic statements (e-statements) where you can see all of your account activity as well as see paid items online. If you would like to sign up for Banc of California e-statements, please contact your local branch representative or call us at BANC (2262) after Monday, November 10th. Do you offer Telephone Banking? Yes, Telephone Banking using our TeleBanc system is available at no charge to all customers. Just have your account number(s) handy and call BANC (2262). Choose the TeleBanc option and follow the directions to sign up. 21

Continue to use your existing Popular Community Bank Debit/ATM card until Friday, November 7th at 3:00 p.m. PT at which time your card will be deactivated. Your new Banc of California VISA Debit Card will be available for use effective on Friday, November 7th at 3:00 p.m. PT. NOTE: Because of the conversion process, between Friday, November 7th at 3:00 p.m. PT and Monday, November 10th at 8:00 a.m. PT, the card limits will be: $300 per day per card for ATM withdrawals and PIN-based purchases (aggregate) $750 per day per card for signature-based purchases* Please be aware during this time frame your account balances may not be accurately reflected at the ATM. We apologize in advance for any inconvenience this may cause. Effective Monday, November 10th at 8:00 a.m. PT, your new Banc of California debit card limits will be: What about ATM fees for using non-banc of California ATMs? There are no ATM fees when you use any Banc of California ATM (including all former Popular Community Bank California ATMs). In addition, Banc of California is also part of the Allpoint network which is the same ATM network Popular Community Bank is currently utilizing. The Allpoint Network maintains over 55,000 ATM locations throughout North America and abroad that provides free access for Banc of California customers.
