1 TERMS OF REFERENCE Project Management Consultant for Assam Urban Infrastructure Project (Assam) 1. Background The Assam Urban Infrastructure Project (AUIP) aims at integrating different Urban Subsectors to improve the overall urban environment and quality of life of the population, notably the poor and women, in the selected cities Guwahati and Dibrugarh. The project uses a sector loan approach through a Multi Tranche Financing Facility (MFF) modality likely in more than one tranches planned from The expected impact of the project is sustainable improvement of the Urban Environment. Instead of the infrastructure driven approach, the holistic approach shall be followed. For example, water supply will not be considered independently but will systematically be associated with sewerage. The urban transport corridor improvement will not only focus on mobility but will be considered as an opportunity to integrate the improvement of other municipal services and facilities, such as drainage, sewerage, water supply, feeder roads, street lighting, non-motorized transport (pedestrian and cyclist),traffic management and parking, Green House Gas (GHG) emissions and congestion will be mitigated; public space, air quality and safety will be improved, bringing numerous benefits to the population. The Urban Infrastructure Project outputs will be : (i) (ii) improved basic urban infrastructure (such as water supply, sewerage, road and traffic & transport management, drainage, solid waste management, and environmental improvement) and incidental services (such as public toilets, street signage and lighting); to review and identify areas for complementary support for the reforms proposed under JNNURM and implementation status in the local bodies. 2. Assessment of the Project Scope Number of urban infrastructure sub-projects at Guwahati and Dibrugarh has been identified under a MFF modality. For Guwahati, these included water supply, sewerage and transportation. For Dibrugarh, subprojects of drainage, solid waste management and slum services for poor are identified. Based on the population served, the preliminary split of the total $200 Million loan for two cities is approximately $150 for Guwahati and $ 50 Million for Dibrugarh respectively. The first tranche of the MFF loan is expected to be about $ 45 and $ 50 Million; the second tranche about $100 and $110 Million and the third tranche is expected to be around $ 50 Million. 1

2 2.1 The tentative list of subprojects for first tranche is : (i) (ii) (iii) Guwahati Water Supply Sub-Project (Phase 1) East Zone water supply for Guwahati, which shall include (a) River Intake (b) Water Treatment Plant (c) Pumping Mains (d) and Service Reservoirs Dibrugarh Drainage Sub-Project (Phase 1) Rehabilitation of Dibrugarh town protection (DTP) Drain with road culvert replacements and flood relief culverts. Dibrugarh Solid Waste Sub-Project - Comprising of (a) Equipment and Vehicles and (b) Solid Waste treatment and Disposal site development 2.2 The tentative list of subprojects for second tranche is : (i) (ii) (iii) (iv) (v) Guwahati Water Supply Sub-Project (Phase 2) South Guwahati East Zone distribution pipelines and consumer water meters Guwahati Sewerage Sub-Project (Phase 1) Zone 1 A (South) (Sewage Treatment Plant and Trunk Sewers to serve Guwahati East) Guwahati Transportation Sub-Project Bus Rapid Transit (BRT) Corridor Dibrugarh Drainage Sub-Project (Phase 2) Reconstruction of Sluice gates, main outlet channel rehabilitation and allied works- Dibrugarh Slum and Drainage Sub-Project Slum improvement works and Secondary drainage development 2.3 The tentative list of subprojects for third tranche is : (i) Guwahati Sewerage Sub-Project (Phase 2) Zone 1 B (East Guwahati) 3. S-PPTA In order to ensure that all the bidding documents of first tranche subprojects are finalized before the loan negotiations; ADB has agreed to mobilize a team of consultants under Small Project Preparation Assistance (S-PPTA) for the first tranche subproject works of Guwahati and Dibrugarh. The S-PPTA is likely to be in operation from 15 th January to end of July The S-PPTA is expected to complete following tasks and furnish: (i) Complete bid documents for Dibrugarh first tranche subprojects (ii) Documents related to Guwahati water supply first tranche subproject, which shall contain: Complete topographical surveys and geotechnical investigations Concept design + Final Design report + Drawings + Preliminary Estimates Social and Environment examination with resettlement plan and environmental management plan 2

3 Sub-Project Appraisal report Approval of subproject by competent authorities Processing of necessary land acquisitions and statutory clearances 4. Project Organisation Structure The Guwahati Development Department will be the Executing Agency (EA) for Guwahati and the Urban Development Department (UDD); Government of Assam will be the EA for Dibrugarh. The Guwahati Metro Development Authority (GMDA) and the Dibrugarh Municipal Board (DMB) will be the Implementing Agencies (IAs) for Guwahati and Dibrugarh respectively. At the State level an Empowered Committee (EC) will be set up by government of Assam (GoA) with full delegated authority to represent the State on all project issues. A State level Project Management Unit (PMU) headed by a full-time Project Director (PD) would be set up for overall management of all activities of the project. One Project Management Consultant (PMC) shall be set up to assist PMU and PIUs for all technical and project implementation issues. The PMU will be the primary point of contact for ADB. Further, the project will have two Project Implementation Unit s (PIU s) at Guwahati and Dibrugarh, for the implementation and monitoring of subprojects, each headed by Project Manager. The PIUs will be under the direct administrative control of the PMU. 5. Brief Description of Assignment This assignment is for providing consulting services to assist the Project Management Unit (PMU) in the Guwahati to implement the Assam Urban Infrastructure Project (AUIP). This work will be carried out by a Project Management Consulting firm, henceforth referred to as PMC on behalf of the Assam Urban Infrastructure Project represented by Project Director, AUIP on behalf of Guwahati Development Department for Guwahati and Urban Development Department, Government of Assam for Dibrugarh; which is henceforth referred to as the Client. The PMC is proposed to be engaged for following works : (i) Finalize the detail design and bidding documents for the Guwahati Water Supply sub project (Phase 1) on the basis of work done by S-PPTA. (ii) Finalize designing and bidding documents for subprojects of second and third tranches under AUIP. (iii) Assist PMU and PIUs in project management, capacity building, institutional development and all technical issues for smooth functioning of AUIP. 3

4 (iv) Set procedures, systems, standards, criteria and reporting systems for the PIUs and DSC. To overview and provide guidance to DSC. 6. Timelines for Design Phase and Construction Phase (i) Design phase for whole project - from 1 st July 2011 to 31 st December 2012 (ii) Construction Phase for first Tranche- 1 st January 2012 to 31 st December 2014 (iii) ---do--- for second tranche- 1 st January 2013 to 31 st December 2015 (iv) ---do--- for third tranche 1 st January 2014 to 31 st December Objective The PMC will have its project office established at Guwahati. The prime purpose of the assignment is to provide assistance to PMU in project management and all technical issues to ensure the effective coordination and implementation of the whole project. The Consultant shall be responsible for effectively leading and taking initiative to manage, execute and implement the project, delineate PMU s method of working; installing procedures, operationalizing procedures and reporting systems; assist the PMU to define and prepare contracts, designing and procurement; assisting PMU in approving all necessary surveys and subproject designs, establishing criteria for supervision, coordination and management to ensure proper construction supervision by the PIU s and Design and Supervision Consultant s (DSCs). The PMC will work closely with the PMU for sustainable capacity building of different agencies working under project and will assist in implementing institutional development, capacity building, construction and supervision, monitoring the quality, project performance monitoring systems, public relation and awareness system and assuring the outputs of the DSCs. 8. Detail Scope of Work Without limiting the scope of work, the PMC has to work in close liaison with the PMU and PIUs of both the cities (Guwahati and Dibrugarh) and will be responsible for the following tasks: 8.1 Survey and Design Set up systems and procedures for project management, implementation and monitoring of the project progress; Assist PMU in preparing annual work plans, staffing schedules, job descriptions, necessary budgets including equipment budgets, and detailed implementation schedule ; 4

5 Assist in preparing an overall Program Performance Monitoring System (PPMS) for the Project and ensure that the necessary independent inputs are in place when and where required; Assist PMU and PIUs in operating the PPMS and in monitoring the physical progress of each sub project to ensure the effective and timely delivery of the program outputs; Prepare on behalf of PMU, project progress reports describing the physical and financial progress of the project, highlighting impediments to the quality and progress of the works and remedial actions, to be submitted to Government and ADB. The progress report shall also include the progress on implementation of loan covenants; Provide inputs towards enabling the advance preparations of subprojects in subsequent tranches of the AUIP; Assist PMU and PIUs in identifying and preparing subprojects as per the subproject selection criteria, and assist PMU in (a) appraising subprojects, (b) preparing subproject appraisal reports (c) forming bid packages; Support the PMU and PIUs in technical matters such as reviewing and approving surveys, studies, subproject preliminary and final designs, construction drawings and estimates, approving contractor s works, review of variations, extra items and claims; Assist the PMU and PIUs with all aspects of procurement including tender document review, bid evaluation and selection of contractors; Assist PMU in supervising, coordinating and monitoring the work of the PIUs and the DSCs; Prepare and/or amend, existing procedures and guidelines for site supervision and quality control to include guidelines and detailed job descriptions for engineers and site supervisors; Provide guidance and support to PIUs and DSCs for construction supervision including quality, cost and time controls; Finalize the construction drawings during construction of the subprojects; Inspect and monitor progress of the construction work of each contract package during construction and defect liability period, as the case may be; Monitor implementation of environmental standards, safeguards and resettlement plans; Finalize quality control and assurance system including approval of source of material and certification; 5

6 Set the quality control procedures so that the quality of works conforms to the specifications and drawings; Verification of the work measurement and certification of the contractor s interim bill occasionally and verification of final bill of payment recommended by DSC; Inspect third party inspections, as required by the Client; Review the as built drawings and completion certificates submitted by Contractor; Advice PMU and PIUs for all contractual issues including examining the contractor s claims for variations/ extensions or additional compensations etc and prepare recommendations for approval by the Client; Assist the PMU and PIUs in other tasks as assigned to it by the EA; 8.2 Specific Reports and Manuals to be prepared by PMC: Inception Report Quarterly Progress Reports Annual Reports Construction and Supervision Manual Maintenance Manual Accounts Manual Project Performance and Monitoring Manual Public Relations and Awareness Strategy Institutional and Training Manual 9. The consultants are expected to commence their services not later than 30 days of award of the assignment or as per the agreed work plan for each position. It is expected that the consultant specialists will have as many as possible of the following credentials: Relevant general management or technical education and background; A through understanding of the systems, procedures guiding the implementation, management and administration of loan projects supported by the ADB; Practical working experience in the management and administration of projects supported by the ADB at the field level and project management and administration; A thorough working experience of the management and administration of externally assisted projects in India; Have a demonstrated ability to work closely and effectively together with counterpart staff of executing agencies and public sector organizations in South Asia; and Have extensive in-country experience in undertaking design and construction supervision contracts. 10. Qualifications and Job Requirements of Key Experts (i) Team Leader Cum Water Supply and Sewerage Specialist (TL) (A) Qualification and Experience: The International Team leader Cum Water Supply and Sewerage Specialist should be Civil Engineering graduate with 20 year experience in designing, construction management, and supervision of large integrated Water supply and Sewerage projects. 8

9 The specialist should have experience of externally funded projects (ADB or World Bank) in capacity of Team Leader/Deputy Team leader of at least 2 projects. (B) Tasks and Responsibility: a. The TL shall be overall responsible for all tasks assigned to PMC in the field of infrastructure development as well as capacity building of the PMU, ULBs and other urban service providers on a sustainable basis, and assist the project stakeholders in project execution through setting up systems and procedures for effective management and implementation of the project including Project Finance, and Service Delivery improvement action plan, Capacity building, Safeguards work, Public awareness programs, Program Performance Monitoring and Evaluation system; and guiding, approving and managing the work of the DSC. b. The Team leader with the assistance of other experts of the team will define the working method, procedures and reporting system for the program and assist the PMU in operationalising these procedures and in implementing urban reforms, institutional development, capacity building and monitoring quality of performance assuring the outputs of DSC. c. The TL shall be responsible for all mandatory deliverables, such as (i) Inception report (ii) Construction Supervision Manual (CSM) (iii) Maintenance Manual (iv) Institutional and Training Manual (ITM)(v) Accounts Manual (vi) Project Performance Monitoring System (PPMS) (vii) Quarterly Progress Reports (QPRs) (viii) Project completion report (ix)public Relation and Awareness etc. d. The priority task of the TL, PMC shall be to assist in finalizing detail design report, BOQ and bid document of Guwahati first tranche water supply subproject. (ii) International Transport Planning and Engineering Specialist (TPE) (A) Qualification and Experience: a. The International Transport Planning and Engineering Specialist should be Post Graduate in Traffic Transportation Planning/Engineering with 20 year experience in planning, designing and implementation of large highway projects based on latest technologies. Experience of at least two Bus Rapid Transport (BRT) projects and one project on PPP basis shall be mandatory. Externally funded projects (ADB or World Bank) would be preferred. (B) Tasks and Responsibility: a. The TPE specialist shall (i) review the DPRs prepared for the three corridors of Guwahati (ii) select best corridor with an objective of providing maximum benefit in the shortest possible time within the allotted budget (iii) to guide PMU/PIU for carrying out further studies and surveys through DSC to fine tune technical, institutional and safeguard issues for the selected corridor. b. To plan and finalize design, estimates and bid document of selected corridor. 9

10 c. TPE specialist to suggest Investment and implementation of selected BRT corridor and related facility. d. To suggest suitable mechanism for setting up a revolving fund to help private operators finance the new rolling stocks. (iii) Deputy Team Leader Cum Water Supply(WS) Specialist (A) Qualification and Experience: The DTL Cum Water Supply specialist should be post graduate in Water supply/public Health Engineering with 20 year experience in designing, construction management, supervision of large integrated water supply projects, pipe lines, water treatment plants, river intake structures, pumping stations, service reservoirs etc. Experience of Externally funded projects (ADB or World Bank) would be preferred. (B) Tasks and Responsibility: a. The DTL cum WS specialist shall function as TL, PMC in absence of the TL and shall be responsible for timely submission of all mandatory deliverables in absence of TL. b. The priority task of the WS specialist shall be to assist in finalizing detail design report, BOQ and bid document of Guwahati first tranche water supply subproject. c. To finalize survey and investigations, detail designing, technical specifications, cost estimates, BOQ, and bid documents for second and subsequent tranche water supply subprojects. d. Construction supervision of water supply subprojects. (iv) Deputy Team Leader Cum Waste Water and Drainage Specialist (WWD) (A) Qualification and Experience: The DTL Cum WWD Specialist should be post graduate in Waste Water/Public health Engineering with minimum 15 year experience in designing, construction management, supervision of large integrated Waste Water projects, Sewer lines, Waste Water Treatment Plants, Sewer Pumping Stations, and Major Drainage works. Experience of Externally funded projects (ADB or World Bank) would be preferred. (B) Tasks and Responsibility: a. The DTL cum WWD specialist shall work as TL, PMC in absence of the TL and DTL, WS and shall be responsible for timely delivery of mandatory deliverables in absence of TL and WS specialist. b. The WWD specialist shall be responsible for reviewing,finalizing survey and investigations, detail designing, technical specifications, cost estimates, BOQ, and bid documents for second and subsequent tranche Waste Water subproject of Guwahati and Drainage subproject of Dibrugarh. c. The WWD specialist shall be responsible for construction and supervision of waste water and drainage subprojects. (v) Institutional and Training Specialist (A) Qualification and Experience: 10

11 The Institutional specialist should be Masters in Planning/ Institutional Management/Public Administration/Urban Management with at least 20 years experience of managing institutional matters and setting suitable institutional systems in urban sector. The experience of institutional training for organization strengthening shall be added advantage. The work experience in ADB/world bank projects shall be preferred. (B) Tasks and Responsibility: a. To Review the mandatory reforms; proposed and implemented by the ULBs under JNNURM. b. Identify areas for complementary support and finalize a suitable institutional reform plan for implementation of mandatory reforms required under JNNURM c. Prepare Institutional and Training manuals, time schedule and budget for capacity building under project. d. Assist PMU in planning and organizing various training programs and study tours for EA, PMU, PIU, ULBs and parasatal agencies under capacity building activities. e. To ensure that the training services contracted to outside agencies are effective within the project s plan for strengthening the capacity of state institutions and ULBs. f. To conduct training workshops for the project staff and officials of departments g. To prepare Institutional and Training manual. (vi) Project Performance and Management Specialist (PPMS) (A) Qualification and Experience: The Project Performance and Monitoring System (PPMS) specialist should be MCA/Computer/Software engineer with at least 10 years experience of designing and implementing a suitable PPMS for projects related to urban sector. The work experience with ADB/World bank projects shall be preferred. (B) Tasks and Responsibility : a. Design and implement a suitable PPMS and ensure establishing and proper functioning. b. Select a set of performance indicators relating to physical infrastructure development (water, sewerage/ sanitation, urban roads/transport, solid waste management, slum improvement). c. Select a set of performance indicators relating to social (resettlement, gender, and indigenous people) and environmental, institutional capacity development including the urban governance, finance, and service delivery improvements. d. Establish baseline data for each of the selected indicators by conducting baseline surveys of all indicators, to understand the initial conditions and conduct annual surveys to update the baseline values. e. Track project and project implementation activities, target dates, expected inputs, impacts, outcomes and outputs against each indicator to monitor and evaluate the performance of the project and the subprojects under each tranche. 11

12 f. Standardization of formats and reports for dissemination to various stakeholders of the project g. Based on the findings, provide an independent monitoring and feedback mechanism to PMU and ADB, to ensure that the primary objectives of the project are being met, and recommend ways to modify the project design and implementation mechanisms to meet the primary objectives of the project. h. Design a project website and effectively use for PPMS and public information. i. Design and implementation of suitable system for E- Governance and E- Procurement. j. Design and implementation of Management Information System (MIS) for the project k. Assist in preparation of QPR, annual reports and other mandatory deliverables. (vii) Project Financial Specialist (PFS) A. Qualification and Experience: The PF specialist should be Financial Analyst/Chartered Accountant with 15 years experience of designing and establishing suitable financing management system. The work experience under ADB/World bank projects shall be preferred. B. Tasks and Responsibility: a. The major task will be to set up systems and procedures for financial management of the project and assist PMU in managing and handling all financial and accounting matters of the project, monitoring the fund disbursement, preparing progress reports for the project. b. The specialist will be responsible for submission to the Government and ADB highlighting impediments to the quality and progress of the works and remedial actions and also assist the PMU and PIUs in preparing periodic budgets including equipment budgets and establishing financial accounting and control systems ensuring funds flow from the ADB and onwards to the implementing agencies. The task will also include preparing periodic financing requests on behalf of PMU. c. The other task will be to review the present accounting and financial management system of ULBs and related departments. The task will involve assisting in developing detailed financial improvement plan in ULBs/departments including revenue improvements from various sources to meet Operation and Maintenance (O&M) costs gradually in a specific time frame. d. The consultant will assist in introducing and restructuring user charges for water, sewerage and solid waste management, assessing the scope and identifying the new sources of revenue for urban infrastructure and services creating dedicated funds from revenues to ensure that revenues generated are used for paying the operation and maintenance where ever possible for capital cost of infrastructure and services. e. Reform property tax system to increase revenues from property tax.improving financial management and accounting system of the ULBs and service providers. 12

Assist PMU in helping ULBs and water/sewerage utility and relevant state agencies in converting to and operating the double entry accrual system as per the targets set in the mandatory reform action plan. g. To prepare Accounts and Operation & Maintenance Manual and assist in preparation of other mandatory deliverables. (viii) Public Relations and Awareness Specialist (PRA) A. Qualification and Experience: The PRA specialist should be Masters in Mass Communications with at least 10 years experience in designing and implementing public relations and community awareness project in ADB/World bank funded projects. B.Tasks and Responsibility: a. To prepare Information, Education and Communication (IEC) materials and carryout media campaigns, advertisement clippings, web pages, etc for publicizing the project. b. To promote project s Urban Governance, Finance, and Service Delivery Improvement Action Plans. c. Undertake awareness campaigns for achieving project objectives through professional agencies/ngo. d. Disseminate information to the target groups. e. Make the beneficiaries aware of their responsibilities, including issues such as user charges and property tax reform etc for achieving the goal of the project. Invite feedback from beneficiaries and organize community consultations on aspects of the project and sub-project through professional agencies/ngos. f. Prepare and implement Public Relation and Awareness Strategy. g. Mobilize local NGOs and community organizations in carrying out monitoring, quality control and reporting to bring transparency to the various construction activities, 11. Outcome and Deliverables The consultants will produce and submit to the PMU the following reports: (A) Specific Reporting a. Inception Report within one month of mobilization (5 hard copies and 5 soft copies); b. Construction Supervision Manual within 1 year of mobilization (15 hard copies and five soft copies ) c. Maintenance Manual (15 hard copies and five soft copies) d. Institutional and Training Manual within 1 year of mobilization (15 hard copies and 5 soft copies ) e. Accounts Manual within 1 year of mobilization (15 hard copies and 5 soft copies ) 13

14 f. Project Performance Monitoring Manual within 1 year of mobilization (15 hard copies and 5 soft copies g. Public Relations and awareness strategy within 1 year of mobilization (15 hard copies and 5 soft copies ) (B) Regular Reporting h. Quarterly Progress Reports (QPRs)to be submitted within one week of the end of each quarter to the PMU(5 hard copies and 5 soft copies);; i. Project Completion Report within one month of completion of the subproject(5 hard copies and 5 soft copies); (C) Final Reporting j. Final Report will be prepared and submitted to the PMU on completion of the assignment. The detailed content and topic coverage will be determined by the PMU. 12. Working Arrangements The PMC will be attached to PMU based in Guwahati from where the consultants will carry out their duties. The consultants shall visit Dibrugarh as per the requirement. The consultants will work alongside the PMU and PIU staff and have frequent interactions with the PMU, PIUs and DSC (Design and Supervision Consultant) for this project and will assist and carry out on-thejob training as a routine part of their activities. The Client will provide suitable counterpart staff to work in the PMU and will also make available to the consultants support facilities including all relevant and available reports, documents, maps, and photographs etc. The disposition and number of counterpart staff will be determined together with the consultants at the time of contract negotiation. The client will be responsible to provide the Office space to the consultant at Guwahati. The consultant will be responsible to: arrange for refurbishment of office space, furniture, equipment etc required for setting up and maintenance of its office; arrange for communication, data processing, computers, printing equipments and necessary stationeries; arrange for all transportation and travelling required for the project and; arrange for any training material, printouts, etc required for services. After completion of the assignment, the consultant shall handover the office and all permanent articles billed under the project to the client. 13.
