8 eircom broadband talk for business Terms & Conditions (1) eircom Limited having its registered office at 114 St. Stephen s Green West, Dublin 2 ( eircom ); and (2) ( the Customer ).[ ] of [ ] NOW IT IS HEREBY AGREED as follows: 1. Interpretation 1.1 In this Agreement: Broadband Talk is the provision of a facility to make and receive a telephone call on a suitably enabled eircom broadband line and any other facilities that eircom agrees to provide to the Customer under this agreement. The service also includes the allocation of a 076 VoIP phone number by eircom to the Customer. The limitations attaching to the Service are set out separately at the end of this Agreement; Broadband Talk CPE means a Cordless Phone connected to a Phone Adapter; Charges means the charges payable by the Customer to eircom for the Service. Commencement Date means the date upon which the Service goes live, which is when the Customer receives and enables the Broadband Talk CPE at the Premises; Cordless phone means an analogue phone with base station which is connected to the Phone Adapter; Customer means the person who has agreed to avail of the service; Customer Premises Equipment [CPE] means the equipment at the Premises; Phone Adapter means an Analogue Terminal Adopter; Premises means the Customer s Premises at the address specified in this Agreement; Service means the eircom service known as BROADBAND TALK. 2. Service Provided 2.1 eircom will provide the Customer with the Service subject to the terms and conditions of this Agreement. 2.2 eircom reserves the right, at its absolute discretion, to modify, withdraw, suspend or restrict the availability of the Service or any part thereof. 2.3 The Service will be provided with Caller Line Identification (CLI), the Customer may disable the CLI at its discretion. 2.4 Irrespective of the size of the bandwidth on the broadband line only one simultaneous call at any one time will be supported on the Broadband Talk line. 3. CPE 3.1 eircom will provide the Phone Adapter as part of the Service. Ownership of the Phone Adapter shall remain vested in eircom 3.2 The Customer agrees to indemnify and hold eircom, its employees and agents harmless against all loss or damage caused to the phone adapter or by the phone adapter as a result of the negligence of the Customer, its servants or agents.
9 3.3 It is the responsibility of the Customer to supply the Cordless phone, it may be purchased from eircom or from any other provider of telecommunications equipment. 3.4 The Service is only available to Customers with an existing Always-On broadband line supplied by eircom. It is the responsibility of the Customer to ensure that it has entered into an agreement with eircom for the supply to it of an Always-On broadband line to facilitate the provision of the Broadband Talk Service to the Customer. 3.5 For the purposes of this Agreement, the term Always-On means a broadband line other than a dial-up broadband line. 4. Use of the Service 4.1 The Customer shall use the Service in accordance with the provisions of this Agreement and all applicable law. 4.2 The Service is provided solely for the Customer s own use at the Premises and the Customer shall not resell or attempt to resell the Service (or any part of the Service) to any third party. 4.3 The Customer agrees to indemnify and hold eircom, its employees and agents harmless against any liability, cost or damage suffered by it and arising directly or indirectly from any breach by the Customer of clauses 4.1 and Charges 5.1 The Customer is responsible for the payment of the Charges for the Service by the times detailed in a bill issued to the Customer by eircom. Call Charges are billed monthly in arrears. Payment is due within fourteen (14) days of the date of issue of the bill, save where payment is made by Direct Debit where payment is due within twenty-one (21) days of the date of issue of the bill. 5.2 Where Charges are in arrears for twenty-one (21) days after the date on which they fall due to be paid, eircom reserves the right to charge interest on such overdue charges at a rate equal to the A rate for overdraft charged from time to time by AIB calculated from the due date to the date of payment. The Charges for the Services for the time being are set out and may be viewed on Any increase or decrease in Charges shall be notified to the Customer in writing. 6. No Warranties 6.1 The Service is provided on an as is basis and all conditions and warranties expressed or implied whether by statute or common law or otherwise are hereby excluded to the fullest extent permitted by law. 6.2 eircom does not warrant that the Service will meet the Customer s requirements or that the operation of the Service will be uninterrupted or error-free or that any defect in the Service can or will be remedied. 7. Limitation of Liability 7.1 To the maximum extent permitted by law, eircom shall have no obligation, duty or liability whatso ever in contract, tort or otherwise to the Customer. 7.2 eircom shall have no liability under this Agreement in respect of any fault which is the responsibility of any third party service provider. 7.3 In no circumstances shall eircom be liable to the Customer for loss of profits, goodwill or any type of special, indirect or consequential loss (if such loss was reasonably foreseeable or eircom had been advised of the possibility of the Customer incurring the same) how so ever arising. 7.4 The Customer shall indemnify eircom against all claims made against eircom, its employees and agents for loss, damage or injury to any person or property occasioned by or arising from the Customer s operation or use of the Service except and insofar as eircom, its employees or agents are directly liable therefor.

Termination 8.1 Without prejudice to any other right or remedy which it may have, eircom may terminate this Agreement on notice to the Customer where any sums remain due and owing for twenty-one (21) days after the date on which payment falls due. 8.2 This Agreement may be terminated by the Customer on giving [INSERT NOTICE] notice to eircom. On termination of this Agreement the Phone Adapter shall be returned to eircom. 9. Changes to the Agreement eircom may, from time to time, amend the terms and conditions of this Agreement upon giving prior notice to the Customer. 10. Severance If any part or parts of this Agreement are held to be invalid, the remaining parts of the Agreement will continue to be valid and enforceable. 11. Law This Agreement shall be governed by and construed in all respects in accordance with the laws of the Republic of Ireland and each party hereby submits to the exclusive jurisdiction of the Irish Courts. LIMITATIONS OF THE SERVICE Calls made over eircom s Broadband Talk facility have the following limitations: Whilst emergency numbers are supported (112/999), due to the nomadic nature of the Service eircom cannot guarantee that emergency services will be able to accurately locate the origin of the call from the 076 number. It is advised therefore when making calls to all emergency services that the Customer uses a standard fixed telephone line whereby calls made from that line may be traced to a particular geographic location. Quality of service will at least match and in most cases exceed the quality of service provided over mobile phones. eircom s aim is to provide a continuous service, but the service may be impaired by the Customer uploading or downloading data on its broadband enabled line or by circumstances beyond eircom s reasonable control. The Broadband Talk service is not available in the event of a power failure. Broadband Talk does not support test relay service. Broadband Talk does not support number portability i.e. Customers of the facility may not port or transfer the 076 number allocated with the facility when opting to avail of a similar facility from another telecommunications operator.

Q. When can I begin using my broadband talk for business line to make cheaper calls? A. You must plug in the equipment eircom sends out and activate your account to be able to make calls using broadband talk. Q. How will I know what to do when I receive my package? A. A Welcome Pack will be sent out to you along with the extra equipment you need to make Broadband Talk calls. All VoIP numbers in Ireland will begin with the 076 prefix it is a unique non geographic number. Q. Why do I need to have an always on Broadband connection? A. Because to receive an inbound call on your broadband talk service you must be connected to the internet at all times and only always on Broadband provides this. You do not have to have your PC switched on to make or receive calls. Q. Do I have to purchase the second phone through eircom? A. No, if you already have a spare phone you can plug it into the phone adapter. Q. How many power sockets do I need for my Broadband and broadband talk for business equipment? A. You need a power socket for your phone adapter and if using a cordless phone one for the cordless phone as well. You will already have power sockets for you PC and broadband modem. Q. Can I port my PSTN number to broadband talk for business? A. Number portability with Broadband Talk is not currently available. Broadband Talk lines have unique telephone numbers that start with 076 (non-geographical) Q. How good is the voice quality? A. Voice clarity is better than a mobile phone. Q. I don t have eircom Broadband, can I get broadband talk for business? A. You will need to order an eircom broadband service to avail of the Broadband Talk service` Q. How long does it take to get connected to broadband talk for business? A. If you are already connected to eircom Broadband, you will be connected to the Broadband Talk service within 5 working days of placing your order. Q. Can I buy Broadband Talk when I currently use a Telephone System (PBX) in my company for calls? A. Yes absolutely. You can either use the Broadband Talk line completely separately from your Phone System or connect your Eircom Phone Adapter to an available PSTN port on your Telephone System. Q. What will happen to my TalkTime package? A. You can continue with your TalkTime package if you require. If you have a number of PSTN lines into your premises it may make sense to keep Talktime. In the case of a single PSTN line we recommend that you review your usage to ensure you are getting the best possible value out of your Talktime package, once you have begun to use Broadband Talk for business.
