5 Letter from the President Dear Reader, This is the second year of the GLSA in its current form. While our previous incarnation, the International Law Students Society, catered solely to international students at Melbourne Law School, the transition to the GLSA was the result of a recognition that internationalism at the Law School transcends individual students. Thus, the GLSA s much broader mission is to foster and facilitate international interests and ambitions for our members, comprised of the entire student body at Melbourne Law School. We pursue this through our various careers and professional development initiatives including our renowned Global Thinking Lecture Series, Coffee Hour Discussions with international visitors, diverse range of Feature Seminars, and of course, our annual Global Careers Guidebook. On that note, it is a pleasure to present the edition of our Guidebook. We have strived to build upon the successes of previous editions while remaining receptive to ways in which to improve this important publication. More specifically, we have improved the structure and content of our Private Practice section to keep up with the increasingly international nature of commercial law. We have rearranged the way in which information is presented and we now cover more jurisdictions. In addition, as part of our broader effort to expose law students to the diverse range of career paths open to them, we have added a second section to our Guidebook Public International Law that focuses on public sector and public interest work that law graduates can engage in. It is worth noting that this Guidebook is not intended to be an all-encompassing account of the myriad of pathways that can take law graduates towards a global career. Our ambitions in this regard are more modest and we merely aim to shed light on some of the opportunities that may be of particular interest. We encourage you to use the information provided as a starting point from which to explore further. We are grateful for the feedback that we have received from our wide readership as it has been instrumental over the years and we encourage you to participate in the ongoing development of this publication. 6 Foreword from the Editors Private Practice Thanks to the dedication of members of the Global Law Students Association, we ve been able to compile the profiles for various jurisdictions across the globe. This year, the Guidebook is unprecedented in its clarity of structure, content materials and breadth of jurisdictions. Thus, we hope you may find it a useful addition to your bookshelf. The Private Practice section is targeted to students in need of information to guide them about beginning a career, either through vacation schemes or graduate positions. I hope you find the private practice section informative. Gary Zhang Public International Law This year marks the first time the topic of careers in public international law has been broached by our Guidebook. After spending the last couple of months investigating the subject, I can understand why. Practice areas vary greatly and unlike in the private sector, it isn t possible to draw up a flowchart on pathways to becoming the next Secretary-General of the U.N. We hope, nonetheless, that this publication opens students eyes to the vast array of options available to them and that it provides a realistic picture of what practice in public international law entails. 8 Private Practice Overview Mergers and acquisitions This category includes public company and private equity matters. Typical work in this area includes company acquisitions, dispositions, and related financing agreements, capitalisations, entity selection and formation, operating and partnership agreements, securities and governance matters. Overall, areas of growing M&A activity include renewable energy, healthcare, technology and life sciences. However, the troubled US job-market, the Euro debt crisis have subdued M&A activity in Banking and finance This is a broad category, which include work for both creditor and debtor parties. Key areas of this category include: General lending which includes structured finance, leveraged finance and syndicated lending; Project finance which involves the financing of infrastructural and industrial projects; and Refinancing which is the refinancing and restructuring of existing loans. A more niche area in this category in certain jurisdictions may also include Islamic Finance, which involves Sharia compliant financing to acquire and invest in assets. Dispute resolution This is an area that is all about finding solutions, through either the court process or alternative dispute resolution processes which include arbitration, mediation and negotiation. Working in dispute resolution, you ll be exposed to a number of areas of law such as tax, IP, insurance, media and anti-trust, depending on the client s situation and needs. Many commercial contracts include arbitration or negotiation clauses. Work done in this area may include arbitration, negotiation, or pretrial negotiations, preparation of court documents, various court motions and trial. Competition law (antitrust law) Anti-trust refers to the body of laws that prohibit anti-competitive behaviour such as monopolies, cartels, and other unfair business practices. Work in this area involves understanding the underlying regulatory regime and the market position of the client and advising the client in a way so as to minimise the risk of any anti-competitive behaviour. Work in this area covers a broad spectrum of industries such as financial services, energy and utilises, telecommunication and health technologies. Tax Work in this area is predominately taxation advice on a broad range of commercial transactions. It may also include working with the client to develop tax minimising structures and advising to reduce the risk of taxation related litigation in the future. Internationally, volatility in the markets has meant a slow down in transactional work. In a cost-conscious climate, tax lawyers have seen an elevated level of internal structuring as clients wants to see value for money. Intellectual property Intellectual property covers disputes related to patent, copyright and trademark infringement. Work in this area include securing intellectual property rights, protecting branding, commercialising on intellectual property such as licensing and assignment and joint ventures or mergers, and enforcement of intellectual property. Full service firms are increasingly specialising in IP to capitalise on the growing workload in global brand competition, particularly in the emerging technology sector. Recent developments in the market include recent proposals to tackle online piracy increasing battle between copyright owners and new technology players. 6 Global Careers Guidebook

9 Property and construction Construction covers contractual advisor work within the construction industry for both the suppliers such as developers, contractors, engineers and architects, and those clients employing these types of companies such as corporates, state authorities or public-private partnerships on their building plans. Full-service firms will tend to provide construction law advice from the start to the end of the project. Work in this area includes contract negotiation and drafting, risk analysis and management, financing, dispute minimisation and dispute resolution. Resources When applying for jobs, information is key one needs to know about the market, the industries that the lawyers work in and who the major players are. This problem is especially acute when considering and applying for international opportunities. This is where website directories are an useful source, they provide information on the big firms in particular jurisdictions, the leading lawyers in the jurisdictions and general trends in the market and industry. Below are some that should be utilised. This is a very comprehensive source that has information on country, pan-regional and global listings. Much like the above, this is a very comprehensive source on legal market news and trends across various jurisdictions. This is a good source of information on latest news and deals for the Asia Pacific region. The name says it all a very good source of information for the US legal industry. This is a comprehensive covering of legal news from China, India, Singapore, Japan, Korea and South East Asia. This is a source of information of the latest legal news and trends in the UK and around the world. Private Practice 7

10 Q+A Interview with Andrew Godwin Why do graduates want to launch their career overseas in Asia when there are opportunities to work in Australia? The challenge today is that there are so many options facing a MLS graduate. Certainly, going overseas upon graduation is much more mainstream today than compared to ten years ago. Some students want to go abroad because they have an interest in Asia, studied an Asian language, feel Asia is where the action is, or because their home is based overseas. My advice for people considering going to Asia, such as China or Hong Kong, is that these markets will always be there; the most important thing in the short-term is to gain some decent experience and good training and give yourself an opportunity to experience legal practice to determine: a) whether that is what you want to do in the long run; and b) to maintain your options to work out what is best in terms of your career progression Students who speak a second language need to be careful about responding to opportunities where the demand for Chinese or another second language appears to be the primary motivation the primary motivation should be getting the best experience to build your legal career. To go overseas simply on the basis of a competitive advantage in language may not be the best opportunity for you, especially if you are in two-minds about where your career should take you. The best pathway is one that gives you the broadest experience and the widest options. Second, my advice to graduates is that you should always gain some experience at the start of your career in a common law jurisdiction either in Australia or abroad, be it Hong Kong, Singapore or London. This means that you can build your experience and identify the area in which you want to practise, and then relocate to a non-common law market (like mainland China or an EU civil law jurisdiction) that has a very different legal system. Is there a difference practising overseas in a domestic law firm compared to an international law firm? In terms of training, the training you receive at an international law firm is a lot more consistent and is generally comparable to the training you can receive at an Australian law firm. The other advantage that international law firms have over domestic firms overseas is that there is often an opportunity in these graduate programs to be seconded to another office, which enables graduates to experience what it is like to work overseas. You should always gain some experience at the start of your career in a common law jurisdiction either in Australia or abroad, be it Hong Kong, Singapore or London. At a domestic overseas law firm the training program may be less established. This is not to say that it is of a lesser quality, but it is certainly less consistent amongst the domestic firms than the international firms. Is there a disadvantage of going overseas immediately upon graduating because you cannot easily move back to Australia and practise as a lawyer? The main disadvantage is that you don t really develop familiarity with the Australian legal profession or legal practice in Australia for some people that may not matter because they are more concerned about international experience. For those starting out an international law firm, a lot depends on the area in which you want to practice. For instance, there is no immediate disadvantage of practising outside Australia in the area of corporate M&A or banking and finance immediately after graduation, because the experience you receive would put you in a good position in terms of moving back to Australia if you wanted to bearing in mind that you don t have the Australian experience, so that would be something you need to make up for. If, on the other hand, you are interested in other areas like construction law, employment law, dispute resolution or IP, where the area is much more local in focus, it may be more challenging to move back and you may find yourself becoming identified specifically with that jurisdiction. The good thing about working in international practice, however, is that you are expected to work across jurisdictions on deals that follow a similar approach wherever you might be doing them, so your experience may be well-regarded in Australia, especially if it involves the energy or resources sector or other sectors that are relevant to Australia. In short, it comes down to, first, your area of practice and second, the quality of your deals experience and the credentials that you have developed. 12 Hong Kong The centre of Asia Hong Kong is the gateway to greater China. The jurisdiction offers a legal landscape like no other: there are the top American law firms, Australian law firms, British law firms and Chinese law firms, competing to deliver the best legal services for clients. Given the jurisdiction is still a common law jurisdiction, there have been Melbourne Law School graduates working in Hong Kong. The destination is particularly attractive given the city s geographic location is within the Asia Pacific region. The demand for Melbourne Law School graduates continues to be strong, given the law school s reputation as the pre-eminent law school in Australia and the Asia Pacific region. Many graduates going to Hong Kong cite the need for a change of scenery after leaving law school, and the cosmopolitan city offers new cultural experiences and certainly satisfies an appetite for greater transactional work. HOW AND WHEN TO APPLY Requirements to practice Students intending to start in Hong Kong should note the requirement of the PCLL (Postgraduate Certificate in Laws), which must be completed prior to starting at a law firm in Hong Kong. The PCLL is undertaken at a university in Hong Kong (and is usually sponsored by the firm to which you are going). In general, the PCLL takes just under one year but the commencement each year is around September. Prior to undertaking the PCLL, MLS students need to sit conversion exams. Vacation schemes Students should be alerted to the Key Dates for vacation schemes. For students undertaking the Melbourne JD, the earliest opportunity to apply is at the beginning of the second year. Each year, law firms from Hong Kong will come down to the law school as part of its Hong Kong Law Fair and greet students first hand. Interviews usually take around this time, since the law firm representatives are present in Melbourne. Graduate positions Hong Kong firms do take graduates who have not done their vacation scheme. Student should be wary that the PCLL requirement means a student completing the JD in December of one year will be applying to a graduate year that is two years after their year of graduation. The graduate applications vary between the firms, but the earliest opportunity would be to apply in the second semester of your penultimate year. Hong Kong is the gateway to greater China. The PCLL requirement means students finishing in December in their final year will not be able to commence working at the law firm until the conversion exams are completed and the PCLL is completed. 13 Case study William commenced the Melbourne JD in 2012 and is finishing his degree in December 2014 (three-year duration). William will be able to apply for seasonal clerkships in Hong Kong in his penultimate year (2013). He has the choice of applying to law firms whose vacation schemes* are on offer. The application inviting students to apply occur early in the year (some applications are open as early as January). Another round of applications open in semester 2, around July August. The best tip to bear in mind is that applications should be made as early as possible, as some firms screen applicants and make offers on a rolling basis. William has secured decent marks from his first year and would like to apply for firms in Hong Kong. He sees that applications opened in February and decides to apply right away. The interviews occurred in March and William was successful in obtaining a clerkship at a firm in either December of 2013 or January of In around September 2016, William has commenced as a graduate. The graduates in Hong Kong embark on a traineeship for two years, and at the completion of their traineeship, will be admitted as a solicitor in Hong Kong. For William, he has been admitted in Australia as well. For more information regarding practising law in Hong Kong or in preparation for an interview to a law firm in Hong Kong, the following two websites are the best source of information. * These occur either in June/July of each year, or December/ January/February later on, depending on the firm. After the December vacation scheme, William was successful in obtaining a graduate position at the firm. The graduate position is for commencement in September William will finish his JD at the end of After graduating, he will apply to complete his conversion exams in preparation for the PCLL, which will start in around September Between the end of 2014 and September 2015, William decides to qualify also in Australia by undertaking the Leo Cussen Practical Training Course. 14 Hong Kong: the place for legal talent Hong Kong is a central hub for the Asia Pacific region easily accessible to Mainland China, Southeast Asia, India and Australia. With a vibrant economy and robust legal system, Hong Kong has attracted a pool of experienced legal talent with diverse legal expertise that can meet the demands of clients from different parts of the world. In addition to nearly 7,300 Hong Kong practicing solicitors, there are over 1,500 foreign lawyers qualified in 28 different overseas jurisdictions practising in Hong Kong. Out of the top 100 global law firms listed in the American Lawyer, 63 have offices in Hong Kong. Further, the in-depth knowledge of legal practitioners in the Mainland China market and its regulatory framework helpfully facilitates transactions involving parties from Mainland China by acting as a bridge between clients from the international and Mainland China capital markets. Law firms in Hong Kong have hands on experiences in handling complex commercial deals in the world. All in all, the Hong Kong legal sector prides itself in its rich global connections and enjoys international reputation for its highest professional standards. As an international financial centre supported by a pool of top legal professionals, Hong Kong provides a very good environment for young legal talent to gain exposure to the dynamic legal services market serving the needs of the international as well as local communities. In addition to nearly 7,300 Hong Kong practising solicitors, there are over 1,500 foreign lawyers qualified in 28 different overseas jurisdictions practicing in Hong Kong. In the first half of 2012, the legal profession in Hong Kong witnessed two important changes. The law giving solicitors higher rights of audience in the High Court and the Court of Final Appeal came into operation in June. This change not only provides more choice of advocates to the public, it also enables those solicitors who are interested in advocacy work the right to do so in higher courts. Another important change came through in July Although the commencement date is not fixed yet, the law allowing solicitors to practice in the form of limited liability partnerships has been passed. The joint and several unlimited liability of each and every partner model attached to a general partnership is inhibitive to the growth of law firms. The introduction of an additional mode of practice, limited liability partnerships, is expected to facilitate the expansion of legal practices in the future. There are many opportunities in the legal profession in Hong Kong. Like any other jurisdiction, a legally qualified person with common sense, good communication skills, resourcefulness (problem solver); ability to handle extreme work pressure (demanding clients and unrealistic time pressure); social skills to develop own clientele and passion in legal practice is all it takes to thrive here. 16 Testimonial Banking Associate, Allen & Overy Angela Lai Summer student 2005 Trainee Solicitor Banking Associate since September 2010 On secondment to London Banking May 2012 Since I joined Allen & Overy, Hong Kong as a trainee solicitor, I have been involved in challenging and interesting deals. A&O frequently advises on complex, multi-jurisdictional matters, many at the forefront of the industry. Even as trainees, we were part of the action: drafting fee proposals, appointing and liaising with foreign counsel, conducting due diligence, preparing transactional documents and advice, reviewing closing documents and assisting with signing meetings (yes, sometimes with backdrops, cameras and champagne). Yet in addition to running the deal process, we brush up our legal as well as commercial knowledge and skills. This is because very often our transactions involve legal issues, novel structures or specially regulated sectors which require in-depth analysis and cross-departmental or office collaboration. We research the law, discuss, and help prepare practical advice for the client. We learn not only what the law says, as we do from books; we also learn how to analyse issues and apply the law in practice, and how to best communicate the advice to the client. The lively team culture, among other things, impressed me when I interned at A&O in 2005, and this is what helped me adapt to the role of a trainee, and subsequently as an associate. Busy though they are, partners and other colleagues take the time to explain transaction backgrounds, discuss relevant issues and hear our views. Human resources and other business services groups provide constant advice and support. Needless to say, there are many fun hang-outs and pro bono activities outside of work, which in turn bring the team closer together. During the two years of training, I was rotated to different departments to obtain experience in major areas of A&O s work. This included a six-month secondment to the Derivatives and Structured Finance team in London to broaden my perspective. Upon qualification, I was obliged to be given the opportunity to join the Hong Kong Banking department. With the partners and my seniors supervision and guidance, I took on more responsibilities, considering structural issues arising in deals, drafting transactional documents, negotiating against learned counterparts and liaising with the clients directly. What we endeavour to do, however, is to work hard and play hard this is why the A&O experience has been so fruitful and enjoyable! Even as trainees, we were part of the action: drafting fee proposals, appointing and liaising with foreign counsel, conducting due diligence, preparing transactional documents and advice, reviewing closing documents and assisting with signing meetings (yes, sometimes with backdrops, cameras and champagne). Angela graduated from the University of Hong Kong with double degrees (BSocSc (Govt & Laws) (2005) and LLB (2007)) and completed her PCLL there in She holds a Master s degree in Politics and International Relations Research from University of Oxford (2006). Outside work she loves reading, music and travelling. Angela is on secondment to the London Banking team from May 2012 and is expected to return to Hong Kong in May Global Careers Guidebook

17 Testimonial Trainee Solicitor, Allen & Overy Theresa Chow Summer Placement 2008 (June scheme) BA Law, Cambridge University PCLL in Hong Kong Trainee Solicitor Allen & Overy has given me the perfect start to a legal career. During my one-month summer internship in the Banking and Corporate departments of the Hong Kong office, I was given a taster of what it is like to work in the local office of an international law firm. We live in a flat world where technology and instant communication break down geographical barriers. It is essential to be a strong team in which each member has the support and freedom to realise their full professional potential. I was deeply impressed by how senior members of the firm orchestrate transactions in a well-paced manner by their skilled management of the legal teams, the clients and the counterparties. My two-year training contract with the firm has afforded me a more extensive period of time in each of the Banking, International Capital Markets and Litigation departments in Hong Kong. It has been exciting to play a part in many cross-jurisdictional projects, including international mergers and acquisitions, extradition procedures, project finances, restructuring and launches of structured products. Even as trainees, we were given the responsibilities of doing the first cuts of legal advices, commercial contracts, corporate documents and court filings. I was also placed on a six-month secondment to the London Corporate department. An international secondment makes one appreciative of the strength of a global network, high quality of work and conforming corporate culture. Being an international firm with strong local presence and high interoffice collaboration is one of the key reasons why Allen & Overy attracts and retains such an enviable clientele. It has been a most enjoyable and impactful experience to see how the firm is run from its headquarters. The early stage of one s career is all about learning learning what working in a reputable international corporation is like, learning how to learn on the job, and learning how best to contribute to a team. 21 Vacation Schemes We offer four-week summer placements in June, July and August, and winter placements in January each year for law undergraduates or JD students who are in their penultimate year of study, or to those candidates who are seeking a training contract commencing two years after the placement. The vacation scheme aims to provide potential trainee applicants with a practical insight into life as a Cleary lawyer, and our aim throughout the scheme is to involve the vacation students directly in client work. Each vacation students will be assigned a junior associate as his/her mentor throughout the scheme. There are also a number of organised social events each week so that participants can get to know the current partners, associates and trainees of the firm outside the office. What We Look For We seek individuals who are confident in their abilities, creative in their thinking and who are enthusiastic about the practice of law in a challenging and dynamic international setting. We normally expect candidates to have demonstrated the ability to attain a high 2.1 (or equivalent) degree from a leading university in a common law jurisdiction. In addition, we expect successful candidates to be fluent in English as well as Mandarin. Cantonese skills are desirable but not necessary. 22 Testimonial Summer Internship, Cleary Gottlieb Steen & Hamilton, Hong Kong Jocelyn Wong Having followed with interest the launch of Cleary Gottlieb s Hong Kong law practice in early 2011, I was fortunate enough to be accepted on to their first Hong Kong internship program later that summer. The program, which ran for four weeks in July, was an enriching experience, providing me with valuable insight into the daily life of lawyers at a leading international corporate law firm in Hong Kong. Exposure to cutting edge cross-border deals Having completed internships at a number of other law firms in Hong Kong, I had an expectation that I would be completing yet more intern-specific assignments and tests. However, notwithstanding the short duration of my internship, I ultimately ended up working in a number of different teams on various projects. For me, the stand-out experience was being able to shadow a senior associate on a US$200 million M&A deal in which a Hong-Kong listed company sold its controlling stake in one of its subsidiaries. What I really appreciated was the feeling that my contribution to this M&A project, which involved attending conference calls with the client, assisting with drafting and conducting due diligence, was genuinely valued by others members of the team. This highlighted to me the importance Cleary places on giving its junior lawyers unparalleled experience by exposing them from an early stage to high levels of responsibility in the context of cutting edge crossborder transactional work. Wide-ranging practice Aside from the coveted nature of the work itself, I was also struck by the sheer breadth of Cleary s practice, which includes, among others, international capital markets, public and private mergers and acquisitions, private equity, and the restructuring of corporate and sovereign debt. Based on my experience, this is in stark contrast to many other US firms based in Hong Kong, whose focus is generally limited to capital markets transactions. Diverse working environment For me, this breadth in practice, combined with the fact that Cleary lawyers work with colleagues right across the office, makes for a diverse working environment which enables junior lawyers to gain a broad range of experience early on in their professional career. Furthermore, the regular lunchtime training sessions, several of which I attended over the course of my internship, provided the ideal supplement to this on-the-job learning experience. Collegial firm culture While there is little doubt that Cleary lawyers work hard, I found the Hong Kong office to be a friendly, collegiate and supportive environment to work in (which no doubt makes those long hours all the more bearable!). Indeed, it was apparent that there is very much an open-door policy in operation at Cleary, where junior lawyers are encouraged to ask questions and raise and discuss issues with their seniors. What s more, having attended numerous lunches, dinners, social events and boat trips with colleagues and fellow interns during my time at Cleary, it is clear to me that this positive working environment feeds into a vibrant social scene amongst Cleary lawyers. Looking to the future My four-week internship in the fast-paced, challenging and dynamic environment of Cleary s Hong Kong office was a thoroughly enjoyable and enriching experience. What I liked the most was the combination of the challenging work against the backdrop of a diverse and collegiate working environment. I look back upon the experience with fondness, and very much look forward to rejoining the Firm as a trainee in the near future.
