1 REQUEST FOR PROPOSALS RENEWABLE ENERGY CERTIFICATES SOURCED FROM RENEWABLE RESOURCES CERTIFIED BY THE CALIFORNIA ENERGY COMMISSION February 18, 2015

2 1.0 Introduction of Pittsburg Power Company dba Island Energy Established in 1996, Island Energy is a small publicly owned utility that provides electric and natural gas distribution services to a decommissioned Navy base named Mare Island, which now hosts many different kinds of businesses and 287 residential homes in the City of Vallejo. Island Energy has a coincident peak demand of 6 MW and base load of 3.7 MW. 2.0 Overview Island Energy is issuing this Request for Proposals (RFP) for Portfolio Content Category 1 (PCC1) and Portfolio Content Category 2 (PCC2) electricity products to fulfill its Renewables Portfolio Standard obligations for the portion of the second compliance period commencing from the start of the contract effective date through December 31, The PCC1 and PCC2 electricity products must come from eligible renewable energy resources, as defined in California Public Utilities Code section , and certified by the California Energy Commission (CEC). PCC1 electricity products must meet the statutory requirements of California Public Utilities Code section (b)(1) and the requirements of Section 3203(a) of the CEC s Enforcement Procedures for the Renewables Portfolio Standard for Local Publicly Owned Electric Utilities (POU Enforcement Procedures). PCC2 electricity products must meet the statutory requirements of California Public Utilities Code section (b)(2) and the requirements of Section 3203(b) of the POU Enforcement Procedures. Island Energy has a full-load service contract with the Western Area Power Administration (WAPA), under which WAPA procures and schedules Island Energy s service load. Island Energy cannot use the energy portion of the electricity products associated with this proposal to serve its load. The expectation is that the energy portion will be liquidated when delivered to the CAISO grid. Island Energy is a WSPP member and the transaction can take the form of a Confirmation under Schedule R of the WSPP contract. WAPA has no involvement in this proposal. 3.0 Deal Structure As an outcome, Island Energy needs to receive the specified number of PCC1 and PCC2 renewable energy credits (RECs) transferred into its WREGIS account. Island Energy is not a scheduling coordinator or a Purchasing-Selling (PSE) entity. Therefore, it has no ability to match renewable certificates to NERC e-tags in the Western Renewable Energy Generation Information System (WREGIS). 3 The desired structure for transactions is for Island Energy to purchase fully qualified PCC1 and PCC2 bundled electricity products in the amount specified below from Seller during the delivery term. The energy portion of the product would be liquidated by the seller, on Island Energy s behalf, into the CAISO market and Island Energy would be invoiced for the amount after the CAISO credit for the energy portion. All RECs must be registered and matched through WREGIS and retain their PCC1 or PCC2 status when transferred into Island Energy s WREGIS account. Island Energy is open to other deal structures that will enable it to achieve its desired outcome at a competitive price. 3.1 Quantity Portfolio Content Category 1 Volume: 5277 Portfolio Content Category 2 Volume: Product Type Products must meet all PCC1 or PCC2 eligibility requirements. The eligible renewable energy resources must be registered in WREGIS. Energy generated and RECs have not been, and will not be, separately sold, marketed, reported, or represented as renewable energy, renewable electricity, clean energy, zero-emission energy, or disclosed in a similar manner. Proposals must comply with all applicable federal, state, and local laws. 3.3 Vintage and Terms Island Energy seeks quotes/offers for RECs associated with renewable generation representing contract year of 2015 and 2016 (CAL15 & CAL16). 3.4 Pricing Prices should be specified in U.S. dollars issued for the megawatt-hour of electricity generated from the specified facilities, inclusive of all applicable taxes, charges and services fees. The proposed REC price should be the net price for the bundled products after the CAISO credit. Please indicate any discount for volume and/or contract periods that are available. In addition, please specify any alternative or flexible pricing in your offer. RECs price means $.00 per MWh for PCC1 and PCC2 RECs transferred to Island Energy via WREGIS. 4 3.5 Delivery Term The term of this proposal should start from the anticipated contract start date and shall continue until the later of: (i) 11:59 pm Pacific time of June 30, 2016; or (ii) all delivery obligations involved by the parties have been satisfied. 3.6 RECs Registration and Certification Island Energy shall be the sole owner of the RECs transferred pursuant to any agreement resulting from this proposal. Seller is required to deliver to Island Energy a certificate that documents the actual production of RECs, in hourly form, that is delivered to Island Energy, based on metered and verified production of the RECs. The Seller must be a registered WREGIS account holder and have the ability to match RECs to its NERC e-tags and deliver them to Island Energy s WREGIS account. All NERC e-tags must comply with the WREGIS criteria. 4.0 Proposal Evaluation Criteria The following Factors shall be used by Island Energy in the evaluation of proposals submitted to this RFP: 1. Price 2. Resources Mix 3. Location of Eligible Renewable Energy Resource 4. Delivery Term 5. Range in the Quantity of RECs to be Included 6. Ability to Match and Transfer RECs to Island Energy s WREGIS account (required) 7. Respondent s creditworthiness Island Energy reserves the right to require additional credit requirements and to review and evaluate the creditworthiness of each respondent. Island Energy also reserves the right to make adjustments, as necessary, in the application requirements or the credit requirements. Request for Proposals for Renewable Energy Certificates Page 3

5 5.0 Schedule of Events Island Energy has the following anticipated sequence of events and tentative schedule dates for this process. All dates set forth in the chart below are subject to change at the sole discretion of Island Energy. 6 Respondent Information: Respondents should provide the following information when submitting a proposal: Legal name of the company or entity submitting the proposal Legal structure or form of the entity Physical address address Telephone Names and titles of individuals authorized to represent the respondent Renewable Technology Type: Respondents should clearly identify which of the following eligible renewable energy resource technology types are included in the proposal: Wind Geothermal, including all temperature gradient technologies Biomass, including dedicated waste feedstock or energy crops Biogas, including landfill, digester gases, and gas conversion or gasification technologies where the conversion to electricity occurs on the same premises as the source of fuel Hydro Solar including all photo-voltaic and photo-optic technologies where light is directly converted to electricity Solar Thermal, including all concentration technologies where a heat transfer medium is use to generate electricity Municipal Solid Waste (MSW) or Waste to Energy technologies that can demonstrate the absence of incineration and are able to obtain certification as a renewable resource by the California Energy Commission. Project Details: Respondents should clearly identify the proposed project, including the following information: Project Description: Project name, location, and phases if applicable Request for Proposals for Renewable Energy Certificates Page 5

7 Contract Quantity: In MW/year and by project phase if applicable, including nameplate rating and proposed amount of energy to be delivered. Island Energy should receive Capacity Benefits, System Resource Adequacy or Local Resource Adequacy, unless specifically excluded. Cost of Energy: Expressed in nominal $/MWh, and itemized by cost components, if applicable Cost of RECs: Expressed in nominal $/MWh, and itemized by cost components, if applicable Energy Availability: Maximum and minimum monthly capacity factors, seasonal shapes, reliability indices, dispatchability (by unit, if applicable), and scheduling requirements/limitations Point of Delivery (POD): Cost of transmission to a delivery point shall be included in the cost of energy to the following location: NP15 Gen Hub Environmental Attributes: Respondents must ensure that Island Energy receives all environmental attributes associated with the generating facility and the energy output including, but not limited to, RECs and air emission credits or offsets (e.g., Greenhouse Gas Credits at the location of the source and for the gross output of the plant or otherwise credited). Combustion: Proposals that involve combustion technologies must include details on the forecasted emissions, emissions controls, and compliance with applicable emissions regulations. Portfolio Content Category: Respondents must indicate which PCC the electricity products will be qualified as and how the Respondent would comply with the requirements of the RPS and the POU Enforcement Procedures. 8.0 Confidentiality All information provided by the respondents will be considered confidential. Island Energy will take reasonable precautions and use reasonable efforts to maintain the confidentiality of all application materials and RFP responses submitted. Prior to the selection of winning offers, respondents will be prohibited from (1) disclosing any information about their offers to other parties and (2) receiving information about competing offers from other parties. No party will disclose the terms or conditions of such agreements, except (1) to those persons who have a need to know and have agreed to keep such information confidential, and (2) to comply with any applicable law, rule, regulation, tariff, or court order consistent with the California RPS. 8 9. Reservation of Rights and Disclaimers Island Energy retains the right to determine, in its sole discretion the value to Island Energy and its customers of any and/or all proposals. Island Energy reserves the right to only negotiate with respondents whose proposals Island Energy determines, in its sole discretion, have a reasonable likelihood of being executed. In the event negotiations with respondent(s) do not produce a final and fully executed contract satisfactory to Island Energy, Island Energy reserves the right to pursue any and all other resource options available. Island Energy reserves the right, without qualification and in its sole discretion, to accept or reject any or all proposals for any reason and at any time after submittal without explanation to the respondent(s) or to enter into an agreement at any time with a respondent who, in the opinion of Island Energy will provide the most value to Island Energy s customers. Island Energy reserves the right to contract with other than the lowest price respondent or with other than the respondent evidencing the greatest technical ability, if Island Energy, in its sole discretion, determines that to do so would result in the greatest value to Island Energy s customers. Island Energy, in its sole discretion, may decline to enter into an agreement with any respondent(s), and may terminate negotiations with any respondent(s) at any time during the process. Respondents that submit proposals do so without legal recourse against Island Energy nor the directors, management, employees, agents, or contractors of Island Energy, due to (1) Island Energy s rejection, in whole or in part, or their proposal; (2) Island Energy s rejection, modification, delay, or withdrawal, in whole or in part, of this RFP; (3) failure to execute an agreement; or (4) any other reason arising out of this RFP. Island Energy shall not be liable to any respondent or to any other party, in law or equity, for any reason whatsoever relating to Island Energy s acts or omissions arising out of, or in connection with, the RFP process. Respondent(s) shall be liable for all of its own costs incurred to prepare, submit, or negotiate its proposal, definitive agreement, or any other activity related thereto.
