1 JOB DESCRIPTION POST: SALARY: HOURS: REPORTS TO: LOCATION: Corporate Governance Manager 40,000 per annum 45 hours per week Director of Compliance & Governance London with national responsibilities JOB SUMMARY To ensure that the organisation has effective integrated corporate governance arrangements in place. The role will incorporate the following key elements: Ensure organisation complies with the Care Quality Commission guidance, all supportive relevant legislation and regulations. Support further development of governance within the organisation. Have lead responsibility for maintaining the Governing Body Assurance Framework; As directed by the Board, further develop the Corporate Governance agenda; Support the development of the company s Information Governance Strategy and underpinning work plans; Main duties and Responsibilities 1. When required, establish and monitor procedures to ensure the organisation complies with the requirements of the Health and Social Care Act 2012 (CQC) and the current Terms of Authorisation, and that any amendments to these are acted upon. 2. Continually review all corporate governance and legislative issues which might affect the organisation, to ensure the Board are fully briefed and have regard to these matters when taking decisions. 3. Be responsible for ensuring that the organisation has robust policies, systems and processes in place which deliver sound governance, effective risk management and contribute to being a well-led organisation. 4. Take responsibility for maintaining the Governing Body Assurance Framework and support the Risk Manager to maintain the Corporate Risk Register, ensuring compliance best practice standards. 5. Develop, maintain and coordinate the regular review of the Assurance Framework through the CQSE committees of the organisation, maintaining a robust audit trail. 6. Support or lead corporate and special projects where required. 7. Support the Director of Compliance and Governance and the Head of IT on all matters relating to Information Governance including Freedom of Information, Data Protection, and Access to Health Records, Environmental Information Regulations, Records Management and Data Quality. 2 8. With the Head of IT support yearly submission of the Information Governance Toolkit assurance assessments including monitoring compliance levels. 9. Provide expert support to the CQSE Committee on Information Governance related matters. 10. Ensure national regulations and policies are implemented, supported by written policies and procedures, proportionate to the organisation s needs, in relation to all aspects of the corporate functions. 11. Be personally aware, and ensure that all corporate team staff are aware of the requirements of the Data Protection Act and Freedom of Information Act and maintain patient and staff confidentiality at all times. 12. Ensure currency of company policies and organizational Governance Lead for policy and procedure ratification, maintaining the organisation s policy and procedure library 13. Systematise processes to ensure all departments within the organisations are made aware of updates to ratified policies and procedures, as well as the introduction of new company documents. 14. Work with the Governance team to conduct audits of policy and compliance to standards, including liaison with internal and external auditors; 15. Ensure organisational policies and procedures are maintained on the QAF ISO9001 management system 16. Undertake Management Reviews in accordance with the requirements of ISO9001 to assess compliance against company policies. These will be determined by the Managing Director in consultation with the board. 17. To own and manage a portfolio of activities shared across the division including (but not limited to) the following: a. Risk Register To monitor, review and update the organisation s Risk Register and Risk Policy, support the Risk Review Group meeting, report changes to identified risks to the Senior Governance team b. Audit To maintain an overview of the organisation s audit reports and recommendations and any associated risk to the organisation. To work with managers to ensure that outstanding recommendations are completed within deadline. Coordination of updates to Audit Committee as and when required. c. Business Continuity To oversee and manage regular updates to HLT s Business Continuity and Incident Management Plan and to provide clerking & business support to HLT s Incident Management Team d. ISO - To monitor quality systems and initiate appropriate actions in order to meet standards in order to maintain ISO9001 and other QM standards held by the organisation at the time. 18. In conjunction with the Director of Human Resources, develop, implement, and keep under review arrangements for the induction of new employees. Identify and address the individual and collective development needs of individuals, and provide advice and support regarding the discharge of their duties. 19. Any other duties consistent with the role that may be required by the Director of Compliance and Governance. 3 Health & Safety & Risk Management 1. Ensure a safe working environment is maintained in accordance with the Health & Safety at Work Act 2. To ensure all staff accidents and accidents to others are reported in accordance with HSE RIDDOR reporting requirements via the company s appointed officer. 3. Ensure that staff work to the organisations Safe Systems of Work Organisational Standards 1. Ensure staff maintain high staff standards of operational Work wear in accordance with the organisations Work wear policy. 2. Ensure that Standing Operational Procedures contained as part of the organisations ISO9001 are maintained and adhered to by all staff. 3. Consider and implement cost efficiencies and carbon footprint reductions as part of the organisations ISO14001 Environmental policy i.e. switch off lights not being used, reduce thermostats where possible. 4. Ensure adherence with the Data Protection Act by ensuring all staff comply with the organisations ISO27001 Information Security Policy. General 1. To ensure that statutory regulations and organisational policies and procedures are implemented and adhered to at all times 2. To take part in staff development programmes and annual development reviews and/or undertake further training if and when required 3. To act at all times in a manner consistent with legislation, policy and procedures in respect of Equality and Diversity 4. To work to the values of the organisation and display high standards of integrity and professionalism towards clients and colleagues 5. To continuously develop and update own knowledge and skills within the job role and contribute to setting own work objectives. 6. To demonstrate excellent communication and interpersonal skills in order to work effectively with clients and colleagues at all levels both internally and externally. 7. To plan and organise own workload within tight timescales and to set and work to agreed objectives. 8. To undertake any other duties relevant to the post as may be assigned from time to time which are consistent with the post. The post holder must work within the confines of the said and stated Standard Operating Procedures (SOPs). In addition the post holder must ensure that the above responsibilities are achieved as well as other duties and tasks as allocated at the discretion of the line manager (who represents the company) are within the post holder s capabilities and within the scope of the post. The organisation reserves the right to review the post holder s performance on a regular basis and it is expected that unless prevented by ill health the Page 3

Educated to postgraduate diploma or equivalent level of experience of working at middle manager level in a governance role 2. Evidence of sustained continuing professional development 3. Knowledge of legal and regulatory requirements of CCG authorisation 4. Comprehensive understanding of the NHS and its infrastructure, as well as the background to and aims of current healthcare policy 5. Experience of servicing boards and committees 6. Experience of board and corporate governance systems 1. Must be able to provide and receive complex, sensitive or contentious information, negotiate with senior stakeholders on difficult and controversial issues, and present information to large and influential groups 2. Negotiate or challenge on difficult issues including performance and change 3. Demonstrate capability to plan over short, medium and longterm timeframes and adjust plans and resource requirements accordingly 4. Problem solving skills and ability to respond to sudden unexpected demands 5. Ability to analyse complex facts and situations and develop a range of options 6. Strategic thinking ability to anticipate and resolve problems before they arise 7.
