4 Partner license usage guidelines You can use the Partner license for Internal research and development purposes Running your own site (limits apply) For customer/prospect demonstrations Only with prior written notice from Sitecore The development and maintenance of Sitecore Solutions for Customers Only when a customer already owns a valid Sitecore license You cannot use the Partner license for Working on a client s solution before the client has purchased a Sitecore software license (i.e. before they are a Customer ) Building a Proof of concept without written notice from Sitecore Providing a Customer access to the Partner License 4

Each Solution Partner will be entitled to a single Partner License as set forth in this Section 12. For the avoidance of doubt, regardless of how many Local Country Agreements the Solution Partner may enter into, only one Partner License will be granted to the Solution Partner Grant of Partner License. Sitecore shall provide each Solution Partner with a license key for a Partner License. Instructions for how to access the license key are available on the Sitecore Partner Portal. The Partner License is granted under the terms and conditions of this Section 12 and the terms and conditions of the then-current Sitecore Solution Partner Limited License Agreement (the current version of which is set forth on the Sitecore Partner Portal), and allows for use of the Sitecore Products (for sake of clarity expressly excluding the Sitecore Cloud Services) exclusively for the Permitted Usage (as that term is defined in this Section 12 below). The Solution Partner may make a reasonable number of copies of the Sitecore Products as necessary for backup, delivery to Solution Partner facilities, and archival purposes, so long as these copies are used in accordance with the terms and conditions of this Agreement Expiration, Validity and Termination. The Partner License expires one year from being issued, and upon each expiration the Solution Partner may request a new Partner License from Sitecore, which request shall not be unreasonably refused by Sitecore. Furthermore, the Partner License will be valid only for so long as the Solution Partner is acting in accordance with this Agreement, where Sitecore may terminate the Partner License in its sole discretion Permitted Usage. The Permitted Usage for a Solution Partner is defined as and limited to (i) the development and maintenance of Sitecore Solutions for Customers, (ii) internal research and development purposes, (iii) upon prior notification to Sitecore, and exclusively in conjunction with APIOs, to conduct demonstrations of the Sitecore Products using its qualified personnel, where the Solution Partner may make a reasonable number of server installations of the Sitecore Products for the Permitted Usage, and (iv) management of Solution Partner s own web properties for up to one (1) public-facing website* on up to four (4) production delivery and/or management Server installations No Customer Use. The Eligible Partner Entity shall not allow any use or access of Partner License by a Customer. *In case of discrepancy, terms published in SPN supersede any information in this document, or elsewhere
