The engagement letter is required to be signed and returned to our office before we can begin your tax return. You may mail, fax, or scan and the letter to us. The 2014 corporate income tax returns are due on March 16, The 2014 partnership and trusts tax returns are due on April 15, In order to meet the Corporate, Partnership and Trusts filing deadlines your completed tax organizer and accounting information needs to be received no later than February 9, Any information received after this date may require that an extension of time be filed for this return. We encourage you to collect the necessary information as soon as possible. If your information is missing a few items, such as a Schedule K-1 from a pass-through entity or a final 1099, please provide us with all of the information you have received by February 9 th and send the missing information as soon as it is available. CORPORATIONS ONLY: If an extension of time is required, any tax that may be due with this return must be paid at the time of extension through the EFTPS system. Any taxes not paid by the filing deadline are subject to late payment penalties and interest. Building together.

We appreciate the opportunity to work with you to do just that. To ensure an understanding of our mutual responsibilities, we require that you confirm the following arrangements. Please sign the engagement letter and return to our office. We will prepare your 2014 federal and requested state income tax returns from information that you will provide us. We will not audit or otherwise verify the data you submit, although it may be necessary to ask you to clarify some information. We furnish the enclosed checklist and organizer for information gathering, as a way to minimize your fee and prepare a complete and accurate return. This engagement does not cover the preparation of any tax returns not listed in the letter, the preparation of financial statements, or any other services, which, if we are to provide, will be covered under a separate engagement letter, if required. You are responsible for providing all information needed to prepare complete and accurate returns. You should retain all documents, cancelled checks and other data that are the basis for your income and deductions. These may be needed to prove the accuracy and completeness of the returns to a taxing authority. Our work in preparing your income tax returns does not include procedures designed to discover defalcations or other irregularities, should any exist. We will render such accounting and bookkeeping assistance as needed to prepare the income tax returns. If, during our work, we discover information that affects prior-year tax returns, we will make you aware of the facts. However, we cannot be responsible for identifying all items that may affect prior-year returns. If you become aware of such information during the year, please contact us to discuss the best resolution of the issue. We will be happy to prepare appropriate amended returns as a separate engagement. We will use professional judgment to resolve questions where the tax law is unclear, or where conflicts exist between the taxing authorities' interpretations of the law and other supportable positions. Unless instructed otherwise, we will resolve such questions in your favor whenever possible. You are ultimately responsible for your tax returns. You should review them carefully before you sign them. The law provides various penalties that may be imposed when taxpayers understate their tax liability. Federal regulations also impose significant penalties on us if we are associated with a return that takes a position that has no Building together.

3 realistic possibility of success if audited. Some items may require special disclosure to protect you and us from penalties. We will consult with you about any special disclosures we believe necessary. The firm may from time to time, and depending on the circumstances, use third-party service providers to assist in preparing your return, but these preparers will not make substantive decisions concerning your return. We may share your tax return information with these service providers, but remain committed to maintaining the confidentiality and security of your information. Accordingly, we maintain internal policies, procedures, and safeguards to protect the confidentiality of your personal information. In addition, we will secure confidentiality agreements with all service providers to maintain confidentiality of your information and we will take reasonable precautions to determine that they have appropriate procedures in place to prevent unauthorized release of your confidential information to others. In the event that we are unable to secure an appropriate confidentiality agreement, you will be asked to provide your consent prior to the sharing of your confidential information with the third-party service provider. Furthermore, the firm will remain responsible for the work provided by any such third-party service providers. However, we will not disclose any tax return information to third parties without your express written consent. In accordance with federal law, in no case will we disclose your tax return information to any location outside the United States, to another tax return preparer outside of our firm for purposes of a second opinion, or to any other third party for any purpose other than to prepare your return without first receiving your consent. We will provide Electronic Filing of individual returns if available. Our fees for tax services will be based in part upon the amount of time required at our standard billing rates for the personnel working on the engagement, plus out of pocket expenses. All invoices are due and payable upon completion of the return. Work required over an extended period will be subject to progress billings. Retainers will be required from new clients and, at our option, from others with poor payment history. Outstanding balances must be paid in full before we can accept any 2014 tax documents. (Amounts unpaid after 30 days will incur a late fee of 1% per month. Insufficient funds checks returned to us by the bank will incur an additional $75 fee, and overdue accounts will be billed for attorney fees and collection and court costs, as incurred.) We do not keep any of your original records, so we will return those to you upon the completion of the engagement. When records are returned to you, it is your responsibility to retain and protect the records for possible future use, including potential examination by governmental or regulatory agencies. Your returns may be selected for review by the taxing authorities. Any proposed adjustments by the examining agent are subject to certain rights of appeal. In the event of an examination, we will be available upon request to represent you. Unless you qualify for our audit protection program and pay the additional fee within thirty days of billing, we will render additional invoices for the time and expenses incurred in representing you. If you pay the optional audit protection service fee, we will represent you on any IRS correspondence or examination regarding this return. This program does not cover additional 2014 Business Engagement Letter

4 amounts assessed by the IRS nor any legal fees for matters taken to tax court or court of appeals. Should you have any questions about the program, please ask any team member. Certain communications involving tax advice are privileged and not subject to disclosure to the IRS. By disclosing the contents of those communications to anyone, or by turning over information about those communications to the government, you, your employees, or agents may be waiving this privilege. To protect this right to privileged communication, please consult with us or your attorney prior to disclosing any information about our tax advice. Should you decide that it is appropriate for us to disclose any potentially privileged communication, you agree to provide us with written, advance authority to make that disclosure. Should we receive any request for the disclosure of privileged information from any third party, including a subpoena or IRS summons, we will notify you. In the event you direct us not to make the disclosure, you agree to hold us harmless from any expenses incurred in defending the privilege, including, by way of illustration only, our attorney s fees, court costs, outside adviser s costs, or penalties or fines imposed as a result of your asserting the privilege or your direction to us to assert the privilege. We have the right to withdraw from this engagement if you do not provide us with any information we request in a timely manner, refuse to cooperate with our reasonable requests, or misrepresent any facts. Our withdrawal will release us from any obligation to complete your return and will constitute completion of our engagement. You agree to compensate us for our time and out-of-pocket expenses through the date of our withdrawal. You delight us with the confidence you show by giving us the privilege of working with you! 5 YEAR END CHECKLIST AND ORGANIZER Please provide all of the following. Mark N/A next to any item that is not applicable Signed engagement letter Completed Checklist and Organizer Make sure you have posted all of the prior year journal entries into your accounting system We will need an accountant s copy of your QuickBooks file. If you are using another program, please print to PDF or export to excel a balance sheet, profit and loss statement, trial balance and general ledger. Last bank statement as of your fiscal year-end Last bank reconciliations and brokerage statements as of your fiscal year-end Inventory as of your fiscal year-end. Verify your accounts receivable aging as of your fiscal year-end and make any necessary corrections. Please provide a copy of the final accounts receivable aging report. Computers, equipment and furniture purchased during the year, including copies of invoices and complete Fixed Asset Listing on last page New equipment leases provide copy of lease agreement Employee loans and other loan receivables - verify balances and adjust if necessary. Verify your accounts payable aging is correct as of your fiscal year-end and make any necessary corrections. Please provide a copy of the final accounts payable aging report. Credit cards - provide statements and reconciliation showing fiscal year-end charges Retirement plan - provide dates and amounts of contributions during the year as well as after year-end. TDA and Census Reports. Include any plan documents amended or adopted at year-end. Loans payable - provide loan history showing balance(s) as of your fiscal year-end. Miscellaneous and uncategorized expenses - verify there is no balance in these accounts. If there is, provide us detail with a description of the purpose of the items in these accounts. Changes in shareholders, partners, board members or officers during your fiscal year. Dates, amounts and check numbers for any estimated tax payments made to federal or state

6 Copy of payroll reports: TWC and 941 for all 4 quarters, Form 940, W-3 and W-2s as of your fiscal year-end or you can request that your payroll service give us access to online reports Payroll summaries for your fiscal year if you do not prepare payroll through Quickbooks Travel and Entertainment please separate Meals & Entertainment from other travel expenses. The IRS applies stricter record-keeping responsibilities to items included in travel, meals and entertainment expenses. In preparing your return(s), we rely on your representation that you accept your responsibility for understanding and complying with the documentation requirements for these expense deductions. Credit Card payments - make sure credit card payments are broken out by individual credit card charge to each expense category and not entered as a lump sum amount. Company vehicles usage (date placed into service, who used the vehicle, business, commuting, other personal miles, whether leased or purchased). Copies of any Schedule K-1s received. Copies of sales tax reports as of your fiscal year-end. Detailed information of health insurance premiums paid for employees and families to determine eligibility for health insurance credit. (See worksheet included for more information). Did you issue all required 1099s? YES NO o Provide copies of 1099s issued and 1096 filed. Deadline for W-2s and 1099s to be distributed to employees, vendors, etc. Deadline for corporate tax information submission to prepare Form 1120 & Form 1120S, and for partnership and trust tax information submission to prepare Form 1065 & Form Healthcare Marketplace Open Enrollment deadline. You generally can t buy Marketplace health coverage for 2015 until the next Open Enrollment. Deadline for paper W-2s and 1099s to be sent to Social Security Administration and Internal Revenue Service, respectively. Deadline for tax Form 1040 information submission. Corporate tax deadline for calendar-year corporation returns or extensions. Individual Tax Extension Request Forms due in our office if extension needed. Extension checks payable to the United States Treasury are due in our office if to be mailed by us with your extension. Personal Property Tax Renditions or 30-day extension request due to the Bexar Appraisal District. 5 Trust, partnership and individual returns (or an automatic extension) must be postmarked by today. First quarter 1040-ES payment for year 2015 is due IRA funding deadline. Our office will close at 11 am. April 16 May 15 June 15 Our office will be closed. Annual Texas Franchise Reports and Property Tax Renditions on Extension Due. Second quarter 1040-ES payment for year 2015 is due Form 1040NR is due. June 30 July 31 Report of Foreign Bank and Financial Accounts is due Deadline to file Form 5500 for retirement and employee benefit plans. -OVER

10 August 3 August 17 September 4 September 15 Deadline for corporate, partnership and trust tax information submission to prepare Forms 1120, 1120S, 1065 and 1041 by extended due date of September 15. Texas Franchise 2 nd extension is due for taxable entities required to use Electronic Funds Transfer (EFT). Deadline for individual appointments and tax information submission to prepare Form 1040 by October 15. Calendar year corporate, partnership and trusts returns on extension are due. Third quarter 1040-ES payment for year 2015 is due. October 1 Deadline for establishing SIMPLE plan for existing business for October 15 Final due date for individual tax returns on extension.
