Breakdwns in a party s effrt t cllect and prduce electrnic recrds can all t quickly cme t dminate a lawsuit, ptentially undermining its substantive merits befre even the first fact depsitin is taken in the case. 6 And even in the best f circumstances, the csts assciated with a large scale, multi-millin dcument prductin can be staggering. 7 Mre, as any seasned litigatr will tell yu, in any case invlving the prductin f a significant vlume f electrnically stred infrmatin (r ESI ) yu are almst assured f running int cmplicatins, set-backs, and delays. While such prblems may prve t be nthing mre than a passing aggravatin, even minr issues can rapidly snwball int majr prblems that cnsume inrdinate amunts f time and mney t remedy, while simultaneusly damaging the credibility f bth client and cunsel by the curt, and pssibly even resulting in the impsitin f sanctins. As curts becme increasingly frustrated and impatient with respect t the prductin (and use) f ESI in litigatin, the cllectin, prcessing, review, hsting, strage, and prductin f electrnic recrds and infrmatin is simultaneusly becming increasingly cmplex and demanding, cnsuming ever mre time and resurces. In such an envirnment, resrt t the technical expertise and resurces f utside discvery vendrs and cnsultants can be an

2 B-2 E-DISCOVERY 2009 essential investment fr a litigant, as evidenced by the dramatic expansin in e-discvery businesses in recent years a trend that is expected t cntinue fr the freseeable future ntwithstanding the current ecnmic malaise. As with any vendr relatinship, ensuring that yu will get quality wrk prduct rendered in a timely and cst-effective manner frm an utside e-discvery cnsultant requires careful planning and practive management. It starts with due diligence in talking with the vendr t assess its areas f expertise. Next, it requires cunsel t versee cnversatins amng peple with the right expertise at the vendr and client t assess what needs be dne and the prblems that may be encuntered. 8 A well cnceived written cntract with a thughtful, flexible prject agreement r statement f wrk can be a useful tl in helping t facilitate a well-crdinated and disciplined apprach t the demands f e-discvery. A clse wrking relatinship amng the vendr, cunsel, and the client is critical as well. The cmbinatin f the plan and the cllabratin are essential t handling challenges frm ppnents, the curt, and even clients and t aviding breakdwns in the relatinship. E-discvery prjects are as varied as the clients and cases t which they relate. By the same tken, e-discvery vendrs and the nature f the vendr relatinship are incredibly varied. Vendrs ffer a brad spectrum f appraches, expertise, and resurces, while vendr relatinships may be preferred r exclusive; invlve services, sftware r bth; and apply t a single case, a defined type f litigatin r a specified term. Structuring a sund cntractual relatinship with an utside vendr requires that yu have a slid grasp f the nature and scpe f the prject at hand. Nt nly will this infrmatin allw yu t identify and address ptential prblems befre they arise, it will als help ensure that yu select the right vendr fr the jb. In larger cases, a cllabrative apprach can be an invaluable tl fr identifying critical path items and ptential cmplicatins, as well as the right vendr fr the jb. Once yu knw the what and the wh, yu need t determine the hw. This includes cnsideratin f a brad spectrum f factrs, including anticipated deadlines, demands, user access requirements, technlgy supprt needs, evidentiary cnsideratins, data security, risk management cncerns, and the like. Clearly identifying the rle, needs, and respnsibilities fr each interested cnstituency in the prject vendr, cunsel, and client as early as pssible is an essential cmpnent f any successful e- discvery strategy. But even with all f this infrmatin in hand, fashining a vendr cntract that captures the elements and nuances f a particular e-discvery prject in a manner that adequately prtects the vendr, the lawyers, and the client is n small task, especially in a trying ecnmic envirnment. The vendr cntract needs t fit the prject; there is n n-size-fits-all frmat r apprach. Nnetheless, there are cmmn tpics and questins that need t be cnsidered every ABA-CLE

Fllwing is a brief summary f many f the basic areas f cncern in mst vendr relatinships, tgether with examples f the types f questins that ught t be asked and answered as yu prepare the vendr cntract. I. PROJECT SCOPE Obviusly it is impssible t anticipate every need and issue that may arise during the curse f discvery. Litigatin is a dynamic and ften reactive enterprise, and e-discvery is subject t all f the same vagaries and unpredictabilities as any ther aspect f litigatin practice. Nnetheless, it is usually pssible t articulate brad parameters fr mst e-discvery prjects. Ding s requires cnsideratin f the fllwing issues: Will the prject r particular phases in the prject likely t be subject t significant time cnstraints? What is the vlume f data likely t be invlved? What types f data are expected t be invlved ( , electrnic files, databases, vic , instant message, picture frmats, paper)? What types f strage media are anticipated? Are there any unique strage media cncerns r issues? Will unusual r utdated strage media need t be mined? What staff resurces can the client prvide? Can the vendr scan, OCR and prcess up t n-bxes f paper dcuments cllected frm the client, t? What are the vendr s csts and capabilities fr unitizatin and bibligraphic cding? II. PROJECT REQUIREMENTS Once yu have a sense f the scpe and parameters f the prject, the next step is t develp an inventry f the tasks and tls that will be needed t get the jb dne in an efficient and cst effective manner. Hw will passwrd-prtected files and ther exceptinal items be handled? Hw will data integrity be preserved during the extractin prcess? In particular, hw will the relatinship between s and their attachments be preserved? Will strage media imaging be required? Is data recvery r frensic analysis likely t be required? Hw will de-duplicatin be handled? What are the requirements fr data prcessing (What metadata needs t be captured? What frm f unique recrd identifier will be used things (like the ntes sectin f PwerPint slides, hidden clumns r rws n Excel spreadsheets, and Excel frmulas))? Hw and where will data be stred? Hw will data be made available t cunsel and/r the client? What types f filtering tls and search technlgy may be implemented? Hw and by whm will the data be reviewed?? Hw will data be rganized r cded?
