1 Solicitor and Referral Compensation Program Purpose: Leverage each referral participants practice to develop new client opportunities, leverage existing clients and participate in two-way revenue sharing as appropriate. Prospect Management - Roles & Responsibilities Qualify prospective client in terms of cash flow goals, net worth composition, risk tolerance, and Options trading experience. Position minimum account requirement. Forward completed Referral Registration Form (attached) to QFA in advance of 1 st QFA meeting. Provide client with QFA marketing materials in advance of 1 st QFA meeting. Attend initial QFA meeting with prospective client. Solicit client feedback post QFA meeting. Page 1

2 QFA,LLC Investment Advisory Fee Schedule QASH Flow Advantage Programs The QASH Flow Advantage program focuses on matching your investment parameters with an option trading strategy that meets your goals and objectives, risk tolerances and time frames. Our option trading strategies may or may not include a combination of the following programs depending on your qualifications. Core Program OBJECTIVE The Core Program is a neutral to moderately bullish strategy. The Core Program is designed to generate income in exchange for assuming the obligation to sell, or risk of selling, your equity position at a specified price generally at a price slightly higher to moderately higher than where the stock is currently trading. MANAGEMENT FEE The Core Program seeks to generate income from the premiums received from option contract sales, dividend income, and equity appreciation. Style: Strategic and Structured Account Minimum: $500,000 Annual Fees: Up to $499, % $500,000 to $999, % $1,000,000 to $1,999, % Over $2,000, % Asset Secured Option (ASO) Program OBJECTIVE The ASO Program is a more tactical neutral to bullish strategy where we have an opportunity to increase your return by a few percentage points when compared to the Core Program. In addition to using the Core Program strategies, the ASO Program typically adds the selling of a cash/asset secured Naked Put, in which the secured assets are utilized in the event the Put is assigned (sold) to you. The sale of a Put is initially designed to create income; however if exercised, the Put can provide an additional opportunity to acquire the equity security at a lower price than the current market. MANAGEMENT FEE The ASO Program seeks to enhance income returns using secured uncovered call/put options and/or spread options. Style: Aggressive and Tactical Account Minimum: $500,000 Annual Fees: Up to $499, % $500,000 to $999, % $1,000,000 to $1,999, % Over $2,000, % Page 2

3 Referral Compensation Structure To: Referral Partner 1 st Year Referral Fee payable quarterly, upon QFA billing the client in January, April, July, and October. Referral Fee is a percentage based on the QFA,LLC s Fee collected from the Client as follows: Up to $499, % $500,000 to $999, % $1,000,000 to $1,499, % Over $1,500, % Years 2-5 Referral Fee: Twenty Five (25) % of the Referral Fee percentage listed above, based on the actual QFA,LLC Fees collected from the Client in Years 2-5. Referral fee is payable in January, April, July, and October. Referral compensation for additional Client deposits to QFA,LLC would be entitled to both the Year 1 Referral Fee, as well as Years 2-5 (commencing from the date of the additional deposit). If the Client withdraws Assets and/or leaves the QFA,LLC program, no further Referral Fees will be payable. Fees due for the quarter will be pro-rated. To: QFA,LLC Source: Compensation generated through the referred sale of Insurance and Annuity product commissions, non-qfa Assets Under Management (AUM) Fees, etc. 1 st Year Referral Fee: 20% of the 1st Year Commissions and/or Fees earned by the Referral partner on referred Insurance, Annuity Product sales, and all non-qfa AUM fees, as well as Investment Advisory Services including financial planning. 4 Year 2-5 Referral Fee: 25% of 1 st year Referral Fees collected Source: Compensation generated through the trailing commissions and fees collected on the sale of referred Insurance, Annuity Product sales, and all non-qfa AUM fees, as well as Investment Advisory Services including financial planning. If the Client lapses or cancels an Insurance policy and/or annuity, no further Referral Fees will be payable. Likewise, if a Client withdraws funds from the Referral Partner s management, no further Referral Fees will be payable to QFA,LLC on those withdrawn assets. Fees due for the quarter will be pro-rated. Co-Operative Marketing QFA,LLC and its Referral partners may conduct joint marketing events (i.e. seminars, workshops, etc).
