2 A. INSTRUCTION TO THE APPLICANTS 1. Application of the interested firms must include: i) Name of the Principal Firm with address. ii) Name of the Associated Firm [if any] with address. iii) Cable,Fax, Telephone Nos. address etc. iv) Association/ Joint Venture Agreement, if EOI is submitted by an association or a Joint venture without the agreement, then the firm will not be considered for Shortlisting. v) The name of the persons /Directors of the firms and corporate profile of the firms. vi) List and qualification of the key-personnel of the Firm/ Association/ Joint venture (Appendix-3). The proposed fields of expertise for the said Technical Assistance service would be at least the followings: a. Team Leader b. Project Coordinator c. Mechanical Engineer d. Electrical Engineer e. Instrumentation and Control (I&C) Engineer f. Civil Engineer g. Commissioning Engineer h. Environment Expert vii) List and qualification of the Management/ Administrative personnel of the Firm/ Association/ Joint venture (Appendix-4). viii) Identity, Structure, Organisation of the firms including copies of the documents defining the constitution or legal status, place of registration and principal places of business and /or principal offices of the company /firm. ix) Audited Financial Reports of the last five years. x) Competent consulting firms must have qualification and overseas experience in consulting services at least 300 MW Combined Cycle Power Plant Project (single contract) during last 15 years. Organization background, and experience of the Firms/Consortia/ Association for the purpose of providing the Expert personnel for this service. A list (in the format shown in Appendix-2) of past and present Major work of similar nature carried out or being carried out by the firm if any, is to be submitted. xi) Name, age, background, employment records and detailed professional experience of each expert to be assigned for providing the proposed services, with particular reference to the kind of experience required for the project. Certificate(s) of academic qualification in line with the requirement must be submitted with the CV. A copy of the CV format is attached as Appendix-1. CV shall be signed by the respective person. xii) All documents related to commercial justification viz, trade license, TIN, Bank solvency certificate, certificate of incorporation in case of limited company. xiii) Financial statement for last 05 years (Appendix-5). xiv) Company Brochures summarising their facilities and areas of expertise. xv) EOI document sealed & signed by applicant firm. 2

Any further query which the intending expert service providers may have concerning the assignment made by letter, fax shall have to be received not later than 07 (seven) days before closing date. But any delay by BPDB in providing such additional information will not be considered as a reason for extending the submission date. Motijheel Commercial Area Dhaka Applicant must submit information using the attached table/ format [Appendix -1 to 5] with the document. 4. The applicant must furnish information as per Evaluation Criteria set in the "Short listing of Consulting Firms" Any ambiguity in furnishing information may lead to negative impact on the evaluation of EOI for which BPDB should not be held responsible. 5. EOIs may be submitted by a firm, association, or a joint venture. For short-listing purposes, the combined experience of an association or a joint venture will be evaluated although the qualifications of the lead firm will be given a greater weight. 6. No expert service provider shall engage in: a) a corrupt practice, which shall mean giving or promising to give directly or indirectly,to any officer or employee of BPDB a gratuity in any form an employment or any other thing or service of value, as an inducement with respect to an act or decision of, or method followed by, BPDB in connection with the procurement proceedings or contract execution; b) a fraudulent practice, which shall mean a misrepresentation or omission of facts in order to influence the procurement proceedings or the execution of the contract; c) a collusive practice, which shall mean a scheme or arrangement between two or more consulting firms,with or without the knowledge of BPDB, designed to rig price thereby denying BPDB from the benefits of genuine competition; and d) a coercive practice, which shall mean harming or threatening to harm, directly or indirectly,persons or their property to influence the procurement proceedings, or affect the execution of contract. 7. If any of the information provided by the applicants prove false during the course of evaluation, the firm will be rejected from short-listing. 8. EOI shall be submitted in 01 original and 05 copies in sealed envelope. All the papers/ documents shall be submitted in English language. If any paper/ document is submitted in a language other than English or Bangla, notarized translated English true copy shall have to be enclosed with that paper/ document. 3

SHORT LISTING OF Consulting Firms The assessment of an Applicant s qualifications shall review the following information requested in the Expressions of Interest to determine appropriateness for the assignment, using a qualification scale (not marking) of Excellent, very Good, Good and poor to determine the best combination of qualified Applicants (a) brochures submitted by the Applicants summarising their facilities and areas of expertise; (b) descriptions of similar assignments; (c) experience in similar operating environments and conditions; (d) availability of appropriate experience and professional qualifications among Applicant s staff and adequate resources to carry out the assignment; and (e) managerial strength and financial capacity. Required Qualification and Other Criteria of Consultant: Foreign Consultant: Sl. Name of the field Required Academic Qualification & Experience 1. Team Leader Minimum graduation in Mechanical Engineering and minimum 15 years of job experience in the field of Drawing design approval; Supervision of Erection, Testing & Commissioning of Power Plants. One of the Power Plants must be at least 300 MW Combined Cycle Unit. 2. Mechanical Engineer Minimum graduation in Mechanical Engineering and minimum 10 years of job experience in the field of Drawing design approval; Supervision of Erection, Testing & Commissioning of Power Plants. One of the Power Plants must be at least 300 MW Thermal or Combined Cycle Unit. 3. Electrical Engineer Minimum graduation in Electrical Engineering and minimum 10 years of job experience in the field of Drawing design approval; Supervision of Erection, Testing & Commissioning of Power Plants. One of the Power Plants must be at least 300 MW capacity any type Power Plant Unit. 4. Instrumentation and Control (I&C) Engineer Minimum graduation in Electrical Engineering/ Electronic or Control Engineering and minimum 10 years of job experience in the field of Drawing design approval; Supervision of Erection, Testing & Commissioning of Power Plants. One of the Power Plants must be at least 300 MW Thermal or Combined Cycle Unit. 5 Civil Engineer Minimum graduation in Civil Engineering and minimum 10 years of job experience in the field of Drawing design approval; Supervision of Erection, Testing & Commissioning of Power Plants. One of the Power Plants must be at least 300 MW capacity any type Power Plant Unit. 6. Commissioning Engineer Minimum graduation in Mechanical Engineering and minimum 10 years of job experience in the field of Supervision of Testing & Commissioning of Power Plants. One of the Plants must be at least 300 MW Combined Cycle Unit. 7. Environment Expert Minimum graduation/ masters in Environment related subject and minimum 10 years of job experience in the environment related issues of Power Plant construction projects. One of the Power Plants must be at 300 MW capacity any type Power Plant Unit. 4

6 C. TERMS OF REFERENCE (TOR) For the installation of Ghorasal 365 MW (Former MW) Combined Cycle Power plant, Bangladesh Power Development Board (BPDB) signed turnkey EPC contract with China National Technical Import & Export Corporation (CNTIC) and China National Machinery Import & Export Corporation (CMC) (CNTIC-CMC Consortium). This project will be implemented by Tenderer s financing [Buyer s credit for Industrial & Commercial Bank of China (ICBC)]. EPC contract was signed on and financial agreement is expected to be signed soon. Power of the proposed plant will be evacuated through the existing 230 KV grid substation. Ghorasal 365 MW CCPP Project site is located in Palash, Ghorasal, Narsingdi. It is estimated that the tenure of the Ghorasal 365 MW Combined Cycle Power plant construction Project is 900 Days (including simple cycle completion time 660 days) for turn-key contractor. After completion of the project by the turn-key Contractor, 24 months warranty period will be started. EPC contract will be effective after signing of financial agreement with the lender. It is expected that EPC Contract for the proposed Ghorasal 365 MW Combined Cycle Power plant construction Project will be effective from December 2013 and consulting service will be required after effectiveness of the EPC Contract. Scope of the Services The consultant's service has to consider this particular situation in which it would be rather difficult to put much influence on the design of the equipment ordered. However efforts will be put on the review of design and timely completion of the project and optimized operation of the power station. The consultant will arrange certain procedures with regard to communication, distribution of documents, numbering, etc. to be followed by all parties involved provided such procedure is approved by BPDB. Head Office: Back-up service for Site office Site Office: The scope of the proposed consultancy service in fields of mechanical, electrical, instrumentation & control, civil and Environment engineering shall include but not be limited to the following: Checking and Approval of Design Calculations, Drawings and Specifications submitted by the Turnkey Contractor in respect of all Electrical, Mechanical, Instrumentation & Control, Water storage & treatment Equipment, Civil works and Ancillaries Under the Scope Of Turnkey Contract; Supervision of Erection Work of all Electrical, Mechanical, I&C and Civil works; Evaluation, Review and Approval of The Field Test Methods Submitted By The Turkey Contractor For Electrical, Mechanical, I & C, Water storage & treatment Plants and their Auxiliaries, Witnessing of the Test at Various Phases of Work; Witnessing of Factory Tests /To attend Pre shipment inspection/ To attend Post landing inspection along with BPDB representatives, if any and submit the reports to the competent authority of Board; 6

7 Examine and approve the method for testing, pre-commissioning, commissioning procedures (submitted by the Turnkey Contractor); Assisting BPDB Testing And Commissioning Team, if Such a Team is constituted, during Pre-Commissioning/ commissioning Tests and Preparing Recommendations for Board's Acceptance of the Plant; Checking/Witnessing of Start-up and Trial Operation, Initial Commercial Operation and Performance Tests of the Power Plant (to be carried out by the Contractor) in association with BPDB Engineers and submission of detailed report; Assisting BPDB in Providing the Contractor with Provisional Acceptance Certificate and Final Acceptance Certificate; Checking and approval of all Electrical, Mechanical, Civil and I&C "As Built" Drawings Submitted by the Turnkey Contractor. Checking and Approval of Training Documents Submitted by Turnkey Contractor and advising BPDB relating to the Suitability of the Training Documents as per Programme; Checking Various (Technical, Progress and Test Reports Etc.) and similar Documents to be Prepared and submitted by the Turnkey Contractor during execution of the Erection work and keeping BPDB informed of the actual Progress of the Work. Studying and Submitting Comments on Operation and Maintenance Manuals of Plant Equipment Submitted by Turnkey Contractor and Correcting the Manuals as Necessary. Establishing in Consultation with BPDB a Procedure for Checking and Approval of Invoice for Payment of the Turnkey Contractor and certifying the same for further necessary action by concerned Project officials. Arranging Periodical Co-Ordination Meetings with BPDB and Contractor and submitting the Reports of the same to BPDB and Contractor. Checking the Monthly/Quarterly Progress Reports submitted by the Turnkey Contractor and Preparing Comments on them. Assisting all Concerned Agencies to ensure proper and timely completion of the Civil, Electrical, Mechanical, I&C works as well as smooth Commissioning of the Plant. 7

Complete Instrumentation and Control system (Turbine control sysem, DCS, PLC etc.) including, field instruments, transmitters, transducers, controllers, computers, MMI/ HMI, Recorders, Softwares, Interfacing of all control system in plant DCS, Valve driving mechanism, I&C cables and all other I&C related equipment. 5. Environment Expert Same as foreign Consultant. 01 (b) Reporting: The Consultant will be responsible for preparation and submission of reports and documents, which will include but not limited to the following: i) An inception report shall be submitted at the beginning stage of the Construction project. ii) A brief progress report shall be submitted every month. iii) A Quarterly report shall be submitted after completion of quarter period of the year. iv) A complete report shall be submitted immediately after commissioning of the power plant. The completion report shall include brief history of implementation of the project, design criteria of the plant, Erection, Testing, Commissioning & Performance data of the Plant equipment, Deviations from Specifications, causes of delay/deficiency, if any (during implementation of the project etc.). All reports shall be submitted to BPDB in 10 (ten) copies. (c) Interface with and Assistance from BPDB: The Consultants shall provide technical experts services to BPDB as described in the Scope of Services. The Consultants shall not require corresponding with the Contractors and shall follow the instructions of Project Director. 9
