1 ENROLLMENT AGREEMENT Among The University of St. Thomas (Minnesota) And Shandong University of Finance and Economics And Infolink International Education Institute The University of St. Thomas, Minnesota (henceforth UST ), Shandong University of Finance and Economics, China (henceforth SUFE ) and Infolink International Education Institute (henceforth Infolink ), a subsidiary of Joseph Wang Enterprises, Inc., join in the following Enrollment Agreement ( Agreement ). 1. Overview: The purpose of this Agreement is to recruit SUFE students who are non-u.s. citizens to enroll in computer science and software engineering courses offered by UST Graduate Programs in Software (GPS). Admitted students will attend UST for up to three years. Students who successfully complete all 14 courses will receive a Master of Science in Software Engineering (MSSE) degree from UST. 2. 2 3. Pre-Application and Admission: To enroll in GPS, SUFE students must first be screened and nominated by Infolink. Infolink will ensure that each applicant nominated by Infolink meets the GPS course pre-requisites and English proficiency requirements and completes and submits the requisite GPS application materials by the program s application deadline. Course pre-requisites are set forth in Section 5 below. All students must be in compliance with stated admissions requirements for the program. Admission procedures and English proficiency requirements are listed in Appendix A. 4. Enrollment and Registration: UST has sole authority and discretion to make admission decisions. Students who have been admitted to GPS and accept the GPS offer of admission will be registered as degree-seeking F-1 visa students. Students will apply for the MSSE degree program during their first year of study at UST. Students who successfully complete six (6) designated GPS courses during the first year will be admitted to the MSSE degree program after providing UST with an official copy of the bachelor degree transcript they received from SUFE, provided the student otherwise remains eligible for attendance at UST. Participating students may only count four (4) of the six (6) courses they successfully take in year one of this program toward their home university undergraduate degree. 5. Coursework: Prior to admission in GPS, participating students must successfully complete foundational course work in computer science at SUFE. Recommended program pre-requisites may include but are not limited to the following: Introduction to Programming and Problem Solving Information Security Object-Oriented Design and Programming Data Structures Using Object-Oriented Design Computer Architecture All SUFE students admitted to UST through this Agreement will be required to complete six (6) designated GPS courses in their first year at UST and eight (8) designated GPS courses in their second year at UST. Designated year one and year two courses are listed in Appendix A. 6. Tuition and Fees: In accordance with UST third-party payment procedures, UST will bill Infolink for all enrolled student charges, including but not limited to tuition and fees, a technology fee, and UST health and accident insurance for each semester a student is enrolled at UST (unless the student can prove that he or she maintains equivalent insurance). Infolink will timely pay all invoiced charges to UST in accordance with the invoice terms, regardless whether Infolink has received payment from SUFE. SUFE shall transfer pre-determined funds to Infolink per the Infolink-SUFE agreement. Participating students who withdraw from, or are unable to maintain enrollment in GPS, will be subject to UST s then current refund policy with regard to all tuition and fees.

3 7. Housing: On-campus housing at UST is not available for participants in this program. Infolink will be responsible for helping program participants find housing. UST will have no responsibility to assist participants to find housing. 8. Visa and Immigration Status: UST will provide immigration documents to admitted students for use in applying for a U.S. entry visa. Participating students are responsible for paying all U.S. government visa application and processing and maintenance fees, including the Student Exchange Visitor Information System (SEVIS) fee, and for maintaining valid and legal immigration status for the duration of their program. 9. Student Conduct and Performance: Participating students are subject to laws and regulations of the national, state, and local jurisdictions in which UST is located, and are expected to comply with such laws. Additionally, students will be subject to and expected to comply with UST s student policies and procedures. Students who fail to maintain satisfactory academic performance or who violate UST student conduct policies may be subject to discipline up to and including dismissal. 10. Communication: Communication between UST and SUFE related to the terms of this Agreement must go through Infolink. If direct communication is necessary, consent by Infolink must be obtained in advance, and such consent will not be unreasonably withheld. Any pre-approved direct communication must be copied to Infolink. Any direct communication between UST and SUFE related to the material terms of this Agreement, whether by mail (both physical and electronic), telephone calls, facsimile transmissions or physical visits, without the consent of Infolink, shall be deemed a breach of this Agreement by the party initiating the communication. 11. Liability: SUFE, Infolink, and UST each agree to hold the other parties and their respective officers, employees, directors, trustees and agents harmless from any and all liability, including claims, demands, losses, costs, damages and expenses of every kind and description (including death), or damage to persons or property (collectively, Losses ), arising out of or in connection with or occurring during the course of this Agreement, other than Losses that arise as a result of a party s breach of this Agreement. 12. Force Majeure: Neither UST, SUFE, nor Infolink shall be responsible for any delays or failure to perform any obligation under this Agreement due to causes beyond the reasonable control of such party, including, but not limited to, health epidemics, terrorist acts, war, insurrection, embargoes, governmental restrictions or other acts of governmental authorities beyond the control of such party. Notwithstanding the foregoing, UST, SUFE, and Infolink agree to cooperate in good faith to mitigate the effect of any such delays or failures to perform, with the goal of achieving, to the extent possible, the objectives of this Agreement. 13. Term: This Agreement shall in the first instance be valid and binding for a term of three (3) years and shall be automatically renewed annually thereafter, unless terminated earlier. It may be terminated by either party with at least six (6) months written notice to the other parties, provided that all students enrolled at the time notice of termination is

4 given shall be permitted to finish their course of study so long as Infolink continues to pay the associated costs to UST. In addition, any party may terminate this Agreement immediately, without prior notice, if another party materially breaches its obligations under this Agreement and fails to cure such breach within a reasonable time period agreed by the non-breaching party, or takes any action that the terminating party determines may reasonably result in reputational damage to the terminating party. 14. Miscellaneous: The parties may execute this Agreement in counterparts or by facsimile, each of which is deemed an original and all of which together will constitute one agreement. This Agreement will be governed by and construed in accordance with the laws of the State of Minnesota, without reference to its conflict of law provisions. Any dispute regarding this Agreement will be subject to the exclusive jurisdiction of the Minnesota courts, and each party submits to the jurisdiction of such courts. This Agreement will become valid upon the latest date it is signed by the appropriate officials of the three institutions. 5 International Student Admissions Procedures Admissions procedures for this program can be found online at: English Proficiency Requirements * * * To be considered for enrollment in this program, students must be proficient in English. All students must meet or exceed the following test scores: TOEFL score of 80 ibt, with sub scores of 20 on the speaking and writing sections; or IELTS score of 6.5 Individuals who do not meet these requirements may apply to take intensive English courses at the ELS Language Center located on the UST campus to prepare for application to UST. There are separate charges for this instruction.
