5 SERVICES AND ADVISORY Performance Reporting and Analysis INVESTMENT SERVICING As a third party specialist, E Smith Capital Partners is able to provide a higher standard for investor reporting and servicing than a real estate sponsor or developer could do independently. This includes management, delivery, and monthly reporting for portfolios and individual assets via web-based, and direct mail interfaces. Servicing multiple sponsors or developers on behalf of an investment fund also minimizes the points of contact and prevents miscommunication about deadlines and payment expectations. INVESTMENT OBJECTIVE TRACKING E Smith Capital Partners will track and compare the investment performance against the projection benchmark of the asset or portfolio. This includes economic targets as well as redevelopment, lease up, and operational objectives. INVESTMENT YIELD ANALYSIS E Smith Capital Partners will analyze the performance of the investment asset or portfolio and determine yields based on multiple assets or sponsors on behalf of an investment fund. E Smith Capital Partners can also provide assistance to sponsors and developers as to which assets may benefit the most by further financial investments into the repositioning or marketing of the asset. QUALITY CONTROL REPORTING Quality control measures can be directed by the investor to the sponsor/developer to ensure that operational deficiencies within the sponsorship team are identified. A consultative implementation plan is established to improve on those processes needing improvement. COMPARATIVE ANALYSIS OF SUBJECTS VS. LOCAL & NATIONAL TRENDS Comparative analysis is performed in order to analyze the performance of an asset or portfolio against performances of other similar assets or portfolios at both local and national levels in order to measure comparative success or loss mitigation.

6 SERVICES AND ADVISORY Asset Strategy INVESTMENT STRATEGY AND ROAD MAPPING A real estate investment plan serves as a road-map for real estate decisions. It guides the strategic plan needed for the investor and sponsor to meet their goals. This process includes a comprehensive analysis of current investments, strategies, objectives, and goals. The result is a customized asset or portfolio road-map that offers a realistic path towards achieving those goals while establishing objectives that can be tracked and measured en route. DISPOSITION VERSUS HOLD E Smith Capital Partners will provide independent third party consulting to the sponsor/developer or to the investor as to the potential financial outcomes of both the hold and refinance option versus the sell and reinvest option. DISPOSITION MANAGEMENT When selling the asset, the E Smith Capital Partners can manage the complete end-to-end liquidation process. This includes working with appropriate sales specialists to determine the target sales and listing price, working with sales brokers and potential buyers, and fulfilling all the requirements to finalize the sale. RECAPITALIZATION MANAGEMENT Recapitalization is intended to bring the most benefit for the equity partners but can also increase promotes to sponsors/developers. The change of capital structure can be motivated by a number of reasons to achieve the balance between equity and debt. Typical objectives might include reducing debt, generating liquidity for an investment partner, raising cash to fund growth, or a combination of all three. By taking some, but not all, of the investment off the table today, and reducing financial leverage, recapitalization provides the opportunity to benefit from future growth with lower risk. E Smith Capital Partners has seasoned professionals to assist with any recapitalization effort and can develop a strategy as to how best structure a recapitalization event. BEFORE TAX VERSUS AFTER TAX YIELD ANALYSIS The tax professionals available through our affiliate, can provide before tax and after tax yield analysis and consulting. They can also provide a better strategy on the redeployment of capital proceeds from a sale or may determine whether leverage is beneficial and to what degree. Certain real estate projects might provide better cash flow than others and those that do not, may provide better tax advantages. Evaluating the cash needs of the investor and understanding their tax strategies makes for a better overall relationship.

7 SERVICES AND ADVISORY Accounting Services PARTNERSHIP FORMATION & COMPLIANCE MANAGEMENT Partnership in real estate has several forms, such as Limited Partnerships, Limited Liability Companies, and Sub chapter S or C Corporations. The use of these different types of entities may depend on particular situations related to the assets they hold, the partners involved or the tax implications for both. E Smith Capital Partners will advise and assist the sponsor in forming the entity for their real estate related projects. Our registered CPA s with our affiliate, can provide specific tax consulting regarding the formation of these entities. After they are formed, E Smith Capital Partners will provide compliance management to the sponsor to ensure that appropriate actions that are dictated by the entities formation documents and agreements are followed. PROPERTY ACCOUNTING Real estate assets have unique and particular accounting systems that may differ from common accounting systems. Our team will use its expertise to provide clients accurate accounting systems in managing the clients property assets. Such activities may include: day-to-day bookkeeping services, check and electronic payment management, invoice management and approval systems, partnership statements processing and distribution management. ACCOUNTING COMPLIANCE ADVISORY Our accounting compliance and reporting services focus on helping real estate sponsors and developers meet their financial accounting compliance and reporting requirements dictated by their investors, partnership documents or general accounting standards. Our Financial Accounting Advisory Services practice is a multidisciplinary team of accounting, tax, and IT professionals with vast experience in managing the implementation of accounting changes. Changes may range from a single accounting standard to full project planning or global implementation experience needed to overhaul a large portfolio s accounting department. COST SEGREGATION SERVICES Cost segregation is the process of identifying, segregating, and reclassifying components of commercial property into shorter depreciable tax lives. The core benefit of a cost segregation study is additional cash flow that is created by reducing an owner s current taxable income. For all practical intents, a cost segregation study can be viewed as a long-term, no-interest loan from the federal government. The cost of the study is a deductible business expense.
