1 Empanelment of Advertising Agencies National Seeds Corporation (NSC) Ltd., Schedule B, Mini Ratna Company under the administrative control of the Ministry of Agriculture. NSC intends to empanel professionally managed INS accredited Advertising agencies. 2 NATIONAL SEEDS CORPORATION LTD. EMPANELMENT OF ADVERTISING AGENCIES Applications are invited from reputed INS accredited advertising agencies for empanelment with National Seeds Corporation Limited (NSC) for releasing of advertisements, tender notices, etc., in various newspapers on local / all India basis as and when required. The selection of agencies will be based on a two-stage process. First the NSC will short list the agencies on the basis of their meeting the mandatory eligibility criteria. Technically qualified agencies in the second stage will furnish their offer of percentage of discount being offered over the tariff (to be submitted in separate sealed cover). The final selection of agencies for empanelment would be done on the basis of maximum discount offered by the technically qualified agencies in the sealed cover. The applications have to be submitted to the Company Secretary, National Seeds Corporation Limited, Beej Bhawan, Pusa Complex, New Delhi The last date of submission of the documents is In case, the designated day is Saturday/Sunday or is declared as a public holiday, the same may be extended to next working day. The offers must be submitted in covers duly two sealed technical bid and financial bid, failing which the documents would not be accepted. NSC reserves the right to reject any application without assigning any reason. Terms & Conditions 1. National Seeds Corporation Limited, a Government of India undertaking wish to enlist local advertising agencies located in New Delhi for releasing of advertisements, tender notices, etc., of NSC in various newspapers on local / all India basis as and when required. 2. The total estimate of annual Turnover on advertisements / tender notices of NSC would be to a tune of Rs Lakhs approx. 3. Ad Agencies are required to work for preparation of ad material and release the same for publication in newspapers from time to time as and when required by NSC at short notice.

3 Eligibility Criteria: The following are the eligibility criteria for empanelment of advertising agencies. The advertising agency should have: 1.Full-fledged office established in New Delhi with necessary infrastructure, manpower and proof reading facilities. 2. Approved advertising agency should have worked for at least 5 government bodies/ Public Sector Undertaking. Documentary evidence to this effect should be enclosed. 3. Financial Turnover of not less than Rs Crores per annum during last three years. List of documents / information to be enclosed with application: 1. Profile of the ad agency including office address, date of establishment, contact person, telephone, fax numbers, , Mobile Numbers, etc. 2. Ad Agency Structure (whether a partnership firm / sole proprietor /a limited company etc.) 3. Principal place of business, details of the Head Office and their Branch Offices with addresses and contact details viz., Names, Phone Numbers, etc., 4. List of Govt. bodies / Public Sector Undertakings / Clients to whom the agency has been rendering similar services for the last three years (Documentary evidence to be enclosed). 5. Annual Turnover for the last three years. (Enclose documentary evidence i.e. Annual Financial Report or copies of Audited Accounts / Balance Sheet, etc., certified by Chartered Accountants for the last three years.). 6. Copies of the PAN Card details, Latest Income Tax Returns submitted, Service Tax details, etc., 7. Percentage of Discount offered over the tariff (to be submitted in separate sealed cover) in financial bid.

4 General Conditions: 1. The period of empanelment of the Ad agency is for a period of Two years and is extendable further for one more year at the discretion of the NSC subject to satisfactory performance of the Ad Agency. 2. The Ad Agency shall submit in a separate sealed cover, the percentage of discount that would be offered to NSC on the published tariff of various newspapers. 3. The empanelment of the Ad Agency will be based on the eligibility criteria and the maximum single discount offered on the tariffs fixed by the news papers. 4. The estimated annual Turnover mentioned above is only indicative and NSC will not guarantee any minimum Turnover on monthly or on yearly basis. 5. NSC will release the payment for the ads published within thirty days from the date of submission of bills along with original paper clipping of the advertisement duly published and the copy of the bill received from the newspaper for publication of the above advertisement. 6. If any Ad Agency refuses to accept or fail to publish the advertisement as per the accepted date of publication without reasonable and sufficient justification, the name of such Ad Agency would be deleted from the panel of Ad Agencies. 7. The Ad Agency will have to attend NSC s office to collect the advertisement within short notice of intimation and no charges will be paid towards their travel. 8. All payment shall be subject to TDS, as applicable from time to time. 9. Agency applying for empanelment should submit their notice with a Bank Draft/Cash of Rs.1000/-(one thousand) duly endorsed in favor of the National Seeds Corporation Ltd., Beej Bhawan, Pusa Complex, New Delhi as processing fee, which will non-refundable. 10. The agency empanelled will have to deposit performance guarantee of Rs.1,00,000/- in form of DD/Bank Guarantee refundable at the end of the contract period without accruing any interest thereon 11. NSC shall not be responsible for any dispute between the advertisement agency and the newspapers / publishers in regard to the payment to be made by the advertising agency to the newspapers.

5 Similarly, NSC shall not be responsible for any dispute between the advertising agency and the newspapers in whatever matter. 12. All disputes between the parties shall be referred to the sole arbitration of the Chairman & Managing Director, National Seeds Corporation Limited or a person appointed by the Chairman & Managing Director. The award of the Arbitrator shall be final and binding subject to the provisions of the Indian Arbitration & Conciliation Act Any dispute between NSC and Advertising Agencies shall be within the jurisdiction of the courts at New Delhi/Delhi only. 14. Interested Ad Agencies are requested to submit their applications as indicated above along with confirmation of their acceptance for the Terms & Conditions and the Percentage of Discount on the published tariff of the newspapers in a sealed cover superscribing : OFFER FOR ENLISTING OF ADVERTISING AGENCIES DUE DATE / TIME FOR SUBMISSION - ON by 1500Hrs. The offer in the sealed cover should reach at the following address on or before the Due Date & Time. Bids will be opened at 1530 Hours on the same day in the Committee Room, Beej Bhawan, Pusa Complex, New Delhi in NSC. Company Secretary National Seeds Corporation, Beej Bhawan, Pusa Complex, New Delhi NSC reserves the right to enlist any number of Ad. Agencies and can release the advertisements, tender notices, etc., through any of the listed advertising agencies on rotation basis from time to time. The advertising agencies shall not have any claim whatsoever in this regard. 16. NSC reserves the right to cancel the Ad. Agency at any time giving one month notice. 17. NSC reserves the right to disqualify / black list the Ad. Agency in case of fraudulent acts.
