1 NAME University of New South Wales Football Club Constitution (1) The name shall be The University of New South Wales Football Club INTERPRETATION OBJECTS (2) In this Constitution, and in all rules made hereunder the following terms shall mean (except where the contrary indication appears) a) Sports Association The University of New South Wales Sports Association b) University The University of New South Wales c) Committee The Committee of the University of New South Wales Football Club d) Executive The Executive of the University of New South Wales Football Club e) Club The University of New South Wales Football Club (3) The objects of the Club shall be a) To encourage, foster, promote, develop, extend and govern the sport of Soccer on an amateur basis with the University b) To subscribe to, to become a member of, to amalgamate and or cooperate with any other organization or organisations whose objects are altogether or in par similar to those of the Club, such affiliation to be ratified by the Sports Association MEMBERSHIP (4) a) All members of the Sports Association shall be eligible for membership of the Club without further subscription b) All such member who represent the Club shall be of amateur status as defined by the controlling body for that sport. (5) A member shall be defined as player whose membership has been ratified by the Committee (6) If any member be, in the opinion of the Committee, guilty of any conduct prejudicial to the interests of the Club, the Committee, or in cases of urgency the President, may suspend the member alleged to have committed the breach complained of and during such suspension the suspended member shall not be entitled to any of the rights or privileges attaching to membership. A full report on such conduct is to be submitted immediately by the Committee to the Sports Association where it shall be dealt with at the next meeting under Section 41 of the Sports Association Constitution.

2 (7) Any member may resign from the Club by giving notice of his resignation in writing to the Honorary Sectretary. Such resignation shall take effect from the date of receipt of such notice by the Honorary Secretary. (8) Any person who ceases to be a member of the Club whether by resignation or in any other manner whatsoever shall forfeit all rights and claims upon the Club and its property, assets and funds. MEMBERSHIP (9) The Committee shall convene an Annual General Meeting of all members once in every calendar year to be held as early as practicable in the first semester at such time and place to be determined by the committee. (10) The Committee may whenever it thinks fit, convene a Special General Meeting. (11) The committee shall on receipt of a request in writing stating the objects of the meeting proposed to be called and signed by not less than six members or one-quarter of the total membership of the Club, which ever is the less, convene a Special General Meeting within twenty-one (21) day of the date of receipt of such requisition by the Honorary Secretary (12) Notice of the Annual and of every Special General Meeting shall be given at least fourteen (14) days before such meeting on an official notice board, to the secretary of the Sports Association and where practicable in University publications and shall include a statement of the items of business to be brought before such meeting. (13) The business of an Annual General Meeting shall be to receive and consider the Annual Report and Financial Statement, to elect office-bearers and to transact any other business which under the Constitution may be transacted by the Club in a General Meeting. (14) 15 members or one-quarter of the total members shall be a quorum for a General Meeting. If within thirty (30) minutes from the appointed time for the meeting a quorum is not present the meeting shall be adjourned for not less than fourteen (14) days and not more than twenty-one (21) days, subject to clause (12), it shall be re-convened and regardless of the number present, the meeting as then convened shall have the authority to deal with the original agenda. (15) The President shall normally be the Chairperson at all General Meetings of the Club. In his absence or unwillingness to act the members shall choose a Chairperson from among their own number. (16) No person shall be competent to vote at any General Meeting unless he is a member of the Club. (17) Excepting as provided for in Clauses (21) and (47) all matters being voted on at a General Meeting shall be decided by a simple majority of votes of those members present. In the event of an equal number of votes being

3 recorded the Chairman shall have a casting vote in addition to the vote to which he is entitled as a member. (18) Every resolution passed at any General Meeting shall be binding on all members of the club. MEMBERSHIP (19) The Office bearers of the Club shall be elected at the Annual General Meeting and shall include a) A Patron; b) A President; c) A Vice-President; d) A Club Captain; e) An Honorary Secretary; f) An Honorary Treasurer; g) A Social Director; h) Committee Members not more than nine (9) provided that squad coaches shall be ex officio Committee Members; i) Representative on Committees of organizations with which the Club is affiliated; i. Standards Committee not less than (3) nor more than (5); ii. Social Committee; iii. Sports Association Representatives two (2) elected in compliance with Clause 15f) and (9) of the Sports Association Constitution; (20) No Office bearer, Committee Member, Delegate or Representative of the Club shall receive any remuneration for his services unless approval is granted by the Club and Sports Association (21) A General Meeting may, by a resolution of three-fourths (3/4) of the members present and voting, remove any Office bearer or Member of the Committee from Office before the period of expiration of their Office. CONTROL & MANAGEMENT (22) The control and management of the Club be vested in a Committee consisting of the President, Club Captain, Honorary Secretary, Honorary Treasurer, Social Director, and not more than nine (9) other members of the club, but including squad coaches. (23) No person shall fill more than one place on the Committee at any one time (24) A quorum of the Committee shall be five (5). If no quorum be present within fifteen (15) minutes of the notified time of meeting, such meeting shall lapse. (25) The President shall normally be Chairman at all meetings of the Committee. In his absence or unwillingness to act, the members of the Committee present shall choose a Chairman from among their number. (26) The Committee may appoint from their own number or from outside their number sub-committees for any purpose whatsoever which from time to time

4 they think desirable and may delegate to such sub-committees such powers as they think fit and may from time to time revoke or alter any such appointment or delegation. (27) The Honorary Sectretary shall convene a meeting of the Committee at least one during each University Term and at least once in each month of the Club s season while the University is in session. (28) The Honorary Secretary upon the written request of two (2) members of the Committee shall, or on his own initiative, may convene a meeting of he Committee. (29) No person, with the exception of the President and the Honorary Secretary of the Sports Association (Clause 11 of the Sports Association Consistution), who is not a member of the Committee shall be entitled to be present at a meeting thereof UNLESS invited to attend by the Chairman. (30) The Committee may declare Vacant the seat of any member therein who has been absent without a valid excuse from two (2) consecutive meetings of the Committee. (31) All casual vacancies among Office bearers and the Committee of the Club may be filled by the Committee as it deems fit. (32) Every matter submitted to the Committee shall be decided by a simple majority of votes of the members present. Every member of the Committee shall be entitled to one (1) vote EXCEPT than in the case of an equality of votes, the Chairman shall have a casting vote in addition to the cote he is entitled as a member of the Committee. (33) Minutes of every meeting of the Committee shall be kept by the Honorary Secretary and shall be signed by the chairman of the next succeeding meeting, subject to their being adopted by the meetin, as a true record of the proceedings of the meeting. (34) Office-bearers and members of the Committee shall hold office until the following elections at which they shall not be disqualified as candidates by reason only of previous office. Retiring Office-bearers shall be deemed to have been duly nominated for the Office from which they are retiring UNLESS they notify the Honorary Secretary to the contrary or have become ineligible to hold office. (35) The Committee shall appoint such delegate or delegates to represent the Club as may be required, with such powers as they may think fit. Each delegate of the Club including the two (2) Sports Association Delegates shall submit to the next meeting of the Committee, a report on each meeting which he was eligible to attend. (36) The Committee shall have the power to make, alter and repeal rules not being inconsistent with this Consistution and the Sports Association Constitution. Notice of any proposal to make, alter or repeal any rull shall be given to the Honorary Secretary of the Club not less than seven (7) days before the meeting of the Committee at which it is intended to present such proposal. Any such rule altered or repealed by such Committee shall be submitted to the Sports Association for ratification.

5 (37) Notice of all meetings of the Committee shall be given at least seven (7) days before such meeting either personally in writing or by notice posted to the member at his address as shown in the records of the Club. (38) Every resolution of the Committee shall of the Club be binding upon all members of the Club. EXECUTIVE (39) The President, Club Captain, Honorary Secretary and Honorary Treasurer and such other persons as may be appointed by a General Meeting, or any three of them shall constitute an Executive of the Club and may act in any way deemed beneficial to the Club when immediate action is required and it is not practical or warranted to call a meeting of the committee members. POWERS PROPERTY FINANCE (40) The Club shall have the power only to carry out the objects of this Constitution in such a way as provided by this Constitution, and subject to the Constitution and By-lays of the Sports Association. (41) All assets and property of the Club shall be vested in the Office bearers of the Club and shall deal therewith in such manner as they may be directed by the Sports Association (42) The Honorary Treasurer and Honorary Secretary shall sign and endorse on the Club s behalf contracts, receipts, acceptances, cheques, postal notes and other documents. The Club s Banking account shall operate in accordance with Clause 32 (b) and Clause 32 (c) of the Constitution of the Sports Association EQUIPMENT (43) a) The purchase of all budgeted items shall be carried out under the control and supervision of the Sports Association. All such equipment always remains the property of the Sports Association. b) Annually or as required by the Sports Association, the Honorary Treasurer of the club shall submit to the Honorary Treasurer of the Sports Association a list of equipment and material required for the following year, which is to be purchased from Sports Association funds.

6 c) When any such equipment is required by the Club, the Honorary Treasurer of the Club shall make a written request to the Sports Association purchasing officer. DUTIES OF THE HONORARY SECRETARY (44) a) The Honorary Secretary shall keep a true and correct written record of the business transacted at all meetings b) He shall keep a copy of the Constitution and all rules made thereunder for the time being in force. c) He shall keep a list of the names and addresses of all members of the Club d) He shall present a report to the Annual General Meeting and perform all secretarial duties required of him by a General Meeting, the Committee or the Executive. e) The Honorary Secretary shall submit to the Sports Association, through the Club Delegates, a brief report on Club activities at each General Committee Meeting of the Sports Association DUTIES OF THE HONORARY TREASURER (45) - a) The Honorary Treasurer shall receive and disburse the monies of the Club as authorized by the Committee or the Executive. b) He shall keep correct account of all such transactions and shall lodge in a bank approved by the Committee, all monies received by him and shall be present to each meeting of the Club an up-to-date financial statement. c) He shall present a report and balance sheet to the Annual General Meeting. DUTIES OF OFFICE BEARERS GENERAL (46) Office Bearers shall have the duties and responsibilities set out in Schedule 2. (47) Every member of the Club shall be entitled to reuse a copy of the Constitution and all rules promulgated thereunder for the time being in force, copies of which shall, at all times be available from the Honorary Secretary. (48) The Constitution shall not be amended UNLESS a) The amendment shall be passed by at least two-thirds (2/3) of the members present and qualified to vote at a General Meeting. b) Notice of intention to move the amendment shall be received by the Honorary Secretary at least fourteen (14) days prior to the date of such

7 meeting in which case notices shall be given in the notice of the convening meeting. (49) The income and property of the Club, howsoever derived, shall be applied solely towards the promotion of the objects of the Club as set out in this Constitution. No claim shall be made on the property and income of the Club by any member, previous member or any person claiming through them, provided that nothing herein contained shall prevent the payment in good faith or remuneration to any offers, any member or any other person in return for any services actually rendered to the Club or prevent the repayment of or the payment of interest on money borrow from any members for any of the purposes of the Club. DISSOLUTION (50) If notice of intention to dissolve the Club is given to the Honorary Secretary by at least twenty per cent (20%) of members, the Honorary Secretary shall, in not less than seven (7) days and not more than twenty-one (21) days, convene a General Meeting with the item dissolution the only item in the agenda. Provided that such General Meeting meets the requirements of Clause (14), and the motion for dissolutions is carried by two-thirds (2/3) majority of those present, the Club shall be dissolved. (51) The General Committee of the Sports Association may declare the Club dissolved provided that at least thirty (30) days notice shall have been given by prominent notice posted on University notice boards and by letter to the Registrar setting out the reasons in support of such intentions, and provided further that the General Committee of the Sports Association shall not have been requested by the Registrar during the intervening period to withhold from making such declaration. If on the winding up or dissolution of the Club there remain after the satisfaction of all its debts and liabilities any monies or properties whatsoever the same shall not be paid to or distributed among members of the Club, but, with the approval of the Vice-Chancellor of the University, shall be paid or transferred to the Sports Association to be used within the University as deemed fit by the Sports Association and with the terms of Clause (50) of this Constitution if insofar as effect cannot be given aforesaid provision the Vice-Chancellor of the University or his representatives so appointed by him shall determine the conditions of the disbursement of such monies or properties.

8 SCHEDULE II President: 1. Chairman of committee and General Meetings of the Club at which he has a casting vote in addition to a vote in his own right. 2. Responsible for the effective and efficient administration of the club s affairs. All office bearers of the Club are responsible to the president, who is in turn responsible to the Club s members 3. Ex-officio member of all sub-committees of the club Club Captain: 1. Responsible with the President to the University Sports Association for the overall running of the Club and conduct of its members. 2. Captain of the Inter-Varsity squad, Club representative at Inter-Varsity representative meetings and responsible with the Inter-Varsity Manager for the conduct of the squad. 3. Co-ordinate and Liaise with squad coaching in organizing the player activities of the Club. Honorary Treasurer (See clause 45 a, b, c of the Constitution) 1. Prepare annual Club budget for submission to Sports Association 2. Responsible for collection of Club fees which duty may be delegated. Honorary Secretary (See clause 44 a, b, c, d, e of the Constitution) (1) Responsible for booking all grounds and advising club members The President, Club Captain, Hon. Secretary, Hon. Treasurer and Social Director comprise the Executive Committee. Social Director Co-ordinator of a) Annual Dinner Committee which has ex-officio members the Club Captain, Treasurer, Secretary and others may be appointed by the general committee. b) Social committee comprising as ex-officio members, the Club Captain, Secretary and Treasurer and others may be appointed by the General Committee whose duties are to organize occasional BBQ s, game nights and bus trips, etc.

9 Other Roles: Gear Steward: Control all club equipment and institute safety and first aid procedures. On the Ball Editor Produce regular club news sheets Sports Ass. Reps. FNSW Reps Attend all Sports Association Committeee meeting s and report thereon to Club committee. Promote and present Club s arguments and interests at Sports Association Committee meetings. (note: at least one member must be a member of the executive.) Attend all meetings (usually quarterly) at FNSW meetings and promote and present club s arguments. Standards Committee Responsible to the General Committee for; 1. Selection of candidates for nominations of Blues Award. 2. On approval of such nomination, to prepare a supporting submission which after approval by the General Committee shall be forwarded to the Sports Association for consideration 3. Selection of candidates for club colour awards and other trophies for consideration and approval by the General Committee.
