The prepack master polybag UPC sticker must contain the UPC barcode for the master prepack. 3 Carton Packing Procedures Bulk Shipments Comply with the following requirements for Bulk-Packed Individual Cartons Flat Packed and GOHF Direct Ship Unless specifically instructed otherwise in their respective SOP s, all Bulk-Pack Special Sales shipments to Outlet, Direct Ship and Special Sales shipments should follow these packing Outlet instructions. Carton Specs Orders shipping to Kate Spade & Company warehouses must comply with the Standard Use of Multiple Carton Sizes for the Same Style Carton Contents Procedure for Determining Carton Configuration Carton Specifications. Select the carton length and width based on garment dimensions and fold requirements. The factory may use up to three different carton dimensions across the size range of any one style in order to achieve maximum carton efficiency (e.g. size Small may be packed in a smaller carton than size Large etc.) Pack only single source order/style/color/size/shade in each carton. See Non- Configured Cartons below.) a) In some cases, the quantity is pre-determined by the Brand but in most cases the quantity should be determined by the factory using the following guidelines: b) All cartons of the same style must contain the same quantity of garments and remain unchanged throughout the life of the style, including any reorders. (i.e. all cartons, all sizes, all colors, all deliveries of the same style must contain the same quantity.) c) Fit as many garments as possible into the carton without exceeding the 18 inch (45 cm) maximum height and the 50 pound (22 kg) maximum weight. d) The carton should be filled to get the most efficient utilization of the space, but not over-filled causing the contents to be crushed. There should not be space at the top of the carton that will enable product inside to easily move around or carton to partially collapse. e) Once the maximum number of garments is determined, that becomes the carton configuration for the style and all cartons of the style must be packed with the same quantity, except for the last carton. (See Non-Configured Cartons rules below.) f) In the last carton of one shade, it is permissible to mix other shades of the same color to create a configured carton. This is not considered to be an NCC. Place stickers of both shades on the carton. 3

4 Non- Configured Cartons (NCC) Fashion Last Cartons & Loose Pieces Non- Configured Cartons (NCC) Replenishment and Ongoing Labeling Cartons UPC Sticker a) Non-Configured Cartons (NCC s) can have different quantities than in the standard carton configuration for the style involved. (i.e. if the style is configured in cartons of 20, the NCCs can have more than or less than 20 units, following rules (c) to (j) below.) b) Individual shipments can have more than one NCC, following rules (c) to (j) below. c) NCCs should be packed in the largest approved standard carton sizes AND come as close as possible to the standard 50 lb limit. If the number of pieces to be packed is small, the height of the NCC is permitted to be as low as, but not lower than 2.5 cm (1 ). d) The carton should be filled to get the most efficient utilization of the space, but not over-filled causing the contents to be crushed. There should not be space at the top of the carton that will enable product inside to easily move around or carton to partially collapse. e) NCCs can contain only one source order. f) NCCs can contain only one style. g) NCC's can contain only one color, but can include different shades of the same color. h) NCC's can contain either solid sizes or multiple sizes of the same style. i) All loose pieces of the same size must be packed in the same carton - the same size should not be packed in multiple cartons. (e.g. loose pieces of size 8 Red can only be in one carton.) j) When multiple sizes are packed in one NCC, each garment must be in an individual polybag and all the garments of the same size must be packed in its own master polybag. (i.e. all size 8 Red in individual bags and then in one master polybag, all size 10 Red in individual polybags and in another master polybag etc.) k) No UPC sticker is required on master polybags. No loose pieces will be accepted on any Seasonless (Replenishment or Ongoing) product. Any excess pieces for these programs are to be carried over to the following shipment and shipped in full cartons only. The only exceptions are: a) Division specifically approves to ship non-configured quantities. If so, the packing list should state APPROVED BY DIVISION. b) Last shipment of that style or color, confirmed by Division. If so, packing list should state END OF RUN or END OF COLOR. Seasonless Non-Configured Cartons should follow all the same rules as Fashion above. See Carton Markings and Labels.(see pg 12.) Individual garments require a polybag and a color coded for size UPC sticker on the polybag. Individual non-sized items require a polybag and a non-color coded or accessories upc sticker on the polybag. A UPC sticker is not required on master polybags for solid sku apparel packs or apparel prepacks, or where there is one prepack per master carton. 4

5 Packing Footprint within Cartons Depending on the dimensions of the garments and the dimensions of the carton in which they will be packed, cartons can be packed with one, two, or four stacks within the carton. If leather garments are being shipped in cartons without hangers, but hangers still need to be applied in the DC, prior notification must be sent to HBonetsky@katespade.com and HCruz@katespade.com before the shipment leaves origin. a) Cartons must have two hanger straps inside, to which the hangers can be hooked. b) The distribution center cannot accommodate oversize cartons. GOHF garments exceeding 86 cm (34 ) maximum acceptable carton length must be folded in half or thirds and must be packed in standard size cartons (see pg. 9). Long garments can be soft folded, bundling 3-6 pcs together to minimize creasing at the fold and to maximize efficiency of packing. c) GOHF garments may be shipped in non standard size cartons only when no other option is available; approval must be received in advance from HBonetsky@katespade.com or HCruz@katespade.com. d) Alternate and overlap placement of garments inside the carton to eliminate empty space at hanger hooks. 6 GOHF Tops and Bottoms Good Packing - No Wasted Space (individual bag) Correct packing with Alternate Fold Hanger Hook Bundling: hangers should not be bundled together by any material (rubber bands, twist ties, nylon pull ties, ribbon, etc) Hanger Hook Exposure: hanger hooks must be exposed through a hanger slot on the top of a poly-bag Hanger Hook Direction: Front-to-Back Presentation: The hanger hook opening should face to the wearer's right side. Side presentation: The hanger hook opening should face the Center Front of the garments. e) Excess rise of pants should be folded back to the left or right side of the leg f) To minimize creases, knit sleeves should be allowed to hang naturally. Do not fold sleeves across the garment before packing. 6

7 Carton Packing Procedure Pre-Pack Shipments Comply with the following requirements for Bulk-Packed Individual Cartons Flat Packed and GOHF Direct Ship Unless specifically instructed otherwise in their respective SOP s, all Bulk-Pack Special Sales shipments to Outlet, Direct Ship, and Special Sales shipments should follow these packing Outlet instructions. Carton Pre-Pack orders shipping to Kate Spade & Company warehouses must comply with the Specifications Carton Contents Over/Under Packing Carton Weight Carton Labels Individual Polybags Master Polybags Loose Pieces Standard Carton Specifications (pg.9) a) See source order for breakdown of pre-pack quantities per style. Pack only one pre-pack in each carton. b) Pack only single source order/style/color in each carton. c) Colors must not be mixed in pre-pack cartons. All cartons, including any loose-piece cartons, should be filled to get the most efficient utilization of the space, but not over-filled, causing the contents to be crushed. There should not be space at the top of the carton that will enable product inside to easily move around. a) Cartons should not weigh over 50 lbs (22.5Kg). b) Contact the respective division in the event that a specified pre-pack quantity does weigh over 50 lbs for approval to ship. c) See individual customers packing instructions to verify if they have different instructions from those listed here. See Carton Markings and Labels (pg.12). Pre-pack cartons should be labeled with Pre- Pack Labels. See Multi-Color Pre-packs in Pre-Pack Labels (pg.15) Do not use UPC stickers on Pre-pack cartons. Pre-packed garments do not require individual polybags. All Pre-packs for apparel only should be shipped in master polybags and not individually polybagged. Ideally, all garments in the same pre-pack should be packed in one master polybag. However, if large enough master polybags are not available it is allowed to split the pre-packs into two or three smaller master polybags in the same carton. In these cases, the contents of the carton should be evenly distributed between the smaller master polybags but individual sizes must all be within the one polybag. A UPC sticker is not required on the master poly bags for solid sku apparel packs or where one prepack is contained within a master carton. l) See Pre-Pack Loose Piece Policy(pg.8) 7

8 Pre-Pack Loose Piece Policy As a general rule, Kate Spade & Company does not accept loose pieces for pre-pack orders. Each division has the discretion whether or not to accept the additional units. If loose pieces are produced, then the following policy will apply: The factory must request authorization in advance from the division to ship loose pieces. If.. The division accepts the loose pieces. The division does not accept the loose pieces..then The U.S. production associate must create an additional line on the S.O. to receive the units and factory ships against the SO. The factory must dispose of the loose pieces in compliance with Policy on Excess Production and Non-Conforming product. If loose pieces are shipped without advanced notice, the receiving manager must contact the division so the U.S. production associate can add the appropriate line on the S.O. to receive the loose pieces. Then the division should decide to take one of the following actions: If The division keeps the units. The division decides to send the units back. The division does not want the units and the factory does not want the units returned. Then The factory should get a charge back and/or the unit price should be negotiated at cost. The factory should get a chargeback and pay all associated costs with landing the product in our DC (FOB, freight & duty) along with the freight and handling charges to ship them back. Usually, the factory will agree to give the divisions the units at no cost. 9 Standard Carton Specifications No. Single wall Mullen s Burst Test Edge Crush Test Box Maker s Certification The specifications here apply to all Bulk-Pack and Pre-Pack shipment cartons shipped to Kate Spade & Company warehouses. All cartons should be constructed of single wall corrugated; if possible, otherwise double walled corrugated cardboard. All cartons must have a Mullen s burst test rating of 200 lb/in 2 or a TAPPI 810 rating of 1380 kpa. All cartons have a minimum edge crush test rating of 32 (ECT) or a TAPPI 811 rating of 5.6 knm. Every corrugated box must have a Box Maker s Certificate, which is an imprinted statement guaranteeing that all applicable construction requirements have been upheld under UFC (Uniform Freight Classification) Rule 41, Section 3 or NMFC Item 222, Section 3 (provisions in the National Motor Freight Classification for motor common carriers). The Box Maker s Certificate prescribes a box s bursting strength, the combined weight of its facings, and the maximum gross weight that it may carry. Recommended size of the certificate is 3 diameter, but smaller size is acceptable for smaller cartons, as long as all imprinted data is legible. The certificate should be printed in black on a bottom carton flap so as to be visible when the carton is assembled Carton Dimensions Carton Weight Deviation from Carton Standard Carton sizes can vary between: Length: 46cm to 86cm (18 to 34 ) Width: 30 cm to 53cm (12 to 21 ) Height: 8cm to 45cm (3 to 18 ) Last carton, each SKU, may be 2.5cm (1 ) minimum. Cartons smaller than accepted minimums are acceptable only when necessary to accommodate one prepack per carton. Any cartons outside these dimensions (e.g. for Mens Blazers) must be approved in advance by HBonetsky@katespade.com or HCruz@katespade.com. See GOHF Leather (pg.5) There is a 22.5kg (50 lb) maximum gross weight restriction on all cartons. Any deviations from the Standard Carton Specifications require prior approval from Logistics and may be subject to vendor compliance offset charges. Please refer to the Supplier Compliance Guidelines for details on the offset charges. 9

10 Carton Sealing Security Tape It is required that all cartons are sealed with theft deterrent tape, containing the KS&C diagonal design as pictured. The tape is 3 wide and the printed design repeats every 12 inches and should be sourced from your local supplier. Strapping or staples must NOT be used to seal cartons. Strapping or Staples Cardboard Inserts Shrink Wrap Do not seal cartons with strapping or staples. Staples can be used to support carton sides as long as they cannot damage garments and do not allow the carton to burst at the stapled seam. Top and bottom cardboard inserts must be used for theft prevention. Shrink wrap may be used to keep multiple cartons secure but the wrap must not obscure ability to scan or read individual carton labels and markings. Shrink wrap should not be used on individual cartons. 12 Carton Markings and Labels All cartons shipped to Kate Spade & Company for all product brands must have clear markings and labels attached to the cartons. Side A is the leading side of the carton Side B is the left long side of the carton Side C is the trailing side of the carton Side D is the right long side of the carton. 13 Side B Carton Markings 1 This information can be pre-printed by the carton manufacturer or can be on a label attached to the carton. The information should be centered on carton Note: The data filled in on the carton should be clear and legible. 2 Group Name: is the group description/collection name found in Supply Tracking. 3 Style No.: is the style number for the garment found on the printed Source Order/Purchase Order or on the E.D.I. 850 Purchase Order. 4 Style Name: is the style description found in Supply Tracking. 5 PO No.: is the Kate Spade & Company Purchase Order / Source Order number for this product. It can be found either on the printed Source Order / Purchase Order or on the EDI 850 Purchase Order. 6 Color Name: is the Kate Spade color name (NOT numeric color code) found in Supply Tracking. 7 Gross Wt.: is the gross weight in kilograms (kgs) for the carton. 8 Carton Dimensions LxWxH in centimeters (cm). 9 Lot: is the letter/number assigned to the dye lot for the product. 10 Property Mark: If a property mark is shown on the Source Order, it should also be shown on the carton. Leave blank if there is no property mark on the SO. 11 Carton #: The carton number is required only if there is NOT a UCC128 label on the carton. Vendors who do use UCC128 may elect to manually mark carton numbers. 12 Country of Origin: is the country of origin for the product. 14 Markings on Standard Carton Markings on 4 Carton U.P.C. Labels on Cartons No. The label must contain the Universal Product Code (U.P.C.) barcode that uniquely identifies the product contained in the shipping container/carton. This label still gives the ability to scan the barcode of the product inside the carton. 1 U.P.C. codes for each product manufactured are provided either from Kate Spade & Company Production department or on the E.D.I. 850 Purchase Order for E.D.I. capable suppliers. (Refer to E.D.I. requirements for more details.) 2 Color Coded U.P.C. labels must be applied to side B of the carton. (See page Standard Carton Labeling Requirements.) The quantity of items in the carton must be clearly written to the right of each Color-Coded U.P.C. label in permanent ink Pre-Pack Cartons: Do NOT apply UPC stickers to Pre-Pack cartons. Use only the Pre-pack label. Non-Configured Cartons: A UPC label representing each size within a non-configured carton should be applied to side B of the carton. Accessories UPC label is not color coded but still must be applied in the same way and in the same location. 3 The color-coded U.P.C. label is the same label used on the outside of polybags for flat-pack merchandise, and on the shoulder of the polybags for GOH merchandise. In the event of color-coded UPC labels not being available for the cartons, it is acceptable to use a hangtag or a photocopy of the UPC polybag sticker from the garments. 4 Printed, human-readable style number, color number, and size must also be printed on the Color- Coded U.P.C. label. 5 The size of the barcode must be a minimum of 1 3/16 (2.85 cm) long and 1 1/8 (2.7 cm) high with a quiet zone of ¼ minimum on each side in order to achieve maximum readability rates. (Please refer to gs1us (formerly UCC) specifications U.P.C. Marking Guidelines for General Merchandise and Apparel and the U.P.C. Symbol Location Guidelines Manual for more information on U.P.C. barcodes.) 6 Do not place both a Color-Coded U.P.C. 16 Pre-Pack Label No. Pre-Pack UPC Codes If the carton is a Pre-Pack, a Pre-Pack Label must be placed on the outside of the carton instead of a color-coded U.P.C. label. Do not place both a Pre-Pack Label and a U.P.C. Label on the same carton. Kate Spade & Company assigns unique U.P.C. codes to each pre-pack configuration that are different from the U.P.C. codes for each individual sized garment. Pre-Pack UPC codes are available in the Supply Tracking on Enter the full style number, including the pre-pack X, Y or Z code at the end of the style number e.g. LWMUA545Z. The Pre-Pack number is available on the Size/UPC/EAN/GTIN tab. Multi- Color Prepack Kate Spade & Company s systems now have the ability to create UPC codes for Multi-Color Prepacks. The layout of the Pre-pack label should be the same as the labels below. Do NOT put separate pre-pack labels representing each of the individual colors on the carton. Kate Spade & Company s system does not support multi-styles in a carton. 16

17 1 Pre-Pack Item Information: Pack No: the style number assigned to the pre-pack as provided on printed Source Orders and Purchase Orders or the E.D.I. 850 Purchase Order Color: the color number assigned to the pre-pack as provided on printed Source Orders and Purchase Orders or the E.D.I. 850 Purchase Order Dim: the dimension assigned to the pre-pack as provided on printed Source Orders and Purchase Orders or the E.D.I. 850 Purchase Order. 2 U.P.C. Barcode of the pre-pack itself (taken either from the printed Source Order/Purchase Order or the E.D.I. 850 Purchase Order). The U.P.C. barcode is printed vertically as shown (a.k.a. ladder format ) and should be a minimum of 1 3/16 (2.85 cm) long (bar length) and 1/2 (1.2 cm) high (bar height). 3 Quantity Information: Total Packs: 1 (The number of pre-packs contained in the carton is always ONE). Total Pieces: the total number of garments/units in the carton 4 Component Product Information: Style: style number of the component in the Pre-Pack Color: color code of the component in the Pre-Pack Dim: dimension code of the component in the Pre-Pack Size: size of the component in the Pre-Pack Quantity by size of each component in the Pre-Pack 6 The Pre-Pack label must contain a U.P.C. barcode for the pre-pack itself. 7 Blank label stock can be purchased from a variety of label suppliers. Pre-printed Pre-Pack labels can also be purchased from Avery Dennison and other vendors. 8 Cartons containing a single prepack should be identified by a 2 round orange sticker (common stock) to the right of the UPC with the letter P. 18 UCC-128 Shipping Label The label contains a barcode that uniquely identifies the carton as part of a shipment. When these cartons arrive at a Kate Spade & Company Distribution Center, the label barcode is scanned, and the product is automatically received into the Distribution Center. Kate Spade & Company tracks individual cartons throughout the supply chain and therefore requires each carton to have a unique identification number. The label must contain a SSCC-18 barcode that uniquely identifies each carton shipped from each supplier (also known as the carton ID ). Please refer to gs1us (formerly UCC) Application Standard for Shipping Container Codes for details on SSCC-18 barcodes. Shipments received without ASNs are subject to expense-offset charges as outlined in the Supplier Compliance Requirements. Kate Spade & Company participates with the gs1us (formerly UCC) standards for shipping container codes, namely the UCC-128 Shipping Label. This label is the Kate Spade & Company preferred method of labeling carton shipments. The UCC-128 Shipping Label is typically used in conjunction with Scan Pack Software for shipping and with the sending of E.D.I. 856 Advanced Ship Notices (ASNs) for the shipment. The UCC-128 Shipping Label is printed and applied in-house, at the factory location, immediately after the carton is packed and sealed. Suppliers are encouraged to begin using UCC-128 labels on all carton shipments even if they are not yet participating in Kate Spade & Company s E.D.I. program. A B C D Requirement FROM: Supplier s Name and Address of shipping point. TO: Ship-to name and address usually to Kate Spade & Company of the Kate Spade & Company Distribution Center that will receive the merchandise. Contact the Production Department for details by shipment. Postal Barcode (128 Barcode Symbol): The UCC-128 representation of the ship-to zip code and the related UCC/EAN Application Identifier (420). The human readable zip code must also appear as shown. Purchase Order and Quantity Information: PO: Purchase Order/Source Order number as supplied on the printed Source Order or the E.D.I. Purchase Order (850) PACK: The style number assigned to the pre-pack as supplied on the printed Source Order or the E.D.I. Purchase Order (850) QTY: The number of total units inside the carton # PACKS: Leave this blank if the carton does not contain pre-packs. If the carton contains pre-packs, enter the number of pre-packs (not units) contained in the carton. # PACKS is always ONE. 18

UCC-128 Serial Shipping Container Code (SSCC-18): A unique number assigned to each carton shipped from a supplier. 20 Carton Identifier Barcode (CIB) Label Purpose Description Requirements CIB Shipping Label Another accepted shipping label for Kate Spade & Company containers and cartons is the Carton Identifier Barcode (CIB) label. The CIB label is essentially a barcode only label that uniquely identifies the individual carton and the supplier it was shipped from. It is very similar to the UCC-128 Label, the difference being the CIB label only contains the carton ID barcode. The CIB label still allows tracking of individual cartons throughout the entire supply chain. The CIB label is to be used in conjunction with the CIB Program for shipping merchandise to Kate Spade & Company. The CIB label was designed as a temporary only solution for small suppliers not yet capable of participating in the Kate Spade & Company E.D.I. program. CIB labels must be purchased from label vendors and not printed in the supplier s own facility. The approved CIB label vendors guarantee no duplication of CIB labels and therefore each carton in-transit and received can still be uniquely identified by the label. Approved CIB label vendors are Shore to Shore and Avery Dennison and can be found in the Contact section of this document. 20

21 Shade Sticker Placement on Cartons All cartons that contain shade-sorted garments must have a colored sticker applied to the outside of the carton. The sticker should be placed in the Lot Number area of the carton markings. Vendors Internal Barcodes This is not a Kate Spade & Company requirement but vendors who use barcodes on cartons for internal controls may place these labels on sides A or side C of the carton. They must never be on Side B of the cartons. Customer or Brand Specific Markings and Labels Individual customers or brands may have specific carton marking, label requirements, weight restrictions etc. for shipments to their respective warehouses. Any customer or brand specific requirements will override instructions in this section of the manual and are listed in their respective section of the Supplier Manual. See all other Special Sales customers. 21

24 Label Placement on Short Cartons If the label is too tall for the carton, or the carton height does not permit the entire label to be applied flat to the side of the carton, it is permissible to fold the top part of the label onto the top of the carton. The barcode of the label must still be present and 100% visible on Side B of the carton. 24

25 Label Placement on Prepack Cartons In cases where both CIB label and UPC (prepack) label won t fit on side B without covering the carton s imprinted data due to small prepack carton size, it is acceptable to cover the imprinted data when applying the labels. Barcodes on both labels must be 100% visible on the required side of the carton. Additionally, if the CIB label and UPC (prepack) label are placed side by side due to small carton size, then the position of the prepack label should be reversed so that the scannable bar code is at the top of the label and not directly next to the bar code on the CIB label. Cartons containing a single prepack should be identified by a 2 round orange sticker (common stock) to the right of the UPC with the letter P. 25
