1 STARWOOD PREFERRED GUEST CIRQUE CLUB SWEEPSTAKES/FREE PRIZE DRAW GENERAL CONDITIONS APPLICABLE TO ENTERING THE SWEEPSTAKES/FREE PRIZE DRAW 1. HOST/SPONSOR The "Starwood Preferred Guest Cirque Club" sweepstakes/free prize draw is hosted and sponsored by Gaïa Luxembourg S.A., 16 Avenue Pasteur L-2310 Luxembourg, Grand Duchy of Luxembourg ( Cirque ). Cirque shall be responsible for the sweepstakes/free prize draw, its organization and its Official Rules (as defined below). The contest is organized by: Cirque du Soleil Shows B.V., NIF: W G. By entering the sweepstakes/free prize draw, Entrants (as defined below) agree to be bound by these Official Rules. Complaints about the sweepstakes/free prize draw can be filed at The complaint will be handled by within fourteen (14) week days. 2. PERIOD You can participate in the sweepstakes/free prize draw by entering between Monday February 28, 2011, 10:00 AM (Central European Time) and Sunday July 31, 2011, 23:59 PM (Central European Time) ( Game Period ). The sweepstakes/free prize draw is subject to the following general conditions ( Official Rules ). 3. AUTHORIZATION TO PARTICIPATE You may only participate if: - you are a resident of Spain; - you have reached the age of majority in your state/region/province at the time you enter the sweepstakes/free prize draw; and - you are a member of Cirque Club at the time you enter the sweepstakes/free prize draw. You may not participate, however, if you are: - a director, member, partner, employee or agent of, or consultant to the advertising or promotion agency or any other person directly taking part in the

2 2 organization of the sweepstakes/free prize draw or any other person who directly or indirectly controls or is controlled by such person; - a supplier of goods or services in connection with the sweepstakes/free prize draw; - an employee, agent or representative of Cirque or of one of its subsidiaries or affiliates; or - a member of the immediate family (father, mother, brothers, sisters, children, spouse) or a person residing with any of the aforementioned persons. No participation via raffle agencies or automated entry software is admissible. 4. ENTERING THE SWEEPSTAKES/FREE PRIZE DRAW No purchase necessary. Actual member If you are already a Cirque Club member and have reached the age of majority according to the laws of your state/region/province/country at the time you enter the sweepstakes/free prize draw ( Actual Members ), you may enter by logging into the following website: entering your actual Cirque Club member login information, and by providing the correct answer to the ability question: What is the name of the founder of Cirque du Soleil? and completing the registration form ( Registration Form ). New member To enter the promotion, it is mandatory that you become a member of Cirque Club before the end of the Game Period. If you are not a member and wish to become a Cirque Club member ( New Member ), you may access and complete the electronic Registration Form available at: by entering your first and last name, complete address, country, postal code, phone number, age and address (collectively Personal Information ). After becoming a member, you may enter the sweepstakes/free prize draw through the sweepstakes/free prize draw page at: by submitting your Registration Form and by providing the correct answer to the ability question: What is the name of the founder of Cirque du Soleil? by the end of the Game Period.

3 3 Actual Members and New Members who have duly completed the Registration Form shall be referred to collectively as the Entrants or individually as an Entrant. Entrants must at all times use the same address. The use of more than one (1) address by an individual will result in automatic disqualification of that individual. 5. ODDS OF WINNING Odds of winning a prize depend on the number of eligible entries received during the Game Period. 6. PRIZE Among all valid registrations in all participating countries (see above section 3), four (4) prizes will be awarded, subject to the conditions below, consisting each of: - Two (2) tickets to see Cirque du Soleil show entitled Alegria (the Show ) in Munich, Berlin, Cologne or Stuttgart on specific dates and time, during the Redemption Period (as defined below) (link to see available show dates: which retail value shall vary between 130 and 160 for two (2) tickets; and - One (1) hotel night accommodation (double occupancy in standard guest room including breakfast) in one of the Starwood Hotels brands located in the city where the performance of the Show shall occur, valued at 350; (collectively Prize ). The total retail value of the Prize shall be 1,950. No compensation will be awarded to the winner or his/her guest if the value of the Prize is less than the approximate retail value hereinabove mentioned. Conditions applicable to the Prize: Unless explicitly included in the Prize description above, all costs, charges or expenses, including without limitation, all transportation to and from the international airport closest the winner s place of residence and chosen by Cirque, all ground transportation, lodging and accommodation, money allocation, all taxes (including income, airport, hospitality or other taxes if applicable), insurance, fuel surcharges, travel related fees and items of a personal nature, passports and other travel documents, meals and beverages, Internet access charges, bar and wine charges,

4 4 room service, gratuities and local and long distance telephone calls, are the sole responsibility of the winner or his/her guest. Each winner ( Winner ) shall receive two (2) tickets for the performance of the Show in one (1) of the following cities and for the following selected dates and time, assigned randomly: Stuttgart: Saturday September 24, 2011 at 8:00 pm. Munich: Saturday October 1, 2011 at 8:00 pm. Berlin: Saturday October 15, 2011 at 8:00 pm. Cologne: Saturday October 29, 2011 at 8:00 pm. (collectively, Redemption Period ) No Prize substitution or cash redemption by the Winner is possible. The Prize is not transferable. Cirque reserves the right to substitute a prize of equal or greater value if any portion featured in the Prize becomes unavailable. The guest accompanying the Winner must have reached eighteen (18) years of age. Once the arrangements are completed, no modifications will be accepted. Any visa requirements are the sole responsibility of the Winner and his/her guest. All seat locations to the Show are subject to availability and seats shall be determined at the sole discretion of Cirque. Show performances are subject to blackout dates, holidays and show extended dark periods. If the Prize or any part of the Prize is not used, no compensation will be awarded to the Winner and his/her guest. All federal, state or local taxes are the sole responsibility of the Winner. 7. DRAWING AND NOTIFICATION OF THE WINNER; NOTIFICATION OF OTHER PARTICIPANTS Each Winner will be selected in a computer generated random drawing among all eligible and compliant registration received before the end of the Game Period and will receive two (2) tickets for the performance of the Show in the city and on the specific date and time assigned randomly. The random drawings will be conducted by a representative of Cirque at Cirque s International Headquarter at 8400, 2 nd Avenue, Montreal, Quebec, H1Z 4M6, Canada on August 1, 2011 at 10:30 AM Eastern Standard Time. Each Winner will be notified by telephone and by .

5 5 In the event that a Winner is unreachable or fails to comply with the Official Rules and conditions for eligibility, the Winner will forfeit Prize. In the event the Prize is forfeited as aforementioned, another Winner will be selected in a computer generated random drawing among all eligible and compliant registrations received before the end of the Game Period. 8. PRIZE TRANSFER The Prize will be sent to the Winner, by mail for the Show tickets; and by for the written confirmation of the hotel accommodation. 9. PUBLICATION OF INFORMATION CONCERNING THE WINNER By participating in the sweepstakes/free prize draw, you explicitly agree to Cirque publishing your name, likeness, city of residence and statement concerning the Prize without compensation in any publicity carried out by Cirque, and for any required disclosures without your consent ( Declaration Form ). The selected Entrant for the Prize may be required to furnish photographic identification in the form of a government-issued document. The Declaration Form must also be signed by the selected Entrant's guest before delivery of the Prize. Failure of the Winner to meet any of the abovementioned conditions will result in the Winner s automatic disqualification and loss of entitlement to his or her Prize. In such event, Cirque shall have the right to draw or select another Entrant as described in section 7 until the Winner has been determined and qualified. 10. DISQUALIFICATION Entrants not abiding by the Official Rules may be disqualified by Cirque. 11. LIMITS OF LIABILITY; DISCLAIMERS BY ENTERING THE SWEEPSTAKES/FREE PRIZE DRAW, ENTRANTS AGREE TO BE BOUND BY THESE OFFICIAL RULES, AND AGREE TO RELEASE CIRQUE, ITS EMPLOYEES, AGENTS AND REPRESENTATIVES, ITS SUBSIDIARIES, ITS AFFILIATED COMPANIES, ITS CONTROLLING CORPORATIONS, ADVERTISING OR PROMOTION AGENCIES, SPONSORS, SUPPLIERS OF MATERIALS, PRIZES AND SERVICES RELATED TO THE SWEEPSTAKES/FREE PRIZE DRAW, OR ANY OTHER PERSON DIRECTLY ASSOCIATED WITH THE HOLDING OF THE SWEEPSTAKES/FREE PRIZE DRAW ( RELEASED PARTIES ) FROM ANY AND

6 6 ALL LIABILITY WHATSOEVER FOR LOSSES OR DAMAGES OF ANY KIND THAT RESULT FROM ACCEPTANCE, POSSESSION OR USE OF ANY PRIZE OR FROM ENTRY OR ATTEMPTED ENTRY INTO THE SWEEPSTAKES/FREE PRIZE DRAW UNLESS THE DAMAGE OF THE ENTRANT IS CAUSED BY GROSS NEGLIGENCE OR WILFUL INTENT OF A RELEASED PARTY. THE RELEASED PARTIES ASSUME NO LIABILITY FOR LOST OR MISDIRECTED ENTRIES, WHETHER DUE TO TECHNICAL OR COMPUTER MALFUNCTIONS OR OTHERWISE OR ANY OTHER TECHNICAL OR COMPUTER MALFUNCTIONS, FRAUD, OR OTHER ERRORS. CIRQUE RESERVES THE RIGHT, AT ITS SOLE DISCRETION, TO CANCEL, TERMINATE OR SUSPEND THE SWEEPSTAKES/FREE PRIZE DRAW IN ITS ENTIRETY, IN THE EVENT THAT THE WEBSITE IS INFECTED BY A VIRUS, A SOFTWARE BUT, THE WEBSITE IS HACKED, UNAUTHORIZED HUMAN INTERVENTION OCCURS OR THE INTEGRITY, ADMINISTRATION, IMPARTIALITY OR NORMAL OPERATION OF THE DRAW IS COMPROMISED IN ANY WAY. 12. PERSONAL INFORMATION RETENTION RULES FOR FREE PRIZE DRAW When entering the sweepstakes/free prize draw, the Entrants agree that their personal Information collected by Cirque shall be used in accordance with applicable law: (i) in order for Cirque or its agent to contact the Entrants for the purposes of the sweepstakes/free prize draw; and (ii) for marketing and promotional purposes in connection with Cirque du Soleil activities. The Entrant s Personal Information shall not be used for any other purposes unless expressly agreed otherwise by Entrant. In compliance with the personal data protection legislation in force, you are informed and you expressly consent the incorporation of your Personal Information into Cirque s database located in Montreal, Canada and its automatic treatment for the abovementioned purposes. Cirque has adopted the technical and organizational measures necessary to ensure the security of the personal Information and prevent their alteration, loss, unauthorized processing or access, having regard to the state of the technologic development. DISPUTES Any and all disputes, claims and causes of action arising out of or connected with this contest or any prize awarded shall be resolved individually by the courts of Spain. All issues and questions concerning the contest shall be governed by the laws of Spain.
