1 Crprate Inf Plicies Diversity Plicy 1. INTRODUCTION Alliance Resurces Limited (referred t hereafter as the cmpany ) and all its subsidiaries (referred t hereafter as the cnslidated entity ) are cmmitted t wrkplace diversity. Diversity includes, but is nt limited t, gender, age, ethnicity and cultural backgrund. The cnslidated entity recgnises the benefits arising frm emplyee and bard diversity, including a brader pl f high quality emplyees, imprving emplyee retentin, accessing different perspectives and ideas, increasing sharehlder value, enhancing the prbability f achievement f the cnslidated entity s bjectives and benefiting frm all available talent. T the extent practicable, Alliance Resurces Limited has adpted the recmmendatins prvided in the ASX Crprate Gvernance Cuncil's Crprate Gvernance Principles and Recmmendatins (2 nd Editin, 2010) as amended frm time t time (ASX Principles) and in particular t the recmmendatins regarding diversity. This Diversity Plicy is t cmplement existing emplyment related plicies and dcumentatin. The Diversity Plicy des nt frm part f an emplyee's cntract f emplyment with the cnslidated entity, nr give rise t cntractual bligatins. Hwever, t the extent that the Diversity Plicy requires an emplyee t d r refrain frm ding smething, and at all times subject t legal bligatins, this Diversity Plicy frms a directin with which an emplyee f the cnslidated entity is expected t cmply. 2. OBJECTIVES The Diversity Plicy prvides a framewrk fr Alliance Resurces Limited t achieve: a diverse and skilled wrkfrce, leading t cntinuus imprvement in service delivery and achievement f crprate gals; a wrkplace culture characterised by inclusive practices and behaviurs fr the benefit f all staff; imprved emplyment and career develpment pprtunities fr wmen; Diversity Plicy 1 f 6

2 a wrk envirnment that values and utilises the cntributins f emplyees with diverse backgrunds, experiences and perspectives thrugh imprved awareness f the benefits f wrkfrce diversity and successful management f diversity; and awareness in all staff f their rights and respnsibilities with regards t fairness, equity and respect fr all aspects f diversity. The Diversity Plicy des nt impse n Alliance Resurces Limited, its directrs, fficers, agents r emplyees any bligatin t engage in, r justificatin fr engaging in, any cnduct which is illegal r cntrary t any anti-discriminatin r equal emplyment pprtunity legislatin r laws in any State r Territry f Australia r f any freign jurisdictin. 3. RESPONSIBILITIES 3.1 The Bard's Cmmitment The cmpany s bard is cmmitted t wrkplace diversity, with a particular fcus n supprting the representatin f wmen at senir management level and n the Alliance Resurces Limited Bard. In light f the implementatin f the ASX Principles and this Diversity Plicy, the Charter f the Nminatin Cmmittee has been reviewed and amended in respect f the nminatin and appintment f directrs. The Nminatin Cmmittee is respnsible fr develping measurable bjectives and strategies t meet the Objectives f the Diversity Plicy (Measurable Objectives) and mnitring the prgress f the Measurable Objectives thrugh the mnitring, evaluatin and reprting mechanisms listed belw. The Nminatin Cmmittee may als set Measurable Objectives fr achieving gender diversity and mnitr their achievement. The Nminatin Cmmittee will cnduct all bard appintment prcesses in a manner that prmtes gender diversity, including establishing a structured apprach fr identifying a pl f candidates, using external experts where necessary. 3.2 Strategies The cmpany s diversity strategies include: recruiting frm a diverse pl f candidates fr all psitins, including senir management and the Bard; reviewing successin plans t ensure an apprpriate fcus n diversity; Diversity Plicy 2 f 6

3 identifying specific factrs t take int accunt in the recruitment and selectin prcesses t encurage diversity; frmulating prgrams t develp a brader pl f skilled and experienced senir management and bard candidates, including, wrkplace develpment prgrams, mentring prgrams and targeted training and develpment; prmting a culture which supprts the dmestic respnsibilities f emplyees; and ther strategies the Bard r Nminatin Cmmittee develp frm time t time. 4. MONITORING AND EVALUATION The cmpany s bard will mnitr the scpe and currency f this Diversity Plicy. The Nminatin Cmmittee is respnsible fr implementing, mnitring and reprting n the Measurable Objectives. Management will reprt t the Nminatin Cmmittee Chairman n the Measurable Objectives within the cnslidated entity. Measurable Objectives as set by the Nminatin Cmmittee will be included in the annual key perfrmance indicatrs fr the CEO and senir executives. In additin, the Bard will review prgress against the Measurable Objectives as a key perfrmance indicatr in its annual perfrmance assessment. 5. REPORTING The Nminatin Cmmittee will reprt t the Bard n prgress against the Measurable Objectives n a six-mnthly basis. The Nminatin Cmmittee will reprt annually t the Bard n the achievement f the bjectives. The Bard will include in the Annual Reprt each year n and frm the year cmmencing 1 July 2011: measurable Objectives, if any, set by the Bard; prgress against achieving the Objectives; and Diversity Plicy 3 f 6

4 the prprtin f wmen emplyees in the whle rganisatin, at senir management level and at Bard level. 6. COMPLIANCE REQUIREMENTS The cmpany will meet its bligatins with respect t the issue f diversity, as may be required under the ASX Principles and ther regulatry requirements (if any), including by: establishing this Diversity Plicy as a cmpliant plicy under ASX Principle 3.2(a) by: establishing Measurable Objectives fr achieving gender diversity; and the bard assessing annually the Measurable Objectives fr achieving gender diversity and the prgress in achieving them. disclsing this Diversity Plicy r a summary f it under ASX Principle 3.2(b). in its annual reprt, and in the terms f ASX Principle 2.4, disclsing the prcess the bard adpts and the criteria the bard takes int cnsideratin in its selectin f prspective new directrs. in its annual reprt, and in the terms f ASX Principles 3.3 and 3.4, disclsing: the Measurable Objectives fr achieving gender diversity set by the bard in the terms f this Diversity Plicy; the prgress frm time t time twards achieving them; the prprtins in the cnslidated entity (relative t their male cunterparts) f female emplyees acrss the cnslidated entity, in senir executive psitins and n the bard. incrprate int the crprate gvernance statement in the Cmpany s annual reprt a statement as t the mix f skills and diversity that the bard is lking t achieve in its membership, in the terms f ASX Principle 2.6. The Cmpany Secretary will assume line respnsibility t assure that the Cmpany meets its cmpliance and reprting bligatins referred t abve, including cllecting and cllating all relevant data and ensuring that management prcesses and systems are adequate and effective fr such reprting bligatins t be met. 7. OVERRIDING CAVEAT Nthing in this Diversity Plicy shall be taken, interpreted r cnstrued s as t endrse: the principal criteria fr selectin and prmtin f peple t wrk within the cnslidated entity being ther than their verall relative prspect f adding value t Diversity Plicy 4 f 6

5 the cnslidated entity and enhancing the prbability f the cnslidated entity achieving its bjectives; any discriminatry behaviur by r within the cnslidated entity cntrary t the law, r any applicable cdes f cnduct r behaviur fr the cnslidated entity and its persnnel; any existing persn within the cnslidated entity in any way feeling threatened r prejudiced by this Diversity Plicy in their career develpment r therwise, merely because their diversity attributes at any time may be mre, rather than less, cmmn with thers.
